國(guo)(guo)(guo)有(you)(you)(you)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)屬于(yu)全(quan)民(min)所有(you)(you)(you),是(shi)推進(jin)(jin)國(guo)(guo)(guo)家現(xian)代(dai)化、保障人民(min)共同利益的(de)(de)(de)重(zhong)要(yao)力量,是(shi)我(wo)(wo)們(men)黨和(he)(he)國(guo)(guo)(guo)家事業(ye)(ye)(ye)(ye)(ye)(ye)發(fa)展(zhan)(zhan)(zhan)的(de)(de)(de)重(zhong)要(yao)物(wu)質基礎和(he)(he)政治基礎。改(gai)(gai)革開放以來,國(guo)(guo)(guo)有(you)(you)(you)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)改(gai)(gai)革發(fa)展(zhan)(zhan)(zhan)不斷取(qu)得重(zhong)大(da)(da)(da)進(jin)(jin)展(zhan)(zhan)(zhan),總體(ti)上已經(jing)同市場(chang)經(jing)濟(ji)相融合,運行(xing)質量和(he)(he)效益明(ming)顯提升,在國(guo)(guo)(guo)際(ji)國(guo)(guo)(guo)內(nei)市場(chang)競(jing)(jing)爭(zheng)中(zhong)(zhong)(zhong)涌(yong)現(xian)出(chu)一批具有(you)(you)(you)核心(xin)競(jing)(jing)爭(zheng)力的(de)(de)(de)骨(gu)干企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye),為(wei)推動(dong)經(jing)濟(ji)社(she)會發(fa)展(zhan)(zhan)(zhan)、保障和(he)(he)改(gai)(gai)善(shan)民(min)生(sheng)、開拓國(guo)(guo)(guo)際(ji)市場(chang)、增強我(wo)(wo)國(guo)(guo)(guo)綜合實力作出(chu)了重(zhong)大(da)(da)(da)貢(gong)獻,國(guo)(guo)(guo)有(you)(you)(you)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)經(jing)營管(guan)(guan)理(li)者隊伍總體(ti)上是(shi)好的(de)(de)(de),廣(guang)大(da)(da)(da)職(zhi)工付出(chu)了不懈努力,成就是(shi)突(tu)出(chu)的(de)(de)(de)。但也要(yao)看到,國(guo)(guo)(guo)有(you)(you)(you)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)仍(reng)然存在一些亟待(dai)解(jie)決(jue)的(de)(de)(de)突(tu)出(chu)矛盾(dun)和(he)(he)問(wen)題,一些企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)市場(chang)主(zhu)體(ti)地位(wei)尚未真正確立,現(xian)代(dai)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)制(zhi)(zhi)度(du)(du)還(huan)不健全(quan),國(guo)(guo)(guo)有(you)(you)(you)資(zi)產監管(guan)(guan)體(ti)制(zhi)(zhi)有(you)(you)(you)待(dai)完善(shan),國(guo)(guo)(guo)有(you)(you)(you)資(zi)本運行(xing)效率需進(jin)(jin)一步提高;一些企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)管(guan)(guan)理(li)混亂(luan),內(nei)部人控制(zhi)(zhi)、利益輸送、國(guo)(guo)(guo)有(you)(you)(you)資(zi)產流失等問(wen)題突(tu)出(chu),企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)辦(ban)社(she)會職(zhi)能和(he)(he)歷史(shi)(shi)遺留問(wen)題還(huan)未完全(quan)解(jie)決(jue);一些企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)黨組織(zhi)管(guan)(guan)黨治黨責任不落實、作用被弱化。面向未來,國(guo)(guo)(guo)有(you)(you)(you)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)面臨日益激烈(lie)的(de)(de)(de)國(guo)(guo)(guo)際(ji)競(jing)(jing)爭(zheng)和(he)(he)轉型升級的(de)(de)(de)巨大(da)(da)(da)挑戰(zhan)。在推動(dong)我(wo)(wo)國(guo)(guo)(guo)經(jing)濟(ji)保持(chi)中(zhong)(zhong)(zhong)高速增長(chang)和(he)(he)邁向中(zhong)(zhong)(zhong)高端水(shui)平、完善(shan)和(he)(he)發(fa)展(zhan)(zhan)(zhan)中(zhong)(zhong)(zhong)國(guo)(guo)(guo)特色社(she)會主(zhu)義制(zhi)(zhi)度(du)(du)、實現(xian)中(zhong)(zhong)(zhong)華民(min)族(zu)偉(wei)大(da)(da)(da)復興(xing)中(zhong)(zhong)(zhong)國(guo)(guo)(guo)夢的(de)(de)(de)進(jin)(jin)程(cheng)中(zhong)(zhong)(zhong),國(guo)(guo)(guo)有(you)(you)(you)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)肩(jian)負著重(zhong)大(da)(da)(da)歷史(shi)(shi)使命和(he)(he)責任。要(yao)認真貫徹落實黨中(zhong)(zhong)(zhong)央、國(guo)(guo)(guo)務院戰(zhan)略決(jue)策,按照(zhao)“四個全(quan)面”戰(zhan)略布局的(de)(de)(de)要(yao)求,以經(jing)濟(ji)建(jian)設(she)為(wei)中(zhong)(zhong)(zhong)心(xin),堅(jian)持(chi)問(wen)題導向,繼續推進(jin)(jin)國(guo)(guo)(guo)有(you)(you)(you)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)改(gai)(gai)革,切(qie)實破(po)除體(ti)制(zhi)(zhi)機制(zhi)(zhi)障礙(ai),堅(jian)定不移做(zuo)(zuo)強做(zuo)(zuo)優做(zuo)(zuo)大(da)(da)(da)國(guo)(guo)(guo)有(you)(you)(you)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)。為(wei)此,提出(chu)以下意見。
一、總體要求
(一)指導思想
高(gao)舉中(zhong)(zhong)國(guo)特色社(she)會(hui)主(zhu)義偉大(da)旗幟,認真貫徹落實黨(dang)的十八大(da)和十八屆(jie)三中(zhong)(zhong)、四中(zhong)(zhong)全(quan)會(hui)精(jing)神,深入(ru)學習(xi)(xi)貫徹習(xi)(xi)近(jin)平總書記系列重要講話精(jing)神,堅持和完善(shan)基本經濟(ji)制(zhi)(zhi)度,堅持社(she)會(hui)主(zhu)義市(shi)場(chang)經濟(ji)改革方向,適(shi)應市(shi)場(chang)化、現代(dai)化、國(guo)際化新(xin)形勢(shi),以解放和發(fa)展(zhan)社(she)會(hui)生產力(li)為標準,以提高(gao)國(guo)有資(zi)本效率(lv)、增強國(guo)有企(qi)業活(huo)力(li)為中(zhong)(zhong)心(xin),完善(shan)產權清(qing)晰、權責(ze)明確、政企(qi)分開、管(guan)理(li)科學的現代(dai)企(qi)業制(zhi)(zhi)度,完善(shan)國(guo)有資(zi)產監管(guan)體制(zhi)(zhi),防止國(guo)有資(zi)產流失,全(quan)面(mian)推進(jin)依法治企(qi),加強和改進(jin)黨(dang)對國(guo)有企(qi)業的領導,做強做優做大(da)國(guo)有企(qi)業,不斷增強國(guo)有經濟(ji)活(huo)力(li)、控制(zhi)(zhi)力(li)、影響力(li)、抗風險能(neng)力(li),主(zhu)動適(shi)應和引領經濟(ji)發(fa)展(zhan)新(xin)常(chang)態,為促進(jin)經濟(ji)社(she)會(hui)持續(xu)健康發(fa)展(zhan)、實現中(zhong)(zhong)華民族偉大(da)復興中(zhong)(zhong)國(guo)夢作(zuo)出積極貢獻。
(二)基本原則
——堅持(chi)和完善基本(ben)經(jing)濟(ji)制度。這是深(shen)化國(guo)有(you)企業改革必(bi)須把握(wo)的根本(ben)要(yao)求。必(bi)須毫不動(dong)搖鞏固和發(fa)(fa)展公有(you)制經(jing)濟(ji),毫不動(dong)搖鼓勵、支持(chi)、引導非公有(you)制經(jing)濟(ji)發(fa)(fa)展。堅持(chi)公有(you)制主(zhu)體地位,發(fa)(fa)揮(hui)國(guo)有(you)經(jing)濟(ji)主(zhu)導作用,積極促(cu)進國(guo)有(you)資本(ben)、集體資本(ben)、非公有(you)資本(ben)等交叉(cha)持(chi)股(gu)、相互融合,推動(dong)各種所有(you)制資本(ben)取長補短、相互促(cu)進、共同發(fa)(fa)展。
——堅持(chi)社會(hui)(hui)主(zhu)義市場經(jing)濟(ji)(ji)改(gai)革方向。這是深(shen)化國(guo)(guo)(guo)有企(qi)業(ye)改(gai)革必須遵循的(de)基本規(gui)律。國(guo)(guo)(guo)有企(qi)業(ye)改(gai)革要遵循市場經(jing)濟(ji)(ji)規(gui)律和企(qi)業(ye)發展規(gui)律,堅持(chi)政企(qi)分開、政資分開、所有權與經(jing)營權分離,堅持(chi)權利(li)、義務、責(ze)任相統一,堅持(chi)激勵機(ji)制(zhi)和約束(shu)機(ji)制(zhi)相結合,促使(shi)國(guo)(guo)(guo)有企(qi)業(ye)真正成為依法自(zi)(zi)主(zhu)經(jing)營、自(zi)(zi)負盈(ying)虧、自(zi)(zi)擔風險、自(zi)(zi)我約束(shu)、自(zi)(zi)我發展的(de)獨立市場主(zhu)體(ti)。社會(hui)(hui)主(zhu)義市場經(jing)濟(ji)(ji)條(tiao)件下的(de)國(guo)(guo)(guo)有企(qi)業(ye),要成為自(zi)(zi)覺履行社會(hui)(hui)責(ze)任的(de)表率。
——堅持(chi)增強活(huo)(huo)力和強化監(jian)管相結合(he)。這是深化國(guo)有(you)企業(ye)(ye)改革必須(xu)把握的(de)重要關(guan)系。增強活(huo)(huo)力是搞(gao)好(hao)國(guo)有(you)企業(ye)(ye)的(de)本質要求,加強監(jian)管是搞(gao)好(hao)國(guo)有(you)企業(ye)(ye)的(de)重要保(bao)障,要切實(shi)(shi)做到兩者的(de)有(you)機統一。繼續推進簡(jian)政(zheng)放(fang)權(quan),依法(fa)落實(shi)(shi)企業(ye)(ye)法(fa)人(ren)財(cai)產(chan)權(quan)和經營自(zi)主權(quan),進一步(bu)激發企業(ye)(ye)活(huo)(huo)力、創造力和市(shi)場競爭力。進一步(bu)完(wan)善國(guo)有(you)企業(ye)(ye)監(jian)管制(zhi)度,切實(shi)(shi)防止國(guo)有(you)資產(chan)流(liu)失,確保(bao)國(guo)有(you)資產(chan)保(bao)值(zhi)增值(zhi)。
——堅持(chi)黨(dang)對國有(you)企業(ye)(ye)的(de)領導。這是深(shen)化國有(you)企業(ye)(ye)改革必須堅守(shou)的(de)政(zheng)(zheng)治(zhi)方向(xiang)、政(zheng)(zheng)治(zhi)原則。要貫徹全(quan)面從嚴治(zhi)黨(dang)方針,充分發揮(hui)企業(ye)(ye)黨(dang)組織(zhi)政(zheng)(zheng)治(zhi)核心(xin)作用,加強企業(ye)(ye)領導班子建設(she),創新基(ji)層黨(dang)建工作,深(shen)入開展黨(dang)風廉政(zheng)(zheng)建設(she),堅持(chi)全(quan)心(xin)全(quan)意依靠工人階(jie)級,維護職工合(he)法權益,為國有(you)企業(ye)(ye)改革發展提(ti)供堅強有(you)力的(de)政(zheng)(zheng)治(zhi)保證、組織(zhi)保證和(he)人才(cai)支(zhi)撐。
——堅持積極(ji)穩(wen)妥統(tong)籌推進。這是深(shen)化國有企(qi)業(ye)改(gai)(gai)革必須采用的(de)科學(xue)方法(fa)。要(yao)正(zheng)確(que)處(chu)理推進改(gai)(gai)革和堅持法(fa)治(zhi)的(de)關系(xi),正(zheng)確(que)處(chu)理改(gai)(gai)革發展穩(wen)定關系(xi),正(zheng)確(que)處(chu)理搞好頂(ding)層設計和尊(zun)重基層首創精神的(de)關系(xi),突出問題導(dao)向,堅持分類推進,把握好改(gai)(gai)革的(de)次序、節奏(zou)、力度,確(que)保改(gai)(gai)革扎實推進、務求(qiu)實效。
(三)主要目標
到2020年,在國(guo)(guo)有(you)企業(ye)改革重(zhong)要(yao)領域和(he)關鍵環(huan)節取(qu)得決定性成果,形成更加(jia)符合我國(guo)(guo)基本經濟制(zhi)(zhi)度和(he)社會主義市(shi)場經濟發(fa)展要(yao)求的(de)國(guo)(guo)有(you)資產管(guan)理(li)體(ti)制(zhi)(zhi)、現代企業(ye)制(zhi)(zhi)度、市(shi)場化經營機制(zhi)(zhi),國(guo)(guo)有(you)資本布局(ju)結(jie)構(gou)更趨合理(li),造就一大批德才兼備(bei)、善于經營、充滿活力(li)(li)(li)的(de)優秀企業(ye)家,培育一大批具(ju)有(you)創新能力(li)(li)(li)和(he)國(guo)(guo)際競爭力(li)(li)(li)的(de)國(guo)(guo)有(you)骨干企業(ye),國(guo)(guo)有(you)經濟活力(li)(li)(li)、控(kong)制(zhi)(zhi)力(li)(li)(li)、影響力(li)(li)(li)、抗風險(xian)能力(li)(li)(li)明顯增(zeng)強。
——國有(you)企業公司制改革基本完成,發(fa)展混合所(suo)有(you)制經(jing)濟取得積極進展,法人治理(li)(li)結構更(geng)加健全,優勝劣汰、經(jing)營自主(zhu)靈活、內部管理(li)(li)人員能(neng)上能(neng)下、員工能(neng)進能(neng)出、收入能(neng)增能(neng)減的市場化機(ji)制更(geng)加完善。
——國(guo)有資產(chan)監(jian)管制度更加成熟,相關(guan)法律(lv)法規更加健全(quan),監(jian)管手段(duan)和方式不斷優化,監(jian)管的(de)科學性(xing)(xing)、針對性(xing)(xing)、有效性(xing)(xing)進(jin)一步提高(gao),經營性(xing)(xing)國(guo)有資產(chan)實現集中(zhong)統一監(jian)管,國(guo)有資產(chan)保(bao)值增(zeng)值責任全(quan)面落實。
——國(guo)有(you)資(zi)本配置效率(lv)顯(xian)著提高,國(guo)有(you)經濟布局結構(gou)不斷優化、主導作(zuo)用有(you)效發揮(hui),國(guo)有(you)企(qi)業在提升自主創新能力、保護資(zi)源環(huan)境(jing)、加快轉型升級、履行(xing)社會責任中(zhong)的引領和(he)表率(lv)作(zuo)用充分發揮(hui)。
——企(qi)業黨(dang)的建(jian)設(she)全面加(jia)強,反腐倡廉制度體(ti)系(xi)(xi)、工作體(ti)系(xi)(xi)更(geng)(geng)加(jia)完(wan)善,國有企(qi)業黨(dang)組織(zhi)在公(gong)司(si)治理中的法定地位(wei)更(geng)(geng)加(jia)鞏固,政治核心作用(yong)充分發揮。
二、分類推進國有企業改革
(四)劃分(fen)國有(you)企(qi)(qi)業(ye)(ye)不(bu)同(tong)類(lei)(lei)(lei)別。根據國有(you)資本(ben)(ben)的(de)(de)戰略(lve)定(ding)位和發展目標(biao),結合不(bu)同(tong)國有(you)企(qi)(qi)業(ye)(ye)在經(jing)濟社會發展中的(de)(de)作(zuo)用、現狀和發展需(xu)要,將(jiang)國有(you)企(qi)(qi)業(ye)(ye)分(fen)為商(shang)業(ye)(ye)類(lei)(lei)(lei)和公益類(lei)(lei)(lei)。通過界(jie)定(ding)功(gong)能(neng)、劃分(fen)類(lei)(lei)(lei)別,實行(xing)分(fen)類(lei)(lei)(lei)改革、分(fen)類(lei)(lei)(lei)發展、分(fen)類(lei)(lei)(lei)監管、分(fen)類(lei)(lei)(lei)定(ding)責(ze)(ze)、分(fen)類(lei)(lei)(lei)考核,提高改革的(de)(de)針對性(xing)、監管的(de)(de)有(you)效性(xing)、考核評價(jia)的(de)(de)科學性(xing),推動國有(you)企(qi)(qi)業(ye)(ye)同(tong)市(shi)場經(jing)濟深入融合,促進(jin)國有(you)企(qi)(qi)業(ye)(ye)經(jing)濟效益和社會效益有(you)機統一。按照誰(shui)出資誰(shui)分(fen)類(lei)(lei)(lei)的(de)(de)原則,由履行(xing)出資人(ren)職責(ze)(ze)的(de)(de)機構負責(ze)(ze)制定(ding)所出資企(qi)(qi)業(ye)(ye)的(de)(de)功(gong)能(neng)界(jie)定(ding)和分(fen)類(lei)(lei)(lei)方案(an),報本(ben)(ben)級政府批準。各地(di)區可(ke)結合實際,劃分(fen)并(bing)動態調整本(ben)(ben)地(di)區國有(you)企(qi)(qi)業(ye)(ye)功(gong)能(neng)類(lei)(lei)(lei)別。
(五(wu))推進商業類國(guo)有企(qi)業改革。商業類國(guo)有企(qi)業按照市場化要(yao)求實行商業化運(yun)作,以增(zeng)強國(guo)有經(jing)濟(ji)活(huo)力、放大國(guo)有資本功能、實現國(guo)有資產(chan)保值增(zeng)值為主要(yao)目標,依(yi)法獨立自主開展生產(chan)經(jing)營活(huo)動,實現優勝(sheng)劣汰、有序進退。
主(zhu)業處于充分競爭行業和領域的商業類(lei)國有(you)(you)企業,原(yuan)則(ze)上都要實行公司(si)制股(gu)份制改革(ge),積極引(yin)入其他國有(you)(you)資(zi)本(ben)或(huo)各類(lei)非(fei)國有(you)(you)資(zi)本(ben)實現(xian)股(gu)權多元化,國有(you)(you)資(zi)本(ben)可以絕(jue)對(dui)控股(gu)、相對(dui)控股(gu),也可以參股(gu),并著力推進(jin)整體(ti)上市。對(dui)這些國有(you)(you)企業,重點(dian)考核經營(ying)業績指標、國有(you)(you)資(zi)產保值(zhi)增(zeng)值(zhi)和市場競爭能(neng)力。
主業(ye)(ye)(ye)(ye)處于(yu)關系(xi)國(guo)(guo)(guo)家安全、國(guo)(guo)(guo)民經(jing)濟(ji)命脈的重要行(xing)(xing)業(ye)(ye)(ye)(ye)和(he)(he)關鍵領(ling)域、主要承擔重大專(zhuan)項(xiang)任務(wu)的商業(ye)(ye)(ye)(ye)類(lei)國(guo)(guo)(guo)有(you)(you)企(qi)業(ye)(ye)(ye)(ye),要保持(chi)(chi)國(guo)(guo)(guo)有(you)(you)資本(ben)(ben)(ben)控股地位,支(zhi)持(chi)(chi)非國(guo)(guo)(guo)有(you)(you)資本(ben)(ben)(ben)參股。對(dui)自然壟斷(duan)行(xing)(xing)業(ye)(ye)(ye)(ye),實行(xing)(xing)以政企(qi)分(fen)開、政資分(fen)開、特(te)許經(jing)營(ying)、政府監管為主要內容的改革,根據不同(tong)行(xing)(xing)業(ye)(ye)(ye)(ye)特(te)點實行(xing)(xing)網運分(fen)開、放開競爭性(xing)業(ye)(ye)(ye)(ye)務(wu),促進公共(gong)資源配置市場化;對(dui)需要實行(xing)(xing)國(guo)(guo)(guo)有(you)(you)全資的企(qi)業(ye)(ye)(ye)(ye),也要積極(ji)引入其他國(guo)(guo)(guo)有(you)(you)資本(ben)(ben)(ben)實行(xing)(xing)股權多元(yuan)化;對(dui)特(te)殊(shu)業(ye)(ye)(ye)(ye)務(wu)和(he)(he)競爭性(xing)業(ye)(ye)(ye)(ye)務(wu)實行(xing)(xing)業(ye)(ye)(ye)(ye)務(wu)板塊(kuai)有(you)(you)效分(fen)離(li),獨(du)立(li)運作、獨(du)立(li)核(he)算。對(dui)這(zhe)些國(guo)(guo)(guo)有(you)(you)企(qi)業(ye)(ye)(ye)(ye),在考核(he)經(jing)營(ying)業(ye)(ye)(ye)(ye)績指(zhi)標和(he)(he)國(guo)(guo)(guo)有(you)(you)資產保值增(zeng)值情況的同(tong)時,加強(qiang)對(dui)服務(wu)國(guo)(guo)(guo)家戰略(lve)、保障國(guo)(guo)(guo)家安全和(he)(he)國(guo)(guo)(guo)民經(jing)濟(ji)運行(xing)(xing)、發展前瞻性(xing)戰略(lve)性(xing)產業(ye)(ye)(ye)(ye)以及完成特(te)殊(shu)任務(wu)的考核(he)。
(六)推(tui)(tui)進公(gong)(gong)益(yi)(yi)類國有(you)(you)企業(ye)(ye)改革。公(gong)(gong)益(yi)(yi)類國有(you)(you)企業(ye)(ye)以(yi)(yi)保障民生、服務(wu)社會、提供(gong)公(gong)(gong)共(gong)產(chan)(chan)品和(he)服務(wu)為主(zhu)要(yao)目標,引入市(shi)場機制,提高(gao)公(gong)(gong)共(gong)服務(wu)效(xiao)率(lv)和(he)能(neng)力。這類企業(ye)(ye)可(ke)以(yi)(yi)采(cai)取國有(you)(you)獨資形式(shi),具備條件(jian)的也可(ke)以(yi)(yi)推(tui)(tui)行投資主(zhu)體多元(yuan)化(hua),還可(ke)以(yi)(yi)通過(guo)購買服務(wu)、特(te)許經營、委托代理(li)等方式(shi),鼓勵非國有(you)(you)企業(ye)(ye)參與(yu)經營。對(dui)公(gong)(gong)益(yi)(yi)類國有(you)(you)企業(ye)(ye),重點考核(he)成本控制、產(chan)(chan)品服務(wu)質(zhi)量、營運效(xiao)率(lv)和(he)保障能(neng)力,根據企業(ye)(ye)不同特(te)點有(you)(you)區別地考核(he)經營業(ye)(ye)績(ji)指(zhi)標和(he)國有(you)(you)資產(chan)(chan)保值(zhi)增值(zhi)情況,考核(he)中要(yao)引入社會評價。
三、完善現代企業制度
(七)推(tui)進公司(si)(si)制(zhi)股(gu)(gu)份制(zhi)改(gai)(gai)革。加大(da)集(ji)團(tuan)層面公司(si)(si)制(zhi)改(gai)(gai)革力度,積極引(yin)入(ru)各(ge)類(lei)投資者實現股(gu)(gu)權多(duo)元(yuan)化(hua),大(da)力推(tui)動國(guo)有(you)企(qi)業改(gai)(gai)制(zhi)上(shang)市(shi),創(chuang)造條(tiao)件(jian)實現集(ji)團(tuan)公司(si)(si)整體上(shang)市(shi)。根(gen)據(ju)不(bu)同(tong)企(qi)業的(de)功能定(ding)位,逐步調整國(guo)有(you)股(gu)(gu)權比例,形成股(gu)(gu)權結構多(duo)元(yuan)、股(gu)(gu)東行(xing)為規范、內部約束有(you)效(xiao)、運行(xing)高效(xiao)靈(ling)活(huo)的(de)經營機制(zhi)。允許將部分(fen)國(guo)有(you)資本轉化(hua)為優先股(gu)(gu),在少數特定(ding)領域探索建立(li)國(guo)家特殊管理股(gu)(gu)制(zhi)度。
(八)健(jian)全(quan)公(gong)司法人治(zhi)理(li)(li)結構。重點是推(tui)進董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)建(jian)設,建(jian)立健(jian)全(quan)權(quan)責(ze)對(dui)等、運轉協調、有效(xiao)制衡(heng)的(de)(de)(de)決(jue)(jue)策(ce)執行(xing)監(jian)(jian)督(du)機制,規范董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)長、總經(jing)理(li)(li)行(xing)權(quan)行(xing)為,充分發(fa)揮董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)的(de)(de)(de)決(jue)(jue)策(ce)作(zuo)用、監(jian)(jian)事(shi)(shi)(shi)會(hui)(hui)的(de)(de)(de)監(jian)(jian)督(du)作(zuo)用、經(jing)理(li)(li)層(ceng)的(de)(de)(de)經(jing)營管理(li)(li)作(zuo)用、黨組織的(de)(de)(de)政治(zhi)核心作(zuo)用,切實(shi)解(jie)決(jue)(jue)一些企業董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)形同虛(xu)設、“一把手”說(shuo)了算的(de)(de)(de)問題,實(shi)現規范的(de)(de)(de)公(gong)司治(zhi)理(li)(li)。要切實(shi)落(luo)實(shi)和維護(hu)董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)依法行(xing)使重大(da)決(jue)(jue)策(ce)、選人用人、薪(xin)酬分配等權(quan)利,保障經(jing)理(li)(li)層(ceng)經(jing)營自主權(quan),法無授(shou)權(quan)任(ren)何政府部(bu)門和機構不得干預。加強董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)內部(bu)的(de)(de)(de)制衡(heng)約束,國有獨資、全(quan)資公(gong)司的(de)(de)(de)董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)和監(jian)(jian)事(shi)(shi)(shi)會(hui)(hui)均應(ying)有職工代表(biao),董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)外(wai)部(bu)董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)應(ying)占多數,落(luo)實(shi)一人一票表(biao)決(jue)(jue)制度,董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)對(dui)董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)決(jue)(jue)議承擔責(ze)任(ren)。改進董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)和董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)評價辦法,強化對(dui)董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)的(de)(de)(de)考核評價和管理(li)(li),對(dui)重大(da)決(jue)(jue)策(ce)失誤負有直接責(ze)任(ren)的(de)(de)(de)要及時調整或解(jie)聘,并依法追(zhui)究責(ze)任(ren)。進一步(bu)加強外(wai)部(bu)董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)隊伍建(jian)設,拓寬來源渠道(dao)。
(九(jiu))建立國有(you)(you)企(qi)業(ye)(ye)(ye)領導人(ren)員(yuan)分類分層(ceng)管(guan)(guan)理(li)(li)(li)制(zhi)(zhi)度(du)。堅持(chi)黨(dang)管(guan)(guan)干部(bu)原則(ze)與(yu)(yu)董(dong)事會(hui)依法(fa)產生(sheng)、董(dong)事會(hui)依法(fa)選(xuan)(xuan)擇經(jing)(jing)(jing)營(ying)管(guan)(guan)理(li)(li)(li)者(zhe)、經(jing)(jing)(jing)營(ying)管(guan)(guan)理(li)(li)(li)者(zhe)依法(fa)行(xing)使用人(ren)權(quan)相結合,不(bu)斷(duan)創新有(you)(you)效實(shi)現(xian)形式。上級黨(dang)組織和國有(you)(you)資產監管(guan)(guan)機構按照管(guan)(guan)理(li)(li)(li)權(quan)限(xian)加強對國有(you)(you)企(qi)業(ye)(ye)(ye)領導人(ren)員(yuan)的(de)管(guan)(guan)理(li)(li)(li),廣(guang)開(kai)推薦渠道,依規(gui)考察提名,嚴格履行(xing)選(xuan)(xuan)用程(cheng)序。根據不(bu)同(tong)企(qi)業(ye)(ye)(ye)類別和層(ceng)級,實(shi)行(xing)選(xuan)(xuan)任(ren)(ren)(ren)制(zhi)(zhi)、委任(ren)(ren)(ren)制(zhi)(zhi)、聘任(ren)(ren)(ren)制(zhi)(zhi)等不(bu)同(tong)選(xuan)(xuan)人(ren)用人(ren)方(fang)(fang)式。推行(xing)職(zhi)業(ye)(ye)(ye)經(jing)(jing)(jing)理(li)(li)(li)人(ren)制(zhi)(zhi)度(du),實(shi)行(xing)內部(bu)培(pei)養和外部(bu)引進相結合,暢通(tong)現(xian)有(you)(you)經(jing)(jing)(jing)營(ying)管(guan)(guan)理(li)(li)(li)者(zhe)與(yu)(yu)職(zhi)業(ye)(ye)(ye)經(jing)(jing)(jing)理(li)(li)(li)人(ren)身份轉(zhuan)換(huan)通(tong)道,董(dong)事會(hui)按市場化(hua)方(fang)(fang)式選(xuan)(xuan)聘和管(guan)(guan)理(li)(li)(li)職(zhi)業(ye)(ye)(ye)經(jing)(jing)(jing)理(li)(li)(li)人(ren),合理(li)(li)(li)增加市場化(hua)選(xuan)(xuan)聘比例,加快建立退出(chu)機制(zhi)(zhi)。推行(xing)企(qi)業(ye)(ye)(ye)經(jing)(jing)(jing)理(li)(li)(li)層(ceng)成員(yuan)任(ren)(ren)(ren)期制(zhi)(zhi)和契約(yue)化(hua)管(guan)(guan)理(li)(li)(li),明確責(ze)任(ren)(ren)(ren)、權(quan)利、義務,嚴格任(ren)(ren)(ren)期管(guan)(guan)理(li)(li)(li)和目標(biao)考核。

(十一)深化(hua)企(qi)業(ye)(ye)內部用人制(zhi)度改(gai)革。建(jian)立(li)健(jian)全企(qi)業(ye)(ye)各類管(guan)理(li)人員(yuan)公開招聘、競爭上(shang)崗等制(zhi)度,對特殊管(guan)理(li)人員(yuan)可以(yi)(yi)通過委托人才(cai)中介機構推薦等方式,拓寬(kuan)選人用人視野和(he)渠道。建(jian)立(li)分級分類的(de)企(qi)業(ye)(ye)員(yuan)工(gong)市場化(hua)公開招聘制(zhi)度,切(qie)實做到信息公開、過程(cheng)公開、結果公開。構建(jian)和(he)諧勞動(dong)關系,依(yi)法(fa)規范企(qi)業(ye)(ye)各類用工(gong)管(guan)理(li),建(jian)立(li)健(jian)全以(yi)(yi)合(he)同管(guan)理(li)為核心、以(yi)(yi)崗位(wei)管(guan)理(li)為基(ji)礎的(de)市場化(hua)用工(gong)制(zhi)度,真正(zheng)形(xing)成(cheng)企(qi)業(ye)(ye)各類管(guan)理(li)人員(yuan)能(neng)(neng)上(shang)能(neng)(neng)下、員(yuan)工(gong)能(neng)(neng)進能(neng)(neng)出的(de)合(he)理(li)流動(dong)機制(zhi)。
四、完善國有資產管理體制
(十二)以(yi)管(guan)(guan)(guan)(guan)資(zi)(zi)本(ben)(ben)為主推(tui)進(jin)國有(you)資(zi)(zi)產監管(guan)(guan)(guan)(guan)機構職能轉(zhuan)變(bian)(bian)。國有(you)資(zi)(zi)產監管(guan)(guan)(guan)(guan)機構要(yao)準確把握(wo)依法履行出資(zi)(zi)人職責(ze)的(de)(de)(de)(de)定位(wei)(wei),科(ke)學(xue)(xue)界定國有(you)資(zi)(zi)產出資(zi)(zi)人監管(guan)(guan)(guan)(guan)的(de)(de)(de)(de)邊(bian)界,建立監管(guan)(guan)(guan)(guan)權力清(qing)(qing)單和(he)責(ze)任清(qing)(qing)單,實現以(yi)管(guan)(guan)(guan)(guan)企(qi)(qi)(qi)業為主向(xiang)以(yi)管(guan)(guan)(guan)(guan)資(zi)(zi)本(ben)(ben)為主的(de)(de)(de)(de)轉(zhuan)變(bian)(bian)。該管(guan)(guan)(guan)(guan)的(de)(de)(de)(de)要(yao)科(ke)學(xue)(xue)管(guan)(guan)(guan)(guan)理、決(jue)不缺位(wei)(wei),重點管(guan)(guan)(guan)(guan)好國有(you)資(zi)(zi)本(ben)(ben)布局、規范資(zi)(zi)本(ben)(ben)運作(zuo)、提高(gao)資(zi)(zi)本(ben)(ben)回報、維(wei)護資(zi)(zi)本(ben)(ben)安(an)全;不該管(guan)(guan)(guan)(guan)的(de)(de)(de)(de)要(yao)依法放權、決(jue)不越位(wei)(wei),將(jiang)依法應由企(qi)(qi)(qi)業自主經營(ying)決(jue)策的(de)(de)(de)(de)事(shi)項歸(gui)位(wei)(wei)于(yu)企(qi)(qi)(qi)業,將(jiang)延伸到(dao)子企(qi)(qi)(qi)業的(de)(de)(de)(de)管(guan)(guan)(guan)(guan)理事(shi)項原則上歸(gui)位(wei)(wei)于(yu)一級企(qi)(qi)(qi)業,將(jiang)配合承擔的(de)(de)(de)(de)公共管(guan)(guan)(guan)(guan)理職能歸(gui)位(wei)(wei)于(yu)相關政府部門和(he)單位(wei)(wei)。大力推(tui)進(jin)依法監管(guan)(guan)(guan)(guan),著力創(chuang)新監管(guan)(guan)(guan)(guan)方(fang)式和(he)手段,改變(bian)(bian)行政化管(guan)(guan)(guan)(guan)理方(fang)式,改進(jin)考(kao)核體系和(he)辦法,提高(gao)監管(guan)(guan)(guan)(guan)的(de)(de)(de)(de)科(ke)學(xue)(xue)性(xing)、有(you)效性(xing)。

(二十(shi)三)嚴(yan)(yan)(yan)格責(ze)任(ren)追(zhui)(zhui)究。建(jian)(jian)(jian)立健全國有(you)企(qi)業(ye)重大決(jue)策(ce)失(shi)誤和失(shi)職、瀆職責(ze)任(ren)追(zhui)(zhui)究倒(dao)查機制,建(jian)(jian)(jian)立和完善重大決(jue)策(ce)評(ping)估、決(jue)策(ce)事(shi)項履職記(ji)錄、決(jue)策(ce)過錯認(ren)定標準等配套制度,嚴(yan)(yan)(yan)厲(li)查處侵吞、貪污、輸送、揮霍國有(you)資(zi)產和逃廢金(jin)融債務的行(xing)為。建(jian)(jian)(jian)立健全企(qi)業(ye)國有(you)資(zi)產的監督問(wen)責(ze)機制,對企(qi)業(ye)重大違法(fa)違紀問(wen)題敷(fu)衍不(bu)(bu)追(zhui)(zhui)、隱匿不(bu)(bu)報、查處不(bu)(bu)力的,嚴(yan)(yan)(yan)格追(zhui)(zhui)究有(you)關人(ren)員失(shi)職瀆職責(ze)任(ren),視不(bu)(bu)同情形給予(yu)紀律處分(fen)或行(xing)政(zheng)處分(fen),構(gou)成犯(fan)罪的,由司法(fa)機關依法(fa)追(zhui)(zhui)究刑事(shi)責(ze)任(ren)。
七、加強和改進黨對國有企業的領導

(二十五)進(jin)一(yi)步加(jia)強(qiang)國(guo)有(you)企(qi)(qi)(qi)業(ye)領導(dao)(dao)(dao)班子建(jian)設和(he)(he)人(ren)(ren)(ren)才(cai)隊(dui)伍建(jian)設。根據企(qi)(qi)(qi)業(ye)改革發展(zhan)需要(yao),明確選(xuan)(xuan)人(ren)(ren)(ren)用人(ren)(ren)(ren)標(biao)準(zhun)和(he)(he)程序,創新(xin)選(xuan)(xuan)人(ren)(ren)(ren)用人(ren)(ren)(ren)方(fang)式。強(qiang)化(hua)黨組(zu)織在企(qi)(qi)(qi)業(ye)領導(dao)(dao)(dao)人(ren)(ren)(ren)員(yuan)選(xuan)(xuan)拔任(ren)用、培養教育、管(guan)理監(jian)督中的(de)責任(ren),支持(chi)董事會依(yi)法選(xuan)(xuan)擇經營(ying)管(guan)理者、經營(ying)管(guan)理者依(yi)法行(xing)使用人(ren)(ren)(ren)權,堅決(jue)防(fang)止(zhi)和(he)(he)整(zheng)(zheng)治(zhi)選(xuan)(xuan)人(ren)(ren)(ren)用人(ren)(ren)(ren)中的(de)不(bu)正(zheng)之風。加(jia)強(qiang)對國(guo)有(you)企(qi)(qi)(qi)業(ye)領導(dao)(dao)(dao)人(ren)(ren)(ren)員(yuan)尤其是主(zhu)要(yao)領導(dao)(dao)(dao)人(ren)(ren)(ren)員(yuan)的(de)日(ri)常監(jian)督管(guan)理和(he)(he)綜合考核評價(jia),及(ji)時調整(zheng)(zheng)不(bu)勝任(ren)、不(bu)稱職的(de)領導(dao)(dao)(dao)人(ren)(ren)(ren)員(yuan),切實解決(jue)企(qi)(qi)(qi)業(ye)領導(dao)(dao)(dao)人(ren)(ren)(ren)員(yuan)能(neng)上(shang)不(bu)能(neng)下的(de)問題。以強(qiang)化(hua)忠誠意識、拓展(zhan)世界眼(yan)光、提(ti)高戰略(lve)思維(wei)、增(zeng)強(qiang)創新(xin)精神(shen)、鍛造優秀(xiu)品(pin)行(xing)為重點,加(jia)強(qiang)企(qi)(qi)(qi)業(ye)家隊(dui)伍建(jian)設,充分發揮企(qi)(qi)(qi)業(ye)家作(zuo)用。大力實施人(ren)(ren)(ren)才(cai)強(qiang)企(qi)(qi)(qi)戰略(lve),加(jia)快建(jian)立(li)健全國(guo)有(you)企(qi)(qi)(qi)業(ye)集(ji)聚(ju)人(ren)(ren)(ren)才(cai)的(de)體制(zhi)機制(zhi)。
(二十(shi)六)切(qie)實落實國(guo)有(you)企(qi)業反(fan)(fan)(fan)腐(fu)倡廉(lian)“兩個責(ze)(ze)(ze)任(ren)”。國(guo)有(you)企(qi)業黨組織要(yao)(yao)切(qie)實履行(xing)(xing)(xing)(xing)好主體責(ze)(ze)(ze)任(ren),紀(ji)檢機構要(yao)(yao)履行(xing)(xing)(xing)(xing)好監督責(ze)(ze)(ze)任(ren)。加強(qiang)黨性教育、法(fa)治教育、警示(shi)教育,引導(dao)國(guo)有(you)企(qi)業領(ling)導(dao)人員(yuan)堅定(ding)理想(xiang)信念,自覺踐行(xing)(xing)(xing)(xing)“三嚴三實”要(yao)(yao)求(qiu),正確履職行(xing)(xing)(xing)(xing)權(quan)。建立(li)切(qie)實可行(xing)(xing)(xing)(xing)的責(ze)(ze)(ze)任(ren)追究(jiu)制(zhi)(zhi)度,與企(qi)業考核等掛鉤,實行(xing)(xing)(xing)(xing)“一案(an)雙(shuang)(shuang)查(cha)”。推動國(guo)有(you)企(qi)業紀(ji)律檢查(cha)工作雙(shuang)(shuang)重領(ling)導(dao)體制(zhi)(zhi)具體化、程序化、制(zhi)(zhi)度化,強(qiang)化上(shang)級紀(ji)委對(dui)下級紀(ji)委的領(ling)導(dao)。加強(qiang)和改進國(guo)有(you)企(qi)業巡視(shi)工作,強(qiang)化對(dui)權(quan)力運行(xing)(xing)(xing)(xing)的監督和制(zhi)(zhi)約。堅持(chi)運用法(fa)治思(si)維和法(fa)治方式反(fan)(fan)(fan)腐(fu)敗,完善反(fan)(fan)(fan)腐(fu)倡廉(lian)制(zhi)(zhi)度體系,嚴格落實反(fan)(fan)(fan)“四(si)風(feng)”規(gui)定(ding),努(nu)力構筑(zhu)企(qi)業領(ling)導(dao)人員(yuan)不(bu)敢腐(fu)、不(bu)能(neng)腐(fu)、不(bu)想(xiang)腐(fu)的有(you)效機制(zhi)(zhi)。
八、為國有企業改革創造良好環境條件
(二十七)完(wan)(wan)善相(xiang)關(guan)(guan)法(fa)律法(fa)規(gui)和配套政(zheng)策(ce)。加強國有企業相(xiang)關(guan)(guan)法(fa)律法(fa)規(gui)立改(gai)廢釋(shi)工(gong)作,確保重大改(gai)革于法(fa)有據。切實轉變(bian)政(zheng)府(fu)職能,減少審批、優化(hua)制度、簡化(hua)手(shou)續、提高效率。完(wan)(wan)善公共服(fu)務體系(xi),推進政(zheng)府(fu)購買服(fu)務,加快建立穩定可(ke)靠、補償(chang)合理、公開透(tou)明的(de)企業公共服(fu)務支出補償(chang)機制。完(wan)(wan)善和落實國有企業重組整合涉及的(de)資產(chan)評估(gu)增值、土地變(bian)更登記(ji)和國有資產(chan)無(wu)償(chang)劃(hua)轉等(deng)方面稅(shui)收優惠(hui)政(zheng)策(ce)。完(wan)(wan)善國有企業退出的(de)相(xiang)關(guan)(guan)政(zheng)策(ce),依法(fa)妥善處理勞動(dong)關(guan)(guan)系(xi)調整、社會保險關(guan)(guan)系(xi)接續等(deng)問(wen)題(ti)。
(二十八)加快剝(bo)離企(qi)(qi)(qi)業(ye)辦(ban)社(she)會(hui)職能和解決歷史(shi)遺留問題。完(wan)善(shan)相關政(zheng)策,建立政(zheng)府和國(guo)有(you)企(qi)(qi)(qi)業(ye)合理(li)分(fen)擔成本(ben)的機(ji)制(zhi),多渠(qu)道籌(chou)措資金,采取分(fen)離移(yi)交、重組改制(zhi)、關閉撤銷等(deng)方式,剝(bo)離國(guo)有(you)企(qi)(qi)(qi)業(ye)職工家(jia)屬區“三供(gong)一業(ye)”和所(suo)辦(ban)醫院(yuan)、學校(xiao)、社(she)區等(deng)公共服務機(ji)構,繼續推(tui)進廠(chang)辦(ban)大集體改革,對國(guo)有(you)企(qi)(qi)(qi)業(ye)退休人員實施社(she)會(hui)化管理(li),妥善(shan)解決國(guo)有(you)企(qi)(qi)(qi)業(ye)歷史(shi)遺留問題,為國(guo)有(you)企(qi)(qi)(qi)業(ye)公平參(can)與(yu)市場競爭(zheng)創造條件。
(二(er)十九)形成(cheng)鼓(gu)勵改(gai)革(ge)創(chuang)新的氛圍(wei)。堅持解放思想、實事(shi)求(qiu)是,鼓(gu)勵探索、實踐、創(chuang)新。全面準確評價(jia)國有(you)(you)企(qi)業,大(da)力宣傳(chuan)中央關于全面深(shen)化國有(you)(you)企(qi)業改(gai)革(ge)的方針政策(ce),宣傳(chuan)改(gai)革(ge)的典型案(an)例(li)和(he)經驗,營造有(you)(you)利(li)于國有(you)(you)企(qi)業改(gai)革(ge)的良好輿(yu)論(lun)環境(jing)。
(三十)加強(qiang)對(dui)(dui)國(guo)有(you)企(qi)業(ye)改(gai)(gai)(gai)革的組(zu)織領(ling)導(dao)。各級黨委(wei)和政府要統一思想,以高度的政治責任感(gan)和歷史(shi)使命感(gan),切實(shi)(shi)履行對(dui)(dui)深(shen)化國(guo)有(you)企(qi)業(ye)改(gai)(gai)(gai)革的領(ling)導(dao)責任。要根據(ju)本指導(dao)意(yi)見(jian),結合實(shi)(shi)際制定實(shi)(shi)施意(yi)見(jian),加強(qiang)統籌協(xie)調、明確責任分工、細(xi)化目標(biao)任務、強(qiang)化督促落(luo)實(shi)(shi),確保深(shen)化國(guo)有(you)企(qi)業(ye)改(gai)(gai)(gai)革順利推進,取得實(shi)(shi)效。
金融、文化(hua)等國有企業(ye)的改革(ge),中央另有規定(ding)(ding)的依其規定(ding)(ding)執行(xing)。
