關于提高依法履行出資人職責能力和水平問題研究

    一、研究背(bei)景和意義

    (一)研究背景(jing)

    黨的十六大、十六屆二(er)中全會決定深化國(guo)有(you)資(zi)(zi)產(chan)(chan)管(guan)(guan)(guan)理(li)體(ti)制改(gai)革(ge),成(cheng)立國(guo)有(you)資(zi)(zi)產(chan)(chan)監(jian)督管(guan)(guan)(guan)理(li)機構(gou),建立中央政府(fu)和(he)(he)地(di)方政府(fu)分(fen)別代表國(guo)家履(lv)行出(chu)資(zi)(zi)人職責(ze),享有(you)所有(you)者權(quan)益,權(quan)利(li)、義務(wu)和(he)(he)責(ze)任相統(tong)一,管(guan)(guan)(guan)資(zi)(zi)產(chan)(chan)和(he)(he)管(guan)(guan)(guan)人、管(guan)(guan)(guan)事相結合的國(guo)有(you)資(zi)(zi)產(chan)(chan)管(guan)(guan)(guan)理(li)體(ti)制,將國(guo)有(you)企(qi)業(ye)(ye)和(he)(he)國(guo)有(you)資(zi)(zi)產(chan)(chan)管(guan)(guan)(guan)理(li)體(ti)制改(gai)革(ge)推進(jin)到(dao)了(le)一個(ge)新的階段。企(qi)業(ye)(ye)國(guo)有(you)資(zi)(zi)產(chan)(chan)監(jian)管(guan)(guan)(guan)工(gong)作取得了(le)顯著成(cheng)效,同時也面臨挑戰(zhan)。如何進(jin)一步(bu)提高(gao)國(guo)有(you)資(zi)(zi)產(chan)(chan)監(jian)督管(guan)(guan)(guan)理(li)機構(gou)依(yi)法履(lv)行出(chu)資(zi)(zi)人職責(ze)能(neng)力和(he)(he)水平,不僅是企(qi)業(ye)(ye)國(guo)有(you)資(zi)(zi)產(chan)(chan)監(jian)管(guan)(guan)(guan)工(gong)作面臨的艱巨任務(wu),也是推進(jin)國(guo)有(you)資(zi)(zi)產(chan)(chan)監(jian)管(guan)(guan)(guan)體(ti)制改(gai)革(ge)不可回(hui)避(bi)的重大課題。

    1、企(qi)業國(guo)有資產監管工作取得的成(cheng)就

    根據國(guo)務(wu)院(yuan)2003年5月發布實施的(de)(de)《企(qi)(qi)(qi)業國(guo)有資(zi)(zi)產監督管理暫行(xing)條例》(以(yi)下簡稱《條例》)和(he)(he)國(guo)務(wu)院(yuan)“三定(ding)”方(fang)案的(de)(de)規定(ding),國(guo)資(zi)(zi)委代表國(guo)務(wu)院(yuan)對授權范圍(wei)內的(de)(de)中央企(qi)(qi)(qi)業依法行(xing)使國(guo)有資(zi)(zi)本出(chu)資(zi)(zi)人(ren)職(zhi)責,負責指(zhi)導國(guo)有企(qi)(qi)(qi)業改(gai)革和(he)(he)重(zhong)組,推進國(guo)有經濟結(jie)構和(he)(he)布局的(de)(de)戰略性(xing)調整(zheng)。國(guo)務(wu)院(yuan)國(guo)資(zi)(zi)委自2003年3月組建以(yi)來,認真(zhen)履行(xing)國(guo)務(wu)院(yuan)賦(fu)予(yu)的(de)(de)出(chu)資(zi)(zi)人(ren)職(zhi)責,積極推進國(guo)有企(qi)(qi)(qi)業改(gai)革與發展,實施國(guo)有經濟布局與結(jie)構的(de)(de)調整(zheng),取(qu)得了(le)明顯的(de)(de)成效。

    一是制(zhi)(zhi)(zhi)度(du)(du)(du)創新(xin)(xin)不斷(duan)推進。2003年(nian)國(guo)務院國(guo)資委(wei)(wei)成立以(yi)來(lai),以(yi)制(zhi)(zhi)(zhi)度(du)(du)(du)創新(xin)(xin)為(wei)先導,堅(jian)持推進國(guo)有資產(chan)監(jian)管(guan)(guan)體制(zhi)(zhi)(zhi)改革(ge),相繼出臺(tai)了與《條例(li)》相配(pei)套(tao)的15個(ge)規(gui)章和(he)30多件(jian)規(gui)范(fan)(fan)性文件(jian),從(cong)企(qi)(qi)業改制(zhi)(zhi)(zhi)、清產(chan)核資、產(chan)權管(guan)(guan)理(li)(li)、業績考核、財務監(jian)督、薪酬改革(ge)、高管(guan)(guan)人員管(guan)(guan)理(li)(li)、法(fa)(fa)律風(feng)險防范(fan)(fan)等(deng)各方面加以(yi)規(gui)范(fan)(fan),初步形成了國(guo)有資產(chan)監(jian)管(guan)(guan)的組織(zhi)體系和(he)法(fa)(fa)規(gui)體系,使(shi)我(wo)委(wei)(wei)監(jian)管(guan)(guan)工作建立在符合(he)市場化(hua)要求的制(zhi)(zhi)(zhi)度(du)(du)(du)約束之下。與此同時,我(wo)委(wei)(wei)所監(jian)管(guan)(guan)的中央企(qi)(qi)業也圍繞改革(ge)與發展的中心,結合(he)自身特點進行了個(ge)性化(hua)的內部(bu)制(zhi)(zhi)(zhi)度(du)(du)(du)創新(xin)(xin)。例(li)如,以(yi)建立健全(quan)國(guo)有大型公司(si)董事會為(wei)重(zhong)點,企(qi)(qi)業法(fa)(fa)人治理(li)(li)結構得以(yi)繼續完善,外(wai)部(bu)董事制(zhi)(zhi)(zhi)度(du)(du)(du)逐步推行;以(yi)總法(fa)(fa)律顧問(wen)制(zhi)(zhi)(zhi)度(du)(du)(du)為(wei)核心的國(guo)有企(qi)(qi)業法(fa)(fa)律顧問(wen)制(zhi)(zhi)(zhi)度(du)(du)(du)建設不斷(duan)深(shen)入,中央企(qi)(qi)業重(zhong)大法(fa)(fa)律糾紛案件(jian)管(guan)(guan)理(li)(li)制(zhi)(zhi)(zhi)度(du)(du)(du)和(he)企(qi)(qi)業法(fa)(fa)律風(feng)險防范(fan)(fan)機制(zhi)(zhi)(zhi)正在完善;企(qi)(qi)業內部(bu)勞動(dong)、人事、分配(pei)制(zhi)(zhi)(zhi)度(du)(du)(du)改革(ge)逐步深(shen)化(hua)。

    二是布(bu)局結(jie)構調(diao)(diao)整(zheng)取得(de)重(zhong)大進(jin)展。從(cong)戰(zhan)略上(shang)調(diao)(diao)整(zheng)國(guo)有經濟布(bu)局和(he)結(jie)構,是從(cong)整(zheng)體(ti)上(shang)搞(gao)好(hao)國(guo)有經濟、發揮(hui)國(guo)有經濟主(zhu)導作用的(de)(de)一項重(zhong)要舉措,也是調(diao)(diao)整(zheng)和(he)完善所有制結(jie)構的(de)(de)一項重(zhong)要內容。近年來(lai),國(guo)資(zi)委在發揮(hui)市場對資(zi)源(yuan)配置的(de)(de)基礎性作用的(de)(de)前提下,充分履行(xing)出資(zi)人(ren)職責,以市場化的(de)(de)方(fang)(fang)式,通過資(zi)產重(zhong)組、聯合和(he)并購等手段(duan)積極進(jin)行(xing)結(jie)構調(diao)(diao)整(zheng),做(zuo)強做(zuo)大優勢國(guo)有企業(ye)(ye),著力(li)培養和(he)積極發展具(ju)有自主(zhu)知識產權、知名品(pin)牌和(he)國(guo)際競爭力(li)的(de)(de)大公司大企業(ye)(ye)集團。在各方(fang)(fang)積極配合和(he)共同努力(li)下,中央企業(ye)(ye)已從(cong)2003年的(de)(de)196戶調(diao)(diao)整(zheng)為166戶。不少企業(ye)(ye)剝(bo)離非主(zhu)營業(ye)(ye)務(wu),縮(suo)短投資(zi)鏈條(tiao),取得(de)實(shi)質(zhi)性進(jin)展。

    三(san)是中(zhong)央(yang)企業(ye)(ye)(ye)實力增(zeng)強。中(zhong)央(yang)企業(ye)(ye)(ye)在我國經濟(ji)發展中(zhong)舉足(zu)輕重,國資委不斷引(yin)導、促進(jin)中(zhong)央(yang)企業(ye)(ye)(ye)樹(shu)立(li)和落(luo)實科學發展觀,進(jin)一步轉(zhuan)變增(zeng)長(chang)方(fang)式,堅持走新型工業(ye)(ye)(ye)化道路(lu),努力提高(gao)中(zhong)央(yang)企業(ye)(ye)(ye)的整體素質和可持續(xu)發展能力,2005年(nian),中(zhong)央(yang)企業(ye)(ye)(ye)實現銷售收(shou)入67312.9億(yi)元(yuan)(yuan),增(zeng)長(chang)19.8%;實現利(li)潤6276.5億(yi)元(yuan)(yuan),增(zeng)長(chang)27.9%;實現凈(jing)利(li)潤3361.6億(yi)元(yuan)(yuan),增(zeng)長(chang)34.5%;凈(jing)資產(chan)收(shou)益率9.7%,提高(gao)1.2個百分點;完成(cheng)增(zeng)加(jia)值19755億(yi)元(yuan)(yuan),增(zeng)長(chang)20.8%,均創歷史(shi)最好(hao)水(shui)平。2005年(nian)末,中(zhong)央(yang)企業(ye)(ye)(ye)資產(chan)總額達到10.63萬(wan)億(yi)元(yuan)(yuan),比上年(nian)末增(zeng)長(chang)15%;凈(jing)資產(chan)4.65萬(wan)億(yi)元(yuan)(yuan),增(zeng)長(chang)18.1%。

    2、企(qi)業國有(you)資(zi)產運營與監管工作面臨(lin)的問(wen)題

    國(guo)務院國(guo)資委成(cheng)立以來,中央企業(ye)的改革與發展取得(de)了明(ming)顯成(cheng)效(xiao),但是深層(ceng)次的改革和促(cu)進進一(yi)步(bu)發展的任務也(ye)顯得(de)更加繁(fan)重,歸納起來主要有以下幾個方(fang)面:

    一是(shi)企業國有(you)資(zi)(zi)(zi)(zi)產出(chu)資(zi)(zi)(zi)(zi)人(ren)職(zhi)權(quan)(quan)并未(wei)完全(quan)到(dao)位(wei)。依照《公(gong)司法》、《條例》的(de)(de)規(gui)定,出(chu)資(zi)(zi)(zi)(zi)人(ren)依法享有(you)資(zi)(zi)(zi)(zi)產收益、參與重(zhong)大決(jue)策和(he)選擇(ze)管(guan)理(li)者(zhe)等權(quan)(quan)利。但是(shi),由于(yu)國有(you)資(zi)(zi)(zi)(zi)產管(guan)理(li)體(ti)制改革(ge)和(he)國有(you)企業目(mu)前正(zheng)處于(yu)改革(ge)階(jie)段,企業國有(you)資(zi)(zi)(zi)(zi)產出(chu)資(zi)(zi)(zi)(zi)人(ren)的(de)(de)職(zhi)權(quan)(quan)尚未(wei)完全(quan)到(dao)位(wei)。目(mu)前,國資(zi)(zi)(zi)(zi)委(wei)不僅未(wei)對所出(chu)資(zi)(zi)(zi)(zi)企業行(xing)使收益權(quan)(quan),而且部分中央企業管(guan)理(li)者(zhe)的(de)(de)選擇(ze)權(quan)(quan)也(ye)由其他部門和(he)機構行(xing)使。

    二是培育具有國(guo)(guo)(guo)(guo)際(ji)競(jing)爭(zheng)力的(de)(de)(de)大(da)(da)型(xing)企(qi)(qi)業(ye)(ye)集(ji)團(tuan)任務(wu)十分艱巨。在一定程度(du)上(shang),擁有多(duo)少跨國(guo)(guo)(guo)(guo)公司可(ke)以體現一個國(guo)(guo)(guo)(guo)家(jia)的(de)(de)(de)經(jing)(jing)濟(ji)實(shi)力。我國(guo)(guo)(guo)(guo)國(guo)(guo)(guo)(guo)有企(qi)(qi)業(ye)(ye)盡管數量眾多(duo),但真正(zheng)具有國(guo)(guo)(guo)(guo)際(ji)競(jing)爭(zheng)力的(de)(de)(de)大(da)(da)型(xing)企(qi)(qi)業(ye)(ye)集(ji)團(tuan)依然寥若晨星。2005年上(shang)榜美國(guo)(guo)(guo)(guo)《財富(fu)》500強的(de)(de)(de)中(zhong)(zhong)國(guo)(guo)(guo)(guo)國(guo)(guo)(guo)(guo)有企(qi)(qi)業(ye)(ye)15家(jia),其中(zhong)(zhong)10家(jia)為(wei)國(guo)(guo)(guo)(guo)資委監(jian)管企(qi)(qi)業(ye)(ye),但沃爾瑪一家(jia)的(de)(de)(de)銷售(shou)收入(ru)就相當于這10家(jia)企(qi)(qi)業(ye)(ye)合計的(de)(de)(de)83.1%。我們的(de)(de)(de)大(da)(da)型(xing)國(guo)(guo)(guo)(guo)有企(qi)(qi)業(ye)(ye)尚未真正(zheng)的(de)(de)(de)實(shi)現跨國(guo)(guo)(guo)(guo)經(jing)(jing)營,倒是在“家(jia)門口”開展(zhan)國(guo)(guo)(guo)(guo)際(ji)競(jing)爭(zheng),國(guo)(guo)(guo)(guo)內(nei)競(jing)爭(zheng)國(guo)(guo)(guo)(guo)際(ji)化(hua)已(yi)經(jing)(jing)達到(dao)白熱化(hua)的(de)(de)(de)程度(du)。中(zhong)(zhong)央(yang)(yang)企(qi)(qi)業(ye)(ye)的(de)(de)(de)行業(ye)(ye)結構仍然較(jiao)散,資產的(de)(de)(de)集(ji)中(zhong)(zhong)度(du)仍然較(jiao)低。由于當今產業(ye)(ye)集(ji)中(zhong)(zhong)度(du)的(de)(de)(de)提高演化(hua)為(wei)產業(ye)(ye)重建,“系統集(ji)中(zhong)(zhong)者”成為(wei)全(quan)球經(jing)(jing)濟(ji)的(de)(de)(de)統治(zhi)者,因而給(gei)發展(zhan)中(zhong)(zhong)國(guo)(guo)(guo)(guo)家(jia)企(qi)(qi)業(ye)(ye)特別是我們的(de)(de)(de)中(zhong)(zhong)央(yang)(yang)企(qi)(qi)業(ye)(ye)帶來了前所(suo)未有的(de)(de)(de)嚴(yan)峻挑(tiao)戰。

    三(san)是(shi)(shi)國(guo)(guo)有(you)(you)(you)企(qi)業改(gai)(gai)(gai)革(ge)(ge)的(de)(de)(de)(de)股(gu)份制(zhi)改(gai)(gai)(gai)造任重而道遠。黨(dang)的(de)(de)(de)(de)十六(liu)屆三(san)中全會(hui)《關于(yu)完善(shan)社(she)會(hui)主義市場(chang)經(jing)濟體(ti)制(zhi)若干問題的(de)(de)(de)(de)決(jue)定》明(ming)確指出,要(yao)大力(li)發展(zhan)國(guo)(guo)有(you)(you)(you)資本(ben)(ben)、集體(ti)資本(ben)(ben)和非公有(you)(you)(you)資本(ben)(ben)等參股(gu)的(de)(de)(de)(de)混合所(suo)有(you)(you)(you)制(zhi)經(jing)濟,實(shi)現投資主體(ti)多(duo)元化,使股(gu)份制(zhi)成為公有(you)(you)(you)制(zhi)的(de)(de)(de)(de)主要(yao)實(shi)現形式。這(zhe)是(shi)(shi)在(zai)總結(jie)我國(guo)(guo)經(jing)濟體(ti)制(zhi)改(gai)(gai)(gai)革(ge)(ge)經(jing)驗的(de)(de)(de)(de)基礎上(shang)作(zuo)出的(de)(de)(de)(de)英明(ming)決(jue)定。這(zhe)為國(guo)(guo)有(you)(you)(you)企(qi)業改(gai)(gai)(gai)革(ge)(ge)指出了明(ming)確的(de)(de)(de)(de)方向。雖然國(guo)(guo)有(you)(you)(you)企(qi)業改(gai)(gai)(gai)革(ge)(ge)已經(jing)取(qu)得很大的(de)(de)(de)(de)成效,但(dan)進(jin)一步推進(jin)投資主體(ti)多(duo)元化,規范(fan)實(shi)施股(gu)份制(zhi)改(gai)(gai)(gai)造,是(shi)(shi)中央企(qi)業下一步深化改(gai)(gai)(gai)革(ge)(ge)的(de)(de)(de)(de)主要(yao)任務。

    四是國(guo)(guo)有(you)(you)資(zi)(zi)(zi)本的營運體(ti)系(xi)不(bu)健(jian)(jian)全(quan)。隨著國(guo)(guo)有(you)(you)資(zi)(zi)(zi)產(chan)(chan)管(guan)(guan)理(li)體(ti)制(zhi)改革的深(shen)入,企(qi)業(ye)(ye)(ye)國(guo)(guo)有(you)(you)資(zi)(zi)(zi)產(chan)(chan)的產(chan)(chan)權責(ze)(ze)任比過去(qu)明確(que)了(le),有(you)(you)一個特設機構來履行(xing)出資(zi)(zi)(zi)人職責(ze)(ze)。國(guo)(guo)資(zi)(zi)(zi)委(wei)按照《公司(si)法(fa)》和(he)《條例》的規(gui)定(ding),對(dui)中央企(qi)業(ye)(ye)(ye)行(xing)使重大事(shi)項(xiang)的決策權、經(jing)營者的選擇權和(he)收(shou)益分配權,建(jian)(jian)立和(he)完善了(le)戰略(lve)發展規(gui)劃(hua)審定(ding)、產(chan)(chan)權管(guan)(guan)理(li)、業(ye)(ye)(ye)績考(kao)核、財務監(jian)督、收(shou)入分配、經(jing)營者選拔等(deng)相關(guan)配套制(zhi)度,進一步(bu)落實了(le)資(zi)(zi)(zi)產(chan)(chan)經(jing)營責(ze)(ze)任制(zhi),國(guo)(guo)有(you)(you)資(zi)(zi)(zi)產(chan)(chan)的監(jian)督管(guan)(guan)理(li)體(ti)系(xi)初步(bu)建(jian)(jian)立。但是企(qi)業(ye)(ye)(ye)國(guo)(guo)有(you)(you)資(zi)(zi)(zi)產(chan)(chan)的產(chan)(chan)權硬約束機制(zhi)尚未完整建(jian)(jian)立起來,國(guo)(guo)有(you)(you)資(zi)(zi)(zi)本的監(jian)管(guan)(guan)與營運體(ti)系(xi)還不(bu)健(jian)(jian)全(quan),尤其是國(guo)(guo)有(you)(you)資(zi)(zi)(zi)本的營運主體(ti)不(bu)突(tu)出,國(guo)(guo)資(zi)(zi)(zi)委(wei)直接面對(dui)一百多家經(jing)營主體(ti),監(jian)管(guan)(guan)幅度過寬,監(jian)管(guan)(guan)效果受(shou)到(dao)影響(xiang),因(yin)此加快國(guo)(guo)有(you)(you)資(zi)(zi)(zi)本營運體(ti)系(xi)建(jian)(jian)設迫在眉睫。

    五是建(jian)(jian)立(li)(li)國(guo)(guo)有(you)獨(du)(du)(du)資(zi)(zi)公(gong)(gong)(gong)(gong)司(si)董(dong)事(shi)會(hui)(hui)(hui)(hui)(hui)完善公(gong)(gong)(gong)(gong)司(si)治理(li)(li)(li)結(jie)構(gou)任(ren)務繁重(zhong)。實踐證明,建(jian)(jian)立(li)(li)和完善董(dong)事(shi)會(hui)(hui)(hui)(hui)(hui)是完善公(gong)(gong)(gong)(gong)司(si)治理(li)(li)(li)結(jie)構(gou)的(de)(de)(de)關(guan)鍵(jian),也是現代公(gong)(gong)(gong)(gong)司(si)制(zhi)條(tiao)件下委托代理(li)(li)(li)、分(fen)權制(zhi)衡的(de)(de)(de)重(zhong)要制(zhi)度安排。因(yin)(yin)此,2005年4月在國(guo)(guo)務院提出(chu)的(de)(de)(de)深化經(jing)(jing)濟體制(zhi)改革的(de)(de)(de)意見(jian)中(zhong),明確要求要“以建(jian)(jian)立(li)(li)健全國(guo)(guo)有(you)大(da)型(xing)公(gong)(gong)(gong)(gong)司(si)董(dong)事(shi)會(hui)(hui)(hui)(hui)(hui)為(wei)重(zhong)點,抓緊健全法(fa)人(ren)治理(li)(li)(li)結(jie)構(gou)、獨(du)(du)(du)立(li)(li)董(dong)事(shi)和派出(chu)監事(shi)會(hui)(hui)(hui)(hui)(hui)制(zhi)度”。按照國(guo)(guo)務院的(de)(de)(de)要求,國(guo)(guo)資(zi)(zi)委經(jing)(jing)過(guo)充分(fen)的(de)(de)(de)準備,已經(jing)(jing)開始在中(zhong)央企(qi)業開展國(guo)(guo)有(you)獨(du)(du)(du)資(zi)(zi)公(gong)(gong)(gong)(gong)司(si)的(de)(de)(de)董(dong)事(shi)會(hui)(hui)(hui)(hui)(hui)試點。在國(guo)(guo)有(you)獨(du)(du)(du)資(zi)(zi)公(gong)(gong)(gong)(gong)司(si)建(jian)(jian)立(li)(li)董(dong)事(shi)會(hui)(hui)(hui)(hui)(hui),比股(gu)權多元化的(de)(de)(de)公(gong)(gong)(gong)(gong)司(si)難度還要大(da),如果(guo)國(guo)(guo)資(zi)(zi)委、董(dong)事(shi)會(hui)(hui)(hui)(hui)(hui)、經(jing)(jing)營層的(de)(de)(de)關(guan)系以及外部董(dong)事(shi)與內部董(dong)事(shi)的(de)(de)(de)關(guan)系處理(li)(li)(li)不好(hao),出(chu)現某方面的(de)(de)(de)缺位(wei)或者越(yue)位(wei),都將影響公(gong)(gong)(gong)(gong)司(si)治理(li)(li)(li)結(jie)構(gou)的(de)(de)(de)效果(guo)。因(yin)(yin)此,建(jian)(jian)立(li)(li)國(guo)(guo)有(you)獨(du)(du)(du)資(zi)(zi)公(gong)(gong)(gong)(gong)司(si)董(dong)事(shi)會(hui)(hui)(hui)(hui)(hui),時間緊,任(ren)務重(zhong)。

    (二)研究的(de)意義(yi)

    不難發現,國資委組建以后,按照加強黨的執政能力建設的要求,積極貫徹落實“三個代表”的重要思想,認真履行國有資本出資人職責,推進國有企業改革和戰略結構的調整,引導、促進企業加快技術創新,加強經營管理,防范和化解經營風險,并加強國有資產監管相關規章制度建設,規范改制行為,強化財務監督,完善業績考核,明確經營責任,使國有資產保值增值得到層層落實。但是,國有資產出資人職權尚未到位,國有資產監管、營運體系還不完善,國有經濟布局結構尚不合理,中央企業國際競爭力較弱,企業股份制改造和完善公司治理結構的任務十分艱巨。
    同時(shi),我們還應該清醒地認識到,隨(sui)著加入WTO和國際企業(ye)競爭的強化,國有(you)(you)企業(ye)改(gai)革和發展面臨著來自國外企業(ye)的競爭和挑戰,如何提高國有(you)(you)企業(ye)的競爭力,拓寬(kuan)其(qi)國際生存和發展空間,也(ye)是(shi)出資人需要(yao)認真面對的問(wen)題。

    綜上(shang),我(wo)們認(ren)為,在經歷(li)了企業(ye)國有(you)(you)(you)資(zi)(zi)(zi)產(chan)監管(guan)體制(zhi)改革(ge)初步(bu)探索之后,國有(you)(you)(you)企業(ye)改革(ge)與(yu)發展的實踐(jian)及國有(you)(you)(you)資(zi)(zi)(zi)產(chan)管(guan)理(li)體制(zhi)改革(ge)均對(dui)國資(zi)(zi)(zi)委(wei)(wei)履(lv)行(xing)出(chu)(chu)(chu)資(zi)(zi)(zi)人職(zhi)(zhi)(zhi)責(ze)的能力(li)和(he)(he)水平(ping)提(ti)出(chu)(chu)(chu)了更(geng)新穎、更(geng)深(shen)刻、更(geng)復雜的問題(ti),對(dui)國資(zi)(zi)(zi)委(wei)(wei)進一步(bu)提(ti)高依法履(lv)行(xing)出(chu)(chu)(chu)資(zi)(zi)(zi)人職(zhi)(zhi)(zhi)責(ze)的能力(li)提(ti)出(chu)(chu)(chu)了考驗。本(ben)課題(ti)圍(wei)繞國務院國資(zi)(zi)(zi)委(wei)(wei)有(you)(you)(you)關(guan)職(zhi)(zhi)(zhi)能和(he)(he)工作(zuo),就國資(zi)(zi)(zi)委(wei)(wei)提(ti)高依法履(lv)行(xing)出(chu)(chu)(chu)資(zi)(zi)(zi)人職(zhi)(zhi)(zhi)責(ze)能力(li)和(he)(he)水平(ping)的相關(guan)問題(ti)進行(xing)研究,在此基礎上(shang)提(ti)出(chu)(chu)(chu)建議,促進企業(ye)國有(you)(you)(you)資(zi)(zi)(zi)產(chan)監督(du)管(guan)理(li)工作(zuo)的順利開(kai)展,深(shen)化國有(you)(you)(you)資(zi)(zi)(zi)產(chan)管(guan)理(li)體制(zhi)改革(ge)。

    二(er)、如何理解依法履行出資人職責

    (一)依法履行出資人職責的(de)一般(ban)含義

    在(zai)一般語義(yi)中,依(yi)法(fa)履(lv)行(xing)(xing)(xing)出資(zi)人職(zhi)責,是指公司股東或(huo)其(qi)他(ta)企(qi)業(ye)(ye)投資(zi)者(如合(he)伙(huo)企(qi)業(ye)(ye)合(he)伙(huo)人、獨資(zi)企(qi)業(ye)(ye)投資(zi)人等)依(yi)照相(xiang)關法(fa)律、法(fa)規(gui)的規(gui)定對(dui)其(qi)出資(zi)的企(qi)業(ye)(ye)行(xing)(xing)(xing)使(shi)權利、履(lv)行(xing)(xing)(xing)義(yi)務(wu),并承(cheng)擔其(qi)結果的行(xing)(xing)(xing)為與過程。在(zai)我國(guo)(guo)當(dang)前國(guo)(guo)有(you)資(zi)產(chan)管理體制(zhi)改革和(he)國(guo)(guo)有(you)企(qi)業(ye)(ye)改革的背景下,依(yi)法(fa)履(lv)行(xing)(xing)(xing)出資(zi)人職(zhi)責,是指國(guo)(guo)有(you)資(zi)產(chan)監督(du)(du)管理機構(gou)根(gen)據(ju)授權或(huo)委(wei)托代表國(guo)(guo)家依(yi)法(fa)對(dui)所出資(zi)企(qi)業(ye)(ye)行(xing)(xing)(xing)使(shi)相(xiang)應(ying)職(zhi)權,履(lv)行(xing)(xing)(xing)義(yi)務(wu)并承(cheng)擔相(xiang)應(ying)責任。國(guo)(guo)有(you)資(zi)產(chan)監督(du)(du)管理機構(gou)依(yi)法(fa)履(lv)行(xing)(xing)(xing)出資(zi)人職(zhi)責必須(xu)做到以下幾點:

    2.嚴格把握行權履責的法律規定

(shi)、比(bi)例或(huo)者定(ding)(ding)(ding)(ding)額(e);(3)根(gen)據(ju)(ju)國(guo)(guo)(guo)務(wu)院的(de)(de)(de)(de)(de)(de)(de)有(you)(you)(you)(you)關(guan)規定(ding)(ding)(ding)(ding),決(jue)定(ding)(ding)(ding)(ding)、批(pi)準(zhun)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)生(sheng)產(chan)(chan)(chan)(chan)(chan)性(xing)建(jian)(jian)設(she)項目,但(dan)該條(tiao)例規定(ding)(ding)(ding)(ding)由企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)自(zi)主(zhu)決(jue)定(ding)(ding)(ding)(ding)的(de)(de)(de)(de)(de)(de)(de)投資(zi)(zi)(zi)項目除外;(4)決(jue)定(ding)(ding)(ding)(ding)或(huo)者批(pi)準(zhun)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)的(de)(de)(de)(de)(de)(de)(de)資(zi)(zi)(zi)產(chan)(chan)(chan)(chan)(chan)經(jing)(jing)營(ying)(ying)(ying)形式(shi)和(he)(he)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)的(de)(de)(de)(de)(de)(de)(de)設(she)立、合(he)并(bing)(bing)(不含兼并(bing)(bing))、分(fen)(fen)(fen)立、終止、拍賣,批(pi)準(zhun)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)提出(chu)(chu)的(de)(de)(de)(de)(de)(de)(de)被兼并(bing)(bing)申(shen)請(qing)和(he)(he)破產(chan)(chan)(chan)(chan)(chan)申(shen)請(qing);(5)根(gen)據(ju)(ju)國(guo)(guo)(guo)務(wu)院的(de)(de)(de)(de)(de)(de)(de)有(you)(you)(you)(you)關(guan)規定(ding)(ding)(ding)(ding),審(shen)批(pi)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)財(cai)(cai)產(chan)(chan)(chan)(chan)(chan)的(de)(de)(de)(de)(de)(de)(de)報損、沖減、核銷及(ji)關(guan)鍵設(she)備(bei)(bei)、成套設(she)備(bei)(bei)或(huo)者重(zhong)要(yao)建(jian)(jian)筑物的(de)(de)(de)(de)(de)(de)(de)抵押(ya)、有(you)(you)(you)(you)償轉(zhuan)(zhuan)讓,組織清算(suan)(suan)和(he)(he)收(shou)繳(jiao)被撤銷、解(jie)(jie)散(san)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)的(de)(de)(de)(de)(de)(de)(de)財(cai)(cai)產(chan)(chan)(chan)(chan)(chan);(6)依(yi)(yi)照法(fa)(fa)定(ding)(ding)(ding)(ding)條(tiao)件和(he)(he)程序(xu),決(jue)定(ding)(ding)(ding)(ding)或(huo)者批(pi)準(zhun)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)廠(chang)(chang)長(chang)(chang)的(de)(de)(de)(de)(de)(de)(de)任免(聘任、解(jie)(jie)聘)和(he)(he)獎懲(cheng);(7)擬(ni)訂企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)財(cai)(cai)產(chan)(chan)(chan)(chan)(chan)管(guan)理(li)(li)法(fa)(fa)規,并(bing)(bing)對執行(xing)(xing)(xing)情(qing)(qing)況進行(xing)(xing)(xing)監督、檢查(cha);(8)維(wei)護企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)依(yi)(yi)法(fa)(fa)行(xing)(xing)(xing)使(shi)經(jing)(jing)營(ying)(ying)(ying)權(quan),保(bao)障企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)的(de)(de)(de)(de)(de)(de)(de)生(sheng)產(chan)(chan)(chan)(chan)(chan)經(jing)(jing)營(ying)(ying)(ying)活動不受干(gan)預,協(xie)助(zhu)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)解(jie)(jie)決(jue)實(shi)際(ji)困(kun)難。

    2003年政府(fu)(fu)機(ji)構(gou)改(gai)革(ge)以(yi)后,國(guo)(guo)(guo)(guo)(guo)務(wu)院和(he)地方政府(fu)(fu)先后設立(li)國(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)資(zi)產(chan)(chan)(chan)(chan)監(jian)(jian)(jian)督(du)(du)管(guan)理(li)委員會(hui),作為經本(ben)級政府(fu)(fu)授權(quan)代表(biao)其履行(xing)(xing)(xing)(xing)出(chu)資(zi)人(ren)職(zhi)責(ze)的(de)(de)機(ji)構(gou),從政府(fu)(fu)機(ji)構(gou)設置上完善了(le)國(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)資(zi)產(chan)(chan)(chan)(chan)出(chu)資(zi)人(ren)代表(biao)制(zhi)(zhi)(zhi)度。2003年5月(yue),根據黨的(de)(de)十(shi)六大和(he)十(shi)六屆二(er)中全會(hui)精(jing)神(shen),結合國(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)企(qi)(qi)(qi)業(ye)(ye)(ye)改(gai)革(ge)的(de)(de)現實和(he)深(shen)化國(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)資(zi)產(chan)(chan)(chan)(chan)管(guan)理(li)體制(zhi)(zhi)(zhi)改(gai)革(ge)的(de)(de)需要,國(guo)(guo)(guo)(guo)(guo)務(wu)院制(zhi)(zhi)(zhi)定(ding)并(bing)公(gong)布了(le)《企(qi)(qi)(qi)業(ye)(ye)(ye)國(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)資(zi)產(chan)(chan)(chan)(chan)監(jian)(jian)(jian)督(du)(du)管(guan)理(li)暫行(xing)(xing)(xing)(xing)條(tiao)例(li)》。該《條(tiao)例(li)》以(yi)《公(gong)司(si)法(fa)》等(deng)法(fa)律為依(yi)據,明確了(le)國(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)資(zi)產(chan)(chan)(chan)(chan)監(jian)(jian)(jian)督(du)(du)管(guan)理(li)機(ji)構(gou)的(de)(de)性(xing)質。第13條(tiao)具體規(gui)定(ding)了(le)國(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)資(zi)產(chan)(chan)(chan)(chan)監(jian)(jian)(jian)督(du)(du)管(guan)理(li)機(ji)構(gou)的(de)(de)主要職(zhi)責(ze):(1)依(yi)照《中華人(ren)民共和(he)國(guo)(guo)(guo)(guo)(guo)公(gong)司(si)法(fa)》等(deng)法(fa)律、法(fa)規(gui),對(dui)(dui)所出(chu)資(zi)企(qi)(qi)(qi)業(ye)(ye)(ye)履行(xing)(xing)(xing)(xing)出(chu)資(zi)人(ren)職(zhi)責(ze),維護所有(you)(you)(you)(you)者權(quan)益(yi);(2)指(zhi)導(dao)推進(jin)(jin)國(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)及(ji)國(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)控股企(qi)(qi)(qi)業(ye)(ye)(ye)的(de)(de)改(gai)革(ge)和(he)重組;(3)依(yi)照規(gui)定(ding)向(xiang)所出(chu)資(zi)企(qi)(qi)(qi)業(ye)(ye)(ye)派出(chu)監(jian)(jian)(jian)事會(hui);(4)依(yi)照法(fa)定(ding)程序對(dui)(dui)所出(chu)資(zi)企(qi)(qi)(qi)業(ye)(ye)(ye)的(de)(de)企(qi)(qi)(qi)業(ye)(ye)(ye)負責(ze)人(ren)進(jin)(jin)行(xing)(xing)(xing)(xing)任免、考核(he),并(bing)根據考核(he)結果對(dui)(dui)其進(jin)(jin)行(xing)(xing)(xing)(xing)獎(jiang)懲;(5)通(tong)過統計(ji)、稽核(he)等(deng)方式對(dui)(dui)企(qi)(qi)(qi)業(ye)(ye)(ye)國(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)資(zi)產(chan)(chan)(chan)(chan)的(de)(de)報保值(zhi)增值(zhi)情況進(jin)(jin)行(xing)(xing)(xing)(xing)監(jian)(jian)(jian)管(guan);(6)履行(xing)(xing)(xing)(xing)出(chu)資(zi)人(ren)的(de)(de)其他職(zhi)責(ze)和(he)承辦本(ben)級政府(fu)(fu)交辦的(de)(de)其他事項(xiang)。此外(wai),國(guo)(guo)(guo)(guo)(guo)務(wu)院國(guo)(guo)(guo)(guo)(guo)資(zi)委還可以(yi)制(zhi)(zhi)(zhi)定(ding)企(qi)(qi)(qi)業(ye)(ye)(ye)國(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)資(zi)產(chan)(chan)(chan)(chan)監(jian)(jian)(jian)管(guan)的(de)(de)規(gui)章、制(zhi)(zhi)(zhi)度。

    針對國(guo)有(you)(you)企業改制為國(guo)有(you)(you)獨(du)資(zi)(zi)(zi)(zi)公(gong)(gong)(gong)司的現實,《公(gong)(gong)(gong)司法》明(ming)確規定,各級人民政(zheng)府國(guo)有(you)(you)資(zi)(zi)(zi)(zi)產監(jian)(jian)督(du)管理機構對國(guo)有(you)(you)獨(du)資(zi)(zi)(zi)(zi)公(gong)(gong)(gong)司履行出資(zi)(zi)(zi)(zi)人職責(第65條(tiao))。國(guo)有(you)(you)獨(du)資(zi)(zi)(zi)(zi)公(gong)(gong)(gong)司不(bu)設股(gu)東會(hui),由(you)國(guo)有(you)(you)資(zi)(zi)(zi)(zi)產監(jian)(jian)督(du)管理機構行使股(gu)東會(hui)職權,委派非由(you)職工代表擔(dan)任(ren)的董(dong)事、監(jian)(jian)事,指定董(dong)事長、副董(dong)事長、監(jian)(jian)事會(hui)主(zhu)席,制定或審定公(gong)(gong)(gong)司章(zhang)程等(第66條(tiao)、第67條(tiao)、第68條(tiao)、第71條(tiao))。

    此外,為依法(fa)履行出(chu)資(zi)人職責,做好企業(ye)國有(you)資(zi)產監(jian)督管理工(gong)作,國務院國資(zi)委以及財政部、中國證監(jian)會等有(you)關部門先后頒布(bu)了(le)一些部門規章,對相(xiang)應的(de)事項作出(chu)了(le)專門規定(ding)。這些部門規章也構成了(le)國務院國資(zi)委依法(fa)履行出(chu)資(zi)人職責的(de)法(fa)律(lv)依據(ju)。

    最后,需要指出的是,十屆全國人大已經將《國有資產法》列入了全國人大立法規劃,現已經開始組織有關方面進行起草工作,該法出臺后,將會進一步促進國務院國資委依法行使出資人職責,促進國有資產保值增值工作。
總之,各級人(ren)民政府的(de)國有資(zi)產監督(du)管理(li)機(ji)構(gou)(gou)作為代(dai)表國家履行(xing)出資(zi)人(ren)職責的(de)特設機(ji)構(gou)(gou),在行(xing)權履責時所主要遵(zun)循的(de)就是現行(xing)《公司法》、《企業(ye)法》、《條例(li)》及(ji)其配(pei)套的(de)規章和規范性文件。

    3.科學(xue)把(ba)握行權(quan)履責中的國有(you)企業功能

    一般(ban)而言,國(guo)(guo)(guo)有(you)(you)企(qi)業和(he)國(guo)(guo)(guo)有(you)(you)經濟(ji)(ji)(ji)主要發(fa)揮以(yi)下三個層次的功(gong)(gong)能(neng):一是(shi)保(bao)(bao)(bao)障供給的功(gong)(gong)能(neng),即保(bao)(bao)(bao)障公共產(chan)品和(he)私人不(bu)愿投(tou)資(zi)(zi)的非公共產(chan)品的供給;二(er)是(shi)穩定經濟(ji)(ji)(ji)發(fa)展的功(gong)(gong)能(neng),即確保(bao)(bao)(bao)國(guo)(guo)(guo)有(you)(you)經濟(ji)(ji)(ji)在(zai)國(guo)(guo)(guo)民經濟(ji)(ji)(ji)發(fa)展中發(fa)揮主導作用,維護(hu)國(guo)(guo)(guo)民經濟(ji)(ji)(ji)持續穩定發(fa)展;三是(shi)實現資(zi)(zi)產(chan)增值(zhi)的功(gong)(gong)能(neng),即確保(bao)(bao)(bao)國(guo)(guo)(guo)有(you)(you)資(zi)(zi)產(chan)運營效(xiao)益(yi),實現國(guo)(guo)(guo)有(you)(you)資(zi)(zi)產(chan)保(bao)(bao)(bao)值(zhi)增值(zhi)。國(guo)(guo)(guo)有(you)(you)資(zi)(zi)產(chan)管(guan)理機構的目(mu)標就是(shi)要實現國(guo)(guo)(guo)有(you)(you)經濟(ji)(ji)(ji)上述三個層次的功(gong)(gong)能(neng)。

    國(guo)有(you)(you)(you)(you)(you)企(qi)(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)和(he)國(guo)有(you)(you)(you)(you)(you)資(zi)(zi)產(chan)的(de)(de)(de)(de)(de)(de)主(zhu)要(yao)(yao)(yao)(yao)功能要(yao)(yao)(yao)(yao)求(qiu)出資(zi)(zi)人對國(guo)有(you)(you)(you)(you)(you)企(qi)(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)進(jin)行(xing)分類管理(li)。我國(guo)國(guo)有(you)(you)(you)(you)(you)企(qi)(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)可(ke)(ke)分為兩(liang)類,一(yi)類是(shi)(shi)極少數關系經(jing)濟(ji)(ji)(ji)命脈、國(guo)家(jia)安全(quan)、提供(gong)重要(yao)(yao)(yao)(yao)公(gong)共(gong)產(chan)品和(he)服務(wu),以及(ji)自(zi)然壟斷行(xing)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)的(de)(de)(de)(de)(de)(de)重要(yao)(yao)(yao)(yao)企(qi)(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)。如(ru)電(dian)網、電(dian)訊、軍工、石油和(he)大型基礎設施(shi)等領(ling)域(yu)(yu)(yu)的(de)(de)(de)(de)(de)(de)重要(yao)(yao)(yao)(yao)企(qi)(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)。另(ling)一(yi)類是(shi)(shi)競爭性企(qi)(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)。第一(yi)類企(qi)(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)是(shi)(shi)政府進(jin)行(xing)公(gong)共(gong)管理(li)、實現公(gong)共(gong)目標(biao)的(de)(de)(de)(de)(de)(de)重要(yao)(yao)(yao)(yao)資(zi)(zi)源,發(fa)(fa)(fa)揮保(bao)障(zhang)(zhang)公(gong)共(gong)產(chan)品供(gong)給(gei)、穩定經(jing)濟(ji)(ji)(ji)發(fa)(fa)(fa)展(zhan)的(de)(de)(de)(de)(de)(de)重要(yao)(yao)(yao)(yao)作(zuo)用。十六(liu)大和(he)十六(liu)屆三中(zhong)(zhong)、五中(zhong)(zhong)全(quan)會精(jing)神(shen),都明確要(yao)(yao)(yao)(yao)求(qiu)加快(kuai)調整(zheng)(zheng)國(guo)有(you)(you)(you)(you)(you)經(jing)濟(ji)(ji)(ji)布局和(he)結構,完(wan)善國(guo)有(you)(you)(you)(you)(you)資(zi)(zi)本(ben)有(you)(you)(you)(you)(you)進(jin)有(you)(you)(you)(you)(you)退、合理(li)流動的(de)(de)(de)(de)(de)(de)機制(zhi),進(jin)一(yi)步推動國(guo)有(you)(you)(you)(you)(you)資(zi)(zi)本(ben)更多(duo)地投向關系國(guo)家(jia)安全(quan)和(he)國(guo)民經(jing)濟(ji)(ji)(ji)命脈的(de)(de)(de)(de)(de)(de)重要(yao)(yao)(yao)(yao)行(xing)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)和(he)關鍵(jian)領(ling)域(yu)(yu)(yu),增(zeng)強國(guo)有(you)(you)(you)(you)(you)經(jing)濟(ji)(ji)(ji)的(de)(de)(de)(de)(de)(de)控制(zhi)力(li),發(fa)(fa)(fa)揮主(zhu)導(dao)作(zuo)用。國(guo)務(wu)院國(guo)資(zi)(zi)委(wei)監管的(de)(de)(de)(de)(de)(de)中(zhong)(zhong)央(yang)企(qi)(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)情(qing)況千(qian)差萬別,既(ji)包括關鍵(jian)領(ling)域(yu)(yu)(yu)的(de)(de)(de)(de)(de)(de)重點企(qi)(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye),也有(you)(you)(you)(you)(you)一(yi)般競爭性領(ling)域(yu)(yu)(yu)的(de)(de)(de)(de)(de)(de)企(qi)(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye);既(ji)有(you)(you)(you)(you)(you)提供(gong)公(gong)共(gong)產(chan)品的(de)(de)(de)(de)(de)(de)企(qi)(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye),也有(you)(you)(you)(you)(you)提供(gong)市(shi)場一(yi)般商(shang)品的(de)(de)(de)(de)(de)(de)企(qi)(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye);既(ji)有(you)(you)(you)(you)(you)資(zi)(zi)產(chan)規模龐大的(de)(de)(de)(de)(de)(de)企(qi)(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye),也有(you)(you)(you)(you)(you)資(zi)(zi)產(chan)規模很(hen)小的(de)(de)(de)(de)(de)(de)企(qi)(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)。國(guo)有(you)(you)(you)(you)(you)經(jing)濟(ji)(ji)(ji)戰略性調整(zheng)(zheng),需(xu)要(yao)(yao)(yao)(yao)明確哪(na)(na)些(xie)(xie)需(xu)要(yao)(yao)(yao)(yao)以“進(jin)”為主(zhu),哪(na)(na)些(xie)(xie)需(xu)要(yao)(yao)(yao)(yao)逐步退出;哪(na)(na)些(xie)(xie)以承(cheng)擔社(she)會責任為主(zhu),哪(na)(na)些(xie)(xie)不承(cheng)擔社(she)會責任只以盈(ying)利為目的(de)(de)(de)(de)(de)(de)。但是(shi)(shi),國(guo)有(you)(you)(you)(you)(you)經(jing)濟(ji)(ji)(ji)布局和(he)結構調整(zheng)(zheng)不是(shi)(shi)一(yi)勞永逸(yi)的(de)(de)(de)(de)(de)(de),而是(shi)(shi)長期(qi)的(de)(de)(de)(de)(de)(de)。哪(na)(na)些(xie)(xie)產(chan)品、哪(na)(na)些(xie)(xie)領(ling)域(yu)(yu)(yu),國(guo)有(you)(you)(you)(you)(you)經(jing)濟(ji)(ji)(ji)應該保(bao)障(zhang)(zhang)供(gong)給(gei)、保(bao)持控制(zhi)力(li)又是(shi)(shi)動態的(de)(de)(de)(de)(de)(de),隨著我國(guo)社(she)會主(zhu)義市(shi)場經(jing)濟(ji)(ji)(ji)體制(zhi)的(de)(de)(de)(de)(de)(de)建立和(he)完(wan)善,一(yi)些(xie)(xie)產(chan)品過(guo)(guo)去(qu)需(xu)要(yao)(yao)(yao)(yao)國(guo)有(you)(you)(you)(you)(you)企(qi)(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)保(bao)障(zhang)(zhang)供(gong)給(gei),現在可(ke)(ke)能其他企(qi)(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)也可(ke)(ke)供(gong)給(gei);一(yi)些(xie)(xie)過(guo)(guo)去(qu)應由(you)國(guo)有(you)(you)(you)(you)(you)經(jing)濟(ji)(ji)(ji)保(bao)持控制(zhi)力(li)的(de)(de)(de)(de)(de)(de)領(ling)域(yu)(yu)(yu)已逐步放開,如(ru)商(shang)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)流動領(ling)域(yu)(yu)(yu)等。

    此外,國(guo)(guo)(guo)有(you)(you)(you)資(zi)(zi)(zi)(zi)產(chan)(chan)要承(cheng)擔社會(hui)公(gong)(gong)(gong)共責任,但也(ye)(ye)要實現(xian)保(bao)(bao)(bao)值增(zeng)(zeng)(zeng)值。特別(bie)是競(jing)爭性企業,一(yi)般不(bu)(bu)承(cheng)擔公(gong)(gong)(gong)益職(zhi)能,更應(ying)(ying)以贏利(li)為目(mu)(mu)標,實現(xian)資(zi)(zi)(zi)(zi)產(chan)(chan)保(bao)(bao)(bao)值增(zeng)(zeng)(zeng)值。國(guo)(guo)(guo)有(you)(you)(you)資(zi)(zi)(zi)(zi)產(chan)(chan)保(bao)(bao)(bao)值增(zeng)(zeng)(zeng)值主要通過(guo)國(guo)(guo)(guo)有(you)(you)(you)資(zi)(zi)(zi)(zi)產(chan)(chan)保(bao)(bao)(bao)值增(zeng)(zeng)(zeng)值率指標反映,體現(xian)經(jing)營(ying)(ying)期內(nei)企業國(guo)(guo)(guo)有(you)(you)(you)資(zi)(zi)(zi)(zi)產(chan)(chan)運(yun)(yun)(yun)營(ying)(ying)效益與安全狀況。從企業運(yun)(yun)(yun)營(ying)(ying)角度出發,企業運(yun)(yun)(yun)營(ying)(ying)目(mu)(mu)標應(ying)(ying)該是實現(xian)股(gu)東權益最大(da)(da)化(hua),國(guo)(guo)(guo)有(you)(you)(you)公(gong)(gong)(gong)司(si)按理也(ye)(ye)不(bu)(bu)應(ying)(ying)例外。沒有(you)(you)(you)要求國(guo)(guo)(guo)有(you)(you)(you)資(zi)(zi)(zi)(zi)產(chan)(chan)保(bao)(bao)(bao)值增(zeng)(zeng)(zeng)值率達到(dao)一(yi)定水(shui)平,僅(jin)提國(guo)(guo)(guo)有(you)(you)(you)資(zi)(zi)(zi)(zi)產(chan)(chan)保(bao)(bao)(bao)值增(zeng)(zeng)(zeng)值應(ying)(ying)該說是國(guo)(guo)(guo)有(you)(you)(you)資(zi)(zi)(zi)(zi)產(chan)(chan)運(yun)(yun)(yun)營(ying)(ying)的(de)(de)基本要求。國(guo)(guo)(guo)有(you)(you)(you)資(zi)(zi)(zi)(zi)產(chan)(chan)運(yun)(yun)(yun)營(ying)(ying)效益的(de)(de)評判具有(you)(you)(you)一(yi)定的(de)(de)復雜(za)性。一(yi)是國(guo)(guo)(guo)有(you)(you)(you)公(gong)(gong)(gong)司(si)承(cheng)擔社會(hui)公(gong)(gong)(gong)共職(zhi)責,在多大(da)(da)程度上影響了公(gong)(gong)(gong)司(si)的(de)(de)經(jing)營(ying)(ying)業績(ji),往(wang)往(wang)難以度量(liang)。二是國(guo)(guo)(guo)有(you)(you)(you)公(gong)(gong)(gong)司(si)市(shi)場化(hua)不(bu)(bu)充分,缺(que)乏參(can)照系,國(guo)(guo)(guo)有(you)(you)(you)公(gong)(gong)(gong)司(si)盈利(li)狀況受(shou)到(dao)眾多因素(su)影響,盈利(li)水(shui)平高可以是經(jing)營(ying)(ying)環境(jing)的(de)(de)好轉,不(bu)(bu)一(yi)定完(wan)全是經(jing)營(ying)(ying)者的(de)(de)功勞;反之,盈利(li)水(shui)平低也(ye)(ye)可能是由于經(jing)營(ying)(ying)環境(jing)惡化(hua)所致。三是國(guo)(guo)(guo)資(zi)(zi)(zi)(zi)委“通過(guo)統計、稽核等方式對企業國(guo)(guo)(guo)有(you)(you)(you)資(zi)(zi)(zi)(zi)產(chan)(chan)的(de)(de)保(bao)(bao)(bao)值增(zeng)(zeng)(zeng)值進行監管”,并不(bu)(bu)是國(guo)(guo)(guo)有(you)(you)(you)資(zi)(zi)(zi)(zi)本運(yun)(yun)(yun)營(ying)(ying)實體,國(guo)(guo)(guo)有(you)(you)(you)企業是國(guo)(guo)(guo)有(you)(you)(you)資(zi)(zi)(zi)(zi)產(chan)(chan)保(bao)(bao)(bao)值增(zeng)(zeng)(zeng)值的(de)(de)主體,即使每個國(guo)(guo)(guo)有(you)(you)(you)公(gong)(gong)(gong)司(si)實現(xian)股(gu)東權益最大(da)(da)化(hua),也(ye)(ye)不(bu)(bu)等于整體國(guo)(guo)(guo)有(you)(you)(you)資(zi)(zi)(zi)(zi)本運(yun)(yun)(yun)營(ying)(ying)效益最優。

    (二(er))現階段國(guo)資(zi)委(wei)行權履(lv)責的有(you)限性(xing)

    上(shang)述分(fen)析(xi)表(biao)(biao)明,國資(zi)委既不同于(yu)對全社會進行(xing)公共管理(li)的政(zheng)府行(xing)政(zheng)機構,也(ye)不同于(yu)一(yi)(yi)般的企事業單位,而是根據(ju)授權代表(biao)(biao)國務院履(lv)行(xing)國有資(zi)產(chan)(chan)出資(zi)人職(zhi)責(ze)的、專(zhuan)門承擔國有資(zi)產(chan)(chan)監管職(zhi)責(ze)的特殊機構。由(you)于(yu)目前各方面改(gai)革的階(jie)段(duan)性(xing)(xing),現階(jie)段(duan)國資(zi)委行(xing)權履(lv)責(ze)表(biao)(biao)現出許多有限(xian)性(xing)(xing)特征(zheng)。需(xu)要強調的是,這些有限(xian)性(xing)(xing)是現階(jie)段(duan)國有資(zi)產(chan)(chan)管理(li)體制改(gai)革的產(chan)(chan)物,也(ye)需(xu)要接受(shou)國有資(zi)產(chan)(chan)管理(li)體制改(gai)革的進一(yi)(yi)步檢驗。

    1. 有限范圍

    “三(san)定”方(fang)案明確國(guo)(guo)務院(yuan)(yuan)國(guo)(guo)資(zi)委(wei)的(de)監管范(fan)圍為非金融類經營(ying)性(xing)國(guo)(guo)有資(zi)產(chan)。《條例》也只適用(yong)于國(guo)(guo)有及國(guo)(guo)有控(kong)股企業、國(guo)(guo)有參股企業中(zhong)的(de)國(guo)(guo)有資(zi)產(chan),不(bu)適用(yong)于金融機構中(zhong)國(guo)(guo)有資(zi)產(chan)。2003年10月21日(ri)國(guo)(guo)務院(yuan)(yuan)授(shou)權國(guo)(guo)務院(yuan)(yuan)國(guo)(guo)資(zi)委(wei)履行(xing)出資(zi)人職責的(de)企業為189家,后來(lai)增加(jia)到196家,經過三(san)年多(duo)的(de)重(zhong)組目前為166家。

    地(di)方國(guo)(guo)(guo)(guo)(guo)資(zi)(zi)委(wei)(wei)的監(jian)管(guan)(guan)范(fan)圍由(you)地(di)方政府(fu)確(que)定,并(bing)沒有(you)強調一定要(yao)與(yu)國(guo)(guo)(guo)(guo)(guo)務(wu)院國(guo)(guo)(guo)(guo)(guo)資(zi)(zi)委(wei)(wei)完全(quan)一致(zhi)。從目前實際情況(kuang)看,大多數地(di)方國(guo)(guo)(guo)(guo)(guo)資(zi)(zi)委(wei)(wei)與(yu)國(guo)(guo)(guo)(guo)(guo)務(wu)院國(guo)(guo)(guo)(guo)(guo)資(zi)(zi)委(wei)(wei)監(jian)管(guan)(guan)范(fan)圍基本一致(zhi)。少數地(di)方國(guo)(guo)(guo)(guo)(guo)資(zi)(zi)委(wei)(wei)監(jian)管(guan)(guan)范(fan)圍更寬一些,拓展到了(le)金融類經營性(xing)資(zi)(zi)產(chan)和非經營性(xing)資(zi)(zi)產(chan)。如(ru)上海市通過委(wei)(wei)托的辦法對行(xing)政事業(ye)性(xing)國(guo)(guo)(guo)(guo)(guo)有(you)資(zi)(zi)產(chan)實施監(jian)管(guan)(guan);南寧(ning)市國(guo)(guo)(guo)(guo)(guo)資(zi)(zi)委(wei)(wei)下設一個威寧(ning)公(gong)司(si),負責管(guan)(guan)理(li)行(xing)政事業(ye)單(dan)位中(zhong)的房(fang)產(chan)及經營性(xing)國(guo)(guo)(guo)(guo)(guo)有(you)資(zi)(zi)產(chan);吉林省(sheng)國(guo)(guo)(guo)(guo)(guo)資(zi)(zi)委(wei)(wei)除監(jian)管(guan)(guan)省(sheng)級企(qi)業(ye)國(guo)(guo)(guo)(guo)(guo)有(you)資(zi)(zi)產(chan)外,還監(jian)管(guan)(guan)地(di)方性(xing)金融類企(qi)業(ye)的國(guo)(guo)(guo)(guo)(guo)有(you)資(zi)(zi)產(chan);江西省(sheng)政府(fu)將部(bu)分原隸屬(shu)于院校的國(guo)(guo)(guo)(guo)(guo)有(you)企(qi)業(ye)授權(quan)省(sheng)國(guo)(guo)(guo)(guo)(guo)資(zi)(zi)委(wei)(wei)履行(xing)出資(zi)(zi)人職(zhi)責。

    2. 有(you)限角色

    從(cong)(cong)國(guo)(guo)(guo)務(wu)院(yuan)國(guo)(guo)(guo)資(zi)(zi)委(wei)(wei)(wei)(wei)(wei)與中央企(qi)業(ye)的(de)關系看,目前國(guo)(guo)(guo)資(zi)(zi)委(wei)(wei)(wei)(wei)(wei)直(zhi)(zhi)接監管(guan)的(de)中央企(qi)業(ye)既有(you)按(an)《企(qi)業(ye)法(fa)》注(zhu)冊(ce)的(de)企(qi)業(ye),也有(you)按(an)《公(gong)司(si)法(fa)》注(zhu)冊(ce)的(de)公(gong)司(si)。按(an)《企(qi)業(ye)法(fa)》注(zhu)冊(ce)的(de)企(qi)業(ye),將逐步轉制為按(an)《公(gong)司(si)法(fa)》注(zhu)冊(ce)的(de)公(gong)司(si)。國(guo)(guo)(guo)資(zi)(zi)委(wei)(wei)(wei)(wei)(wei)對于直(zhi)(zhi)接監管(guan)的(de)公(gong)司(si)是(shi)出資(zi)(zi)人代表,擔(dan)當股(gu)東(dong)角(jiao)色。如(ru)果直(zhi)(zhi)接監管(guan)的(de)公(gong)司(si)是(shi)國(guo)(guo)(guo)有(you)獨資(zi)(zi)公(gong)司(si),國(guo)(guo)(guo)資(zi)(zi)委(wei)(wei)(wei)(wei)(wei)行使股(gu)東(dong)會(hui)(hui)的(de)職責,即《公(gong)司(si)法(fa)》規(gui)定的(de)股(gu)東(dong)會(hui)(hui)的(de)11項職權(quan)。但(dan)實際(ji)上,國(guo)(guo)(guo)資(zi)(zi)委(wei)(wei)(wei)(wei)(wei)還可以將部分職權(quan)授予(yu)公(gong)司(si)董事會(hui)(hui)。從(cong)(cong)法(fa)理和(he)規(gui)定看,不管(guan)國(guo)(guo)(guo)資(zi)(zi)委(wei)(wei)(wei)(wei)(wei)如(ru)何(he)行權(quan)履(lv)責,但(dan)根本的(de)一條是(shi)不能直(zhi)(zhi)接干預企(qi)業(ye)的(de)經營活動(dong)。

    因此,從(cong)上(shang)述兩方面(mian)看,國(guo)(guo)(guo)務(wu)院(yuan)國(guo)(guo)(guo)資(zi)委(wei)無論是對所出(chu)資(zi)的(de)中央企業,還是對地方國(guo)(guo)(guo)資(zi)委(wei),只能是“有限的(de)角色(se)”。

    3. 有限能(neng)力

    2005年1月13日李榮融主任在全(quan)國(guo)(guo)(guo)國(guo)(guo)(guo)有(you)資(zi)產(chan)(chan)(chan)監(jian)督管理工(gong)作(zuo)會議上的(de)講話,提出(chu)要提高(gao)依法(fa)(fa)履行國(guo)(guo)(guo)有(you)資(zi)產(chan)(chan)(chan)出(chu)資(zi)人(ren)職責的(de)能(neng)力、依法(fa)(fa)監(jian)管國(guo)(guo)(guo)有(you)資(zi)產(chan)(chan)(chan)的(de)能(neng)力、指導國(guo)(guo)(guo)有(you)企業改(gai)革和重組(zu)的(de)能(neng)力、發展和壯大(da)國(guo)(guo)(guo)有(you)經(jing)濟的(de)能(neng)力、加強(qiang)和改(gai)進國(guo)(guo)(guo)有(you)企業黨建工(gong)作(zuo)的(de)能(neng)力等5個方面的(de)能(neng)力。這(zhe)是做好國(guo)(guo)(guo)有(you)資(zi)產(chan)(chan)(chan)監(jian)管工(gong)作(zuo)必需的(de)能(neng)力。

    三、國資委如何依法履行(xing)出資人(ren)職責

    (一)未(wei)來(lai)一段時間(jian)國資委(wei)機(ji)構演變趨(qu)勢展望

    按照黨中央、國(guo)(guo)務院(yuan)確(que)立(li)(li)的(de)國(guo)(guo)資(zi)委的(de)使命--搞好(hao)國(guo)(guo)有企業、推(tui)進企業自主(zhu)創新、推(tui)動國(guo)(guo)有經濟布(bu)局和結(jie)構的(de)戰略性(xing)調整、實現國(guo)(guo)有資(zi)產(chan)保(bao)值增(zeng)值。在(zai)過去的(de)3年多時間里,國(guo)(guo)資(zi)委初(chu)步完成了第(di)一(yi)階(jie)段(duan)的(de)目標--平穩、規范(fan)起步:組織機構搭(da)建起來(lai)了,法律法規體系初(chu)步確(que)立(li)(li),考(kao)核(he)、薪(xin)酬、產(chan)權管理、清產(chan)核(he)資(zi)、市場化選聘人才等管人、管事、管資(zi)產(chan)的(de)機制初(chu)步建立(li)(li)并開始(shi)運轉。

    第(di)(di)一(yi)階(jie)段目標完成后,國(guo)(guo)(guo)資(zi)委步(bu)(bu)入第(di)(di)二(er)個(ge)重要發展階(jie)段--2006-2008年(nian),按(an)照國(guo)(guo)(guo)務院國(guo)(guo)(guo)資(zi)委當(dang)前的(de)(de)工(gong)作部署及機構運行的(de)(de)軌跡,到(dao)2008年(nian),應當(dang)完成的(de)(de)第(di)(di)二(er)階(jie)段的(de)(de)新目標主要應當(dang)包括以下三個(ge)方面:大部分中央企業建立起(qi)比較(jiao)規范的(de)(de)董事會和較(jiao)為完善(shan)的(de)(de)法人(ren)治(zhi)理(li)(li)結構,現代企業制度初步(bu)(bu)確(que)立;國(guo)(guo)(guo)有資(zi)本經營預算制度初步(bu)(bu)建立;中央企業的(de)(de)戶數、管理(li)(li)的(de)(de)層(ceng)級進一(yi)步(bu)(bu)精減(jian),集團控制力進一(yi)步(bu)(bu)增強,主業更(geng)加明確(que),資(zi)產經營公司開(kai)始(shi)試點和運轉。

    圍繞黨中央、國務院確立的使(shi)命,借(jie)鑒淡馬錫的運作模式,在完(wan)成第二階段(duan)確定的目標之后,2008年之后,國資委應當著(zhu)力實(shi)現的目標至少應當包(bao)括以下(xia)三(san)個方面:推動國有(you)經濟布局和結構的戰略性調整;培(pei)育成功企業(ye),提(ti)升企業(ye)核(he)心(xin)競爭力;推動企業(ye)跨國經營。

    (二)對(dui)國資(zi)委內部(bu)的機構設置與運作(zuo)高效的要求

    1、國(guo)資委機構應具備的特(te)性

    為適應變革,國資委機構除了必須要(yao)有準(zhun)確的職責定位外,還應當具有以(yi)下四個特性:

    一(yi)是機構內(nei)部必(bi)須始終強調協作性(xing)。在(zai)過去3年多時(shi)間里(li),國資委(wei)內(nei)部機構之間圍繞委(wei)里(li)的(de)定位和使命,形(xing)成(cheng)了比較良好(hao)的(de)協作關系,這為樹立國資委(wei)的(de)新(xin)形(xing)象,完(wan)成(cheng)第一(yi)階段的(de)起步目(mu)標奠定了重要的(de)基(ji)礎。但運作一(yi)段時(shi)間后(hou),目(mu)前已經出現一(yi)種(zhong)苗頭,即各(ge)內(nei)設(she)機構之間開始強化(hua)自己的(de)職能,相互配合與(yu)協作趨于(yu)(yu)弱(ruo)化(hua),這不利于(yu)(yu)國資委(wei)工作形(xing)成(cheng)“拳(quan)頭”與(yu)合力,容易(yi)形(xing)成(cheng)內(nei)耗,降低工作質量和效率。

    二(er)是機構設置(zhi)必須(xu)具有(you)一定(ding)的(de)適應性(xing)。國資委面臨的(de)環境(jing)在變(bian),任務在變(bian),因此,自身機構必須(xu)隨著環境(jing)的(de)變(bian)化而(er)(er)相(xiang)應調(diao)整(zheng),機構設置(zhi)要有(you)一定(ding)的(de)彈性(xing),而(er)(er)且(qie)最好是內部主動作(zuo)適應性(xing)調(diao)整(zheng)。

    這是由國(guo)資委的(de)機(ji)構(gou)特(te)性和工作(zuo)對象所決定的(de),它不(bu)同于政府公共機(ji)構(gou),它要隨著(zhu)企業自身、環(huan)境(jing)及國(guo)際條件的(de)變(bian)化而對其內設(she)機(ji)構(gou)作(zuo)相應的(de)調整。

    三(san)是機構必須具有(you)較強的(de)(de)(de)學(xue)習(xi)性。國資(zi)委的(de)(de)(de)干部(bu)(bu)大部(bu)(bu)分來(lai)自(zi)黨政機關,多(duo)年(nian)(nian)來(lai)形成的(de)(de)(de)業務(wu)專長和工作技能(neng)(neng)與履(lv)行出(chu)資(zi)人職(zhi)責所(suo)要(yao)(yao)求的(de)(de)(de)素質和能(neng)(neng)力有(you)不小的(de)(de)(de)偏差(cha),雖然(ran)經過3年(nian)(nian)多(duo)的(de)(de)(de)適應(ying),大家在(zai)意識和能(neng)(neng)力方面有(you)不少的(de)(de)(de)進步,但深度還(huan)遠遠不夠,如(ru)果再考慮到(dao)未來(lai)3-5年(nian)(nian)所(suo)要(yao)(yao)完成的(de)(de)(de)第二(er)階段(duan)(主要(yao)(yao)側重于微觀和中(zhong)觀層(ceng)次(ci))、第三(san)階段(duan)(主要(yao)(yao)側重于中(zhong)觀和宏(hong)觀層(ceng)次(ci))的(de)(de)(de)目標和任務(wu),則對(dui)國資(zi)委的(de)(de)(de)每一個(ge)人來(lai)說,都提出(chu)了更高(gao)的(de)(de)(de)要(yao)(yao)求,要(yao)(yao)不辱(ru)使命,國資(zi)委必須變成一個(ge)學(xue)習(xi)型的(de)(de)(de)組織(zhi),要(yao)(yao)比(bi)其它政府機構有(you)更強的(de)(de)(de)學(xue)習(xi)能(neng)(neng)力。

    四是機(ji)構必須具(ju)有較(jiao)強(qiang)的(de)兼容性(xing)。國(guo)(guo)資(zi)委(wei)的(de)工作(zuo)極具(ju)探索性(xing)和挑戰(zhan)性(xing),沒(mei)有現成(cheng)的(de)模式和經驗(yan)可供(gong)借(jie)鑒,很多(duo)工作(zuo)需要(yao)(yao)(yao)一(yi)(yi)邊(bian)學習(xi)(xi),一(yi)(yi)邊(bian)探索,一(yi)(yi)邊(bian)完(wan)善,這就要(yao)(yao)(yao)求(qiu)國(guo)(guo)資(zi)委(wei)的(de)所有內(nei)設(she)機(ji)構要(yao)(yao)(yao)勇(yong)于(yu)開拓,勇(yong)于(yu)探索,要(yao)(yao)(yao)有膽(dan)識,要(yao)(yao)(yao)有氣魄。同(tong)時,作(zuo)為(wei)一(yi)(yi)個新機(ji)構,要(yao)(yao)(yao)有兼容性(xing),既要(yao)(yao)(yao)學習(xi)(xi)國(guo)(guo)外(wai)的(de)先進經驗(yan),學習(xi)(xi)國(guo)(guo)內(nei)一(yi)(yi)些地方國(guo)(guo)資(zi)監管機(ji)構和企業在實踐中總結出來的(de)好的(de)經驗(yan),但同(tong)時也(ye)要(yao)(yao)(yao)考(kao)慮中國(guo)(guo)的(de)國(guo)(guo)情和中央企業的(de)實際,不照辦硬套(tao),要(yao)(yao)(yao)有“博(bo)大的(de)胸懷”和較(jiao)強(qiang)的(de)包容性(xing)。

    總(zong)之(zhi),按照新的國(guo)有資(zi)(zi)產監(jian)管(guan)(guan)(guan)體制的要(yao)求(qiu),從出資(zi)(zi)人的職能發揮(hui)和管(guan)(guan)(guan)理(li)(li)效率兩個方面明(ming)確國(guo)資(zi)(zi)委(wei)(wei)定(ding)位,調整國(guo)資(zi)(zi)委(wei)(wei)機(ji)關(guan)的管(guan)(guan)(guan)理(li)(li)職能;根據(ju)(ju)國(guo)資(zi)(zi)監(jian)管(guan)(guan)(guan)機(ji)構(gou)的任(ren)務、管(guan)(guan)(guan)理(li)(li)幅度(du)、管(guan)(guan)(guan)理(li)(li)水平以及(ji)其他相關(guan)因素,調整設(she)(she)計國(guo)資(zi)(zi)監(jian)管(guan)(guan)(guan)機(ji)構(gou)的管(guan)(guan)(guan)理(li)(li)模式;明(ming)確出資(zi)(zi)人與各(ge)中央(yang)企業(ye)總(zong)部、中央(yang)企業(ye)董事會(hui)、監(jian)事會(hui)及(ji)其成員的關(guan)系。依(yi)據(ju)(ju)國(guo)資(zi)(zi)監(jian)管(guan)(guan)(guan)機(ji)構(gou)職能定(ding)位,對國(guo)資(zi)(zi)監(jian)管(guan)(guan)(guan)機(ji)構(gou)關(guan)鍵(jian)管(guan)(guan)(guan)理(li)(li)職能進行分解,并以此為前提(ti)設(she)(she)計合理(li)(li)、高效的組織機(ji)構(gou),確定(ding)部門,制定(ding)部門職責(ze)。

    2、在2006-2008年過渡(du)階(jie)段,國資委(wei)機構要處(chu)理好的關系

    在2006-2008年(nian),國資(zi)委面臨(lin)的改(gai)革、發展和(he)制度(du)建(jian)(jian)設(she)任務(wu)將十分繁重,除(chu)了(le)要鞏(gong)固第一階段已取得的成(cheng)績外,更要推進現代企(qi)業制度(du)、國有資(zi)本(ben)經營預算制度(du)、資(zi)產經營公司體(ti)制的建(jian)(jian)設(she)和(he)規(gui)范運轉,這是一個充滿風險和(he)挑戰,而又不(bu)能逾越的階段,尤其是法人治理結構問(wen)題更是必(bi)須(xu)全力解決的核心問(wen)題。

    第一,進一步減少行政管理色彩(cai),強化出(chu)資人(ren)職能。

    國(guo)資(zi)委(wei)的(de)(de)現(xian)有(you)(you)機(ji)構(gou)設(she)置與實(shi)現(xian)第二階段目標所要(yao)求(qiu)的(de)(de)機(ji)構(gou)框架不完全匹配。比如說,現(xian)有(you)(you)機(ji)構(gou)的(de)(de)設(she)置沒(mei)有(you)(you)考(kao)慮(lv)推進(jin)(jin)國(guo)有(you)(you)獨資(zi)公司(si)設(she)立規范董事會的(de)(de)現(xian)實(shi),更沒(mei)有(you)(you)考(kao)慮(lv)建(jian)立國(guo)有(you)(you)資(zi)本經營預算、推進(jin)(jin)國(guo)有(you)(you)資(zi)產經營公司(si)運作的(de)(de)客觀需要(yao)。下面,我們(men)簡(jian)單對推進(jin)(jin)國(guo)有(you)(you)獨資(zi)公司(si)董事會工作與現(xian)有(you)(you)機(ji)構(gou)設(she)置可能存在的(de)(de)矛盾進(jin)(jin)行(xing)剖析,以便進(jin)(jin)一步加深(shen)對機(ji)構(gou)調整必(bi)要(yao)性(xing)的(de)(de)認識。

    根據《公司法》、國資委關于國有獨資公司董事會試點指導意見、試點企業董事會與國資委的關系等有關法律法規和政策的精神,在國有獨資公司建立規范的董事會之后,董事會是股東利益的忠實代表,是保護股東合法權益、體現股東意志的制度依托,是實現出資人職責到位的最終體現,同時,董事會還負責企業的重大決策,對企業進行戰略性監控,并負責選聘、評價、考核、激勵經理人員;經營層將主要承擔執行董事會決議的職責;而國資委承擔的是股東會的職責,主要是指導董事會工作。按照這種架構,國資委將來更多的是和董事會打交道,而不是像現在一樣主要和經營層以及公司的各個職能部門直接進行業務聯系。因此隨著企業董事會的建立,委內機構也應進行相應的調整。
另(ling)外,對于國資委(wei)(wei)擬(ni)著力推(tui)進(jin)的(de)(de)諸如國有資本經營預算等制度建設(she),委(wei)(wei)內部(bu)也(ye)應(ying)成立(li)專門的(de)(de)機構去統籌(chou)策劃、調研(yan)、協調與相關(guan)部(bu)門的(de)(de)關(guan)系、進(jin)行方(fang)案的(de)(de)設(she)計(ji)與論(lun)證、對相關(guan)工作人員進(jin)行事前培訓等。

    第二,完善(shan)試(shi)點企業法人治理結(jie)構(gou)過程(cheng)中(zhong)要把握(wo)的幾個關系(xi)。

    一是公司(si)治(zhi)理(li)(li)中(zhong)分權制(zhi)(zhi)(zhi)衡(heng)與股東會(hui)(hui)(hui)(hui)控制(zhi)(zhi)(zhi)之(zhi)間(jian)的關(guan)系(xi)問題。黨的十(shi)六(liu)屆三中(zhong)全會(hui)(hui)(hui)(hui)指(zhi)出,按照現代企業制(zhi)(zhi)(zhi)度要(yao)(yao)求,規范(fan)公司(si)股東會(hui)(hui)(hui)(hui)、董事(shi)會(hui)(hui)(hui)(hui)、監事(shi)會(hui)(hui)(hui)(hui)和(he)經營(ying)(ying)管理(li)(li)者(zhe)的權責,形成(cheng)權力機(ji)(ji)構(gou)、決策(ce)機(ji)(ji)構(gou)、監督機(ji)(ji)構(gou)和(he)經營(ying)(ying)管理(li)(li)者(zhe)之(zhi)間(jian)的制(zhi)(zhi)(zhi)衡(heng)機(ji)(ji)制(zhi)(zhi)(zhi),這也(ye)將是國資委推進(jin)國有獨(du)資公司(si)試(shi)點(dian)的最終目的和(he)擬(ni)遵(zun)循的最重要(yao)(yao)的原則。但在推進(jin)試(shi)點(dian)的過程(cheng)中(zhong),需要(yao)(yao)認真研究和(he)把握公司(si)治(zhi)理(li)(li)制(zhi)(zhi)(zhi)衡(heng)機(ji)(ji)制(zhi)(zhi)(zhi)建設與股東會(hui)(hui)(hui)(hui)對公司(si)控制(zhi)(zhi)(zhi)之(zhi)間(jian)的關(guan)系(xi),不應以相互制(zhi)(zhi)(zhi)衡(heng)為由來弱(ruo)化股東會(hui)(hui)(hui)(hui)對公司(si)的控制(zhi)(zhi)(zhi)。淡馬(ma)錫控股和(he)愛立信(xin)比較好地處(chu)理(li)(li)了(le)這種(zhong)關(guan)系(xi)。

    淡馬(ma)(ma)錫(xi)旗(qi)下(xia)(xia)(xia)的(de)(de)不少公(gong)司(si)是(shi)多元化持股(gu)(gu)(gu)的(de)(de)上市公(gong)司(si),在其旗(qi)下(xia)(xia)(xia)公(gong)司(si)涉及重(zhong)大(da)(da)決(jue)(jue)策(ce)(ce)(ce)時(shi),淡馬(ma)(ma)錫(xi)控(kong)(kong)(kong)(kong)股(gu)(gu)(gu)的(de)(de)決(jue)(jue)策(ce)(ce)(ce)程序,通(tong)(tong)常(chang)情況下(xia)(xia)(xia)是(shi)先由公(gong)司(si)執(zhi)行(xing)(xing)層(ceng)(ceng)研(yan)(yan)究提出方案(an),之(zhi)后交(jiao)由董(dong)事(shi)(shi)會研(yan)(yan)究決(jue)(jue)定(ding)并報淡馬(ma)(ma)錫(xi)控(kong)(kong)(kong)(kong)股(gu)(gu)(gu)審議(yi)。淡馬(ma)(ma)錫(xi)控(kong)(kong)(kong)(kong)股(gu)(gu)(gu)及旗(qi)下(xia)(xia)(xia)形成了一(yi)種有(you)效的(de)(de)工(gong)作習慣,即在研(yan)(yan)究和決(jue)(jue)定(ding)重(zhong)大(da)(da)決(jue)(jue)策(ce)(ce)(ce)時(shi),公(gong)司(si)執(zhi)行(xing)(xing)層(ceng)(ceng)隨(sui)時(shi)與公(gong)司(si)董(dong)事(shi)(shi)及淡馬(ma)(ma)錫(xi)控(kong)(kong)(kong)(kong)股(gu)(gu)(gu)的(de)(de)相關部(bu)門(men)進行(xing)(xing)溝通(tong)(tong),公(gong)司(si)其它(ta)董(dong)事(shi)(shi)也(ye)隨(sui)時(shi)與淡馬(ma)(ma)錫(xi)控(kong)(kong)(kong)(kong)股(gu)(gu)(gu)指派(pai)的(de)(de)董(dong)事(shi)(shi)及淡馬(ma)(ma)錫(xi)控(kong)(kong)(kong)(kong)股(gu)(gu)(gu)的(de)(de)高層(ceng)(ceng)進行(xing)(xing)溝通(tong)(tong),以確(que)保(bao)決(jue)(jue)策(ce)(ce)(ce)科學并符合大(da)(da)股(gu)(gu)(gu)東(dong)利益。也(ye)就是(shi)說,淡馬(ma)(ma)錫(xi)控(kong)(kong)(kong)(kong)股(gu)(gu)(gu)對旗(qi)下(xia)(xia)(xia)公(gong)司(si)董(dong)事(shi)(shi)會及執(zhi)行(xing)(xing)層(ceng)(ceng)的(de)(de)影響主要有(you)三(san)(san)個通(tong)(tong)道:一(yi)是(shi)淡馬(ma)(ma)錫(xi)控(kong)(kong)(kong)(kong)股(gu)(gu)(gu)總部(bu)派(pai)下(xia)(xia)(xia)去(qu)的(de)(de)董(dong)事(shi)(shi);二是(shi)其它(ta)聘任的(de)(de)外部(bu)董(dong)事(shi)(shi);三(san)(san)是(shi)淡馬(ma)(ma)錫(xi)控(kong)(kong)(kong)(kong)股(gu)(gu)(gu)總部(bu)各部(bu)門(men)與旗(qi)下(xia)(xia)(xia)各公(gong)司(si)執(zhi)行(xing)(xing)層(ceng)(ceng)良好(hao)的(de)(de)工(gong)作關系。同(tong)時(shi),淡馬(ma)(ma)錫(xi)控(kong)(kong)(kong)(kong)股(gu)(gu)(gu)還在以下(xia)(xia)(xia)三(san)(san)個方面加強(qiang)對旗(qi)下(xia)(xia)(xia)企(qi)業的(de)(de)監控(kong)(kong)(kong)(kong):一(yi)是(shi)定(ding)期檢討企(qi)業運作情況;二是(shi)定(ding)期與企(qi)業董(dong)事(shi)(shi)會面;三(san)(san)是(shi)親臨(lin)企(qi)業檢查企(qi)業運作狀況。

    愛立(li)信對海外公(gong)司的控制(zhi)問(wen)題也有(you)異曲同工之處(chu)。雖然愛立(li)信集團公(gong)司對所屬公(gong)司有(you)分(fen)權(quan)、有(you)授(shou)權(quan),但涉及到一(yi)(yi)些重(zhong)(zhong)大事(shi)項如投資(zi)、重(zhong)(zhong)大經營(ying)策略等決(jue)策時(shi),集團公(gong)司會凌駕于所屬公(gong)司之上,即使(shi)所屬公(gong)司是(shi)一(yi)(yi)個(ge)多元(yuan)化(hua)持股公(gong)司。這實質上就是(shi)公(gong)司的控制(zhi)問(wen)題。換(huan)句話說,分(fen)權(quan)、授(shou)權(quan)或(huo)相互制(zhi)衡,是(shi)在(zai)出資(zi)人對公(gong)司的控制(zhi)框架下的制(zhi)度安排,而不是(shi)相反。

    二是國際(ji)化(hua)經驗(yan)與(yu)本(ben)土(tu)(tu)化(hua)之間的(de)關(guan)(guan)系(xi)問題(ti)。我(wo)們(men)應(ying)借鑒發(fa)達國家公(gong)司(si)治(zhi)理方面(mian)的(de)先進理念,但(dan)必須清(qing)醒地認識(shi)到(dao)(dao),各種制度(du)(du)的(de)產生、規范運(yun)轉和(he)演(yan)變(bian)都有(you)一個與(yu)之相應(ying)的(de)社(she)會(hui)、歷(li)史、文化(hua)環境,在研究和(he)推(tui)進國有(you)獨(du)資公(gong)司(si)董事會(hui)試點過程(cheng)中,我(wo)們(men)要(yao)充分注(zhu)意國際(ji)化(hua)與(yu)本(ben)土(tu)(tu)化(hua)之間的(de)關(guan)(guan)系(xi)問題(ti),把視野放得更寬一些(xie)。由(you)于目前(qian)我(wo)國的(de)法(fa)治(zhi)環境和(he)誠信制度(du)(du)及理念建設(she)(she)尚處在發(fa)展過程(cheng)之中,因此(ci)要(yao)推(tui)進公(gong)司(si)法(fa)人治(zhi)理結構建設(she)(she),可能遇到(dao)(dao)的(de)困難會(hui)比(bi)設(she)(she)想的(de)多,花費的(de)時間也會(hui)較長些(xie)。

    我們以(yi)新加(jia)(jia)坡(po)為例解析(xi)董事會建設時(shi)需要關注(zhu)的(de)(de)(de)一些體(ti)制(zhi)(zhi)以(yi)及政(zheng)(zheng)治文化(hua)環境的(de)(de)(de)異同。從(cong)總體(ti)上講(jiang)(jiang),淡馬錫(xi)控(kong)股對旗下企(qi)(qi)業的(de)(de)(de)管控(kong)經(jing)(jing)驗對國(guo)(guo)資委(wei)履行好出資人職責,構(gou)建微觀企(qi)(qi)業制(zhi)(zhi)度基礎,管理和監(jian)督好所出資企(qi)(qi)業國(guo)(guo)有(you)資產有(you)一定(ding)的(de)(de)(de)借鑒性(xing)。除(chu)了技術層(ceng)面的(de)(de)(de)原因——都(dou)是代(dai)表國(guo)(guo)家履行出資人職責外(wai),還(huan)有(you)三點(dian)重要的(de)(de)(de)共同點(dian):一是從(cong)體(ti)制(zhi)(zhi)上來講(jiang)(jiang),新加(jia)(jia)坡(po)的(de)(de)(de)經(jing)(jing)濟(ji)是政(zheng)(zheng)府(fu)主導型的(de)(de)(de)經(jing)(jing)濟(ji),政(zheng)(zheng)府(fu)在整個國(guo)(guo)家的(de)(de)(de)經(jing)(jing)濟(ji)發展中具(ju)(ju)有(you)很大的(de)(de)(de)權威;二是新加(jia)(jia)坡(po)的(de)(de)(de)華人占(zhan)總人口的(de)(de)(de)70%以(yi)上,文化(hua)傳(chuan)統及價值觀念有(you)一定(ding)的(de)(de)(de)相(xiang)似性(xing);三是新加(jia)(jia)坡(po)的(de)(de)(de)國(guo)(guo)有(you)企(qi)(qi)業(在新加(jia)(jia)坡(po)稱(cheng)“政(zheng)(zheng)聯企(qi)(qi)業”)在國(guo)(guo)民經(jing)(jing)濟(ji)中具(ju)(ju)有(you)較(jiao)強的(de)(de)(de)影響力。

    但我(wo)國(guo)與新(xin)加坡(po)至少(shao)在三個(ge)方(fang)面有著很大的(de)(de)不同:一是(shi)(shi)新(xin)加坡(po)法(fa)制十(shi)分(fen)健(jian)全,屬于(yu)“嚴刑酷法(fa)”,民眾十(shi)分(fen)守(shou)法(fa),信(xin)托責任比(bi)較(jiao)健(jian)全;二是(shi)(shi)新(xin)加坡(po)推(tui)行的(de)(de)是(shi)(shi)“精(jing)英政府”策略,公務人員是(shi)(shi)社(she)(she)會(hui)中(zhong)最優秀的(de)(de)人才(cai),收(shou)入及(ji)其(qi)它方(fang)面的(de)(de)待遇也是(shi)(shi)社(she)(she)會(hui)上(shang)最有吸(xi)收(shou)力的(de)(de);三是(shi)(shi)新(xin)加坡(po)實行的(de)(de)是(shi)(shi)資本主(zhu)義制度,國(guo)有企業數量(liang)比(bi)較(jiao)有限。

    因(yin)此,在借鑒新加(jia)坡企業法(fa)人治理結(jie)構和(he)(he)董(dong)事(shi)會制度建設時,我們必須對中(zhong)國和(he)(he)新加(jia)坡的政治社會環境的差異有(you)(you)清醒的認識,以便使董(dong)事(shi)會試點企業的法(fa)人治理結(jie)構更加(jia)完善和(he)(he)有(you)(you)效。

    三是戰略方向與改革細(xi)節之間(jian)的(de)(de)(de)(de)關系問題。正如上(shang)面(mian)分析(xi)的(de)(de)(de)(de)那樣,在原有的(de)(de)(de)(de)體制(zhi)基礎上(shang),要引(yin)入一種(zhong)新的(de)(de)(de)(de)制(zhi)度(du)(du)安排并不那么簡單,從董(dong)(dong)事(shi)會(hui)(hui)內(nei)部制(zhi)度(du)(du)建設、董(dong)(dong)事(shi)的(de)(de)(de)(de)選(xuan)聘、董(dong)(dong)事(shi)會(hui)(hui)與董(dong)(dong)事(shi)的(de)(de)(de)(de)評價(jia)、董(dong)(dong)事(shi)的(de)(de)(de)(de)薪(xin)酬、國資(zi)委與董(dong)(dong)事(shi)會(hui)(hui)的(de)(de)(de)(de)關系、董(dong)(dong)事(shi)會(hui)(hui)與經營層及黨委會(hui)(hui)的(de)(de)(de)(de)關系,以及董(dong)(dong)事(shi)會(hui)(hui)試(shi)點工作(zuo)推進與現(xian)有制(zhi)度(du)(du)環境的(de)(de)(de)(de)配(pei)套(tao)銜接等諸多方面(mian),都(dou)需要對每項(xiang)制(zhi)度(du)(du)的(de)(de)(de)(de)建立和完善的(de)(de)(de)(de)細(xi)節做深入的(de)(de)(de)(de)研究,都(dou)需要國資(zi)委內(nei)部機構之間(jian)的(de)(de)(de)(de)通力(li)協(xie)作(zuo)。

    我(wo)們不(bu)妨以(yi)業(ye)(ye)績(ji)(ji)考核(he)(he)與薪酬(chou)制度為(wei)例來審視一(yi)(yi)些細節(jie)問題(ti)(ti)。原則上講,在(zai)(zai)規范的(de)(de)(de)(de)(de)(de)董(dong)事(shi)(shi)會(hui)(hui)建立后,對經(jing)營層的(de)(de)(de)(de)(de)(de)考核(he)(he)與獎(jiang)懲應當由董(dong)事(shi)(shi)會(hui)(hui)來實施,但需要(yao)仔細推敲的(de)(de)(de)(de)(de)(de)是(shi)(shi)(shi):國資(zi)委(wei)是(shi)(shi)(shi)否需要(yao)指導董(dong)事(shi)(shi)會(hui)(hui)對經(jing)營層的(de)(de)(de)(de)(de)(de)考核(he)(he)與獎(jiang)懲?如(ru)(ru)果需要(yao)的(de)(de)(de)(de)(de)(de)話,指導應當把握的(de)(de)(de)(de)(de)(de)“度”是(shi)(shi)(shi)什么(me)?其實,在(zai)(zai)這些問題(ti)(ti)的(de)(de)(de)(de)(de)(de)背后存在(zai)(zai)兩(liang)個(ge)(ge)潛在(zai)(zai)的(de)(de)(de)(de)(de)(de)問題(ti)(ti),一(yi)(yi)是(shi)(shi)(shi)如(ru)(ru)果不(bu)指導,中央企業(ye)(ye)負責人的(de)(de)(de)(de)(de)(de)總的(de)(de)(de)(de)(de)(de)薪酬(chou)水平是(shi)(shi)(shi)否能(neng)控制在(zai)(zai)中央和國務院領導的(de)(de)(de)(de)(de)(de)要(yao)求之內?因為(wei)每個(ge)(ge)企業(ye)(ye)的(de)(de)(de)(de)(de)(de)高(gao)管的(de)(de)(de)(de)(de)(de)薪酬(chou)由董(dong)事(shi)(shi)會(hui)(hui)根據(ju)各企業(ye)(ye)的(de)(de)(de)(de)(de)(de)業(ye)(ye)績(ji)(ji)來確定(ding)(ding),很可能(neng)的(de)(de)(de)(de)(de)(de)結(jie)果是(shi)(shi)(shi)最后整個(ge)(ge)中央企業(ye)(ye)匯總的(de)(de)(de)(de)(de)(de)薪酬(chou)水平是(shi)(shi)(shi)一(yi)(yi)個(ge)(ge)“失控”的(de)(de)(de)(de)(de)(de)結(jie)果;二是(shi)(shi)(shi)如(ru)(ru)果要(yao)控制的(de)(de)(de)(de)(de)(de)話,依據(ju)是(shi)(shi)(shi)什么(me)?是(shi)(shi)(shi)一(yi)(yi)個(ge)(ge)個(ge)(ge)企業(ye)(ye)董(dong)事(shi)(shi)會(hui)(hui)對經(jing)營層的(de)(de)(de)(de)(de)(de)考核(he)(he)結(jie)果?國資(zi)委(wei)在(zai)(zai)董(dong)事(shi)(shi)會(hui)(hui)對經(jing)營層的(de)(de)(de)(de)(de)(de)考核(he)(he)過程(cheng)中應當如(ru)(ru)何作為(wei)?在(zai)(zai)一(yi)(yi)定(ding)(ding)程(cheng)度上可以(yi)說,對上述細節(jie)問題(ti)(ti)的(de)(de)(de)(de)(de)(de)研究深度,對董(dong)事(shi)(shi)會(hui)(hui)試點的(de)(de)(de)(de)(de)(de)順利(li)推進必然產生(sheng)直接的(de)(de)(de)(de)(de)(de)影(ying)響(xiang)。

    3、2008年后(hou),國資委(wei)應(ying)當進一(yi)步(bu)強化出資人(ren)職責,弱(ruo)化一(yi)般性行政職責

    到2008年,國資(zi)(zi)委(wei)(wei)基本建立起(qi)了(le)(le)現代(dai)企業制度(du)、國有資(zi)(zi)本經營預算制度(du)、資(zi)(zi)產經營公司(si)制度(du),這為國資(zi)(zi)委(wei)(wei)在更高(gao)層次、更大范圍內(nei)完成黨中央(yang)、國務院(yuan)賦予的使命奠定了(le)(le)重(zhong)要(yao)基礎,屆時,國資(zi)(zi)委(wei)(wei)將重(zhong)點推(tui)動中央(yang)企業在國際(ji)范圍內(nei),進一步提升(sheng)其核心競爭力(li)、推(tui)動國有經濟(ji)布(bu)局和(he)結構的戰略性調整,這對國資(zi)(zi)委(wei)(wei)內(nei)設機構的設置也(ye)提出了(le)(le)新的更高(gao)的要(yao)求。

    2008年(nian)之后的(de)國(guo)(guo)(guo)資委必須對內(nei)設機構(gou)進(jin)行適應調整,以(yi)(yi)符合該(gai)(gai)(gai)階段的(de)需要,比如可以(yi)(yi)成(cheng)立(li)一(yi)個內(nei)部機構(gou)使之更(geng)(geng)為關注國(guo)(guo)(guo)際國(guo)(guo)(guo)內(nei)宏(hong)觀經濟(ji)走勢,以(yi)(yi)便(bian)與企業(ye)的(de)國(guo)(guo)(guo)際化相銜(xian)接(jie);要成(cheng)立(li)一(yi)個機構(gou)專門(men)研究國(guo)(guo)(guo)有(you)經濟(ji)結構(gou)與布局調整,對中(zhong)央(yang)企業(ye)哪些(xie)領域該(gai)(gai)(gai)進(jin),哪些(xie)領域該(gai)(gai)(gai)退,對不同企業(ye)如何實行分類指(zhi)導進(jin)行研究;要對2006-2008年(nian)的(de)內(nei)設機構(gou)進(jin)行整合,以(yi)(yi)便(bian)更(geng)(geng)高效地對董事(shi)會的(de)投資決(jue)策、高管選(xuan)聘、業(ye)績考核和薪酬分配等(deng)進(jin)行專業(ye)指(zhi)導和監督,等(deng)等(deng)。只有(you)精干高效的(de)內(nei)部機構(gou)運轉起來,國(guo)(guo)(guo)資委的(de)工作才能更(geng)(geng)加(jia)(jia)高效,其地位(wei)才能更(geng)(geng)加(jia)(jia)穩固(gu),其影(ying)響(xiang)力才能更(geng)(geng)加(jia)(jia)突(tu)顯。

    四(si)、進一步提高國資(zi)委(wei)工作人員的依法履行出(chu)資(zi)人職責的能力和水(shui)平

    (一)目前工作能力和水平的狀況與(yu)差距

    為適應新職(zhi)能(neng)和(he)新任(ren)務,國務院國資(zi)委成立3年多來,從建(jian)章立制(zhi)和(he)優(you)化干(gan)部(bu)隊伍結構入(ru)手,進一步(bu)加強了國資(zi)委機關的(de)組織(zhi)建(jian)設和(he)制(zhi)度建(jian)設,取(qu)得了不(bu)少成效(xiao)。干(gan)部(bu)隊伍結構進一步(bu)優(you)化,履行出資(zi)人(ren)職(zhi)責(ze)的(de)能(neng)力有(you)所(suo)提高,思想觀念和(he)工作(zuo)作(zuo)風逐(zhu)步(bu)轉變,服務意識、責(ze)任(ren)意識、市(shi)場意識有(you)所(suo)增強。但總(zong)的(de)看,距(ju)(ju)離法律(lv)、法規關于出資(zi)人(ren)職(zhi)能(neng)的(de)規定以(yi)及社會對于出資(zi)人(ren)機構的(de)期望(wang)仍然(ran)有(you)不(bu)少差距(ju)(ju)。具體(ti)表現如下(xia)

    1.從(cong)機構(gou)講,政府(fu)機關特色(se)明顯

    國(guo)(guo)務(wu)院國(guo)(guo)資委(wei)屬(shu)于(yu)國(guo)(guo)務(wu)院特設(she)機構,其內(nei)部(bu)(bu)管理機制基(ji)本沿襲政(zheng)府(fu)機關的模(mo)式,習慣(guan)于(yu)審批、檢查。辦事程序多(duo)、環節多(duo),難(nan)度(du)大。工(gong)作人(ren)員還沒(mei)有完(wan)全從過去中(zhong)央機關和政(zheng)府(fu)部(bu)(bu)門的思維定式中(zhong)解放出來,缺(que)乏對(dui)企業(ye)的服務(wu)意(yi)識,少數(shu)部(bu)(bu)門和工(gong)作人(ren)員,甚至還存(cun)在(zai)刁難(nan)企業(ye)問題。

    2.知(zhi)識結構不(bu)盡合理,缺(que)少高層次(ci)、高素質的經(jing)營(ying)管理專業人才

    2004年底,國資(zi)委機關人(ren)(ren)員(yuan)(yuan)508人(ren)(ren),在(zai)專(zhuan)業(ye)結構上,經濟(ji)管理(li)類(lei)193人(ren)(ren),占(zhan)(zhan)(zhan)38%,理(li)工(gong)類(lei)94人(ren)(ren),占(zhan)(zhan)(zhan)19%,法律類(lei)45人(ren)(ren),占(zhan)(zhan)(zhan)9%,財政金(jin)融(rong)類(lei)49人(ren)(ren),占(zhan)(zhan)(zhan)9%,其(qi)他專(zhuan)業(ye)127,占(zhan)(zhan)(zhan)25%。監事會人(ren)(ren)員(yuan)(yuan)305人(ren)(ren),經濟(ji)管理(li)類(lei)114人(ren)(ren),占(zhan)(zhan)(zhan)37%,理(li)工(gong)類(lei)66人(ren)(ren),占(zhan)(zhan)(zhan)22%,法律類(lei)15人(ren)(ren),占(zhan)(zhan)(zhan)5%,財政金(jin)融(rong)類(lei)78人(ren)(ren),占(zhan)(zhan)(zhan)26%,其(qi)他專(zhuan)業(ye)32人(ren)(ren),占(zhan)(zhan)(zhan)10%。金(jin)融(rong)、審計、產權管理(li)等方(fang)面(mian)的專(zhuan)業(ye)人(ren)(ren)才不足,市場分析人(ren)(ren)才缺乏(fa)。搞宏觀(guan)的多,搞微觀(guan)、中觀(guan)的少。

    3.普遍缺少基(ji)層或企業(ye)工(gong)作經歷,對企業(ye)理(li)解(jie)不(bu)深

    國資委機(ji)關和(he)監(jian)事(shi)會人(ren)員(yuan)大(da)多來(lai)(lai)自(zi)國家(jia)機(ji)關或直(zhi)(zhi)接從(cong)學校畢業(ye)(ye)(ye)(ye)工(gong)作(zuo)的(de)(de)學生,普遍缺少(shao)基層工(gong)作(zuo)經(jing)驗和(he)經(jing)歷(li),尤其(qi)是缺少(shao)企(qi)業(ye)(ye)(ye)(ye)的(de)(de)工(gong)作(zuo)經(jing)歷(li)。對(dui)企(qi)業(ye)(ye)(ye)(ye)了(le)(le)(le)解不(bu)深(shen),體會不(bu)夠。從(cong)2004年情(qing)況看,機(ji)關具有(you)企(qi)業(ye)(ye)(ye)(ye)工(gong)作(zuo)經(jing)歷(li)的(de)(de)人(ren)員(yuan)僅(jin)占機(ji)關干部的(de)(de)35%,其(qi)中直(zhi)(zhi)接從(cong)事(shi)過企(qi)業(ye)(ye)(ye)(ye)管(guan)理的(de)(de)人(ren)員(yuan)就更少(shao);監(jian)事(shi)會來(lai)(lai)自(zi)機(ji)關的(de)(de)占69%,專職監(jian)事(shi)來(lai)(lai)自(zi)企(qi)業(ye)(ye)(ye)(ye)和(he)會計(ji)師事(shi)務所(suo)的(de)(de)僅(jin)占23%,具有(you)企(qi)業(ye)(ye)(ye)(ye)經(jing)營(ying)管(guan)理和(he)會計(ji)、審計(ji)等專業(ye)(ye)(ye)(ye)工(gong)作(zuo)經(jing)驗的(de)(de)人(ren)員(yuan)相對(dui)較少(shao)。正由于缺少(shao)對(dui)企(qi)業(ye)(ye)(ye)(ye)的(de)(de)了(le)(le)(le)解和(he)熟悉,使得(de)工(gong)作(zuo)上很(hen)難深(shen)入進去,情(qing)況了(le)(le)(le)解不(bu)夠,問題把握不(bu)準,對(dui)來(lai)(lai)自(zi)企(qi)業(ye)(ye)(ye)(ye)的(de)(de)信(xin)息甄別能力比較差,缺乏對(dui)企(qi)業(ye)(ye)(ye)(ye)準確完整的(de)(de)判斷能力,企(qi)業(ye)(ye)(ye)(ye)報來(lai)(lai)的(de)(de)方案(an)吃(chi)不(bu)透,辦事(shi)效(xiao)率低,需要解決的(de)(de)問題落(luo)實(shi)不(bu)了(le)(le)(le),依(yi)法(fa)履行出(chu)資人(ren)的(de)(de)能力和(he)水平大(da)打折扣。

    4.干部(bu)培養、使用機制不合理(li),影響工作積(ji)極性

    國務(wu)院國資(zi)(zi)委在不(bu)斷推(tui)進(jin)中(zhong)央(yang)企業改革(ge)的(de)(de)(de)同(tong)時(shi),也(ye)(ye)大力(li)推(tui)進(jin)自身改革(ge),在干(gan)(gan)部(bu)(bu)(bu)任用方面,部(bu)(bu)(bu)分級(ji)別干(gan)(gan)部(bu)(bu)(bu)已經(jing)開始推(tui)行競(jing)爭上崗制度,并取得了(le)一定成效。但是(shi),也(ye)(ye)應看到,機關干(gan)(gan)部(bu)(bu)(bu)使用、晉升,看中(zhong)的(de)(de)(de)往往不(bu)是(shi)能力(li),主(zhu)要還是(shi)資(zi)(zi)歷,論資(zi)(zi)排輩(bei)現(xian)象嚴重(zhong)(zhong)。既不(bu)利(li)于調動大家(jia)工作(zuo)的(de)(de)(de)積極(ji)性,同(tong)時(shi)也(ye)(ye)不(bu)利(li)于青年干(gan)(gan)部(bu)(bu)(bu)的(de)(de)(de)成長(chang),一些優秀干(gan)(gan)部(bu)(bu)(bu)沒有得到合理的(de)(de)(de)使用,形成人(ren)力(li)資(zi)(zi)源浪費。干(gan)(gan)部(bu)(bu)(bu)隊伍職(zhi)務(wu)結(jie)構不(bu)盡合理,處級(ji)干(gan)(gan)部(bu)(bu)(bu)比例偏(pian)大,機關干(gan)(gan)部(bu)(bu)(bu)508人(ren),處級(ji)干(gan)(gan)部(bu)(bu)(bu)291人(ren),占57%。由于干(gan)(gan)部(bu)(bu)(bu)職(zhi)位的(de)(de)(de)限制,在缺少干(gan)(gan)部(bu)(bu)(bu)“出(chu)口”的(de)(de)(de)情況(kuang)下,干(gan)(gan)部(bu)(bu)(bu)的(de)(de)(de)發展成長(chang)空(kong)間(jian)受到限制,嚴重(zhong)(zhong)影響了(le)干(gan)(gan)部(bu)(bu)(bu)工作(zuo)積極(ji)性,對(dui)出(chu)資(zi)(zi)人(ren)效能發揮產生不(bu)利(li)影響。

    (二)進一步提高國資委機關工作人員的素質和能力

    當前和今后一個時期,我們要著重提高以下幾個方(fang)面的能(neng)力(li)。

    進一步加強國資委機關的隊伍建設及作風建設。第一,要加強業務、政治理論的學習,建立學習性組織。要堅持日常的學習制度,重點學習《公司法》及有關法律法規、國有資本經營預算、國有資產管理、企業管理等業務理論知識。進一步提高機關工作人員的學習業務理論的熱情,領導同志要以身作則,以崇高的人格力量和科學的管理方法帶好隊伍。還要進一步健全委內日常的政治理論、政策學習活動計劃,以學習鄧小平理論和“三個代表”的重要思想為基本內容,大力倡導淡泊名利,埋頭苦干和愛崗敬業、勤奮工作的精神,在此基礎上組織學習黨的基本知識、方針、政策。同時,倡導集中學習與自學相結合的學習方式,要對個人的學習情況進行總結,年終匯總個人成績,作為年度考評的計分項目。第二,加大干部職工的學習交流培訓的力度。一要加強干部掛職鍛煉。每年選派部分人員與企業參加掛職鍛煉,有計劃地全面完成對機關干部的輪訓,通過掛職鍛煉,了解中央企業所處行業的發展態勢與企業生產經營的實際情況,增強國資委干部適應市場經濟的能力。二要加強與中央企業和地方國資委的干部交流。應鼓勵處級及以上干部參加中央企業負責人公開選聘,特別是對擔任處級時間較長的同志、司局級職務的同志,要結合工作的需要和個人意愿通過合適的方式,安排到中央企業或地方國資委任職,同時要選拔優秀的中央企業和地方國資委的領導同志到國務院國資委任職,形成干部相互交流的機制。三要加強與地方國資委的信息交流。國務院國資委與地方國資委總體上都是按《條例》規定的職責運行,但地方國資委監管的方式、與所監管國有企業的關系以及其他有關業務與國務院國資委有一定差別,且各地區情況各有不同。加強與地方國資委的交流與聯系,建立一定的溝通機制,有助于國務院國資委拓寬思路,增強創新能力,提高履行出資人職責的能力。四要開展交流活動,組織調研,在委內組織調查研究和撰寫相關論文,組織評選活動。五要加強國際交流活動。加強機關人員參加國際交流活動,提高水平和效果。
二是(shi)(shi)要(yao)(yao)(yao)提高依法(fa)(fa)(fa)(fa)監(jian)(jian)管國有(you)(you)(you)(you)資(zi)(zi)產的(de)能力。國資(zi)(zi)委(wei)要(yao)(yao)(yao)當好(hao)出(chu)資(zi)(zi)人(ren)代表(biao),核心(xin)就是(shi)(shi)要(yao)(yao)(yao)嚴格依法(fa)(fa)(fa)(fa)行(xing)事。一要(yao)(yao)(yao)依法(fa)(fa)(fa)(fa)把握并處理好(hao)國資(zi)(zi)委(wei)與所出(chu)資(zi)(zi)企(qi)業的(de)法(fa)(fa)(fa)(fa)律關系;二要(yao)(yao)(yao)依法(fa)(fa)(fa)(fa)解(jie)決出(chu)資(zi)(zi)人(ren)代表(biao)進入(ru)所出(chu)資(zi)(zi)企(qi)業履行(xing)職(zhi)(zhi)責問題;三要(yao)(yao)(yao)嚴格依照法(fa)(fa)(fa)(fa)定(ding)權(quan)利和(he)(he)法(fa)(fa)(fa)(fa)定(ding)程序履行(xing)職(zhi)(zhi)責。完善的(de)國有(you)(you)(you)(you)資(zi)(zi)產監(jian)(jian)管法(fa)(fa)(fa)(fa)規(gui)體系,是(shi)(shi)我們(men)依法(fa)(fa)(fa)(fa)履行(xing)職(zhi)(zhi)責的(de)依據。要(yao)(yao)(yao)繼續修改與《條例》相配(pei)套的(de)法(fa)(fa)(fa)(fa)規(gui)和(he)(he)規(gui)章(zhang),確保(bao)國有(you)(you)(you)(you)資(zi)(zi)產監(jian)(jian)管工(gong)(gong)作有(you)(you)(you)(you)法(fa)(fa)(fa)(fa)可依,有(you)(you)(you)(you)章(zhang)可循(xun)。同時,工(gong)(gong)作人(ren)員都要(yao)(yao)(yao)做到知法(fa)(fa)(fa)(fa)懂法(fa)(fa)(fa)(fa),真正把國有(you)(you)(you)(you)資(zi)(zi)產監(jian)(jian)管和(he)(he)國有(you)(you)(you)(you)企(qi)業經營納入(ru)法(fa)(fa)(fa)(fa)制化(hua)、規(gui)范(fan)化(hua)的(de)軌道。

    要進一步把握(wo)好(hao)(hao)出資人(ren)定位(wei)(wei)。作為出資人(ren)機(ji)構,國資委要準確(que)把握(wo)好(hao)(hao)出資人(ren)定位(wei)(wei),嚴格按照(zhao)法定的權(quan)限(xian)和程序(xu)行使權(quan)力、履(lv)行職責,不(bu)缺位(wei)(wei)、不(bu)錯位(wei)(wei)、不(bu)越位(wei)(wei)。出資人(ren)機(ji)構只行使股東權(quan)利(li),不(bu)干預企業的經營權(quan)、管(guan)理權(quan),堅持政資分開(kai),兩權(quan)分離,不(bu)直接干預企業生產經營,不(bu)承擔社會公共管(guan)理職能。

    要深入研(yan)究(jiu)重(zhong)大(da)(da)有(you)(you)傾向性(xing)的(de)問(wen)題(ti)。新(xin)(xin)的(de)國有(you)(you)資(zi)產(chan)監管(guan)體制(zhi)(zhi)的(de)基(ji)本框架的(de)建立以及實現(xian)體制(zhi)(zhi)和機(ji)制(zhi)(zhi)創新(xin)(xin)有(you)(you)大(da)(da)量(liang)的(de)問(wen)題(ti)需(xu)要研(yan)究(jiu)解決。國資(zi)委要加大(da)(da)對(dui)重(zhong)大(da)(da)問(wen)題(ti)的(de)戰略性(xing)、前瞻性(xing)、系統性(xing)研(yan)究(jiu),要動(dong)態關注社會(hui)各界對(dui)國有(you)(you)資(zi)產(chan)監管(guan)體制(zhi)(zhi)的(de)建議,研(yan)究(jiu)重(zhong)大(da)(da)有(you)(you)傾向性(xing)問(wen)題(ti),在重(zhong)點(dian)(dian)難點(dian)(dian)問(wen)題(ti)上實現(xian)突破。

    三是(shi)(shi)要提高指導國(guo)(guo)有(you)(you)(you)企(qi)(qi)業(ye)(ye)(ye)改(gai)革(ge)(ge)和重(zhong)組(zu)的(de)能力(li)。積極推(tui)進(jin)(jin)國(guo)(guo)有(you)(you)(you)企(qi)(qi)業(ye)(ye)(ye)尤其(qi)是(shi)(shi)中央企(qi)(qi)業(ye)(ye)(ye)的(de)改(gai)革(ge)(ge)和重(zhong)組(zu),是(shi)(shi)增強國(guo)(guo)有(you)(you)(you)企(qi)(qi)業(ye)(ye)(ye)競(jing)爭(zheng)力(li),發揮(hui)國(guo)(guo)有(you)(you)(you)經濟(ji)控制(zhi)力(li)、影響(xiang)力(li)、帶動(dong)力(li)的(de)重(zhong)要舉措(cuo),更(geng)是(shi)(shi)國(guo)(guo)資委的(de)重(zhong)要職責。進(jin)(jin)一步搞(gao)好國(guo)(guo)有(you)(you)(you)企(qi)(qi)業(ye)(ye)(ye),要求我們不斷推(tui)進(jin)(jin)國(guo)(guo)有(you)(you)(you)企(qi)(qi)業(ye)(ye)(ye)的(de)改(gai)革(ge)(ge)和重(zhong)組(zu)。要按照(zhao)完善(shan)社(she)會(hui)主義市場經濟(ji)體(ti)制(zhi)的(de)要求,推(tui)動(dong)國(guo)(guo)有(you)(you)(you)企(qi)(qi)業(ye)(ye)(ye)進(jin)(jin)一步建立健全現(xian)代(dai)企(qi)(qi)業(ye)(ye)(ye)制(zhi)度,積極探索中央企(qi)(qi)業(ye)(ye)(ye)國(guo)(guo)有(you)(you)(you)獨資公司建立和完善(shan)董(dong)事會(hui)試點,完善(shan)公司法人治理結構(gou);積極推(tui)進(jin)(jin)股權多元(yuan)化(hua)股份制(zhi)改(gai)革(ge)(ge),實現(xian)資源(yuan)優化(hua)配置(zhi),幫(bang)助企(qi)(qi)業(ye)(ye)(ye)解(jie)決歷史(shi)遺留問題,更(geng)好地參與市場競(jing)爭(zheng)。

    四是提(ti)高(gao)指導(dao)董(dong)(dong)事(shi)會(hui)(hui)決策(ce)的(de)(de)(de)能力。在(zai)國(guo)(guo)(guo)有(you)獨資(zi)(zi)(zi)企(qi)業(ye)(ye)普遍建立董(dong)(dong)事(shi)會(hui)(hui)后,董(dong)(dong)事(shi)會(hui)(hui)將(jiang)在(zai)公(gong)司(si)(si)法人治理結構(gou)中處于十分(fen)重要(yao)的(de)(de)(de)地位,發(fa)揮著重要(yao)作(zuo)(zuo)用(yong)。一(yi)方(fang)面(mian),董(dong)(dong)事(shi)會(hui)(hui)是股東(dong)利益(yi)的(de)(de)(de)忠實(shi)代(dai)表,是保(bao)(bao)護股東(dong)合法權(quan)益(yi)、體(ti)現股東(dong)意(yi)志(zhi)的(de)(de)(de)制度依托,是實(shi)現出(chu)(chu)資(zi)(zi)(zi)人職責(ze)(ze)到位的(de)(de)(de)最(zui)終(zhong)體(ti)現。另一(yi)方(fang)面(mian),董(dong)(dong)事(shi)會(hui)(hui)負(fu)責(ze)(ze)企(qi)業(ye)(ye)的(de)(de)(de)重大決策(ce),對(dui)(dui)企(qi)業(ye)(ye)進行(xing)戰略性監控,并負(fu)責(ze)(ze)選(xuan)聘、評價、考核、激勵經理人員,是企(qi)業(ye)(ye)內部深化改革、加強管理、提(ti)高(gao)效率的(de)(de)(de)重要(yao)保(bao)(bao)證(zheng),是企(qi)業(ye)(ye)市場(chang)競爭(zheng)力的(de)(de)(de)制度基(ji)礎。同(tong)時,董(dong)(dong)事(shi)會(hui)(hui)要(yao)對(dui)(dui)出(chu)(chu)資(zi)(zi)(zi)人負(fu)責(ze)(ze),代(dai)表出(chu)(chu)資(zi)(zi)(zi)人利益(yi),追(zhui)求投(tou)資(zi)(zi)(zi)回報,確(que)保(bao)(bao)國(guo)(guo)(guo)有(you)資(zi)(zi)(zi)產保(bao)(bao)值(zhi)增(zeng)值(zhi),并就公(gong)司(si)(si)的(de)(de)(de)經營業(ye)(ye)績(ji)和持(chi)續(xu)發(fa)展能力對(dui)(dui)出(chu)(chu)資(zi)(zi)(zi)人負(fu)責(ze)(ze)。為使(shi)董(dong)(dong)事(shi)會(hui)(hui)充分(fen)發(fa)揮作(zuo)(zuo)用(yong),國(guo)(guo)(guo)資(zi)(zi)(zi)委今后將(jiang)把出(chu)(chu)資(zi)(zi)(zi)人的(de)(de)(de)部分(fen)職權(quan)授(shou)予規范的(de)(de)(de)國(guo)(guo)(guo)有(you)獨資(zi)(zi)(zi)公(gong)司(si)(si)董(dong)(dong)事(shi)會(hui)(hui)行(xing)使(shi)。因此(ci),如(ru)(ru)何(he)盡(jin)快提(ti)高(gao)規范科學的(de)(de)(de)選(xuan)拔董(dong)(dong)事(shi)會(hui)(hui)成(cheng)員、如(ru)(ru)何(he)有(you)效指導(dao)董(dong)(dong)事(shi)會(hui)(hui)決策(ce)、監督(du)董(dong)(dong)事(shi)會(hui)(hui)確(que)實(shi)按(an)照出(chu)(chu)資(zi)(zi)(zi)人的(de)(de)(de)要(yao)求履行(xing)職責(ze)(ze)、保(bao)(bao)證(zheng)董(dong)(dong)事(shi)會(hui)(hui)充分(fen)發(fa)揮作(zuo)(zuo)用(yong),就成(cheng)為國(guo)(guo)(guo)資(zi)(zi)(zi)委工作(zuo)(zuo)人員必備的(de)(de)(de)能力和水平。

    五(wu)是(shi)要(yao)提(ti)高發(fa)展(zhan)(zhan)和(he)(he)壯大國有(you)(you)經濟(ji)的(de)(de)能力。發(fa)展(zhan)(zhan)壯大國有(you)(you)經濟(ji)是(shi)深化國有(you)(you)資產管理體制(zhi)改革(ge)的(de)(de)一個重要(yao)目的(de)(de),也是(shi)實現(xian)全(quan)面建設小康社會宏偉目標的(de)(de)重要(yao)保(bao)證。在推進現(xian)代企業制(zhi)度和(he)(he)建立和(he)(he)完善(shan)(shan)公(gong)司(si)法人治(zhi)理機構(gou)的(de)(de)基礎上,要(yao)積極(ji)推進公(gong)有(you)(you)制(zhi)的(de)(de)多種有(you)(you)效(xiao)實現(xian)形式,加快調整(zheng)國有(you)(you)經濟(ji)布(bu)局(ju)和(he)(he)結構(gou),完善(shan)(shan)國有(you)(you)資本有(you)(you)進有(you)(you)退的(de)(de)機制(zhi),積極(ji)探索(suo)增強國有(you)(you)經濟(ji)的(de)(de)控(kong)制(zhi)力、影響力和(he)(he)帶動力的(de)(de)途徑(jing)和(he)(he)方(fang)式。

    六是(shi)要提(ti)高(gao)加強(qiang)(qiang)和改(gai)進國(guo)(guo)有(you)(you)(you)企(qi)(qi)業黨(dang)建(jian)(jian)工(gong)作(zuo)的(de)能(neng)力(li)(li)。提(ti)高(gao)黨(dang)的(de)執政能(neng)力(li)(li),關鍵在于搞好(hao)黨(dang)的(de)建(jian)(jian)設(she)(she),不斷增強(qiang)(qiang)黨(dang)的(de)創造(zao)力(li)(li)、凝聚力(li)(li)和戰斗力(li)(li)。加強(qiang)(qiang)和改(gai)進國(guo)(guo)有(you)(you)(you)企(qi)(qi)業黨(dang)的(de)建(jian)(jian)設(she)(she)是(shi)擺在國(guo)(guo)資委黨(dang)委面前的(de)一項重要任(ren)務(wu)。我們要認(ren)真研(yan)究新(xin)形勢下如何(he)加強(qiang)(qiang)和改(gai)進國(guo)(guo)有(you)(you)(you)企(qi)(qi)業黨(dang)的(de)建(jian)(jian)設(she)(she),探索國(guo)(guo)有(you)(you)(you)企(qi)(qi)業黨(dang)建(jian)(jian)工(gong)作(zuo)的(de)新(xin)機制(zhi)、新(xin)途徑和新(xin)方法(fa),完善工(gong)作(zuo)機制(zhi),更(geng)好(hao)地(di)發揮國(guo)(guo)有(you)(you)(you)企(qi)(qi)業黨(dang)組織的(de)政治核心作(zuo)用(yong)。

    七是(shi)要(yao)改進工(gong)(gong)作(zuo)(zuo)(zuo)(zuo)(zuo)作(zuo)(zuo)(zuo)(zuo)(zuo)風(feng),提高工(gong)(gong)作(zuo)(zuo)(zuo)(zuo)(zuo)效率和(he)能力(li)(li)(li)。第一,規(gui)范(fan)調(diao)研(yan)工(gong)(gong)作(zuo)(zuo)(zuo)(zuo)(zuo)要(yao)求(qiu),實(shi)現領(ling)導(dao)、指(zhi)導(dao)、服(fu)務一體化(hua)。要(yao)建立制度(du),加強對中(zhong)央企業改革(ge)與(yu)重(zhong)組(zu)工(gong)(gong)作(zuo)(zuo)(zuo)(zuo)(zuo)的(de)指(zhi)導(dao)和(he)推動(dong)。各廳局要(yao)根據(ju)年(nian)度(du)重(zhong)點工(gong)(gong)作(zuo)(zuo)(zuo)(zuo)(zuo)目(mu)標的(de)要(yao)求(qiu),確立好(hao)題目(mu)、安(an)排好(hao)人員,并由委里統一協調(diao),組(zu)成(cheng)小組(zu),定期(qi)到中(zhong)央企業進行(xing)調(diao)研(yan),要(yao)保持與(yu)企業有(you)關部門(men)聯系,全面(mian)掌(zhang)握情(qing)況,推動(dong)各項工(gong)(gong)作(zuo)(zuo)(zuo)(zuo)(zuo)的(de)開展(zhan)。第二,抓牢關鍵(jian)環(huan)節(jie),提高工(gong)(gong)作(zuo)(zuo)(zuo)(zuo)(zuo)能力(li)(li)(li),局級以(yi)上(shang)領(ling)導(dao)干部要(yao)把重(zhong)點放在提高組(zu)織領(ling)導(dao)能力(li)(li)(li)上(shang),做(zuo)到既(ji)有(you)思(si)路,又(you)把握方向;既(ji)做(zuo)示范(fan),又(you)抓督查,既(ji)獨立運行(xing),又(you)做(zuo)好(hao)全面(mian)協調(diao),確保工(gong)(gong)作(zuo)(zuo)(zuo)(zuo)(zuo)運行(xing)的(de)整體效果。一般干部要(yao)把重(zhong)點放在提高能力(li)(li)(li)上(shang),做(zuo)到提筆能寫,開口能講,遇事(shi)會(hui)辦。第三,結(jie)(jie)合自身實(shi)際,尋找突破點。每位工(gong)(gong)作(zuo)(zuo)(zuo)(zuo)(zuo)人員進一步(bu)提高自身素質和(he)能力(li)(li)(li),取得實(shi)實(shi)在在的(de)變(bian)化(hua)效果。第四(si),完善年(nian)(季(ji)(ji))度(du)總結(jie)(jie)考核制度(du)。突出年(nian)(季(ji)(ji))度(du)總結(jie)(jie)工(gong)(gong)作(zuo)(zuo)(zuo)(zuo)(zuo)的(de)實(shi)效性,要(yao)進一步(bu)充實(shi)完善工(gong)(gong)作(zuo)(zuo)(zuo)(zuo)(zuo)考核制度(du),進一步(bu)細化(hua)、量化(hua)工(gong)(gong)作(zuo)(zuo)(zuo)(zuo)(zuo)目(mu)標。

    國(guo)有(you)資(zi)產(chan)管理(li)體制改革(ge)受(shou)到社會各(ge)方(fang)面的(de)廣泛關(guan)注,國(guo)有(you)企業改革(ge)是一項廣泛而深刻的(de)變革(ge)。推進國(guo)有(you)資(zi)產(chan)管理(li)體制改革(ge)和(he)國(guo)有(you)企業改革(ge),需(xu)要(yao)一個(ge)良好(hao)的(de)外部環境(jing)。這就要(yao)求我(wo)們必須(xu)認真處理(li)好(hao)與各(ge)方(fang)面的(de)關(guan)系。

    一是(shi)(shi)要進一步加(jia)快國(guo)有資(zi)產(chan)法(fa)(fa)(fa)(fa)(fa)律(lv)(lv)(lv)、法(fa)(fa)(fa)(fa)(fa)規(gui)(gui)的制定和完善(shan)(shan)。完善(shan)(shan)的法(fa)(fa)(fa)(fa)(fa)律(lv)(lv)(lv)、法(fa)(fa)(fa)(fa)(fa)規(gui)(gui)是(shi)(shi)依法(fa)(fa)(fa)(fa)(fa)履(lv)行(xing)出(chu)資(zi)人職責的前提(ti)和保障,目前,我國(guo)已經形成了以(yi)《公(gong)司法(fa)(fa)(fa)(fa)(fa)》、《企業法(fa)(fa)(fa)(fa)(fa)》、《條例》為主(zhu)要依據(ju)的規(gui)(gui)范(fan)出(chu)資(zi)人職責和國(guo)有資(zi)產(chan)監管的法(fa)(fa)(fa)(fa)(fa)律(lv)(lv)(lv)、法(fa)(fa)(fa)(fa)(fa)規(gui)(gui),為國(guo)資(zi)委(wei)履(lv)行(xing)出(chu)資(zi)人職責提(ti)供(gong)了基本依據(ju)。但是(shi)(shi),由于國(guo)有獨資(zi)企業仍然是(shi)(shi)我國(guo)企業的主(zhu)體部分,國(guo)有資(zi)產(chan)管理工作(zuo)(zuo)正在逐步探索之中,新問題和新情況層出(chu)不窮。因此,要逐步完善(shan)(shan)有關法(fa)(fa)(fa)(fa)(fa)律(lv)(lv)(lv)、法(fa)(fa)(fa)(fa)(fa)規(gui)(gui),形成符(fu)合市場經濟(ji)規(gui)(gui)律(lv)(lv)(lv)的法(fa)(fa)(fa)(fa)(fa)律(lv)(lv)(lv)規(gui)(gui)范(fan),為依法(fa)(fa)(fa)(fa)(fa)履(lv)行(xing)出(chu)資(zi)人職責提(ti)供(gong)更加(jia)切實的法(fa)(fa)(fa)(fa)(fa)律(lv)(lv)(lv)依據(ju),為國(guo)資(zi)委(wei)的工作(zuo)(zuo)創造(zao)良好的法(fa)(fa)(fa)(fa)(fa)律(lv)(lv)(lv)環境。

    二是要(yao)積(ji)極爭取全國(guo)人大(da)和(he)國(guo)務(wu)院領導(dao)的關心和(he)支(zhi)持。國(guo)資委(wei)(wei)作為(wei)國(guo)務(wu)院特設機構(gou),國(guo)資委(wei)(wei)黨委(wei)(wei)作為(wei)黨的一(yi)級組織,法律法規明確我們行使的權限,我們要(yao)認真履行;不(bu)明確的要(yao)多匯報(bao)、多請示,重大(da)問題要(yao)及時(shi)(shi)報(bao)告(gao),使黨中央和(he)國(guo)務(wu)院領導(dao)對我們的工作有更好的了解,并及時(shi)(shi)給(gei)予指示。

    三是(shi)(shi)要(yao)爭(zheng)取(qu)政(zheng)(zheng)(zheng)(zheng)府(fu)有(you)(you)(you)關(guan)部(bu)(bu)(bu)(bu)門(men)的(de)(de)(de)(de)(de)(de)理(li)解(jie)、支持(chi)(chi)和(he)配合。國(guo)資(zi)(zi)(zi)(zi)委(wei)的(de)(de)(de)(de)(de)(de)工作(zuo)(zuo)涉及到政(zheng)(zheng)(zheng)(zheng)府(fu)的(de)(de)(de)(de)(de)(de)許多部(bu)(bu)(bu)(bu)門(men),無(wu)論是(shi)(shi)國(guo)有(you)(you)(you)資(zi)(zi)(zi)(zi)產(chan)(chan)管(guan)(guan)(guan)(guan)(guan)理(li)體制(zhi)(zhi)(zhi)改(gai)革(ge)還是(shi)(shi)國(guo)有(you)(you)(you)企(qi)(qi)業(ye)改(gai)革(ge),離開政(zheng)(zheng)(zheng)(zheng)府(fu)的(de)(de)(de)(de)(de)(de)有(you)(you)(you)關(guan)部(bu)(bu)(bu)(bu)門(men)都很(hen)難推(tui)進,我們(men)要(yao)主動工作(zuo)(zuo),認真(zhen)聽取(qu)他們(men)的(de)(de)(de)(de)(de)(de)意見,做(zuo)好(hao)解(jie)釋(shi)和(he)說(shuo)明(ming)工作(zuo)(zuo),爭(zheng)取(qu)他們(men)更多的(de)(de)(de)(de)(de)(de)支持(chi)(chi)和(he)配合。政(zheng)(zheng)(zheng)(zheng)府(fu)的(de)(de)(de)(de)(de)(de)社(she)(she)會(hui)(hui)公共管(guan)(guan)(guan)(guan)(guan)理(li)職(zhi)能與國(guo)有(you)(you)(you)資(zi)(zi)(zi)(zi)產(chan)(chan)出(chu)資(zi)(zi)(zi)(zi)人(ren)職(zhi)能分開,是(shi)(shi)深化國(guo)有(you)(you)(you)資(zi)(zi)(zi)(zi)產(chan)(chan)管(guan)(guan)(guan)(guan)(guan)理(li)體制(zhi)(zhi)(zhi)改(gai)革(ge)的(de)(de)(de)(de)(de)(de)重(zhong)要(yao)原(yuan)則,也(ye)是(shi)(shi)政(zheng)(zheng)(zheng)(zheng)府(fu)行政(zheng)(zheng)(zheng)(zheng)管(guan)(guan)(guan)(guan)(guan)理(li)體制(zhi)(zhi)(zhi)改(gai)革(ge)的(de)(de)(de)(de)(de)(de)重(zhong)要(yao)內容。國(guo)資(zi)(zi)(zi)(zi)委(wei)不行使(shi)政(zheng)(zheng)(zheng)(zheng)府(fu)的(de)(de)(de)(de)(de)(de)社(she)(she)會(hui)(hui)公共管(guan)(guan)(guan)(guan)(guan)理(li)職(zhi)能,政(zheng)(zheng)(zheng)(zheng)府(fu)其他機(ji)(ji)構、部(bu)(bu)(bu)(bu)門(men)也(ye)不履行企(qi)(qi)業(ye)國(guo)有(you)(you)(you)資(zi)(zi)(zi)(zi)產(chan)(chan)出(chu)資(zi)(zi)(zi)(zi)人(ren)職(zhi)責,國(guo)資(zi)(zi)(zi)(zi)委(wei)要(yao)按照這一(yi)要(yao)求(qiu)努力做(zuo)好(hao)自(zi)己的(de)(de)(de)(de)(de)(de)工作(zuo)(zuo)。首先要(yao)處(chu)理(li)好(hao)與財政(zheng)(zheng)(zheng)(zheng)部(bu)(bu)(bu)(bu)的(de)(de)(de)(de)(de)(de)關(guan)系,貫徹黨的(de)(de)(de)(de)(de)(de)十(shi)六(liu)屆三中(zhong)全會(hui)(hui)提出(chu)的(de)(de)(de)(de)(de)(de)關(guan)于建立國(guo)有(you)(you)(you)資(zi)(zi)(zi)(zi)本經(jing)(jing)營預算制(zhi)(zhi)(zhi)度(du)的(de)(de)(de)(de)(de)(de)要(yao)求(qiu),會(hui)(hui)同(tong)財政(zheng)(zheng)(zheng)(zheng)部(bu)(bu)(bu)(bu)組織(zhi)力量(liang)開展調(diao)查研究,盡快提出(chu)工作(zuo)(zuo)方案,盡快確定框(kuang)架制(zhi)(zhi)(zhi)度(du),以實現(xian)(xian)存(cun)量(liang)資(zi)(zi)(zi)(zi)產(chan)(chan)調(diao)整和(he)增量(liang)資(zi)(zi)(zi)(zi)產(chan)(chan)調(diao)整的(de)(de)(de)(de)(de)(de)有(you)(you)(you)效結合,不斷提高(gao)國(guo)有(you)(you)(you)經(jing)(jing)濟戰略性調(diao)整的(de)(de)(de)(de)(de)(de)力度(du)和(he)水平(ping)。其次,要(yao)處(chu)理(li)好(hao)與中(zhong)組部(bu)(bu)(bu)(bu)的(de)(de)(de)(de)(de)(de)關(guan)系。探(tan)(tan)索建立堅持(chi)(chi)黨管(guan)(guan)(guan)(guan)(guan)干部(bu)(bu)(bu)(bu)原(yuan)則與市場化選(xuan)(xuan)聘(pin)企(qi)(qi)業(ye)經(jing)(jing)營管(guan)(guan)(guan)(guan)(guan)理(li)者相結合的(de)(de)(de)(de)(de)(de)新機(ji)(ji)制(zhi)(zhi)(zhi),是(shi)(shi)國(guo)有(you)(you)(you)企(qi)(qi)業(ye)改(gai)革(ge)的(de)(de)(de)(de)(de)(de)重(zhong)要(yao)內容,也(ye)是(shi)(shi)企(qi)(qi)業(ye)自(zi)身發(fa)展的(de)(de)(de)(de)(de)(de)客觀需要(yao)。黨的(de)(de)(de)(de)(de)(de)十(shi)五(wu)屆四(si)中(zhong)全會(hui)(hui)、十(shi)六(liu)屆三中(zhong)全會(hui)(hui)都明(ming)確強(qiang)調(diao),要(yao)積極探(tan)(tan)索適應現(xian)(xian)代企(qi)(qi)業(ye)制(zhi)(zhi)(zhi)度(du)要(yao)求(qiu)的(de)(de)(de)(de)(de)(de)選(xuan)(xuan)人(ren)用人(ren)新機(ji)(ji)制(zhi)(zhi)(zhi),把組織(zhi)推(tui)薦和(he)引入市場機(ji)(ji)制(zhi)(zhi)(zhi)、公開向(xiang)社(she)(she)會(hui)(hui)招聘(pin)結合起來(lai),把黨管(guan)(guan)(guan)(guan)(guan)干部(bu)(bu)(bu)(bu)原(yuan)則和(he)董事(shi)會(hui)(hui)依法選(xuan)(xuan)擇(ze)經(jing)(jing)營管(guan)(guan)(guan)(guan)(guan)理(li)者結合進來(lai)。

    四(si)是處理好與地方國(guo)(guo)(guo)(guo)(guo)(guo)資(zi)(zi)委的(de)(de)(de)(de)(de)關系(xi)。進(jin)一步(bu)搞(gao)好國(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)企業,推進(jin)國(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)經濟布局(ju)和結(jie)構(gou)(gou)(gou)(gou)的(de)(de)(de)(de)(de)戰略性(xing)調整,發展和壯大國(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)經濟,實現(xian)(xian)國(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)資(zi)(zi)產(chan)保值增值,是各級(ji)國(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)資(zi)(zi)產(chan)監(jian)(jian)(jian)(jian)(jian)管(guan)(guan)(guan)(guan)(guan)機構(gou)(gou)(gou)(gou)的(de)(de)(de)(de)(de)共同任務,共同職(zhi)責。各級(ji)國(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)資(zi)(zi)產(chan)監(jian)(jian)(jian)(jian)(jian)管(guan)(guan)(guan)(guan)(guan)機構(gou)(gou)(gou)(gou)分別(bie)代表國(guo)(guo)(guo)(guo)(guo)(guo)家履行(xing)出資(zi)(zi)人職(zhi)責,對本級(ji)政府負責。上(shang)(shang)級(ji)政府國(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)資(zi)(zi)產(chan)監(jian)(jian)(jian)(jian)(jian)管(guan)(guan)(guan)(guan)(guan)機構(gou)(gou)(gou)(gou)依法(fa)(fa)對下(xia)級(ji)政府的(de)(de)(de)(de)(de)國(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)資(zi)(zi)產(chan)監(jian)(jian)(jian)(jian)(jian)管(guan)(guan)(guan)(guan)(guan)工作進(jin)行(xing)指(zhi)導和監(jian)(jian)(jian)(jian)(jian)督(du);下(xia)級(ji)國(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)資(zi)(zi)產(chan)監(jian)(jian)(jian)(jian)(jian)管(guan)(guan)(guan)(guan)(guan)機構(gou)(gou)(gou)(gou)必須(xu)(xu)嚴格執行(xing)國(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)資(zi)(zi)產(chan)監(jian)(jian)(jian)(jian)(jian)督(du)管(guan)(guan)(guan)(guan)(guan)理的(de)(de)(de)(de)(de)法(fa)(fa)律法(fa)(fa)規(gui)(gui),自(zi)覺接受上(shang)(shang)級(ji)國(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)資(zi)(zi)產(chan)監(jian)(jian)(jian)(jian)(jian)管(guan)(guan)(guan)(guan)(guan)機構(gou)(gou)(gou)(gou)的(de)(de)(de)(de)(de)指(zhi)導和監(jian)(jian)(jian)(jian)(jian)督(du)。這種指(zhi)導和監(jian)(jian)(jian)(jian)(jian)督(du)主要體(ti)現(xian)(xian)在(zai)三個方面。一是上(shang)(shang)級(ji)監(jian)(jian)(jian)(jian)(jian)管(guan)(guan)(guan)(guan)(guan)機構(gou)(gou)(gou)(gou)制(zhi)(zhi)定的(de)(de)(de)(de)(de)國(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)資(zi)(zi)產(chan)監(jian)(jian)(jian)(jian)(jian)管(guan)(guan)(guan)(guan)(guan)的(de)(de)(de)(de)(de)規(gui)(gui)章(zhang)制(zhi)(zhi)度(du)(du),下(xia)級(ji)國(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)資(zi)(zi)產(chan)監(jian)(jian)(jian)(jian)(jian)管(guan)(guan)(guan)(guan)(guan)機構(gou)(gou)(gou)(gou)必須(xu)(xu)嚴格執行(xing),下(xia)級(ji)國(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)資(zi)(zi)產(chan)監(jian)(jian)(jian)(jian)(jian)管(guan)(guan)(guan)(guan)(guan)機構(gou)(gou)(gou)(gou)制(zhi)(zhi)定的(de)(de)(de)(de)(de)規(gui)(gui)章(zhang)制(zhi)(zhi)度(du)(du)不得(de)與上(shang)(shang)級(ji)監(jian)(jian)(jian)(jian)(jian)管(guan)(guan)(guan)(guan)(guan)機構(gou)(gou)(gou)(gou)制(zhi)(zhi)定的(de)(de)(de)(de)(de)規(gui)(gui)章(zhang)制(zhi)(zhi)度(du)(du)相違(wei)背。二是上(shang)(shang)級(ji)國(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)資(zi)(zi)產(chan)監(jian)(jian)(jian)(jian)(jian)管(guan)(guan)(guan)(guan)(guan)機構(gou)(gou)(gou)(gou)對國(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)企業改(gai)革和重(zhong)組(zu)負有(you)(you)(you)指(zhi)導職(zhi)能,對企業改(gai)制(zhi)(zhi)中出現(xian)(xian)的(de)(de)(de)(de)(de)不規(gui)(gui)范做(zuo)法(fa)(fa)可以進(jin)行(xing)檢查和糾正(zheng)。三是涉及國(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)資(zi)(zi)產(chan)監(jian)(jian)(jian)(jian)(jian)管(guan)(guan)(guan)(guan)(guan)的(de)(de)(de)(de)(de)基礎工作的(de)(de)(de)(de)(de)管(guan)(guan)(guan)(guan)(guan)理制(zhi)(zhi)度(du)(du)必須(xu)(xu)統一,必須(xu)(xu)嚴格執行(xing)。各級(ji)國(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)資(zi)(zi)產(chan)監(jian)(jian)(jian)(jian)(jian)管(guan)(guan)(guan)(guan)(guan)機構(gou)(gou)(gou)(gou)要切實負起(qi)責任,共同實現(xian)(xian)國(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)資(zi)(zi)產(chan)保值增值。

    五是要加強與新聞(wen)媒(mei)體(ti)和(he)(he)(he)(he)社(she)會各界(jie)的(de)(de)溝通和(he)(he)(he)(he)交流(liu)。自(zi)國資委(wei)組建以來,新聞(wen)媒(mei)體(ti)和(he)(he)(he)(he)社(she)會各界(jie)對國資委(wei)高度(du)關注。一(yi)方(fang)面,我們(men)要進一(yi)步(bu)做好(hao)自(zi)身的(de)(de)各項工(gong)作,另(ling)一(yi)方(fang)面,我們(men)要更加重視和(he)(he)(he)(he)更好(hao)發揮新聞(wen)媒(mei)體(ti)的(de)(de)導向作用,認真傾聽和(he)(he)(he)(he)積極吸取社(she)會各方(fang)面的(de)(de)意見,使我們(men)制定的(de)(de)政策和(he)(he)(he)(he)出臺的(de)(de)措施能夠得(de)到廣(guang)泛支持(chi)和(he)(he)(he)(he)理解,為深化(hua)國有資產管理體(ti)制改革和(he)(he)(he)(he)國有企業改革創(chuang)造(zao)良好(hao)的(de)(de)輿論環境。
