堅持點面結合 搭建完善的董事會運作體系
國藥(yao)集團貫徹落實“兩個一(yi)以貫之”要求,加快(kuai)構建中國特色現代(dai)企業制度(du),不斷推進董事(shi)會與其他治理主體規范運作(zuo)、同向發力(li)。
著力完(wan)善“三重一(yi)(yi)大”決策(ce)體(ti)系。積(ji)極探索加強黨(dang)的(de)領導(dao)與完(wan)善公司治理(li)(li)相統(tong)一(yi)(yi)的(de)有(you)效(xiao)途徑,系統(tong)梳理(li)(li)不同治理(li)(li)主(zhu)體(ti)間權責關系,明確界定(ding)黨(dang)委(wei)、董事(shi)會(hui)和經理(li)(li)層的(de)功能定(ding)位,并結(jie)合實際研究制定(ding)“三重一(yi)(yi)大”決策(ce)事(shi)項清單(dan),細化黨(dang)委(wei)前置研究與董事(shi)會(hui)、經理(li)(li)層決策(ce)的(de)有(you)序銜接(jie),進一(yi)(yi)步理(li)(li)順決策(ce)流程,逐步形成了黨(dang)委(wei)、董事(shi)會(hui)、經理(li)(li)層權責法定(ding)、權責透明、協調運轉(zhuan)、有(you)效(xiao)制衡的(de)法人治理(li)(li)結(jie)構。
著力(li)健全完善董(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)制度(du)體(ti)系。對標對表國(guo)務院國(guo)資委(wei)出臺的(de)一系列政策(ce)法(fa)規(gui)(gui),加(jia)強頂(ding)層設計,建立健全保(bao)障董(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)規(gui)(gui)范高效運行的(de)“1+M+N”制度(du)體(ti)系。“1”即《公(gong)司章程》,是國(guo)藥集團(tuan)各治理主體(ti)運作的(de)根(gen)本法(fa)則;“M”包括《股東(dong)會(hui)(hui)(hui)議(yi)事(shi)(shi)規(gui)(gui)則》《董(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)議(yi)事(shi)(shi)規(gui)(gui)則》《董(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)專業委(wei)員會(hui)(hui)(hui)工作規(gui)(gui)則》《總(zong)經理辦(ban)(ban)公(gong)室議(yi)事(shi)(shi)規(gui)(gui)則》,突出董(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)的(de)經營(ying)決策(ce)主體(ti)定位;“N”包括《董(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)授權管理辦(ban)(ban)法(fa)》《董(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)提案(an)管理辦(ban)(ban)法(fa)》《董(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)決議(yi)事(shi)(shi)項督辦(ban)(ban)制度(du)》以及(ji)涉及(ji)董(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)職權的(de)戰略管理、風險管理、債務管理、投資管理等(deng)制度(du)。各項制度(du)相互銜接、相互對應,從不同維度(du)和層面為(wei)董(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)履職行權提供(gong)了制度(du)保(bao)障。
著力推進董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)(shi)(shi)會(hui)決(jue)(jue)策(ce)閉(bi)環管理(li)。規(gui)(gui)范(fan)會(hui)議(yi)(yi)(yi)安(an)排,每(mei)年制定(ding)發(fa)布董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)(shi)(shi)會(hui)年度會(hui)議(yi)(yi)(yi)計(ji)劃,將董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)(shi)(shi)會(hui)固(gu)定(ding)審(shen)議(yi)(yi)(yi)事(shi)(shi)(shi)(shi)(shi)(shi)項(xiang)(xiang)(xiang)細化明確到具體月份(fen),一體聯動,做(zuo)好相(xiang)關(guan)前(qian)置決(jue)(jue)策(ce)程(cheng)序(xu)安(an)排,除緊(jin)急(ji)事(shi)(shi)(shi)(shi)(shi)(shi)項(xiang)(xiang)(xiang)和特殊情況外,減少召(zhao)開臨(lin)時會(hui)議(yi)(yi)(yi)或避免傳簽審(shen)議(yi)(yi)(yi)重大投資事(shi)(shi)(shi)(shi)(shi)(shi)項(xiang)(xiang)(xiang)。規(gui)(gui)范(fan)提(ti)案管理(li),董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)(shi)(shi)會(hui)決(jue)(jue)策(ce)事(shi)(shi)(shi)(shi)(shi)(shi)項(xiang)(xiang)(xiang)嚴格按照有關(guan)規(gui)(gui)定(ding),履行黨委(wei)前(qian)置研(yan)究程(cheng)序(xu)和法律審(shen)核程(cheng)序(xu),相(xiang)關(guan)前(qian)置審(shen)核意見如實向(xiang)董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)(shi)(shi)會(hui)報(bao)告;圍繞董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)(shi)(shi)會(hui)關(guan)注(zhu)點(dian)(dian)和審(shen)議(yi)(yi)(yi)點(dian)(dian),不斷強化董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)(shi)(shi)會(hui)提(ti)案內容(rong)和形式審(shen)查,保(bao)障科學決(jue)(jue)策(ce)。規(gui)(gui)范(fan)決(jue)(jue)議(yi)(yi)(yi)督辦,建(jian)立(li)董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)(shi)(shi)會(hui)決(jue)(jue)議(yi)(yi)(yi)執(zhi)行情況臺賬(zhang),定(ding)期跟蹤直至決(jue)(jue)議(yi)(yi)(yi)事(shi)(shi)(shi)(shi)(shi)(shi)項(xiang)(xiang)(xiang)完結或中止。董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)(shi)(shi)會(hui)每(mei)半年集(ji)中聽取(qu)決(jue)(jue)議(yi)(yi)(yi)事(shi)(shi)(shi)(shi)(shi)(shi)項(xiang)(xiang)(xiang)執(zhi)行情況,對實施中存(cun)在的(de)問題及時提(ti)出整改要求,強化督導落實。
堅持內外融合 增強外部董事履職保障能力
國(guo)藥集團(tuan)作為股(gu)權多元化中央企(qi)業,董(dong)事會成員中,6名外(wai)(wai)部董(dong)事代表了三方股(gu)東意志。集團(tuan)高度重視(shi)外(wai)(wai)部董(dong)事履職支(zhi)撐(cheng)保(bao)障,通(tong)過(guo)探(tan)索建立(li)一系列工作機制,保(bao)障外(wai)(wai)部董(dong)事履職盡責(ze),從而(er)有效(xiao)發揮(hui)各方優勢,確保(bao)各方股(gu)東權益。
認真做好外部(bu)董事(shi)(shi)調(diao)(diao)(diao)研工作(zuo)。圍繞集(ji)團(tuan)發展戰略實(shi)施、重大(da)決策執行落(luo)實(shi)等重點,科(ke)學(xue)合理制定董事(shi)(shi)會(hui)年度調(diao)(diao)(diao)研計劃,每年組(zu)織3-5次(ci)跨區域(yu)、跨業(ye)(ye)態的(de)(de)集(ji)中(zhong)式調(diao)(diao)(diao)研,確保外部(bu)董事(shi)(shi)能(neng)夠全面掌(zhang)握國藥集(ji)團(tuan)下屬企業(ye)(ye)落(luo)實(shi)集(ji)團(tuan)重大(da)決策和(he)(he)工作(zuo)部(bu)署情況以及(ji)深入了解基層(ceng)企業(ye)(ye)生產經(jing)營現狀;同時,根據外部(bu)董事(shi)(shi)專業(ye)(ye)背景、關(guan)注領域(yu)及(ji)個(ge)人意愿,或(huo)結合外部(bu)董事(shi)(shi)在董事(shi)(shi)會(hui)上(shang)提(ti)出(chu)的(de)(de)意見(jian),有針(zhen)對性地開(kai)展專題性調(diao)(diao)(diao)研,加深對行業(ye)(ye)和(he)(he)企業(ye)(ye)的(de)(de)認知,基本上(shang)實(shi)現外部(bu)董事(shi)(shi)任(ren)職三年內調(diao)(diao)(diao)研范圍覆蓋主(zhu)責主(zhu)業(ye)(ye)和(he)(he)重點企業(ye)(ye)。對調(diao)(diao)(diao)研中(zhong)外部(bu)董事(shi)(shi)提(ti)出(chu)的(de)(de)意見(jian)建(jian)議,通過(guo)編制調(diao)(diao)(diao)研報告(gao)向經(jing)理層(ceng)反饋(kui),經(jing)理層(ceng)高度重視,組(zu)織有關(guan)單位迅速落(luo)實(shi),有力增強了董事(shi)(shi)會(hui)權(quan)威性和(he)(he)有效性。
認真做好(hao)信息(xi)支撐服務工作。為使外部(bu)董(dong)(dong)事(shi)能夠及時(shi)獲取(qu)履職所(suo)需的(de)有(you)關信息(xi),確保(bao)(bao)董(dong)(dong)事(shi)會決策(ce)的(de)科(ke)學性、有(you)效性,集團重視加強(qiang)對外部(bu)董(dong)(dong)事(shi)的(de)決策(ce)信息(xi)支持力度,提(ti)供(gong)專門的(de)辦公場所(suo),定期整(zheng)理上級單位(wei)的(de)監(jian)管文(wen)件、領導(dao)講話、重要會議(yi)和(he)指(zhi)示批示精神(shen),安排外部(bu)董(dong)(dong)事(shi)閱讀(du)學習。積(ji)極拓展企業信息(xi)渠道,集各業務部(bu)門之力,向外部(bu)董(dong)(dong)事(shi)定期報(bao)(bao)送財(cai)務分(fen)析報(bao)(bao)告(gao)(gao)、風險運營分(fen)析報(bao)(bao)告(gao)(gao)、內審(shen)工作報(bao)(bao)告(gao)(gao)、法治建(jian)設報(bao)(bao)告(gao)(gao)等資(zi)料,便(bian)于(yu)外部(bu)董(dong)(dong)事(shi)及時(shi)掌握企業工作動(dong)態、財(cai)務數據、各板塊經(jing)營情況(kuang)、改革發展等信息(xi),提(ti)高內外部(bu)董(dong)(dong)事(shi)決策(ce)信息(xi)對稱性,保(bao)(bao)障(zhang)董(dong)(dong)事(shi)會科(ke)學決策(ce)。
認真做好重(zhong)(zhong)大事(shi)(shi)(shi)(shi)(shi)(shi)(shi)項(xiang)溝(gou)通報告(gao)。董(dong)事(shi)(shi)(shi)(shi)(shi)(shi)(shi)長(chang)高度重(zhong)(zhong)視與(yu)外(wai)(wai)部董(dong)事(shi)(shi)(shi)(shi)(shi)(shi)(shi)的(de)溝(gou)通交流(liu),每次(ci)召開董(dong)事(shi)(shi)(shi)(shi)(shi)(shi)(shi)會(hui)定期(qi)(qi)會(hui)議時,向(xiang)外(wai)(wai)部董(dong)事(shi)(shi)(shi)(shi)(shi)(shi)(shi)介紹(shao)近(jin)期(qi)(qi)改(gai)革發展(zhan)、經(jing)(jing)(jing)營管理、重(zhong)(zhong)點工作(zuo)(zuo)進(jin)展(zhan)等情況,聽取外(wai)(wai)部董(dong)事(shi)(shi)(shi)(shi)(shi)(shi)(shi)意(yi)見建議。經(jing)(jing)(jing)營班子在日常(chang)工作(zuo)(zuo)中主(zhu)動向(xiang)外(wai)(wai)部董(dong)事(shi)(shi)(shi)(shi)(shi)(shi)(shi)報告(gao)分管領域工作(zuo)(zuo)情況,共(gong)同(tong)探討企(qi)業改(gai)革發展(zhan)重(zhong)(zhong)大事(shi)(shi)(shi)(shi)(shi)(shi)(shi)項(xiang),凝聚推動企(qi)業發展(zhan)合力。注重(zhong)(zhong)決(jue)策(ce)的(de)科(ke)學性,決(jue)策(ce)重(zhong)(zhong)大經(jing)(jing)(jing)營管理事(shi)(shi)(shi)(shi)(shi)(shi)(shi)項(xiang)前,董(dong)事(shi)(shi)(shi)(shi)(shi)(shi)(shi)長(chang)或董(dong)事(shi)(shi)(shi)(shi)(shi)(shi)(shi)會(hui)秘書組織(zhi)相(xiang)關單位向(xiang)外(wai)(wai)部董(dong)事(shi)(shi)(shi)(shi)(shi)(shi)(shi)分別介紹(shao)情況,充分交流(liu)意(yi)見和看法,形成初步(bu)共(gong)識后再上(shang)會(hui)決(jue)策(ce);積(ji)極營造民(min)主(zhu)務實的(de)董(dong)事(shi)(shi)(shi)(shi)(shi)(shi)(shi)會(hui)文化,支持外(wai)(wai)部董(dong)事(shi)(shi)(shi)(shi)(shi)(shi)(shi)充分發表意(yi)見、獨立判斷(duan),對于外(wai)(wai)部董(dong)事(shi)(shi)(shi)(shi)(shi)(shi)(shi)提出(chu)意(yi)見較多的(de)事(shi)(shi)(shi)(shi)(shi)(shi)(shi)項(xiang),內部董(dong)事(shi)(shi)(shi)(shi)(shi)(shi)(shi)積(ji)極聽取采(cai)納,并將有(you)關意(yi)見作(zuo)(zuo)為(wei)決(jue)議執(zhi)行的(de)必要條件,確保決(jue)策(ce)實效。
堅持上下貫通 推動子公司董事會規范運作
國藥集團始終把子(zi)(zi)公(gong)司董(dong)(dong)事(shi)(shi)會建設作為完善治理(li)結構、提升(sheng)治理(li)能力的(de)重要環(huan)節和抓手(shou),持續推動子(zi)(zi)公(gong)司加(jia)強(qiang)董(dong)(dong)事(shi)(shi)會建設,落實子(zi)(zi)公(gong)司董(dong)(dong)事(shi)(shi)會職權,優化子(zi)(zi)公(gong)司董(dong)(dong)事(shi)(shi)會運(yun)作機(ji)制(zhi),努力打造(zao)具有國藥特(te)色的(de)母(mu)子(zi)(zi)公(gong)司治理(li)體系。
以提(ti)升決(jue)策效(xiao)(xiao)率為目標(biao),有序開展董(dong)(dong)(dong)事會(hui)(hui)授(shou)權(quan)工作。規范董(dong)(dong)(dong)事會(hui)(hui)授(shou)權(quan)管理,在堅持依法(fa)合(he)規、權(quan)責(ze)對(dui)等、科學適度、風險可控的(de)(de)(de)原則下,逐步加大對(dui)二(er)級公司(si)董(dong)(dong)(dong)事會(hui)(hui)的(de)(de)(de)授(shou)權(quan)力度;并(bing)根據各公司(si)經營管理狀況(kuang)、資(zi)產負(fu)債規模(mo)與資(zi)產質量、業務負(fu)荷程度、風險控制(zhi)能(neng)力等,實施差異化授(shou)權(quan)。同時(shi),強(qiang)化授(shou)權(quan)后的(de)(de)(de)監督管理,定(ding)期對(dui)二(er)級公司(si)董(dong)(dong)(dong)事會(hui)(hui)決(jue)策的(de)(de)(de)規范性、有效(xiao)(xiao)性進行檢查和評估,綜(zong)合(he)考慮(lv)治理水平、行權(quan)效(xiao)(xiao)果(guo)等情況(kuang),動態(tai)調(diao)整對(dui)二(er)級公司(si)的(de)(de)(de)授(shou)權(quan)事項清單,有效(xiao)(xiao)提(ti)升二(er)級公司(si)董(dong)(dong)(dong)事會(hui)(hui)決(jue)策質量和效(xiao)(xiao)率。
以提升管控水平(ping)為根本,扎實(shi)推進(jin)董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)(hui)應(ying)建(jian)盡(jin)建(jian)。根據國(guo)務(wu)院國(guo)資(zi)委關(guan)于中(zhong)央企(qi)(qi)業加強子(zi)企(qi)(qi)業董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)(hui)建(jian)設的(de)有關(guan)要求(qiu),結合(he)企(qi)(qi)業實(shi)際,印發《加強子(zi)公(gong)司(si)(si)董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)(hui)建(jian)設工(gong)作(zuo)方案》,明(ming)確各(ge)級(ji)企(qi)(qi)業董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)(hui)應(ying)建(jian)盡(jin)建(jian)的(de)原則和范(fan)圍,經過(guo)系統性排查和梳理,形成(cheng)《集(ji)團所(suo)屬應(ying)建(jian)董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)(hui)企(qi)(qi)業清(qing)單》,通過(guo)建(jian)立工(gong)作(zuo)臺(tai)賬,定(ding)期核實(shi)數據、逐項(xiang)銷號(hao),大力推進(jin)各(ge)級(ji)企(qi)(qi)業董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)(hui)應(ying)建(jian)盡(jin)建(jian)。截至2021年底,納入(ru)應(ying)建(jian)范(fan)圍的(de)195戶(hu)子(zi)企(qi)(qi)業已全部(bu)建(jian)立董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)(hui)。同時,配套開展配齊建(jian)強工(gong)作(zuo),積極拓寬外(wai)(wai)部(bu)董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)來源渠道(dao),在全系統大力實(shi)施(shi)外(wai)(wai)部(bu)董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)制(zhi)度,1戶(hu)二級(ji)公(gong)司(si)(si)修訂公(gong)司(si)(si)章程,增補一名外(wai)(wai)部(bu)董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)到位(wei);1戶(hu)二級(ji)公(gong)司(si)(si)結合(he)所(suo)處行業特點,引進(jin)一名行業經驗(yan)豐(feng)富(fu)的(de)外(wai)(wai)部(bu)董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)到位(wei)。截至2021年底,集(ji)團應(ying)建(jian)盡(jin)建(jian)企(qi)(qi)業已全部(bu)實(shi)現(xian)董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)(hui)外(wai)(wai)部(bu)董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)占(zhan)多數。
