黨中央(yang)、國(guo)(guo)(guo)務院(yuan)在日前(qian)印發(fa)的《關于深化(hua)國(guo)(guo)(guo)有(you)企(qi)業改革(ge)的指(zhi)導意(yi)(yi)見》(以下簡稱(cheng)《指(zhi)導意(yi)(yi)見》)中明(ming)確指(zhi)出(chu),要完善國(guo)(guo)(guo)有(you)資(zi)(zi)產(chan)(chan)管(guan)(guan)理(li)體制(zhi),以管(guan)(guan)資(zi)(zi)本(ben)為(wei)(wei)(wei)主(zhu)(zhu)推(tui)進(jin)國(guo)(guo)(guo)有(you)資(zi)(zi)產(chan)(chan)監(jian)管(guan)(guan)機構(gou)職能轉(zhuan)變(bian),以管(guan)(guan)資(zi)(zi)本(ben)為(wei)(wei)(wei)主(zhu)(zhu)改革(ge)國(guo)(guo)(guo)有(you)資(zi)(zi)本(ben)授權(quan)經(jing)營體制(zhi),以管(guan)(guan)資(zi)(zi)本(ben)為(wei)(wei)(wei)主(zhu)(zhu)推(tui)動國(guo)(guo)(guo)有(you)資(zi)(zi)本(ben)合理(li)流動優(you)化(hua)配置,以管(guan)(guan)資(zi)(zi)本(ben)為(wei)(wei)(wei)主(zhu)(zhu)推(tui)進(jin)經(jing)營性國(guo)(guo)(guo)有(you)資(zi)(zi)產(chan)(chan)集中統一監(jian)管(guan)(guan)。這對于推(tui)動國(guo)(guo)(guo)有(you)企(qi)業真正成(cheng)為(wei)(wei)(wei)獨立市場主(zhu)(zhu)體,增強(qiang)國(guo)(guo)(guo)有(you)經(jing)濟整體功能和效率,維護國(guo)(guo)(guo)有(you)資(zi)(zi)產(chan)(chan)安全,具有(you)十分重要的意(yi)(yi)義。我們要深入學習領會和貫徹落實文件要求(qiu),扎實推(tui)進(jin)完善國(guo)(guo)(guo)有(you)資(zi)(zi)產(chan)(chan)管(guan)(guan)理(li)體制(zhi)、以管(guan)(guan)資(zi)(zi)本(ben)為(wei)(wei)(wei)主(zhu)(zhu)加(jia)強(qiang)國(guo)(guo)(guo)有(you)資(zi)(zi)產(chan)(chan)監(jian)管(guan)(guan)的各項工作,為(wei)(wei)(wei)發(fa)展壯(zhuang)大國(guo)(guo)(guo)有(you)經(jing)濟提供堅強(qiang)保障。
一、按照以管資本為主的要求完善國有資產管理體制,推動國有企業真正成為獨立市場主體
改革(ge)(ge)(ge)開(kai)放以(yi)來,國(guo)(guo)有(you)(you)資(zi)(zi)(zi)產(chan)管(guan)(guan)理(li)(li)(li)體(ti)(ti)制(zhi)改革(ge)(ge)(ge)始(shi)終與國(guo)(guo)有(you)(you)企(qi)業改革(ge)(ge)(ge)相(xiang)伴(ban)相(xiang)生、共(gong)同深(shen)化(hua)。黨的十六大(da)在(zai)(zai)(zai)(zai)總結國(guo)(guo)有(you)(you)資(zi)(zi)(zi)產(chan)管(guan)(guan)理(li)(li)(li)體(ti)(ti)制(zhi)實踐經(jing)驗(yan)的基礎上(shang),明確(que)提出(chu):“建立(li)(li)中央(yang)政(zheng)府(fu)和地方政(zheng)府(fu)分別代(dai)表國(guo)(guo)家履行出(chu)資(zi)(zi)(zi)人職責(ze),享有(you)(you)所有(you)(you)者權(quan)(quan)益,權(quan)(quan)利、義務(wu)和責(ze)任相(xiang)統一(yi)(yi),管(guan)(guan)資(zi)(zi)(zi)產(chan)和管(guan)(guan)人、管(guan)(guan)事相(xiang)結合的國(guo)(guo)有(you)(you)資(zi)(zi)(zi)產(chan)管(guan)(guan)理(li)(li)(li)體(ti)(ti)制(zhi)”。2003年3月(yue),國(guo)(guo)務(wu)院(yuan)正式(shi)成立(li)(li)國(guo)(guo)有(you)(you)資(zi)(zi)(zi)產(chan)監(jian)(jian)督管(guan)(guan)理(li)(li)(li)委員(yuan)會(hui),根據(ju)國(guo)(guo)務(wu)院(yuan)的授權(quan)(quan),專門承擔國(guo)(guo)有(you)(you)資(zi)(zi)(zi)產(chan)監(jian)(jian)管(guan)(guan)職責(ze),不承擔社(she)會(hui)公共(gong)管(guan)(guan)理(li)(li)(li)職能(neng)。這(zhe)一(yi)(yi)體(ti)(ti)制(zhi),明確(que)了政(zheng)府(fu)以(yi)出(chu)資(zi)(zi)(zi)方式(shi)管(guan)(guan)理(li)(li)(li)國(guo)(guo)有(you)(you)企(qi)業,在(zai)(zai)(zai)(zai)解決政(zheng)企(qi)不分、國(guo)(guo)有(you)(you)企(qi)業多頭管(guan)(guan)理(li)(li)(li)、“九(jiu)龍治(zhi)水”等(deng)方面邁出(chu)了一(yi)(yi)大(da)步,為(wei)(wei)國(guo)(guo)有(you)(you)企(qi)業成為(wei)(wei)獨立(li)(li)市場主(zhu)體(ti)(ti)奠定(ding)了體(ti)(ti)制(zhi)基礎。但應當看到,在(zai)(zai)(zai)(zai)監(jian)(jian)管(guan)(guan)體(ti)(ti)制(zhi)機制(zhi)方面還存(cun)在(zai)(zai)(zai)(zai)一(yi)(yi)些(xie)問題(ti),一(yi)(yi)定(ding)程度(du)上(shang)制(zhi)約了企(qi)業活力。比如(ru)政(zheng)企(qi)分開(kai)、政(zheng)資(zi)(zi)(zi)分開(kai)還不完(wan)全(quan)到位(wei)(wei)(wei),國(guo)(guo)有(you)(you)資(zi)(zi)(zi)產(chan)監(jian)(jian)管(guan)(guan)工作(zuo)還存(cun)在(zai)(zai)(zai)(zai)越位(wei)(wei)(wei)、缺位(wei)(wei)(wei)、錯位(wei)(wei)(wei)現(xian)象,監(jian)(jian)管(guan)(guan)方式(shi)存(cun)在(zai)(zai)(zai)(zai)一(yi)(yi)定(ding)行政(zheng)化(hua)色彩(cai)。同時,經(jing)過(guo)多年的改革(ge)(ge)(ge)發(fa)展,公司(si)制(zhi)股(gu)份制(zhi)已經(jing)成為(wei)(wei)國(guo)(guo)有(you)(you)企(qi)業的主(zhu)要(yao)組織形(xing)式(shi),企(qi)業的治(zhi)理(li)(li)(li)結構、管(guan)(guan)理(li)(li)(li)方式(shi)都發(fa)生了深(shen)刻變化(hua),這(zhe)在(zai)(zai)(zai)(zai)客觀上(shang)要(yao)求國(guo)(guo)資(zi)(zi)(zi)監(jian)(jian)管(guan)(guan)機構主(zhu)動調整(zheng)完(wan)善監(jian)(jian)管(guan)(guan)職能(neng)和方式(shi),以(yi)管(guan)(guan)資(zi)(zi)(zi)本(ben)為(wei)(wei)主(zhu),注重通過(guo)公司(si)法(fa)人治(zhi)理(li)(li)(li)結構依法(fa)行使國(guo)(guo)有(you)(you)股(gu)東權(quan)(quan)利,實現(xian)對國(guo)(guo)有(you)(you)資(zi)(zi)(zi)產(chan)的有(you)(you)效監(jian)(jian)管(guan)(guan)。
貫徹落實《指(zhi)導意見》要(yao)求,完善(shan)國有(you)資(zi)(zi)產管(guan)理體制,要(yao)以(yi)管(guan)資(zi)(zi)本為(wei)(wei)主(zhu)推進(jin)職能轉(zhuan)變,準確把握依(yi)法履行(xing)出資(zi)(zi)人(ren)職責的定位,科學界(jie)定國有(you)資(zi)(zi)產出資(zi)(zi)人(ren)監管(guan)的邊界(jie),實現以(yi)管(guan)企(qi)(qi)業為(wei)(wei)主(zhu)向以(yi)管(guan)資(zi)(zi)本為(wei)(wei)主(zhu)的轉(zhuan)變,推動國有(you)企(qi)(qi)業真正成為(wei)(wei)獨立市場主(zhu)體,夯實發展壯大國有(you)經濟(ji)的微觀基(ji)礎。
一(yi)是堅持政(zheng)(zheng)(zheng)(zheng)企分開(kai)、政(zheng)(zheng)(zheng)(zheng)資分開(kai)、所(suo)有(you)權(quan)(quan)和經營(ying)權(quan)(quan)分離。政(zheng)(zheng)(zheng)(zheng)府部門依法(fa)(fa)行使公(gong)共(gong)管(guan)(guan)(guan)理(li)(li)職能,從(cong)經濟調節(jie)和社(she)會管(guan)(guan)(guan)理(li)(li)角(jiao)度進行社(she)會公(gong)共(gong)管(guan)(guan)(guan)理(li)(li)。國(guo)有(you)資產監(jian)管(guan)(guan)(guan)機構(gou)作為政(zheng)(zheng)(zheng)(zheng)府直(zhi)屬特設機構(gou),根據授權(quan)(quan)代(dai)表本(ben)級人(ren)民政(zheng)(zheng)(zheng)(zheng)府對監(jian)管(guan)(guan)(guan)企業(ye)依法(fa)(fa)履行出資人(ren)職責(ze),科學界(jie)定國(guo)有(you)資產出資人(ren)監(jian)管(guan)(guan)(guan)的邊(bian)界(jie),專司國(guo)有(you)資產監(jian)管(guan)(guan)(guan),不干預企業(ye)自(zi)主經營(ying)權(quan)(quan)。國(guo)有(you)企業(ye)依法(fa)(fa)享有(you)獨(du)立的法(fa)(fa)人(ren)財(cai)產權(quan)(quan),依法(fa)(fa)自(zi)主經營(ying)、自(zi)負盈虧、自(zi)擔風(feng)險、自(zi)我約束(shu)、自(zi)我發(fa)展。
二是推進國有(you)資(zi)產監(jian)管機構職(zhi)能轉變(bian)。該管的要科學管理、決(jue)不缺位,重點管好國有(you)資(zi)本(ben)(ben)布局(ju)、規范資(zi)本(ben)(ben)運作、提高資(zi)本(ben)(ben)回(hui)報、維護資(zi)本(ben)(ben)安全。不該管的要依(yi)法(fa)(fa)放(fang)權(quan)、決(jue)不越位,將依(yi)法(fa)(fa)應由(you)企(qi)(qi)業自主(zhu)經營決(jue)策的事(shi)(shi)項(xiang)(xiang)歸位于(yu)企(qi)(qi)業,將延伸到(dao)子企(qi)(qi)業的管理事(shi)(shi)項(xiang)(xiang)原則(ze)上歸位于(yu)一級企(qi)(qi)業,將配合承擔(dan)的公(gong)共(gong)管理職(zhi)能歸位于(yu)相關政府部門和單位。國有(you)資(zi)產監(jian)管機構依(yi)法(fa)(fa)對國有(you)資(zi)本(ben)(ben)投資(zi)、運營公(gong)司和其他直接監(jian)管的企(qi)(qi)業履(lv)行出資(zi)人職(zhi)責。
三是改(gai)進國有(you)資產(chan)監(jian)(jian)(jian)管(guan)(guan)(guan)(guan)方式和手(shou)段。更(geng)多運用(yong)法(fa)治化(hua)(hua)(hua)、市場化(hua)(hua)(hua)監(jian)(jian)(jian)管(guan)(guan)(guan)(guan)方式,改(gai)變行政化(hua)(hua)(hua)管(guan)(guan)(guan)(guan)理方式。針對企業不同(tong)功能(neng)定(ding)位,在戰略規(gui)劃制(zhi)(zhi)定(ding)、資本運作模(mo)式、人員(yuan)選用(yong)機制(zhi)(zhi)、經營業績考(kao)核等方面(mian),實施更(geng)加(jia)精準有(you)效(xiao)的分類監(jian)(jian)(jian)管(guan)(guan)(guan)(guan)。重視通(tong)(tong)過公(gong)司治理結(jie)構履行出資人職責,規(gui)范(fan)董事會運作,嚴格選派股東代(dai)表和董事、監(jian)(jian)(jian)事。注重管(guan)(guan)(guan)(guan)好公(gong)司章(zhang)程,通(tong)(tong)過“一企一策(ce)”制(zhi)(zhi)定(ding)公(gong)司章(zhang)程,將國有(you)資產(chan)出資人意(yi)志有(you)效(xiao)體現在公(gong)司章(zhang)程中(zhong)。建立(li)監(jian)(jian)(jian)管(guan)(guan)(guan)(guan)權力清(qing)單和責任(ren)清(qing)單,加(jia)大(da)運用(yong)信息(xi)化(hua)(hua)(hua)手(shou)段的力度,優化(hua)(hua)(hua)監(jian)(jian)(jian)管(guan)(guan)(guan)(guan)流程,提高(gao)監(jian)(jian)(jian)管(guan)(guan)(guan)(guan)效(xiao)率,加(jia)強(qiang)監(jian)(jian)(jian)管(guan)(guan)(guan)(guan)工作協同(tong)。
二、按照以管資本為主的要求優化國有資本布局結構,增強國有經濟整體功能和效率
優化(hua)國(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)(you)(you)資(zi)本(ben)布(bu)(bu)局結(jie)構(gou)(gou),是提升國(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)(you)(you)經(jing)(jing)濟(ji)整體(ti)(ti)運行質量的(de)(de)重(zhong)(zhong)要(yao)(yao)(yao)途徑,也是發揮(hui)國(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)(you)(you)經(jing)(jing)濟(ji)主導作用、放(fang)大(da)(da)國(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)(you)(you)資(zi)本(ben)功(gong)能(neng)的(de)(de)必然要(yao)(yao)(yao)求。隨著國(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)(you)(you)資(zi)產管理體(ti)(ti)制(zhi)改(gai)革逐步深化(hua),國(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)(you)(you)企(qi)業(ye)日益發展(zhan)(zhan)壯(zhuang)(zhuang)大(da)(da),國(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)(you)(you)資(zi)本(ben)運行效(xiao)率(lv)不(bu)斷提高,國(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)(you)(you)經(jing)(jing)濟(ji)布(bu)(bu)局和(he)結(jie)構(gou)(gou)調(diao)整取得積極進展(zhan)(zhan)。國(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)(you)(you)資(zi)本(ben)逐步向(xiang)大(da)(da)企(qi)業(ye)大(da)(da)集團集中(zhong),向(xiang)重(zhong)(zhong)要(yao)(yao)(yao)行業(ye)和(he)關鍵領域集中(zhong),涌現出一(yi)批具有(you)(you)(you)(you)(you)(you)(you)(you)較強(qiang)國(guo)(guo)(guo)(guo)(guo)際競(jing)爭(zheng)力(li)的(de)(de)骨干企(qi)業(ye)。2015年美國(guo)(guo)(guo)(guo)(guo)《財富》雜志發布(bu)(bu)的(de)(de)世界(jie)500強(qiang)企(qi)業(ye)名單中(zhong),我(wo)國(guo)(guo)(guo)(guo)(guo)國(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)(you)(you)企(qi)業(ye)達到(dao)83家。但也應當(dang)看到(dao),當(dang)前(qian)國(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)(you)(you)資(zi)本(ben)運行效(xiao)率(lv)有(you)(you)(you)(you)(you)(you)(you)(you)待進一(yi)步提高,國(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)(you)(you)資(zi)本(ben)布(bu)(bu)局結(jie)構(gou)(gou)仍然存在分布(bu)(bu)過寬、戰(zhan)線(xian)過長等突出問題,國(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)(you)(you)資(zi)本(ben)合理流(liu)動(dong)的(de)(de)機制(zhi)尚(shang)不(bu)健全(quan),制(zhi)約了國(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)(you)(you)資(zi)本(ben)功(gong)能(neng)作用的(de)(de)有(you)(you)(you)(you)(you)(you)(you)(you)效(xiao)發揮(hui)。當(dang)前(qian),我(wo)國(guo)(guo)(guo)(guo)(guo)經(jing)(jing)濟(ji)發展(zhan)(zhan)進入新常態,國(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)(you)(you)企(qi)業(ye)過去主要(yao)(yao)(yao)憑(ping)借要(yao)(yao)(yao)素投(tou)入的(de)(de)快(kuai)速增(zeng)長模(mo)式不(bu)可(ke)持(chi)(chi)續(xu)(xu),憑(ping)借高強(qiang)度大(da)(da)規模(mo)投(tou)資(zi)拉(la)動(dong)的(de)(de)模(mo)式不(bu)可(ke)持(chi)(chi)續(xu)(xu),憑(ping)借低水平(ping)競(jing)爭(zheng)的(de)(de)粗(cu)放(fang)增(zeng)長模(mo)式不(bu)可(ke)持(chi)(chi)續(xu)(xu),迫切需要(yao)(yao)(yao)通過優化(hua)國(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)(you)(you)資(zi)本(ben)布(bu)(bu)局結(jie)構(gou)(gou),推進國(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)(you)(you)企(qi)業(ye)轉型升級,增(zeng)強(qiang)國(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)(you)(you)經(jing)(jing)濟(ji)的(de)(de)活力(li)、控制(zhi)力(li)、影響力(li)、抗風險能(neng)力(li)。按(an)照《指(zhi)導意見(jian)》要(yao)(yao)(yao)求,堅持(chi)(chi)以市場為導向(xiang)、以企(qi)業(ye)為主體(ti)(ti),有(you)(you)(you)(you)(you)(you)(you)(you)進有(you)(you)(you)(you)(you)(you)(you)(you)退、有(you)(you)(you)(you)(you)(you)(you)(you)所(suo)為有(you)(you)(you)(you)(you)(you)(you)(you)所(suo)不(bu)為,優化(hua)國(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)(you)(you)資(zi)本(ben)布(bu)(bu)局結(jie)構(gou)(gou),為發展(zhan)(zhan)壯(zhuang)(zhuang)大(da)(da)國(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)(you)(you)經(jing)(jing)濟(ji)提供強(qiang)有(you)(you)(you)(you)(you)(you)(you)(you)力(li)支撐(cheng)。
一是明確國有資(zi)(zi)本(ben)集(ji)中(zhong)的重(zhong)點(dian)方向(xiang)。緊(jin)緊(jin)圍繞(rao)服務國家(jia)戰略(lve),落實(shi)國家(jia)產業(ye)(ye)政策和(he)重(zhong)點(dian)產業(ye)(ye)布局調整總體(ti)要求,優化國有資(zi)(zi)本(ben)重(zhong)點(dian)投資(zi)(zi)方向(xiang)和(he)領域,實(shi)現(xian)“三個集(ji)中(zhong)”,即推動國有資(zi)(zi)本(ben)向(xiang)關(guan)系國家(jia)安全、國民經濟命脈和(he)國計民生(sheng)的重(zhong)要行(xing)業(ye)(ye)和(he)關(guan)鍵領域、重(zhong)點(dian)基礎設(she)施集(ji)中(zhong),向(xiang)前(qian)瞻性戰略(lve)性產業(ye)(ye)集(ji)中(zhong),向(xiang)具有核心競爭力的優勢(shi)企業(ye)(ye)集(ji)中(zhong)。
二是建立(li)健(jian)全(quan)國(guo)(guo)有(you)資(zi)(zi)(zi)(zi)(zi)本(ben)布局和結(jie)構調整機制。制定國(guo)(guo)家發展規劃、產業(ye)政策和國(guo)(guo)有(you)資(zi)(zi)(zi)(zi)(zi)本(ben)收益(yi)分配管(guan)(guan)理規則,建立(li)健(jian)全(quan)國(guo)(guo)有(you)資(zi)(zi)(zi)(zi)(zi)本(ben)進退機制,引導國(guo)(guo)有(you)資(zi)(zi)(zi)(zi)(zi)本(ben)優(you)化(hua)投(tou)資(zi)(zi)(zi)(zi)(zi)方(fang)向和投(tou)資(zi)(zi)(zi)(zi)(zi)領域(yu)。推進經營性國(guo)(guo)有(you)資(zi)(zi)(zi)(zi)(zi)產集中(zhong)(zhong)統一(yi)監管(guan)(guan),穩步將黨(dang)政機關、事業(ye)單(dan)位所屬企業(ye)的(de)國(guo)(guo)有(you)資(zi)(zi)(zi)(zi)(zi)本(ben)納入經營性國(guo)(guo)有(you)資(zi)(zi)(zi)(zi)(zi)產集中(zhong)(zhong)統一(yi)監管(guan)(guan)體系(xi),為擴大國(guo)(guo)有(you)資(zi)(zi)(zi)(zi)(zi)本(ben)配置(zhi)范圍、提高配置(zhi)效率創造(zao)條件(jian)。加強(qiang)(qiang)國(guo)(guo)有(you)資(zi)(zi)(zi)(zi)(zi)產基(ji)礎管(guan)(guan)理,統一(yi)制度規范、統一(yi)工作(zuo)體系(xi),強(qiang)(qiang)化(hua)對國(guo)(guo)有(you)資(zi)(zi)(zi)(zi)(zi)本(ben)布局結(jie)構調整的(de)支(zhi)撐服(fu)務(wu)。
三是運用(yong)市(shi)場(chang)化方式推動(dong)國(guo)(guo)有(you)(you)(you)(you)(you)資本(ben)合(he)理(li)流動(dong)優(you)化配(pei)置(zhi)。充分(fen)發揮國(guo)(guo)有(you)(you)(you)(you)(you)資本(ben)投資、運營公司的(de)作用(yong),清理(li)退(tui)出(chu)(chu)一批、重組整(zheng)合(he)一批、創新發展一批國(guo)(guo)有(you)(you)(you)(you)(you)企(qi)業(ye)(ye)。建立健全優(you)勝劣汰(tai)市(shi)場(chang)化退(tui)出(chu)(chu)機(ji)制(zhi)(zhi),切(qie)實(shi)保障退(tui)出(chu)(chu)企(qi)業(ye)(ye)依(yi)法實(shi)行關閉或破產(chan)(chan),加(jia)快處(chu)置(zhi)低效無效資產(chan)(chan),淘汰(tai)落后(hou)產(chan)(chan)能。建立健全國(guo)(guo)有(you)(you)(you)(you)(you)資本(ben)形態轉換機(ji)制(zhi)(zhi),支(zhi)持企(qi)業(ye)(ye)依(yi)法合(he)規通(tong)過證券交易(yi)、產(chan)(chan)權交易(yi)等資本(ben)市(shi)場(chang),以(yi)市(shi)場(chang)公允價格處(chu)置(zhi)企(qi)業(ye)(ye)資產(chan)(chan),將變現的(de)國(guo)(guo)有(you)(you)(you)(you)(you)資本(ben)用(yong)于更需要的(de)領域和行業(ye)(ye)。支(zhi)持國(guo)(guo)有(you)(you)(you)(you)(you)企(qi)業(ye)(ye)開展國(guo)(guo)際(ji)化經營,鼓勵國(guo)(guo)有(you)(you)(you)(you)(you)企(qi)業(ye)(ye)之間(jian)以(yi)及與其他(ta)所有(you)(you)(you)(you)(you)制(zhi)(zhi)企(qi)業(ye)(ye)以(yi)資本(ben)為紐帶,強強聯合(he)、優(you)勢互(hu)補(bu),加(jia)快培育一批具有(you)(you)(you)(you)(you)世(shi)界(jie)一流水平的(de)跨國(guo)(guo)公司。
三、按照以管資本為主的要求加強國有資產監督,切實維護國有資產安全
國(guo)(guo)(guo)(guo)有(you)(you)(you)資(zi)(zi)產來之不易,是全(quan)國(guo)(guo)(guo)(guo)人民的(de)共(gong)同財富,是全(quan)面建成(cheng)(cheng)小康社會、實現全(quan)體人民共(gong)同富裕(yu)的(de)重要(yao)(yao)物質(zhi)基(ji)礎。國(guo)(guo)(guo)(guo)有(you)(you)(you)企(qi)(qi)業改(gai)革要(yao)(yao)先加(jia)強監(jian)(jian)(jian)(jian)(jian)管、防(fang)止國(guo)(guo)(guo)(guo)有(you)(you)(you)資(zi)(zi)產流(liu)失(shi),這一條做不好(hao),國(guo)(guo)(guo)(guo)有(you)(you)(you)企(qi)(qi)業其他改(gai)革難以(yi)取得(de)預期成(cheng)(cheng)效。近年來,國(guo)(guo)(guo)(guo)有(you)(you)(you)資(zi)(zi)產監(jian)(jian)(jian)(jian)(jian)督(du)(du)工作(zuo)得(de)到了有(you)(you)(you)力(li)加(jia)強,但針對性(xing)、實效性(xing)還需要(yao)(yao)進一步增(zeng)強,既存(cun)在監(jian)(jian)(jian)(jian)(jian)督(du)(du)不到位、監(jian)(jian)(jian)(jian)(jian)督(du)(du)不力(li)等問(wen)題(ti),也存(cun)在多頭檢查、重復監(jian)(jian)(jian)(jian)(jian)督(du)(du)等問(wen)題(ti),一些國(guo)(guo)(guo)(guo)有(you)(you)(you)企(qi)(qi)業也暴露出(chu)管理(li)不規范、內(nei)部人控制嚴重、企(qi)(qi)業領導人員(yuan)權力(li)缺乏制約等問(wen)題(ti)。要(yao)(yao)按照《指導意見》部署,按照以(yi)管資(zi)(zi)本為主(zhu)的(de)要(yao)(yao)求加(jia)強國(guo)(guo)(guo)(guo)有(you)(you)(you)資(zi)(zi)產監(jian)(jian)(jian)(jian)(jian)督(du)(du)工作(zuo),沿(yan)國(guo)(guo)(guo)(guo)有(you)(you)(you)資(zi)(zi)本投資(zi)(zi)運營和(he)管理(li)的(de)全(quan)鏈(lian)條,突(tu)出(chu)監(jian)(jian)(jian)(jian)(jian)督(du)(du)工作(zuo)重點,發(fa)揮企(qi)(qi)業內(nei)部監(jian)(jian)(jian)(jian)(jian)督(du)(du)、出(chu)資(zi)(zi)人監(jian)(jian)(jian)(jian)(jian)督(du)(du)和(he)各監(jian)(jian)(jian)(jian)(jian)督(du)(du)主(zhu)體的(de)功能作(zuo)用,加(jia)快形成(cheng)(cheng)全(quan)面覆蓋、分工明確、協同配合、制約有(you)(you)(you)力(li)的(de)國(guo)(guo)(guo)(guo)有(you)(you)(you)資(zi)(zi)產監(jian)(jian)(jian)(jian)(jian)督(du)(du)體系,切實防(fang)止國(guo)(guo)(guo)(guo)有(you)(you)(you)資(zi)(zi)產流(liu)失(shi),保障和(he)促進國(guo)(guo)(guo)(guo)有(you)(you)(you)經濟健康發(fa)展。
一是強化企(qi)(qi)(qi)業內(nei)部(bu)監(jian)(jian)督(du)(du)。進一步明(ming)確企(qi)(qi)(qi)業作為(wei)維護國有(you)資(zi)產安全、防(fang)止流失(shi)的責任主體(ti)。完善企(qi)(qi)(qi)業內(nei)部(bu)監(jian)(jian)督(du)(du)體(ti)系(xi),建立橫向涵蓋企(qi)(qi)(qi)業各治理主體(ti)和(he)職(zhi)能部(bu)門、縱向包括(kuo)各子企(qi)(qi)(qi)業和(he)業務板(ban)塊的監(jian)(jian)督(du)(du)工(gong)作體(ti)系(xi),形成監(jian)(jian)督(du)(du)合(he)力(li)。突(tu)出監(jian)(jian)督(du)(du)重點,對權(quan)力(li)集中(zhong)、資(zi)金(jin)密(mi)集、資(zi)源富集、資(zi)產聚(ju)集的部(bu)門和(he)崗(gang)(gang)位加(jia)強監(jian)(jian)督(du)(du),實(shi)行分事(shi)行權(quan)、分崗(gang)(gang)設(she)權(quan)、分級授權(quan),定期(qi)輪(lun)崗(gang)(gang),防(fang)止權(quan)力(li)濫用(yong)。進一步落實(shi)董事(shi)會(hui)、監(jian)(jian)事(shi)會(hui)的監(jian)(jian)督(du)(du)職(zhi)責,加(jia)強法(fa)律審核把關,實(shi)現(xian)依法(fa)治企(qi)(qi)(qi)。加(jia)強職(zhi)工(gong)民主監(jian)(jian)督(du)(du),健全企(qi)(qi)(qi)業民主管(guan)理制度,充(chong)分保障職(zhi)工(gong)群眾對企(qi)(qi)(qi)業改革(ge)發展的知(zhi)情權(quan)、參與權(quan)和(he)監(jian)(jian)督(du)(du)權(quan)。
二是完善出資(zi)(zi)人(ren)監(jian)(jian)(jian)(jian)督(du)。堅持出資(zi)(zi)人(ren)管理和(he)監(jian)(jian)(jian)(jian)督(du)的(de)(de)(de)有(you)機統(tong)一,進一步加(jia)強(qiang)出資(zi)(zi)人(ren)監(jian)(jian)(jian)(jian)督(du)。健全國有(you)企(qi)(qi)業(ye)(ye)規劃(hua)投(tou)資(zi)(zi)、改(gai)制重(zhong)組、產(chan)(chan)(chan)權管理、財務評價、業(ye)(ye)績考核、選(xuan)人(ren)用人(ren)、薪酬(chou)分配(pei)等規范國有(you)資(zi)(zi)本運作、防(fang)止流失的(de)(de)(de)制度,加(jia)大(da)對國有(you)資(zi)(zi)產(chan)(chan)(chan)監(jian)(jian)(jian)(jian)管制度執(zhi)行情況的(de)(de)(de)監(jian)(jian)(jian)(jian)督(du)力(li)度。開(kai)展國有(you)資(zi)(zi)產(chan)(chan)(chan)監(jian)(jian)(jian)(jian)管機構向所出資(zi)(zi)企(qi)(qi)業(ye)(ye)依法委派總會(hui)計師試點工作,強(qiang)化出資(zi)(zi)人(ren)對企(qi)(qi)業(ye)(ye)重(zhong)大(da)財務事(shi)項的(de)(de)(de)監(jian)(jian)(jian)(jian)督(du)。加(jia)強(qiang)企(qi)(qi)業(ye)(ye)境(jing)外國有(you)資(zi)(zi)產(chan)(chan)(chan)監(jian)(jian)(jian)(jian)督(du),確保企(qi)(qi)業(ye)(ye)境(jing)外國有(you)資(zi)(zi)產(chan)(chan)(chan)安全可控、有(you)效(xiao)運營。加(jia)強(qiang)和(he)改(gai)進外派監(jian)(jian)(jian)(jian)事(shi)會(hui)監(jian)(jian)(jian)(jian)督(du),明確職責定(ding)位(wei),發揮監(jian)(jian)(jian)(jian)事(shi)會(hui)作為出資(zi)(zi)人(ren)監(jian)(jian)(jian)(jian)督(du)專門力(li)量(liang)的(de)(de)(de)作用,加(jia)強(qiang)當(dang)期和(he)事(shi)中監(jian)(jian)(jian)(jian)督(du),強(qiang)化監(jian)(jian)(jian)(jian)督(du)成果運用,建立健全核查(cha)、移交和(he)整改(gai)機制。
三是(shi)加(jia)(jia)強(qiang)與各監(jian)(jian)督(du)(du)(du)力(li)量的(de)(de)協(xie)同(tong)配合(he)。大力(li)支持審(shen)(shen)計、紀(ji)檢監(jian)(jian)察和(he)巡視(shi)等監(jian)(jian)督(du)(du)(du)機(ji)構開(kai)展(zhan)工作(zuo)(zuo)(zuo)。進一步厘清政府部(bu)門公共審(shen)(shen)計、出資(zi)人審(shen)(shen)計和(he)企(qi)業內(nei)部(bu)審(shen)(shen)計之間的(de)(de)職責(ze)分工,健全(quan)國(guo)(guo)有資(zi)本審(shen)(shen)計監(jian)(jian)督(du)(du)(du)體系和(he)制度。加(jia)(jia)強(qiang)紀(ji)檢監(jian)(jian)察監(jian)(jian)督(du)(du)(du)和(he)巡視(shi)工作(zuo)(zuo)(zuo),強(qiang)化對企(qi)業領導(dao)人員(yuan)廉潔從業、行使(shi)權力(li)等的(de)(de)監(jian)(jian)督(du)(du)(du),加(jia)(jia)大大案要案查處力(li)度。積極配合(he)建立(li)外部(bu)監(jian)(jian)督(du)(du)(du)協(xie)同(tong)機(ji)制,整合(he)出資(zi)人監(jian)(jian)管、外派監(jian)(jian)事會(hui)監(jian)(jian)督(du)(du)(du)與審(shen)(shen)計、紀(ji)檢監(jian)(jian)察、巡視(shi)等監(jian)(jian)督(du)(du)(du)力(li)量,建立(li)監(jian)(jian)督(du)(du)(du)工作(zuo)(zuo)(zuo)會(hui)商機(ji)制,加(jia)(jia)強(qiang)統籌,減少重復(fu)檢查,提高監(jian)(jian)督(du)(du)(du)效(xiao)能。加(jia)(jia)強(qiang)社(she)會(hui)監(jian)(jian)督(du)(du)(du),完善(shan)國(guo)(guo)有資(zi)產和(he)國(guo)(guo)有企(qi)業信息公開(kai)制度,設立(li)統一的(de)(de)信息網(wang)絡平臺,充分發(fa)揮輿(yu)論(lun)監(jian)(jian)督(du)(du)(du)作(zuo)(zuo)(zuo)用(yong),有效(xiao)保(bao)障社(she)會(hui)公眾對企(qi)業國(guo)(guo)有資(zi)產運營的(de)(de)知情權和(he)監(jian)(jian)督(du)(du)(du)權。
四是(shi)嚴格責(ze)任追究(jiu)。加大(da)對國有(you)企業違規經營(ying)責(ze)任追究(jiu)力度(du),建立健全國有(you)企業重大(da)決策(ce)失(shi)職(zhi)(zhi)、瀆職(zhi)(zhi)責(ze)任追究(jiu)和(he)倒查(cha)機制(zhi)(zhi),完善重大(da)決策(ce)評估、決策(ce)事(shi)項履職(zhi)(zhi)記錄(lu)、決策(ce)過錯認定標準等配(pei)套制(zhi)(zhi)度(du),嚴厲查(cha)處侵吞、貪污、輸送、揮(hui)霍國有(you)資產(chan)和(he)逃廢(fei)金融(rong)債務的行(xing)為(wei)。建立健全企業國有(you)資產(chan)的監督(du)(du)問責(ze)機制(zhi)(zhi),對企業重大(da)違法違紀(ji)問題敷衍不追、隱匿不報、查(cha)處不力的,嚴格追究(jiu)有(you)關人員失(shi)職(zhi)(zhi)瀆職(zhi)(zhi)責(ze)任,確(que)保監督(du)(du)責(ze)任落到實(shi)處,形成監督(du)(du)工(gong)作(zuo)閉環,充分體現監督(du)(du)工(gong)作(zuo)的嚴肅(su)性(xing)和(he)權威性(xing)。
以管資本為主加強國(guo)(guo)(guo)有(you)資產監管是(shi)深化國(guo)(guo)(guo)有(you)企業改革的一項重(zhong)(zhong)大(da)任務。我們要(yao)認真貫(guan)(guan)徹落實(shi)(shi)黨的十八(ba)大(da)和十八(ba)屆三中、四中全會精(jing)神,深入(ru)學習(xi)貫(guan)(guan)徹習(xi)近平總書(shu)記系列(lie)重(zhong)(zhong)要(yao)講話精(jing)神,自覺踐行“三嚴三實(shi)(shi)”要(yao)求(qiu),堅(jian)決(jue)貫(guan)(guan)徹黨中央(yang)、國(guo)(guo)(guo)務院關于深化國(guo)(guo)(guo)有(you)企業改革的重(zhong)(zhong)大(da)決(jue)策部署,加快落實(shi)(shi)以管資本為主加強國(guo)(guo)(guo)有(you)資產監管,為做(zuo)強做(zuo)優做(zuo)大(da)國(guo)(guo)(guo)有(you)企業、發展壯大(da)國(guo)(guo)(guo)有(you)經濟提供堅(jian)強保障。
