近日,國務(wu)院(yuan)國資委發布(bu)了《關于印(yin)發<中央企業控股上市(shi)公司實施股權激勵工(gong)作指(zhi)(zhi)引(yin)>的通知》(國資考分〔2020〕178號,以下簡稱《指(zhi)(zhi)引(yin)》)。《指(zhi)(zhi)引(yin)》出(chu)臺后,國務(wu)院(yuan)國資委有關負(fu)責人接受了記者采訪(fang)。
問:請介紹一下出臺《指引》的背景。
答(da):黨(dang)的(de)(de)(de)(de)十(shi)八屆三中(zhong)(zhong)(zhong)(zhong)(zhong)全會以來(lai)(lai),國(guo)(guo)資(zi)委(wei)以習(xi)近平新(xin)時代中(zhong)(zhong)(zhong)(zhong)(zhong)國(guo)(guo)特色社(she)會主義思想為指(zhi)(zhi)導(dao)(dao),認真(zhen)貫徹落(luo)實(shi)黨(dang)中(zhong)(zhong)(zhong)(zhong)(zhong)央(yang)(yang)(yang)、國(guo)(guo)務(wu)院各項決策部署,扎實(shi)推進(jin)國(guo)(guo)有(you)企(qi)(qi)業(ye)(ye)(ye)(ye)改(gai)(gai)革各項工(gong)(gong)作(zuo)(zuo)(zuo)(zuo)。目(mu)前(qian)國(guo)(guo)有(you)企(qi)(qi)業(ye)(ye)(ye)(ye)改(gai)(gai)革的(de)(de)(de)(de)“1+N”文件體系已經基(ji)本(ben)定(ding)型,當前(qian)制定(ding)政(zheng)策的(de)(de)(de)(de)重(zhong)點(dian)(dian)是具體的(de)(de)(de)(de)操作(zuo)(zuo)(zuo)(zuo)規程(cheng)。就中(zhong)(zhong)(zhong)(zhong)(zhong)央(yang)(yang)(yang)企(qi)(qi)業(ye)(ye)(ye)(ye)控(kong)(kong)股(gu)(gu)上(shang)(shang)市(shi)公(gong)(gong)司(si)(si)股(gu)(gu)權(quan)(quan)(quan)激(ji)(ji)(ji)勵工(gong)(gong)作(zuo)(zuo)(zuo)(zuo)而言,國(guo)(guo)資(zi)委(wei)成立(li)以來(lai)(lai),根據黨(dang)中(zhong)(zhong)(zhong)(zhong)(zhong)央(yang)(yang)(yang)、國(guo)(guo)務(wu)院確立(li)的(de)(de)(de)(de)生(sheng)產要(yao)素按(an)貢(gong)獻參(can)與分配的(de)(de)(de)(de)原則,從(cong)(cong)適應(ying)資(zi)本(ben)市(shi)場發(fa)展和(he)企(qi)(qi)業(ye)(ye)(ye)(ye)改(gai)(gai)制上(shang)(shang)市(shi)的(de)(de)(de)(de)需(xu)要(yao)出發(fa),按(an)照履行出資(zi)人(ren)職(zhi)責(ze)的(de)(de)(de)(de)要(yao)求,積極(ji)探索國(guo)(guo)有(you)控(kong)(kong)股(gu)(gu)上(shang)(shang)市(shi)公(gong)(gong)司(si)(si)實(shi)施股(gu)(gu)權(quan)(quan)(quan)激(ji)(ji)(ji)勵的(de)(de)(de)(de)有(you)效(xiao)機制,在(zai)實(shi)踐(jian)中(zhong)(zhong)(zhong)(zhong)(zhong)不斷完善辦法,尤(you)其(qi)是2019年國(guo)(guo)資(zi)委(wei)制定(ding)出臺(tai)《關于進(jin)一(yi)步做好中(zhong)(zhong)(zhong)(zhong)(zhong)央(yang)(yang)(yang)企(qi)(qi)業(ye)(ye)(ye)(ye)控(kong)(kong)股(gu)(gu)上(shang)(shang)市(shi)公(gong)(gong)司(si)(si)股(gu)(gu)權(quan)(quan)(quan)激(ji)(ji)(ji)勵工(gong)(gong)作(zuo)(zuo)(zuo)(zuo)有(you)關事項的(de)(de)(de)(de)通知》(國(guo)(guo)資(zi)發(fa)考分規〔2019〕102號),標志著(zhu)中(zhong)(zhong)(zhong)(zhong)(zhong)央(yang)(yang)(yang)企(qi)(qi)業(ye)(ye)(ye)(ye)控(kong)(kong)股(gu)(gu)上(shang)(shang)市(shi)公(gong)(gong)司(si)(si)實(shi)施股(gu)(gu)權(quan)(quan)(quan)激(ji)(ji)(ji)勵的(de)(de)(de)(de)政(zheng)策體系已經基(ji)本(ben)定(ding)型。當前(qian)的(de)(de)(de)(de)重(zhong)點(dian)(dian)任務(wu)是把(ba)(ba)工(gong)(gong)作(zuo)(zuo)(zuo)(zuo)著(zhu)力點(dian)(dian)從(cong)(cong)夯基(ji)壘臺(tai)、立(li)梁架柱(zhu)轉到系統集成、協同(tong)高效(xiao)、落(luo)實(shi)落(luo)地上(shang)(shang)來(lai)(lai),推動這項制度更加成熟更加定(ding)型。出臺(tai)《指(zhi)(zhi)引》就是把(ba)(ba)國(guo)(guo)有(you)控(kong)(kong)股(gu)(gu)上(shang)(shang)市(shi)公(gong)(gong)司(si)(si)實(shi)施股(gu)(gu)權(quan)(quan)(quan)激(ji)(ji)(ji)勵的(de)(de)(de)(de)相關政(zheng)策規定(ding)和(he)前(qian)期中(zhong)(zhong)(zhong)(zhong)(zhong)央(yang)(yang)(yang)企(qi)(qi)業(ye)(ye)(ye)(ye)開展此項工(gong)(gong)作(zuo)(zuo)(zuo)(zuo)的(de)(de)(de)(de)實(shi)踐(jian)經驗進(jin)行了匯總梳理(li),著(zhu)力從(cong)(cong)微觀(guan)操作(zuo)(zuo)(zuo)(zuo)層面(mian)細化(hua)對中(zhong)(zhong)(zhong)(zhong)(zhong)央(yang)(yang)(yang)企(qi)(qi)業(ye)(ye)(ye)(ye)的(de)(de)(de)(de)工(gong)(gong)作(zuo)(zuo)(zuo)(zuo)指(zhi)(zhi)導(dao)(dao),進(jin)而推動中(zhong)(zhong)(zhong)(zhong)(zhong)央(yang)(yang)(yang)企(qi)(qi)業(ye)(ye)(ye)(ye)擴大控(kong)(kong)股(gu)(gu)上(shang)(shang)市(shi)公(gong)(gong)司(si)(si)實(shi)施股(gu)(gu)權(quan)(quan)(quan)激(ji)(ji)(ji)勵的(de)(de)(de)(de)覆蓋面(mian),構建科學、規范(fan)的(de)(de)(de)(de)中(zhong)(zhong)(zhong)(zhong)(zhong)長期激(ji)(ji)(ji)勵機制,推動企(qi)(qi)業(ye)(ye)(ye)(ye)高質量發(fa)展。
問:《指引》具體包含哪些方面內容?
答:《指引》共九十七條(tiao),近兩萬字,根(gen)據(ju)(ju)中央企(qi)業(ye)控(kong)股(gu)(gu)(gu)(gu)上(shang)市公(gong)司實(shi)(shi)施(shi)(shi)股(gu)(gu)(gu)(gu)權(quan)(quan)(quan)激(ji)(ji)(ji)勵(li)(li)的(de)(de)(de)(de)各(ge)(ge)方面政策(ce)(ce)(ce)規(gui)(gui)(gui)(gui)定(ding),從股(gu)(gu)(gu)(gu)權(quan)(quan)(quan)激(ji)(ji)(ji)勵(li)(li)計(ji)劃的(de)(de)(de)(de)內容要點、考(kao)(kao)核體系、管(guan)理(li)(li)(li)辦(ban)法(fa)和(he)實(shi)(shi)施(shi)(shi)程(cheng)序等方面,進行了(le)政策(ce)(ce)(ce)梳理(li)(li)(li)、系統集成,對(dui)(dui)上(shang)市公(gong)司股(gu)(gu)(gu)(gu)權(quan)(quan)(quan)激(ji)(ji)(ji)勵(li)(li)實(shi)(shi)踐規(gui)(gui)(gui)(gui)范(fan)(fan)逐一(yi)明確(que)闡釋(shi)。一(yi)是(shi)重(zhong)(zhong)點介紹實(shi)(shi)施(shi)(shi)股(gu)(gu)(gu)(gu)權(quan)(quan)(quan)激(ji)(ji)(ji)勵(li)(li)的(de)(de)(de)(de)政策(ce)(ce)(ce)依據(ju)(ju)、適用范(fan)(fan)圍,實(shi)(shi)施(shi)(shi)股(gu)(gu)(gu)(gu)權(quan)(quan)(quan)激(ji)(ji)(ji)勵(li)(li)的(de)(de)(de)(de)條(tiao)件、原則及(ji)相(xiang)關要求(qiu)。二是(shi)對(dui)(dui)股(gu)(gu)(gu)(gu)權(quan)(quan)(quan)激(ji)(ji)(ji)勵(li)(li)計(ji)劃中的(de)(de)(de)(de)激(ji)(ji)(ji)勵(li)(li)方式、激(ji)(ji)(ji)勵(li)(li)對(dui)(dui)象(xiang)范(fan)(fan)圍、權(quan)(quan)(quan)益授(shou)予(yu)(yu)數量、授(shou)予(yu)(yu)價(jia)格、時(shi)間安排(pai)、激(ji)(ji)(ji)勵(li)(li)收益等的(de)(de)(de)(de)內涵要義(yi)、政策(ce)(ce)(ce)規(gui)(gui)(gui)(gui)定(ding)、操作規(gui)(gui)(gui)(gui)范(fan)(fan)進行詳細闡釋(shi)。三是(shi)從強化公(gong)司業(ye)績考(kao)(kao)核、健(jian)全激(ji)(ji)(ji)勵(li)(li)對(dui)(dui)象(xiang)績效考(kao)(kao)核評價(jia)、科創板上(shang)市公(gong)司實(shi)(shi)施(shi)(shi)股(gu)(gu)(gu)(gu)權(quan)(quan)(quan)激(ji)(ji)(ji)勵(li)(li)的(de)(de)(de)(de)考(kao)(kao)核等方面明確(que)出資人的(de)(de)(de)(de)導向和(he)要求(qiu),引導企(qi)業(ye)注重(zhong)(zhong)價(jia)值提升(sheng),實(shi)(shi)現高質量發展。四是(shi)將規(gui)(gui)(gui)(gui)范(fan)(fan)股(gu)(gu)(gu)(gu)權(quan)(quan)(quan)激(ji)(ji)(ji)勵(li)(li)管(guan)理(li)(li)(li)辦(ban)法(fa)、責(ze)任(ren)追究(jiu)與特殊情(qing)形處(chu)理(li)(li)(li)、財務處(chu)理(li)(li)(li)和(he)稅收規(gui)(gui)(gui)(gui)定(ding)等方面的(de)(de)(de)(de)要求(qiu)和(he)規(gui)(gui)(gui)(gui)定(ding)進行了(le)梳理(li)(li)(li)明確(que)。五(wu)是(shi)歸納各(ge)(ge)級國有(you)股(gu)(gu)(gu)(gu)東(dong)的(de)(de)(de)(de)職責(ze),對(dui)(dui)股(gu)(gu)(gu)(gu)權(quan)(quan)(quan)激(ji)(ji)(ji)勵(li)(li)計(ji)劃的(de)(de)(de)(de)決策(ce)(ce)(ce)、申報、實(shi)(shi)施(shi)(shi)、終止(zhi)等程(cheng)序事項予(yu)(yu)以(yi)梳理(li)(li)(li),并重(zhong)(zhong)申監督(du)管(guan)理(li)(li)(li)、信息(xi)披(pi)露等要求(qiu)。
問:《指引》在政策要求上有什么新特點?
答(da):《指(zhi)引(yin)》主(zhu)要有(you)三(san)(san)個方面(mian)的(de)(de)(de)特點(dian)(dian):一是(shi)政策上(shang)(shang)保持銜(xian)接(jie)(jie)一致(zhi)。《指(zhi)引(yin)》是(shi)在(zai)證券監(jian)管(guan)部門相(xiang)(xiang)關規(gui)定(ding)框架下制定(ding)的(de)(de)(de),與(yu)國(guo)資委(wei)此前出(chu)(chu)臺的(de)(de)(de)國(guo)有(you)控(kong)股上(shang)(shang)市公(gong)司實(shi)(shi)施(shi)股權(quan)激(ji)勵的(de)(de)(de)政策規(gui)定(ding)也是(shi)銜(xian)接(jie)(jie)一致(zhi)的(de)(de)(de),這次提出(chu)(chu)的(de)(de)(de)都是(shi)具體(ti)(ti)操(cao)(cao)作(zuo)(zuo)上(shang)(shang)的(de)(de)(de)細(xi)化(hua)規(gui)程。二是(shi)清晰(xi)界定(ding)責(ze)任與(yu)程序(xu)。國(guo)資委(wei)落(luo)實(shi)(shi)以管(guan)資本為主(zhu)職能轉變要求,股權(quan)激(ji)勵具體(ti)(ti)實(shi)(shi)施(shi)方案的(de)(de)(de)審(shen)核(he)責(ze)任在(zai)中(zhong)央(yang)企業(ye)(ye)集團(tuan)公(gong)司,《指(zhi)引(yin)》通過(guo)細(xi)化(hua)完善操(cao)(cao)作(zuo)(zuo)層面(mian)的(de)(de)(de)指(zhi)導(dao),幫助中(zhong)央(yang)企業(ye)(ye)更好地擔負(fu)起(qi)股權(quan)激(ji)勵主(zhu)體(ti)(ti)責(ze)任,保障該項(xiang)工作(zuo)(zuo)職責(ze)中(zhong)央(yang)企業(ye)(ye)接(jie)(jie)得住(zhu)、管(guan)得好、落(luo)得實(shi)(shi)。三(san)(san)是(shi)重(zhong)點(dian)(dian)回答(da)了(le)操(cao)(cao)作(zuo)(zuo)問題(ti)。此前我們出(chu)(chu)臺的(de)(de)(de)股權(quan)激(ji)勵相(xiang)(xiang)關政策是(shi)框架性(xing)、原則性(xing)的(de)(de)(de),中(zhong)央(yang)企業(ye)(ye)在(zai)實(shi)(shi)施(shi)中(zhong)遇到(dao)了(le)一些具體(ti)(ti)情況,《指(zhi)引(yin)》在(zai)總(zong)結經(jing)驗的(de)(de)(de)基(ji)礎上(shang)(shang),明確了(le)可操(cao)(cao)作(zuo)(zuo)的(de)(de)(de)方法,在(zai)政策框架內(nei)給予(yu)闡釋和細(xi)化(hua),有(you)針對性(xing)地幫助企業(ye)(ye)在(zai)具體(ti)(ti)實(shi)(shi)踐(jian)操(cao)(cao)作(zuo)(zuo)上(shang)(shang)與(yu)政策規(gui)定(ding)良好對接(jie)(jie)。
問:近些年中央企業控股上市公司實施股權激勵有哪些值得總結和提煉的有效經驗?
答:國(guo)資(zi)委和中(zhong)央企(qi)業(ye)(ye)在(zai)上市(shi)公(gong)司(si)(si)股(gu)(gu)(gu)(gu)權(quan)(quan)(quan)(quan)(quan)(quan)激(ji)(ji)(ji)(ji)(ji)勵(li)(li)(li)(li)實(shi)踐方(fang)(fang)面(mian)共同(tong)努力、積極探(tan)索(suo),結合國(guo)有(you)企(qi)業(ye)(ye)實(shi)際情況和境內外市(shi)場實(shi)踐經(jing)驗,逐步形成(cheng)了出資(zi)人(ren)指導(dao)下(xia)的(de)(de)(de)適合中(zhong)國(guo)國(guo)企(qi)特點(dian)(dian)的(de)(de)(de)股(gu)(gu)(gu)(gu)權(quan)(quan)(quan)(quan)(quan)(quan)激(ji)(ji)(ji)(ji)(ji)勵(li)(li)(li)(li)機(ji)制,有(you)效發揮了股(gu)(gu)(gu)(gu)權(quan)(quan)(quan)(quan)(quan)(quan)激(ji)(ji)(ji)(ji)(ji)勵(li)(li)(li)(li)作(zuo)為市(shi)場化長(chang)期激(ji)(ji)(ji)(ji)(ji)勵(li)(li)(li)(li)工具的(de)(de)(de)積極作(zuo)用(yong),一些好的(de)(de)(de)做法已逐漸被市(shi)場普遍采納。概括起(qi)來,中(zhong)央企(qi)業(ye)(ye)控(kong)股(gu)(gu)(gu)(gu)上市(shi)公(gong)司(si)(si)實(shi)施股(gu)(gu)(gu)(gu)權(quan)(quan)(quan)(quan)(quan)(quan)激(ji)(ji)(ji)(ji)(ji)勵(li)(li)(li)(li)主要有(you)五(wu)方(fang)(fang)面(mian)好的(de)(de)(de)做法:一是(shi)激(ji)(ji)(ji)(ji)(ji)勵(li)(li)(li)(li)實(shi)施與績(ji)效考核(he)相(xiang)(xiang)同(tong)步,要求企(qi)業(ye)(ye)健全績(ji)效考核(he)體(ti)系(xi),股(gu)(gu)(gu)(gu)權(quan)(quan)(quan)(quan)(quan)(quan)激(ji)(ji)(ji)(ji)(ji)勵(li)(li)(li)(li)的(de)(de)(de)實(shi)施要與公(gong)司(si)(si)業(ye)(ye)績(ji)與激(ji)(ji)(ji)(ji)(ji)勵(li)(li)(li)(li)對象個人(ren)績(ji)效考核(he)相(xiang)(xiang)掛鉤,考核(he)目標要有(you)利于促進企(qi)業(ye)(ye)提高價值創(chuang)造水平(ping),實(shi)現持續(xu)健康發展。二(er)是(shi)授予數(shu)量與薪(xin)(xin)酬(chou)(chou)水平(ping)相(xiang)(xiang)關聯(lian),參照國(guo)際慣例及市(shi)場實(shi)踐,統籌薪(xin)(xin)酬(chou)(chou)結構與薪(xin)(xin)酬(chou)(chou)水平(ping),股(gu)(gu)(gu)(gu)權(quan)(quan)(quan)(quan)(quan)(quan)激(ji)(ji)(ji)(ji)(ji)勵(li)(li)(li)(li)授予價值控(kong)制在(zai)薪(xin)(xin)酬(chou)(chou)總水平(ping)的(de)(de)(de)40%以(yi)內,實(shi)現平(ping)穩規范起(qi)步,但對股(gu)(gu)(gu)(gu)權(quan)(quan)(quan)(quan)(quan)(quan)激(ji)(ji)(ji)(ji)(ji)勵(li)(li)(li)(li)行權(quan)(quan)(quan)(quan)(quan)(quan)收益(yi)不再(zai)進行控(kong)制。三(san)是(shi)激(ji)(ji)(ji)(ji)(ji)勵(li)(li)(li)(li)方(fang)(fang)式與公(gong)司(si)(si)特點(dian)(dian)相(xiang)(xiang)匹配(pei),指導(dao)上市(shi)公(gong)司(si)(si)根據所處行業(ye)(ye)、發展階段等特點(dian)(dian),科學(xue)選擇激(ji)(ji)(ji)(ji)(ji)勵(li)(li)(li)(li)工具,并可以(yi)結合市(shi)場情況探(tan)索(suo)創(chuang)新激(ji)(ji)(ji)(ji)(ji)勵(li)(li)(li)(li)方(fang)(fang)式。四是(shi)行權(quan)(quan)(quan)(quan)(quan)(quan)安排(pai)與激(ji)(ji)(ji)(ji)(ji)勵(li)(li)(li)(li)約(yue)束(shu)相(xiang)(xiang)統籌,引導(dao)企(qi)業(ye)(ye)分期實(shi)施股(gu)(gu)(gu)(gu)權(quan)(quan)(quan)(quan)(quan)(quan)激(ji)(ji)(ji)(ji)(ji)勵(li)(li)(li)(li),權(quan)(quan)(quan)(quan)(quan)(quan)益(yi)授予后至(zhi)少鎖定兩年(nian),解(jie)鎖后在(zai)不低于三(san)年(nian)內分批(pi)生效,體(ti)現長(chang)效激(ji)(ji)(ji)(ji)(ji)勵(li)(li)(li)(li)約(yue)束(shu)。五(wu)是(shi)公(gong)司(si)(si)治(zhi)理(li)與管理(li)提升相(xiang)(xiang)協同(tong),推動企(qi)業(ye)(ye)持續(xu)完善公(gong)司(si)(si)治(zhi)理(li),不斷健全經(jing)營管理(li)、績(ji)效考核(he)、勞動用(yong)工和收入分配(pei)等企(qi)業(ye)(ye)基礎管理(li)制度(du)。在(zai)《指引》的(de)(de)(de)制訂(ding)過程中(zhong),我們(men)對上述五(wu)方(fang)(fang)面(mian)股(gu)(gu)(gu)(gu)權(quan)(quan)(quan)(quan)(quan)(quan)激(ji)(ji)(ji)(ji)(ji)勵(li)(li)(li)(li)實(shi)踐經(jing)驗進行了系(xi)統提煉(lian),作(zuo)為操(cao)作(zuo)指引幫助企(qi)業(ye)(ye)更加科學(xue)高效地開展好這(zhe)項工作(zuo)。
