國務院辦公廳關于進一步完善國有企業法人治理結構的指導意見

各(ge)省、自治區、直轄市人民政(zheng)府(fu),國務院各(ge)部委、各(ge)直屬機(ji)構:

完(wan)善國(guo)(guo)有(you)(you)企(qi)(qi)業(ye)(ye)法人治理結(jie)構是全面推進依法治企(qi)(qi)、推進國(guo)(guo)家治理體系(xi)和治理能力現(xian)代(dai)化(hua)的(de)(de)(de)內在要求,是新一輪國(guo)(guo)有(you)(you)企(qi)(qi)業(ye)(ye)改革(ge)(ge)的(de)(de)(de)重要任務。當前,多數國(guo)(guo)有(you)(you)企(qi)(qi)業(ye)(ye)已初(chu)步建立現(xian)代(dai)企(qi)(qi)業(ye)(ye)制(zhi)度(du),但從實踐情況看,現(xian)代(dai)企(qi)(qi)業(ye)(ye)制(zhi)度(du)仍不(bu)完(wan)善,部(bu)分(fen)企(qi)(qi)業(ye)(ye)尚未形成有(you)(you)效的(de)(de)(de)法人治理結(jie)構,權責(ze)不(bu)清、約束不(bu)夠、缺乏(fa)制(zhi)衡等(deng)問題較(jiao)為突出(chu),一些董事會形同虛設,未能發揮應有(you)(you)作用。根據《中(zhong)(zhong)共中(zhong)(zhong)央(yang) 國(guo)(guo)務院(yuan)關于深(shen)化(hua)國(guo)(guo)有(you)(you)企(qi)(qi)業(ye)(ye)改革(ge)(ge)的(de)(de)(de)指導意見》等(deng)文件精神,為改進國(guo)(guo)有(you)(you)企(qi)(qi)業(ye)(ye)法人治理結(jie)構,完(wan)善國(guo)(guo)有(you)(you)企(qi)(qi)業(ye)(ye)現(xian)代(dai)企(qi)(qi)業(ye)(ye)制(zhi)度(du),經國(guo)(guo)務院(yuan)同意,現(xian)提出(chu)以下意見:

一、總(zong)體(ti)要求

(一)指(zhi)導思想(xiang)。

全(quan)(quan)面貫徹(che)黨(dang)的十八大和(he)(he)十八屆三中(zhong)(zhong)、四中(zhong)(zhong)、五(wu)中(zhong)(zhong)、六中(zhong)(zhong)全(quan)(quan)會(hui)精(jing)神(shen),深入(ru)貫徹(che)習(xi)近平總(zong)書記(ji)系列重(zhong)要講話精(jing)神(shen)和(he)(he)治(zhi)國(guo)(guo)理(li)(li)政新理(li)(li)念新思想新戰略,認(ren)真落實(shi)黨(dang)中(zhong)(zhong)央(yang)、國(guo)(guo)務院決策(ce)部署,統籌推進(jin)“五(wu)位一(yi)體(ti)”總(zong)體(ti)布局和(he)(he)協調推進(jin)“四個全(quan)(quan)面”戰略布局,牢固樹立(li)(li)和(he)(he)貫徹(che)落實(shi)創新、協調、綠色(se)、開放、共享的發展(zhan)理(li)(li)念,從國(guo)(guo)有(you)企(qi)業實(shi)際(ji)情況出發,以建(jian)立(li)(li)健全(quan)(quan)產權(quan)清晰、權(quan)責明確、政企(qi)分開、管理(li)(li)科學的現代企(qi)業制(zhi)(zhi)度(du)為方向(xiang),積(ji)極適(shi)應國(guo)(guo)有(you)企(qi)業改(gai)革的新形勢新要求(qiu),堅持黨(dang)的領導、加(jia)強黨(dang)的建(jian)設(she),完善(shan)體(ti)制(zhi)(zhi)機制(zhi)(zhi),依法規范權(quan)責,根據(ju)功(gong)能(neng)分類,把握重(zhong)點,進(jin)一(yi)步健全(quan)(quan)各(ge)司(si)其職、各(ge)負其責、協調運轉、有(you)效(xiao)制(zhi)(zhi)衡的國(guo)(guo)有(you)企(qi)業法人治(zhi)理(li)(li)結構。

(二)基(ji)本原則。

1.堅持(chi)深化改革。尊(zun)重企業市場(chang)主體(ti)(ti)地位(wei),遵(zun)循市場(chang)經濟規律和企業發展(zhan)規律,以(yi)規范決策(ce)機制和完善制衡機制為重點(dian),堅持(chi)激勵機制與約束機制相(xiang)結(jie)合,體(ti)(ti)現(xian)效(xiao)率(lv)原則與公平原則,充分(fen)調動(dong)企業家積極性(xing),提(ti)升企業的市場(chang)化(hua)、現(xian)代(dai)化(hua)經營水(shui)平。

2.堅(jian)持黨的領(ling)導(dao)。落(luo)(luo)實全面從嚴治(zhi)黨(dang)戰略部署,把加強黨(dang)的領導和(he)(he)完(wan)善公司治(zhi)理統一起來,明(ming)確(que)國(guo)有企業(ye)黨(dang)組織在法(fa)(fa)人治(zhi)理結構中(zhong)的法(fa)(fa)定地位(wei),發揮(hui)國(guo)有企業(ye)黨(dang)組織的領導核心(xin)(xin)和(he)(he)政治(zhi)核心(xin)(xin)作用,保(bao)(bao)證黨(dang)組織把方向、管(guan)(guan)大局(ju)、保(bao)(bao)落(luo)(luo)實。堅(jian)持黨(dang)管(guan)(guan)干部原則與(yu)董事會依法(fa)(fa)選擇經營管(guan)(guan)理者、經營管(guan)(guan)理者依法(fa)(fa)行使用人權相結合(he),積(ji)極探索有效實現形式(shi),完(wan)善反(fan)腐倡廉制度體(ti)系。

3.堅持依(yi)法治(zhi)企。依據《中(zhong)華人民(min)共(gong)和(he)國公(gong)司法》、《中(zhong)華人民(min)共(gong)和(he)國企(qi)業(ye)國有資產(chan)(chan)法》等(deng)法律法規,以公(gong)司章程(cheng)為(wei)行(xing)為(wei)準則,規范權責定位和(he)行(xing)權方式;法無(wu)授權,任(ren)何(he)政府部(bu)門和(he)機構不(bu)得干預企(qi)業(ye)正(zheng)常生產(chan)(chan)經營(ying)活動,實現深(shen)化改革與(yu)依法治企(qi)的(de)有機統一(yi)。

4.堅持權責對等(deng)。堅持(chi)權(quan)(quan)利(li)義務(wu)責任(ren)相統一,規范權(quan)(quan)力運行、強化(hua)權(quan)(quan)利(li)責任(ren)對等,改革(ge)國(guo)有資本授權(quan)(quan)經營體制(zhi),深化(hua)權(quan)(quan)力運行和監(jian)督(du)機制(zhi)改革(ge),構建(jian)(jian)符(fu)合國(guo)情的監(jian)管體系,完善履職(zhi)(zhi)(zhi)評價和責任(ren)追(zhui)究機制(zhi),對失(shi)職(zhi)(zhi)(zhi)、瀆職(zhi)(zhi)(zhi)行為嚴格追(zhui)責,建(jian)(jian)立決策、執行和監(jian)督(du)環節(jie)的終身責任(ren)追(zhui)究制(zhi)度。

(三(san))主要目標。

2017年年底(di)前,國有(you)企(qi)(qi)(qi)業(ye)(ye)(ye)公(gong)司(si)(si)制改(gai)革基本完成。到(dao)2020年,黨組織在國有(you)企(qi)(qi)(qi)業(ye)(ye)(ye)法人(ren)治(zhi)(zhi)理結構中的法定地位更加(jia)牢固,充(chong)分發揮公(gong)司(si)(si)章(zhang)程在企(qi)(qi)(qi)業(ye)(ye)(ye)治(zhi)(zhi)理中的基礎(chu)作用,國有(you)獨資、全(quan)資公(gong)司(si)(si)全(quan)面建立(li)外(wai)部董(dong)(dong)(dong)事占多數(shu)的董(dong)(dong)(dong)事會,國有(you)控股企(qi)(qi)(qi)業(ye)(ye)(ye)實(shi)行(xing)外(wai)部董(dong)(dong)(dong)事派出制度,完成外(wai)派監事會改(gai)革;充(chong)分發揮企(qi)(qi)(qi)業(ye)(ye)(ye)家(jia)作用,造就一大批政(zheng)(zheng)治(zhi)(zhi)堅(jian)定、善于(yu)(yu)經營、充(chong)滿活力的董(dong)(dong)(dong)事長和(he)職業(ye)(ye)(ye)經理人(ren),培育一支德才(cai)兼(jian)備(bei)、業(ye)(ye)(ye)務精通、勇于(yu)(yu)擔(dan)當的董(dong)(dong)(dong)事、監事隊伍(wu);黨風廉(lian)政(zheng)(zheng)建設(she)主(zhu)體(ti)(ti)責(ze)任和(he)監督責(ze)任全(quan)面落實(shi),企(qi)(qi)(qi)業(ye)(ye)(ye)民主(zhu)監督和(he)管理明(ming)顯改(gai)善;遵循市場(chang)經濟(ji)規(gui)律(lv)(lv)和(he)企(qi)(qi)(qi)業(ye)(ye)(ye)發展規(gui)律(lv)(lv),使(shi)國有(you)企(qi)(qi)(qi)業(ye)(ye)(ye)成為依法自主(zhu)經營、自負盈虧、自擔(dan)風險、自我約束、自我發展的市場(chang)主(zhu)體(ti)(ti)。

二(er)、規范主體權責

健全以(yi)公(gong)司章程(cheng)為核心的企(qi)業(ye)制度(du)體系,充分發揮公(gong)司章程(cheng)在企(qi)業(ye)治(zhi)理中的基礎作用(yong),依照法(fa)律法(fa)規(gui)和(he)公(gong)司章程(cheng),嚴格規(gui)范(fan)履(lv)行出資人職責(ze)的機構(gou)(以(yi)下簡稱出資人機構(gou))、股(gu)東(dong)(dong)會(包括(kuo)股(gu)東(dong)(dong)大會,下同)、董事會、經理層、監事會、黨組織和(he)職工代(dai)表大會的權(quan)(quan)責(ze),強(qiang)化權(quan)(quan)利責(ze)任對等,保障有效履(lv)職,完善符合市場經濟規(gui)律和(he)我國國情的國有企(qi)業(ye)法(fa)人治(zhi)理結構(gou),進(jin)一(yi)步(bu)提升國有企(qi)業(ye)運行效率(lv)。

(一)理順出資人職(zhi)責,轉變監(jian)管方(fang)式(shi)。

1.股(gu)(gu)東會(hui)是(shi)公司的權力機(ji)構。股(gu)(gu)東會(hui)主要依(yi)據法(fa)律法(fa)規和公司章程,通(tong)過(guo)委派或更(geng)換董事(shi)(shi)、監事(shi)(shi)(不(bu)含職工代表),審核批(pi)(pi)準董事(shi)(shi)會(hui)、監事(shi)(shi)會(hui)年(nian)度工作報告,批(pi)(pi)準公司財務預(yu)決算、利潤分配方案等方式,對董事(shi)(shi)會(hui)、監事(shi)(shi)會(hui)以及董事(shi)(shi)、監事(shi)(shi)的履職情況(kuang)進行評價(jia)和監督。出資人機(ji)構根據本(ben)級(ji)人民政府授權對國家出資企業依(yi)法(fa)享有股(gu)(gu)東權利。

2.國(guo)(guo)有(you)(you)獨資(zi)公(gong)(gong)司(si)不設股(gu)(gu)(gu)東(dong)(dong)會(hui),由(you)(you)出資(zi)人(ren)機(ji)構依(yi)(yi)法行(xing)使股(gu)(gu)(gu)東(dong)(dong)會(hui)職權。以(yi)管(guan)資(zi)本為主改革國(guo)(guo)有(you)(you)資(zi)本授權經營體制,對(dui)直接出資(zi)的國(guo)(guo)有(you)(you)獨資(zi)公(gong)(gong)司(si),出資(zi)人(ren)機(ji)構重點管(guan)好國(guo)(guo)有(you)(you)資(zi)本布局、規范資(zi)本運作、強化資(zi)本約束、提高(gao)資(zi)本回報、維護資(zi)本安全。對(dui)國(guo)(guo)有(you)(you)全資(zi)公(gong)(gong)司(si)、國(guo)(guo)有(you)(you)控股(gu)(gu)(gu)企業,出資(zi)人(ren)機(ji)構主要依(yi)(yi)據股(gu)(gu)(gu)權份額通過參(can)加(jia)股(gu)(gu)(gu)東(dong)(dong)會(hui)議(yi)、審核需由(you)(you)股(gu)(gu)(gu)東(dong)(dong)決定(ding)的事項、與其他(ta)股(gu)(gu)(gu)東(dong)(dong)協商作出決議(yi)等方式(shi)履行(xing)職責,除法律(lv)法規或公(gong)(gong)司(si)章程另有(you)(you)規定(ding)外,不得(de)干預企業自主經營活動。

3.出(chu)資(zi)(zi)人機構(gou)依據法律(lv)法規和(he)公(gong)司章(zhang)(zhang)程規定行使股(gu)(gu)東權利(li)、履(lv)行股(gu)(gu)東義務,有(you)關監管內容應依法納入公(gong)司章(zhang)(zhang)程。按照以管資(zi)(zi)本為主的(de)要(yao)求,出(chu)資(zi)(zi)人機構(gou)要(yao)轉(zhuan)變工作(zuo)職能、改進工作(zuo)方(fang)式,加強公(gong)司章(zhang)(zhang)程管理(li),清理(li)有(you)關規章(zhang)(zhang)、規范性文(wen)件,研究提出(chu)出(chu)資(zi)(zi)人機構(gou)審批事(shi)(shi)項清單,建(jian)立對董事(shi)(shi)會重大決(jue)策的(de)合規性審查(cha)機制,制定監事(shi)(shi)會建(jian)設、責(ze)任(ren)追究等具體措施,適時制定國有(you)資(zi)(zi)本優(you)先(xian)股(gu)(gu)和(he)國家(jia)特殊管理(li)股(gu)(gu)管理(li)辦法。

(二(er))加強董事會建設,落實董事會職權。

1.董(dong)事(shi)會(hui)是公(gong)(gong)(gong)司(si)(si)的(de)決(jue)策機(ji)構,要(yao)對股東(dong)會(hui)負責,執行(xing)(xing)股東(dong)會(hui)決(jue)定(ding),依照法定(ding)程(cheng)序和(he)(he)公(gong)(gong)(gong)司(si)(si)章(zhang)程(cheng)授權決(jue)定(ding)公(gong)(gong)(gong)司(si)(si)重(zhong)大事(shi)項,接受股東(dong)會(hui)、監事(shi)會(hui)監督,認真履(lv)行(xing)(xing)決(jue)策把關、內(nei)部管理(li)(li)、防范風(feng)險、深化(hua)改革等(deng)職(zhi)責。國(guo)有獨資公(gong)(gong)(gong)司(si)(si)要(yao)依法落實(shi)和(he)(he)維護董(dong)事(shi)會(hui)行(xing)(xing)使重(zhong)大決(jue)策、選(xuan)人用人、薪酬分(fen)配等(deng)權利,增(zeng)強(qiang)董(dong)事(shi)會(hui)的(de)獨立性和(he)(he)權威性,落實(shi)董(dong)事(shi)會(hui)年度(du)工(gong)作報告制度(du);董(dong)事(shi)會(hui)應(ying)與(yu)黨組(zu)織(zhi)充分(fen)溝通,有序開展國(guo)有獨資公(gong)(gong)(gong)司(si)(si)董(dong)事(shi)會(hui)選(xuan)聘(pin)經理(li)(li)層試點,加強(qiang)對經理(li)(li)層的(de)管理(li)(li)和(he)(he)監督。

2.優(you)化董(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)會(hui)組成結構(gou)(gou)。國(guo)(guo)(guo)(guo)有(you)(you)獨(du)資(zi)、全資(zi)公(gong)司的董(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)長、總經理原則上分設,應均為內部(bu)執行董(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi),定期(qi)向(xiang)董(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)會(hui)報告工(gong)作。國(guo)(guo)(guo)(guo)有(you)(you)獨(du)資(zi)公(gong)司的董(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)長作為企業法定代表人(ren),對(dui)企業改革發展負首要(yao)責任(ren),要(yao)及時向(xiang)董(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)會(hui)和國(guo)(guo)(guo)(guo)有(you)(you)股(gu)(gu)(gu)東報告重(zhong)大經營(ying)問題(ti)和經營(ying)風險。國(guo)(guo)(guo)(guo)有(you)(you)獨(du)資(zi)公(gong)司的董(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)對(dui)出(chu)(chu)資(zi)人(ren)機構(gou)(gou)負責,接受出(chu)(chu)資(zi)人(ren)機構(gou)(gou)指導(dao),其中外(wai)部(bu)董(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)人(ren)選(xuan)(xuan)由(you)出(chu)(chu)資(zi)人(ren)機構(gou)(gou)商(shang)有(you)(you)關部(bu)門(men)提名(ming),并按照法定程序任(ren)命。國(guo)(guo)(guo)(guo)有(you)(you)全資(zi)公(gong)司、國(guo)(guo)(guo)(guo)有(you)(you)控股(gu)(gu)(gu)企業的董(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)由(you)相(xiang)關股(gu)(gu)(gu)東依據股(gu)(gu)(gu)權份額推(tui)薦派(pai)出(chu)(chu),由(you)股(gu)(gu)(gu)東會(hui)選(xuan)(xuan)舉(ju)或(huo)(huo)更換,國(guo)(guo)(guo)(guo)有(you)(you)股(gu)(gu)(gu)東派(pai)出(chu)(chu)的董(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)要(yao)積(ji)極維護(hu)國(guo)(guo)(guo)(guo)有(you)(you)資(zi)本(ben)權益;國(guo)(guo)(guo)(guo)有(you)(you)全資(zi)公(gong)司的外(wai)部(bu)董(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)人(ren)選(xuan)(xuan)由(you)控股(gu)(gu)(gu)股(gu)(gu)(gu)東商(shang)其他(ta)股(gu)(gu)(gu)東推(tui)薦,由(you)股(gu)(gu)(gu)東會(hui)選(xuan)(xuan)舉(ju)或(huo)(huo)更換;國(guo)(guo)(guo)(guo)有(you)(you)控股(gu)(gu)(gu)企業應有(you)(you)一定比例的外(wai)部(bu)董(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi),由(you)股(gu)(gu)(gu)東會(hui)選(xuan)(xuan)舉(ju)或(huo)(huo)更換。

3.規(gui)范(fan)董(dong)(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)(hui)(hui)議(yi)(yi)事(shi)(shi)規(gui)則。董(dong)(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)(hui)(hui)要嚴格實行(xing)集體審(shen)議(yi)(yi)、獨立(li)(li)表(biao)決(jue)(jue)、個人負責的(de)(de)決(jue)(jue)策制(zhi)度,平等(deng)(deng)充分發表(biao)意見,一(yi)人一(yi)票(piao)表(biao)決(jue)(jue),建立(li)(li)規(gui)范(fan)透明的(de)(de)重(zhong)大事(shi)(shi)項(xiang)信息公(gong)開和(he)(he)對外披露(lu)制(zhi)度,保障董(dong)(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)(hui)(hui)會(hui)(hui)(hui)(hui)(hui)議(yi)(yi)記錄和(he)(he)提(ti)案資料的(de)(de)完整性,建立(li)(li)董(dong)(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)(hui)(hui)決(jue)(jue)議(yi)(yi)跟蹤落實以及后評估制(zhi)度,做(zuo)好與其他(ta)治理主體的(de)(de)聯系(xi)(xi)溝通。董(dong)(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)(hui)(hui)應當設立(li)(li)提(ti)名委(wei)員(yuan)會(hui)(hui)(hui)(hui)(hui)、薪(xin)酬(chou)與考(kao)核(he)委(wei)員(yuan)會(hui)(hui)(hui)(hui)(hui)、審(shen)計(ji)委(wei)員(yuan)會(hui)(hui)(hui)(hui)(hui)等(deng)(deng)專(zhuan)門委(wei)員(yuan)會(hui)(hui)(hui)(hui)(hui),為董(dong)(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)(hui)(hui)決(jue)(jue)策提(ti)供(gong)咨(zi)詢(xun),其中(zhong)薪(xin)酬(chou)與考(kao)核(he)委(wei)員(yuan)會(hui)(hui)(hui)(hui)(hui)、審(shen)計(ji)委(wei)員(yuan)會(hui)(hui)(hui)(hui)(hui)應由外部董(dong)(dong)(dong)事(shi)(shi)組成。改進董(dong)(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)(hui)(hui)和(he)(he)董(dong)(dong)(dong)事(shi)(shi)評價辦法,完善年度和(he)(he)任期(qi)考(kao)核(he)制(zhi)度,逐步形(xing)成符(fu)合企業特點的(de)(de)考(kao)核(he)評價體系(xi)(xi)及激勵機(ji)制(zhi)。

4.加(jia)強董(dong)(dong)事(shi)(shi)隊伍建設。開展(zhan)董(dong)(dong)事(shi)(shi)任前和(he)任期培訓,做好董(dong)(dong)事(shi)(shi)派出(chu)和(he)任期管理工(gong)作。建立完善外(wai)部董(dong)(dong)事(shi)(shi)選(xuan)聘和(he)管理制(zhi)度,嚴格(ge)(ge)資格(ge)(ge)認定(ding)和(he)考(kao)試考(kao)察程序,拓寬(kuan)外(wai)部董(dong)(dong)事(shi)(shi)來源渠道,擴大專(zhuan)職(zhi)外(wai)部董(dong)(dong)事(shi)(shi)隊伍,選(xuan)聘一批現職(zhi)國有(you)企業(ye)負(fu)責人轉任專(zhuan)職(zhi)外(wai)部董(dong)(dong)事(shi)(shi),定(ding)期報告外(wai)部董(dong)(dong)事(shi)(shi)履職(zhi)情況。國有(you)獨(du)資公(gong)司要健全外(wai)部董(dong)(dong)事(shi)(shi)召(zhao)(zhao)集人制(zhi)度,召(zhao)(zhao)集人由外(wai)部董(dong)(dong)事(shi)(shi)定(ding)期推(tui)選(xuan)產生(sheng)。外(wai)部董(dong)(dong)事(shi)(shi)要與出(chu)資人機構加(jia)強溝通。

(三)維護經營自主權(quan),激發經理層活(huo)力。

1.經(jing)(jing)理(li)層是公司的(de)執行(xing)機(ji)構,依法由董(dong)事(shi)會(hui)(hui)聘任或解聘,接受董(dong)事(shi)會(hui)(hui)管(guan)理(li)和監事(shi)會(hui)(hui)監督。總經(jing)(jing)理(li)對董(dong)事(shi)會(hui)(hui)負(fu)責(ze),依法行(xing)使管(guan)理(li)生產經(jing)(jing)營、組織(zhi)實施董(dong)事(shi)會(hui)(hui)決(jue)議等職權,向董(dong)事(shi)會(hui)(hui)報告工(gong)作,董(dong)事(shi)會(hui)(hui)閉會(hui)(hui)期間(jian)向董(dong)事(shi)長報告工(gong)作。

2.建(jian)立規范(fan)的(de)經(jing)(jing)理(li)層授權管理(li)制(zhi)度(du)(du),對經(jing)(jing)理(li)層成(cheng)員(yuan)實行(xing)(xing)與選任方(fang)式相(xiang)匹(pi)配、與企業(ye)(ye)功能性質(zhi)相(xiang)適應、與經(jing)(jing)營業(ye)(ye)績(ji)相(xiang)掛鉤(gou)的(de)差(cha)異化薪(xin)酬分配制(zhi)度(du)(du),國(guo)有獨資公(gong)司(si)(si)經(jing)(jing)理(li)層逐步實行(xing)(xing)任期制(zhi)和契約化管理(li)。根(gen)據企業(ye)(ye)產權結構、市場(chang)化程(cheng)度(du)(du)等不同情況,有序(xu)(xu)推進職業(ye)(ye)經(jing)(jing)理(li)人(ren)制(zhi)度(du)(du)建(jian)設,逐步擴大職業(ye)(ye)經(jing)(jing)理(li)人(ren)隊伍,有序(xu)(xu)實行(xing)(xing)市場(chang)化薪(xin)酬,探索(suo)完(wan)善中長(chang)期激勵機制(zhi),研究出臺(tai)相(xiang)關指導意見。國(guo)有獨資公(gong)司(si)(si)要(yao)積極探索(suo)推行(xing)(xing)職業(ye)(ye)經(jing)(jing)理(li)人(ren)制(zhi)度(du)(du),實行(xing)(xing)內部培養(yang)和外部引(yin)進相(xiang)結合,暢通(tong)(tong)企業(ye)(ye)經(jing)(jing)理(li)層成(cheng)員(yuan)與職業(ye)(ye)經(jing)(jing)理(li)人(ren)的(de)身份轉換(huan)通(tong)(tong)道。開展出資人(ren)機構委派(pai)國(guo)有獨資公(gong)司(si)(si)總會計師試點(dian)。

(四)發揮監督作用(yong),完善問責機制。

1.監(jian)事(shi)(shi)會(hui)(hui)是公司的監(jian)督機(ji)構,依照有關法(fa)律法(fa)規(gui)和公司章程設立,對董事(shi)(shi)會(hui)(hui)、經(jing)理層成員(yuan)的職務(wu)行(xing)為(wei)進行(xing)監(jian)督。要提高(gao)專職監(jian)事(shi)(shi)比(bi)例,增(zeng)強(qiang)監(jian)事(shi)(shi)會(hui)(hui)的獨立性和權(quan)威(wei)性。對國有資產監(jian)管機(ji)構所出(chu)資企(qi)(qi)業(ye)依法(fa)實(shi)行(xing)外(wai)派(pai)監(jian)事(shi)(shi)會(hui)(hui)制(zhi)度。外(wai)派(pai)監(jian)事(shi)(shi)會(hui)(hui)由政(zheng)府派(pai)出(chu),負責檢查企(qi)(qi)業(ye)財務(wu),監(jian)督企(qi)(qi)業(ye)重大決(jue)策(ce)和關鍵環節以(yi)及董事(shi)(shi)會(hui)(hui)、經(jing)理層履職情況,不(bu)參與、不(bu)干預(yu)企(qi)(qi)業(ye)經(jing)營管理活(huo)動。

2.健(jian)全以職工代(dai)表(biao)大會(hui)為(wei)基本形(xing)式的企業民(min)主管(guan)理制(zhi)度(du),支持和(he)保證職工代(dai)表(biao)大會(hui)依法(fa)行(xing)使職權,加強職工民(min)主管(guan)理與監督,維(wei)護(hu)職工合法(fa)權益。國有獨(du)資、全資公司的董(dong)事(shi)會(hui)、監事(shi)會(hui)中須有職工董(dong)事(shi)和(he)職工監事(shi)。建立國有企業重大事(shi)項信(xin)息公開和(he)對外披露制(zhi)度(du)。

3.強化責(ze)任(ren)(ren)意(yi)識,明確(que)權責(ze)邊界,建立與治理(li)(li)主體履職(zhi)相(xiang)適應(ying)的責(ze)任(ren)(ren)追(zhui)(zhui)究(jiu)制度。董(dong)(dong)(dong)事(shi)(shi)、監事(shi)(shi)、經(jing)(jing)理(li)(li)層(ceng)(ceng)(ceng)成(cheng)(cheng)(cheng)員應(ying)當遵守法(fa)(fa)(fa)律(lv)法(fa)(fa)(fa)規和(he)公(gong)司(si)(si)(si)章程(cheng),對公(gong)司(si)(si)(si)負有(you)忠實義務和(he)勤勉(mian)義務;要(yao)將(jiang)其信(xin)(xin)用記錄納入(ru)全國信(xin)(xin)用信(xin)(xin)息共(gong)享平臺,違(wei)約失信(xin)(xin)的按(an)規定在“信(xin)(xin)用中國”網站公(gong)開(kai)。董(dong)(dong)(dong)事(shi)(shi)應(ying)當出席(xi)董(dong)(dong)(dong)事(shi)(shi)會(hui)(hui)會(hui)(hui)議(yi),對董(dong)(dong)(dong)事(shi)(shi)會(hui)(hui)決議(yi)承(cheng)擔責(ze)任(ren)(ren);董(dong)(dong)(dong)事(shi)(shi)會(hui)(hui)決議(yi)違(wei)反法(fa)(fa)(fa)律(lv)法(fa)(fa)(fa)規或公(gong)司(si)(si)(si)章程(cheng)、股東會(hui)(hui)決議(yi),致使(shi)(shi)公(gong)司(si)(si)(si)遭受(shou)嚴重損(sun)失的,應(ying)依(yi)法(fa)(fa)(fa)追(zhui)(zhui)究(jiu)有(you)關(guan)董(dong)(dong)(dong)事(shi)(shi)責(ze)任(ren)(ren)。經(jing)(jing)理(li)(li)層(ceng)(ceng)(ceng)成(cheng)(cheng)(cheng)員違(wei)反法(fa)(fa)(fa)律(lv)法(fa)(fa)(fa)規或公(gong)司(si)(si)(si)章程(cheng),致使(shi)(shi)公(gong)司(si)(si)(si)遭受(shou)損(sun)失的,應(ying)依(yi)法(fa)(fa)(fa)追(zhui)(zhui)究(jiu)有(you)關(guan)經(jing)(jing)理(li)(li)層(ceng)(ceng)(ceng)成(cheng)(cheng)(cheng)員責(ze)任(ren)(ren)。執行董(dong)(dong)(dong)事(shi)(shi)和(he)經(jing)(jing)理(li)(li)層(ceng)(ceng)(ceng)成(cheng)(cheng)(cheng)員未及時向(xiang)董(dong)(dong)(dong)事(shi)(shi)會(hui)(hui)或國有(you)股東報告(gao)重大經(jing)(jing)營問題和(he)經(jing)(jing)營風(feng)險的,應(ying)依(yi)法(fa)(fa)(fa)追(zhui)(zhui)究(jiu)相(xiang)關(guan)人(ren)員責(ze)任(ren)(ren)。企業黨(dang)組織成(cheng)(cheng)(cheng)員履職(zhi)過(guo)程(cheng)中有(you)重大失誤和(he)失職(zhi)、瀆職(zhi)行為的,應(ying)按(an)照黨(dang)組織有(you)關(guan)規定嚴格追(zhui)(zhui)究(jiu)責(ze)任(ren)(ren)。按(an)照“三個區分開(kai)來”的要(yao)求(qiu),建立必要(yao)的改革容錯糾錯機(ji)制,激勵(li)企業領導人(ren)員干事(shi)(shi)創(chuang)業。

(五)堅持黨的領導(dao),發(fa)揮(hui)政治優勢。

1.堅(jian)持黨(dang)的(de)(de)領(ling)導、加強黨(dang)的(de)(de)建(jian)設(she)是國(guo)有企業(ye)的(de)(de)獨特優勢。要(yao)(yao)明(ming)確黨(dang)組(zu)織在國(guo)有企業(ye)法(fa)(fa)(fa)(fa)人(ren)治(zhi)理(li)(li)結構中的(de)(de)法(fa)(fa)(fa)(fa)定地位,將黨(dang)建(jian)工作(zuo)(zuo)(zuo)(zuo)總(zong)體要(yao)(yao)求(qiu)納入國(guo)有企業(ye)章程,明(ming)確黨(dang)組(zu)織在企業(ye)決策(ce)(ce)、執(zhi)行(xing)、監(jian)(jian)督各(ge)環節的(de)(de)權責和工作(zuo)(zuo)(zuo)(zuo)方式,使黨(dang)組(zu)織成為企業(ye)法(fa)(fa)(fa)(fa)人(ren)治(zhi)理(li)(li)結構的(de)(de)有機組(zu)成部分(fen)。要(yao)(yao)充分(fen)發揮黨(dang)組(zu)織的(de)(de)領(ling)導核(he)心和政治(zhi)核(he)心作(zuo)(zuo)(zuo)(zuo)用,領(ling)導企業(ye)思想(xiang)政治(zhi)工作(zuo)(zuo)(zuo)(zuo),支持董事(shi)會(hui)、監(jian)(jian)事(shi)會(hui)、經理(li)(li)層依(yi)法(fa)(fa)(fa)(fa)履行(xing)職責,保(bao)證黨(dang)和國(guo)家方針政策(ce)(ce)的(de)(de)貫徹執(zhi)行(xing)。

2.充分發揮紀(ji)(ji)檢(jian)監(jian)察、巡視、審計(ji)等(deng)監(jian)督(du)作用,國(guo)有企業董事(shi)、監(jian)事(shi)、經理層中的黨(dang)(dang)員每(mei)年要定(ding)期(qi)向(xiang)黨(dang)(dang)組(zu)(zu)(zu)(黨(dang)(dang)委)報告個人履職和廉潔自(zi)律情況。上級(ji)黨(dang)(dang)組(zu)(zu)(zu)織(zhi)對國(guo)有企業紀(ji)(ji)檢(jian)組(zu)(zu)(zu)組(zu)(zu)(zu)長(紀(ji)(ji)委書(shu)記)實行(xing)委派制度和定(ding)期(qi)輪崗制度,紀(ji)(ji)檢(jian)組(zu)(zu)(zu)組(zu)(zu)(zu)長(紀(ji)(ji)委書(shu)記)要堅持原(yuan)則、強(qiang)化監(jian)督(du)。紀(ji)(ji)檢(jian)組(zu)(zu)(zu)組(zu)(zu)(zu)長(紀(ji)(ji)委書(shu)記)可列席董事(shi)會(hui)和董事(shi)會(hui)專門委員會(hui)的會(hui)議。

3.積極探(tan)(tan)索黨(dang)(dang)(dang)(dang)(dang)管干部(bu)原則(ze)與(yu)董(dong)(dong)(dong)事(shi)(shi)會(hui)選(xuan)(xuan)聘(pin)(pin)經營管理(li)人(ren)(ren)員有(you)機(ji)結合(he)(he)(he)的途徑(jing)和方法。堅持和完善雙向(xiang)進(jin)入、交(jiao)叉任(ren)職的領(ling)導體制,符合(he)(he)(he)條(tiao)(tiao)件的國有(you)企業黨(dang)(dang)(dang)(dang)(dang)組(黨(dang)(dang)(dang)(dang)(dang)委(wei))領(ling)導班子成(cheng)員可以(yi)通(tong)過法定(ding)程(cheng)(cheng)序進(jin)入董(dong)(dong)(dong)事(shi)(shi)會(hui)、監事(shi)(shi)會(hui)、經理(li)層(ceng),董(dong)(dong)(dong)事(shi)(shi)會(hui)、監事(shi)(shi)會(hui)、經理(li)層(ceng)成(cheng)員中符合(he)(he)(he)條(tiao)(tiao)件的黨(dang)(dang)(dang)(dang)(dang)員可以(yi)依(yi)照有(you)關規定(ding)和程(cheng)(cheng)序進(jin)入黨(dang)(dang)(dang)(dang)(dang)組(黨(dang)(dang)(dang)(dang)(dang)委(wei));黨(dang)(dang)(dang)(dang)(dang)組(黨(dang)(dang)(dang)(dang)(dang)委(wei))書(shu)記、董(dong)(dong)(dong)事(shi)(shi)長一般由一人(ren)(ren)擔(dan)任(ren),推進(jin)中央企業黨(dang)(dang)(dang)(dang)(dang)組(黨(dang)(dang)(dang)(dang)(dang)委(wei))專職副書(shu)記進(jin)入董(dong)(dong)(dong)事(shi)(shi)會(hui)。在董(dong)(dong)(dong)事(shi)(shi)會(hui)選(xuan)(xuan)聘(pin)(pin)經理(li)層(ceng)成(cheng)員工作中,上級黨(dang)(dang)(dang)(dang)(dang)組織(zhi)及其組織(zhi)部(bu)門(men)、國有(you)資(zi)產監管機(ji)構黨(dang)(dang)(dang)(dang)(dang)委(wei)應當(dang)發揮(hui)確定(ding)標準、規范程(cheng)(cheng)序、參與(yu)考(kao)察、推薦(jian)人(ren)(ren)選(xuan)(xuan)等作用。積極探(tan)(tan)索董(dong)(dong)(dong)事(shi)(shi)會(hui)通(tong)過差額方式選(xuan)(xuan)聘(pin)(pin)經理(li)層(ceng)成(cheng)員。

三、做(zuo)好組織實(shi)施

(一(yi))及(ji)時總結(jie)經驗(yan),分層有序實施。在國(guo)有(you)企(qi)(qi)業(ye)建設(she)規范董(dong)事會試點基(ji)礎上,總結(jie)經驗、完(wan)善制度,國(guo)務院(yuan)國(guo)資委監管的中央(yang)企(qi)(qi)業(ye)要(yao)依法改(gai)制為國(guo)有(you)獨(du)資公司或國(guo)有(you)控股公司,全(quan)面建立規范的董(dong)事會。國(guo)有(you)資本投(tou)資、運營公司法人治理結(jie)構(gou)(gou)要(yao)“一(yi)(yi)企(qi)(qi)一(yi)(yi)策”地在公司章(zhang)程中予(yu)以細化。其他中央(yang)企(qi)(qi)業(ye)和地方(fang)國(guo)有(you)企(qi)(qi)業(ye)要(yao)根據自身實際,由(you)出資人機構(gou)(gou)負責完(wan)善國(guo)有(you)企(qi)(qi)業(ye)法人治理結(jie)構(gou)(gou)。

(二)精心規范運作,做好相互銜(xian)接。國(guo)有(you)企(qi)業要(yao)按照(zhao)完善(shan)法人(ren)治理結構的(de)(de)要(yao)求,全(quan)面推進依法治企(qi),完善(shan)公司(si)章程(cheng),明確內部組織機構的(de)(de)權利、義務、責(ze)任,實現(xian)各負其責(ze)、規范運作、相互銜接、有(you)效制(zhi)衡。國(guo)務院國(guo)資(zi)委要(yao)會(hui)同有(you)關部門和單(dan)位抓(zhua)緊(jin)制(zhi)定國(guo)有(you)企(qi)業公司(si)章程(cheng)審核和批準(zhun)管理辦法。

金融、文化等國有企業的改(gai)革,中央另(ling)有規定的依其規定執(zhi)行。
