國(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)企業(ye)(ye)(ye)(ye)屬于全(quan)(quan)民(min)所有(you)(you)(you)(you)(you),是推(tui)進(jin)國(guo)(guo)(guo)(guo)家(jia)現代化、保障(zhang)人(ren)民(min)共同(tong)利(li)益的(de)重要(yao)力(li)(li)量,是我們黨(dang)和(he)國(guo)(guo)(guo)(guo)家(jia)事業(ye)(ye)(ye)(ye)發展的(de)重要(yao)物質基礎(chu)和(he)政治(zhi)基礎(chu)。改(gai)革(ge)開(kai)放以來,國(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)企業(ye)(ye)(ye)(ye)改(gai)革(ge)發展不(bu)斷取得重大(da)進(jin)展,總體(ti)上(shang)已經(jing)同(tong)市(shi)(shi)場經(jing)濟相融合,運(yun)行(xing)質量和(he)效益明顯提(ti)(ti)升,在(zai)國(guo)(guo)(guo)(guo)際(ji)國(guo)(guo)(guo)(guo)內(nei)(nei)市(shi)(shi)場競(jing)爭中(zhong)(zhong)(zhong)涌現出一(yi)批(pi)具有(you)(you)(you)(you)(you)核心競(jing)爭力(li)(li)的(de)骨干企業(ye)(ye)(ye)(ye),為推(tui)動經(jing)濟社會(hui)發展、保障(zhang)和(he)改(gai)善民(min)生、開(kai)拓國(guo)(guo)(guo)(guo)際(ji)市(shi)(shi)場、增強(qiang)我國(guo)(guo)(guo)(guo)綜合實力(li)(li)作出了(le)重大(da)貢獻(xian),國(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)企業(ye)(ye)(ye)(ye)經(jing)營管(guan)理者隊(dui)伍總體(ti)上(shang)是好的(de),廣大(da)職工付出了(le)不(bu)懈努(nu)力(li)(li),成就(jiu)是突出的(de)。但也(ye)要(yao)看到,國(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)企業(ye)(ye)(ye)(ye)仍然存(cun)在(zai)一(yi)些(xie)亟待解決的(de)突出矛盾和(he)問題,一(yi)些(xie)企業(ye)(ye)(ye)(ye)市(shi)(shi)場主體(ti)地位(wei)尚未(wei)(wei)真(zhen)正(zheng)確立,現代企業(ye)(ye)(ye)(ye)制(zhi)(zhi)度還不(bu)健全(quan)(quan),國(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)資(zi)產(chan)監管(guan)體(ti)制(zhi)(zhi)有(you)(you)(you)(you)(you)待完(wan)善,國(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)資(zi)本運(yun)行(xing)效率(lv)需進(jin)一(yi)步提(ti)(ti)高(gao);一(yi)些(xie)企業(ye)(ye)(ye)(ye)管(guan)理混亂,內(nei)(nei)部人(ren)控制(zhi)(zhi)、利(li)益輸(shu)送、國(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)資(zi)產(chan)流失(shi)等問題突出,企業(ye)(ye)(ye)(ye)辦社會(hui)職能和(he)歷史(shi)遺留問題還未(wei)(wei)完(wan)全(quan)(quan)解決;一(yi)些(xie)企業(ye)(ye)(ye)(ye)黨(dang)組織管(guan)黨(dang)治(zhi)黨(dang)責任(ren)(ren)不(bu)落(luo)(luo)實、作用被弱化。面(mian)向未(wei)(wei)來,國(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)企業(ye)(ye)(ye)(ye)面(mian)臨日益激烈的(de)國(guo)(guo)(guo)(guo)際(ji)競(jing)爭和(he)轉型(xing)升級的(de)巨大(da)挑戰。在(zai)推(tui)動我國(guo)(guo)(guo)(guo)經(jing)濟保持(chi)中(zhong)(zhong)(zhong)高(gao)速(su)增長(chang)和(he)邁(mai)向中(zhong)(zhong)(zhong)高(gao)端水平、完(wan)善和(he)發展中(zhong)(zhong)(zhong)國(guo)(guo)(guo)(guo)特色社會(hui)主義制(zhi)(zhi)度、實現中(zhong)(zhong)(zhong)華民(min)族偉大(da)復興中(zhong)(zhong)(zhong)國(guo)(guo)(guo)(guo)夢的(de)進(jin)程中(zhong)(zhong)(zhong),國(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)企業(ye)(ye)(ye)(ye)肩負(fu)著重大(da)歷史(shi)使命和(he)責任(ren)(ren)。要(yao)認真(zhen)貫徹落(luo)(luo)實黨(dang)中(zhong)(zhong)(zhong)央、國(guo)(guo)(guo)(guo)務院戰略(lve)決策(ce),按(an)照“四(si)個全(quan)(quan)面(mian)”戰略(lve)布局的(de)要(yao)求,以經(jing)濟建設為中(zhong)(zhong)(zhong)心,堅(jian)持(chi)問題導向,繼續推(tui)進(jin)國(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)企業(ye)(ye)(ye)(ye)改(gai)革(ge),切實破除體(ti)制(zhi)(zhi)機制(zhi)(zhi)障(zhang)礙,堅(jian)定不(bu)移做(zuo)強(qiang)做(zuo)優做(zuo)大(da)國(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)企業(ye)(ye)(ye)(ye)。為此,提(ti)(ti)出以下意見。
一、總體要求
(一)指導思想
高舉中(zhong)國(guo)(guo)特色(se)社會(hui)主義偉大(da)(da)(da)旗幟,認真貫徹(che)落實(shi)黨(dang)的(de)十八(ba)大(da)(da)(da)和(he)十八(ba)屆三(san)中(zhong)、四中(zhong)全會(hui)精神(shen),深入學習(xi)貫徹(che)習(xi)近平總書記(ji)系(xi)列重要講(jiang)話精神(shen),堅持和(he)完善基本(ben)經濟(ji)制(zhi)度(du),堅持社會(hui)主義市場經濟(ji)改革方向,適(shi)應市場化、現(xian)代化、國(guo)(guo)際化新(xin)形(xing)勢,以解放(fang)和(he)發展社會(hui)生產力為(wei)(wei)標準,以提高國(guo)(guo)有資(zi)本(ben)效率(lv)、增強國(guo)(guo)有企(qi)(qi)業(ye)(ye)活力為(wei)(wei)中(zhong)心,完善產權(quan)清晰(xi)、權(quan)責明確、政(zheng)企(qi)(qi)分開(kai)、管理科學的(de)現(xian)代企(qi)(qi)業(ye)(ye)制(zhi)度(du),完善國(guo)(guo)有資(zi)產監管體(ti)制(zhi),防止(zhi)國(guo)(guo)有資(zi)產流失(shi),全面推進依(yi)法(fa)治企(qi)(qi),加強和(he)改進黨(dang)對國(guo)(guo)有企(qi)(qi)業(ye)(ye)的(de)領(ling)導,做(zuo)強做(zuo)優(you)做(zuo)大(da)(da)(da)國(guo)(guo)有企(qi)(qi)業(ye)(ye),不斷增強國(guo)(guo)有經濟(ji)活力、控(kong)制(zhi)力、影響力、抗風險(xian)能力,主動適(shi)應和(he)引領(ling)經濟(ji)發展新(xin)常態,為(wei)(wei)促進經濟(ji)社會(hui)持續健(jian)康發展、實(shi)現(xian)中(zhong)華民族偉大(da)(da)(da)復(fu)興中(zhong)國(guo)(guo)夢作出積極貢獻。
(二)基本原則
——堅持(chi)(chi)和完善基本(ben)經(jing)(jing)濟(ji)制(zhi)(zhi)(zhi)度。這(zhe)是深化國(guo)有(you)企業改革必(bi)須把握(wo)的根本(ben)要求。必(bi)須毫(hao)不動搖(yao)鞏固(gu)和發(fa)展(zhan)公有(you)制(zhi)(zhi)(zhi)經(jing)(jing)濟(ji),毫(hao)不動搖(yao)鼓勵、支持(chi)(chi)、引導(dao)非公有(you)制(zhi)(zhi)(zhi)經(jing)(jing)濟(ji)發(fa)展(zhan)。堅持(chi)(chi)公有(you)制(zhi)(zhi)(zhi)主體地位(wei),發(fa)揮國(guo)有(you)經(jing)(jing)濟(ji)主導(dao)作用,積極促(cu)進國(guo)有(you)資(zi)本(ben)、集體資(zi)本(ben)、非公有(you)資(zi)本(ben)等交叉持(chi)(chi)股(gu)、相互融合,推動各種所有(you)制(zhi)(zhi)(zhi)資(zi)本(ben)取長補短、相互促(cu)進、共同發(fa)展(zhan)。
——堅持社會(hui)主(zhu)義市(shi)場(chang)經濟(ji)改革方向。這是(shi)深化國有(you)企(qi)(qi)業(ye)改革必(bi)須遵(zun)循(xun)的(de)基本規律。國有(you)企(qi)(qi)業(ye)改革要(yao)遵(zun)循(xun)市(shi)場(chang)經濟(ji)規律和企(qi)(qi)業(ye)發展規律,堅持政企(qi)(qi)分開(kai)、政資分開(kai)、所有(you)權(quan)與經營(ying)權(quan)分離,堅持權(quan)利(li)、義務、責(ze)任相統一,堅持激勵機制(zhi)和約(yue)束(shu)機制(zhi)相結合,促使國有(you)企(qi)(qi)業(ye)真正成為(wei)依(yi)法自主(zhu)經營(ying)、自負盈(ying)虧、自擔(dan)風險(xian)、自我約(yue)束(shu)、自我發展的(de)獨立(li)市(shi)場(chang)主(zhu)體(ti)。社會(hui)主(zhu)義市(shi)場(chang)經濟(ji)條(tiao)件下的(de)國有(you)企(qi)(qi)業(ye),要(yao)成為(wei)自覺(jue)履行社會(hui)責(ze)任的(de)表率。
——堅持增強(qiang)活(huo)力和(he)強(qiang)化(hua)監管(guan)(guan)(guan)相結合。這(zhe)是(shi)深化(hua)國(guo)有(you)(you)企(qi)業(ye)改(gai)革(ge)必須(xu)把握的(de)重要(yao)(yao)關系。增強(qiang)活(huo)力是(shi)搞好國(guo)有(you)(you)企(qi)業(ye)的(de)本(ben)質要(yao)(yao)求,加強(qiang)監管(guan)(guan)(guan)是(shi)搞好國(guo)有(you)(you)企(qi)業(ye)的(de)重要(yao)(yao)保障,要(yao)(yao)切(qie)實(shi)做(zuo)到兩者(zhe)的(de)有(you)(you)機統(tong)一(yi)(yi)。繼續(xu)推進簡政放權,依(yi)法落實(shi)企(qi)業(ye)法人財產權和(he)經營自(zi)主權,進一(yi)(yi)步激發企(qi)業(ye)活(huo)力、創造力和(he)市(shi)場競爭(zheng)力。進一(yi)(yi)步完善國(guo)有(you)(you)企(qi)業(ye)監管(guan)(guan)(guan)制度,切(qie)實(shi)防止國(guo)有(you)(you)資(zi)(zi)產流失,確保國(guo)有(you)(you)資(zi)(zi)產保值增值。
——堅(jian)(jian)持黨(dang)對國(guo)(guo)有企(qi)業的領導。這(zhe)是深(shen)(shen)化國(guo)(guo)有企(qi)業改(gai)革必須(xu)堅(jian)(jian)守的政(zheng)治(zhi)方向(xiang)、政(zheng)治(zhi)原則。要(yao)貫徹全(quan)面從嚴治(zhi)黨(dang)方針,充(chong)分發(fa)揮企(qi)業黨(dang)組織(zhi)政(zheng)治(zhi)核心作用(yong),加強(qiang)企(qi)業領導班(ban)子(zi)建(jian)設,創新基層黨(dang)建(jian)工(gong)作,深(shen)(shen)入開展黨(dang)風廉政(zheng)建(jian)設,堅(jian)(jian)持全(quan)心全(quan)意依靠工(gong)人(ren)階(jie)級,維(wei)護職工(gong)合(he)法(fa)權益,為國(guo)(guo)有企(qi)業改(gai)革發(fa)展提供堅(jian)(jian)強(qiang)有力(li)的政(zheng)治(zhi)保證(zheng)、組織(zhi)保證(zheng)和人(ren)才支撐。
——堅持(chi)積極(ji)穩妥統(tong)籌推進(jin)(jin)。這是(shi)深化(hua)國有企(qi)業改(gai)革(ge)(ge)(ge)必(bi)須采用的(de)(de)科學方(fang)法(fa)。要正確處理(li)推進(jin)(jin)改(gai)革(ge)(ge)(ge)和堅持(chi)法(fa)治的(de)(de)關(guan)系(xi),正確處理(li)改(gai)革(ge)(ge)(ge)發展(zhan)穩定(ding)關(guan)系(xi),正確處理(li)搞好頂層(ceng)設計(ji)和尊重基(ji)層(ceng)首創(chuang)精(jing)神的(de)(de)關(guan)系(xi),突出問題導向,堅持(chi)分類推進(jin)(jin),把(ba)握好改(gai)革(ge)(ge)(ge)的(de)(de)次序、節奏(zou)、力(li)度,確保(bao)改(gai)革(ge)(ge)(ge)扎實(shi)推進(jin)(jin)、務求實(shi)效(xiao)。
(三)主要目標
到2020年(nian),在國(guo)(guo)(guo)有(you)企業改革(ge)重(zhong)要領域和(he)(he)關(guan)鍵環節取得決定性(xing)成果,形(xing)成更加符合我國(guo)(guo)(guo)基本經濟(ji)制(zhi)度(du)和(he)(he)社(she)會主義市(shi)場(chang)經濟(ji)發展要求的(de)國(guo)(guo)(guo)有(you)資產管理(li)體制(zhi)、現代(dai)企業制(zhi)度(du)、市(shi)場(chang)化(hua)經營機制(zhi),國(guo)(guo)(guo)有(you)資本布局結構更趨合理(li),造就(jiu)一大批(pi)德才(cai)兼備(bei)、善于經營、充滿活力的(de)優秀企業家(jia),培育(yu)一大批(pi)具有(you)創新(xin)能力和(he)(he)國(guo)(guo)(guo)際競爭(zheng)力的(de)國(guo)(guo)(guo)有(you)骨干企業,國(guo)(guo)(guo)有(you)經濟(ji)活力、控制(zhi)力、影(ying)響(xiang)力、抗風(feng)險能力明(ming)顯增強。
——國有企業公司制(zhi)改革基本完成,發(fa)展(zhan)混(hun)合所有制(zhi)經濟取得積極進展(zhan),法(fa)人(ren)治理(li)結構更加健全(quan),優勝劣汰、經營自主靈活(huo)、內部管理(li)人(ren)員能(neng)(neng)上能(neng)(neng)下(xia)、員工能(neng)(neng)進能(neng)(neng)出、收入能(neng)(neng)增(zeng)能(neng)(neng)減的市場化機制(zhi)更加完善。
——國有(you)資(zi)產監(jian)管(guan)制度(du)更加成熟,相關法律(lv)法規更加健(jian)全,監(jian)管(guan)手(shou)段(duan)和方式不(bu)斷優化,監(jian)管(guan)的科學性(xing)(xing)、針對性(xing)(xing)、有(you)效性(xing)(xing)進一步提高,經(jing)營(ying)性(xing)(xing)國有(you)資(zi)產實(shi)現集(ji)中統(tong)一監(jian)管(guan),國有(you)資(zi)產保值增值責任全面落實(shi)。
——國有(you)(you)(you)資(zi)本配(pei)置效率(lv)(lv)顯(xian)著提高,國有(you)(you)(you)經濟布局結構不斷優化(hua)、主導作用有(you)(you)(you)效發(fa)(fa)揮,國有(you)(you)(you)企業在提升自主創新能(neng)力、保護資(zi)源環境、加快轉型升級、履行社會(hui)責任中的引領(ling)和表率(lv)(lv)作用充(chong)分發(fa)(fa)揮。
——企業黨(dang)的建(jian)設全(quan)面加(jia)強,反(fan)腐(fu)倡廉制度體系(xi)、工作(zuo)體系(xi)更(geng)加(jia)完善(shan),國有企業黨(dang)組織在(zai)公司(si)治(zhi)理中的法定地位(wei)更(geng)加(jia)鞏固,政(zheng)治(zhi)核心(xin)作(zuo)用充分發揮。
二、分類推進國有企業改革
(四)劃(hua)(hua)分國(guo)有(you)(you)企業(ye)(ye)不同類(lei)(lei)別。根據國(guo)有(you)(you)資(zi)本的(de)戰略(lve)定位和(he)發(fa)展目標,結合不同國(guo)有(you)(you)企業(ye)(ye)在經(jing)濟社會發(fa)展中的(de)作(zuo)用、現狀(zhuang)和(he)發(fa)展需要,將(jiang)國(guo)有(you)(you)企業(ye)(ye)分為(wei)商(shang)業(ye)(ye)類(lei)(lei)和(he)公(gong)益類(lei)(lei)。通過界定功能(neng)、劃(hua)(hua)分類(lei)(lei)別,實(shi)行分類(lei)(lei)改(gai)革(ge)、分類(lei)(lei)發(fa)展、分類(lei)(lei)監管、分類(lei)(lei)定責、分類(lei)(lei)考核,提高改(gai)革(ge)的(de)針對(dui)性、監管的(de)有(you)(you)效(xiao)性、考核評價(jia)的(de)科學(xue)性,推動國(guo)有(you)(you)企業(ye)(ye)同市場經(jing)濟深(shen)入(ru)融合,促進國(guo)有(you)(you)企業(ye)(ye)經(jing)濟效(xiao)益和(he)社會效(xiao)益有(you)(you)機統一。按照誰(shui)出(chu)資(zi)誰(shui)分類(lei)(lei)的(de)原則,由履行出(chu)資(zi)人職責的(de)機構負責制(zhi)定所(suo)出(chu)資(zi)企業(ye)(ye)的(de)功能(neng)界定和(he)分類(lei)(lei)方(fang)案(an),報本級(ji)政府批準。各地區可(ke)結合實(shi)際,劃(hua)(hua)分并動態調整本地區國(guo)有(you)(you)企業(ye)(ye)功能(neng)類(lei)(lei)別。
(五)推(tui)進商業(ye)類國有企業(ye)改革。商業(ye)類國有企業(ye)按照(zhao)市場化要(yao)求實行商業(ye)化運作,以增強(qiang)國有經(jing)濟活力(li)、放大國有資(zi)本功能、實現國有資(zi)產保(bao)值(zhi)增值(zhi)為主要(yao)目標,依法獨立自(zi)主開展生產經(jing)營(ying)活動,實現優勝(sheng)劣汰(tai)、有序進退。
主業(ye)處(chu)于充分競(jing)爭行業(ye)和領(ling)域(yu)的商(shang)業(ye)類(lei)國(guo)有(you)(you)企(qi)業(ye),原則上都要實(shi)行公(gong)司制(zhi)股(gu)份(fen)制(zhi)改(gai)革,積極引入(ru)其他國(guo)有(you)(you)資(zi)本或各類(lei)非國(guo)有(you)(you)資(zi)本實(shi)現股(gu)權多元(yuan)化(hua),國(guo)有(you)(you)資(zi)本可(ke)以絕對控股(gu)、相對控股(gu),也可(ke)以參股(gu),并著(zhu)力推進整體(ti)上市(shi)。對這(zhe)些國(guo)有(you)(you)企(qi)業(ye),重點考核經營業(ye)績(ji)指標、國(guo)有(you)(you)資(zi)產保值增(zeng)值和市(shi)場競(jing)爭能力。
主業(ye)(ye)(ye)(ye)(ye)處于關(guan)系國(guo)(guo)家安(an)全(quan)、國(guo)(guo)民(min)經(jing)(jing)濟(ji)命(ming)脈的重(zhong)要(yao)(yao)行(xing)(xing)(xing)(xing)業(ye)(ye)(ye)(ye)(ye)和(he)(he)關(guan)鍵(jian)領域、主要(yao)(yao)承擔(dan)重(zhong)大專(zhuan)項(xiang)任務的商業(ye)(ye)(ye)(ye)(ye)類國(guo)(guo)有(you)企業(ye)(ye)(ye)(ye)(ye),要(yao)(yao)保(bao)持國(guo)(guo)有(you)資(zi)(zi)本(ben)控股(gu)地(di)位,支持非國(guo)(guo)有(you)資(zi)(zi)本(ben)參股(gu)。對自然(ran)壟(long)斷行(xing)(xing)(xing)(xing)業(ye)(ye)(ye)(ye)(ye),實(shi)行(xing)(xing)(xing)(xing)以(yi)政(zheng)(zheng)企分(fen)開、政(zheng)(zheng)資(zi)(zi)分(fen)開、特(te)許經(jing)(jing)營、政(zheng)(zheng)府(fu)監管為主要(yao)(yao)內容的改革,根據不(bu)同行(xing)(xing)(xing)(xing)業(ye)(ye)(ye)(ye)(ye)特(te)點(dian)實(shi)行(xing)(xing)(xing)(xing)網(wang)運分(fen)開、放開競(jing)爭性業(ye)(ye)(ye)(ye)(ye)務,促進公共資(zi)(zi)源配置市場化;對需要(yao)(yao)實(shi)行(xing)(xing)(xing)(xing)國(guo)(guo)有(you)全(quan)資(zi)(zi)的企業(ye)(ye)(ye)(ye)(ye),也(ye)要(yao)(yao)積極(ji)引(yin)入(ru)其他國(guo)(guo)有(you)資(zi)(zi)本(ben)實(shi)行(xing)(xing)(xing)(xing)股(gu)權多元化;對特(te)殊業(ye)(ye)(ye)(ye)(ye)務和(he)(he)競(jing)爭性業(ye)(ye)(ye)(ye)(ye)務實(shi)行(xing)(xing)(xing)(xing)業(ye)(ye)(ye)(ye)(ye)務板塊有(you)效分(fen)離,獨立運作、獨立核(he)算。對這些國(guo)(guo)有(you)企業(ye)(ye)(ye)(ye)(ye),在考核(he)經(jing)(jing)營業(ye)(ye)(ye)(ye)(ye)績指標(biao)和(he)(he)國(guo)(guo)有(you)資(zi)(zi)產(chan)保(bao)值增(zeng)值情況的同時,加強對服務國(guo)(guo)家戰略、保(bao)障國(guo)(guo)家安(an)全(quan)和(he)(he)國(guo)(guo)民(min)經(jing)(jing)濟(ji)運行(xing)(xing)(xing)(xing)、發展前瞻性戰略性產(chan)業(ye)(ye)(ye)(ye)(ye)以(yi)及完成特(te)殊任務的考核(he)。
(六)推進公(gong)益(yi)類國有(you)(you)企(qi)業(ye)(ye)(ye)(ye)改革。公(gong)益(yi)類國有(you)(you)企(qi)業(ye)(ye)(ye)(ye)以(yi)保(bao)障民(min)生、服(fu)(fu)(fu)務社會、提供公(gong)共產品和(he)(he)服(fu)(fu)(fu)務為主要(yao)目標,引入市(shi)場機制,提高公(gong)共服(fu)(fu)(fu)務效率和(he)(he)能力。這類企(qi)業(ye)(ye)(ye)(ye)可以(yi)采取國有(you)(you)獨資形式,具備條件的也(ye)可以(yi)推行投資主體多元化,還(huan)可以(yi)通過(guo)購買服(fu)(fu)(fu)務、特許經(jing)營(ying)(ying)、委托代理等(deng)方式,鼓勵非國有(you)(you)企(qi)業(ye)(ye)(ye)(ye)參與經(jing)營(ying)(ying)。對公(gong)益(yi)類國有(you)(you)企(qi)業(ye)(ye)(ye)(ye),重點考核成本控(kong)制、產品服(fu)(fu)(fu)務質量、營(ying)(ying)運效率和(he)(he)保(bao)障能力,根據(ju)企(qi)業(ye)(ye)(ye)(ye)不同特點有(you)(you)區別地(di)考核經(jing)營(ying)(ying)業(ye)(ye)(ye)(ye)績指標和(he)(he)國有(you)(you)資產保(bao)值(zhi)增(zeng)值(zhi)情況,考核中要(yao)引入社會評(ping)價。
三、完善現代企業制度
(七)推(tui)進公司制(zhi)(zhi)(zhi)股份(fen)制(zhi)(zhi)(zhi)改革。加大(da)集團層(ceng)面公司制(zhi)(zhi)(zhi)改革力(li)度,積極引(yin)入(ru)各(ge)類投資(zi)者實現(xian)股權多元(yuan)化,大(da)力(li)推(tui)動國有(you)(you)企業改制(zhi)(zhi)(zhi)上市,創(chuang)造條(tiao)件(jian)實現(xian)集團公司整體上市。根據不同企業的功能定位,逐(zhu)步(bu)調(diao)整國有(you)(you)股權比例(li),形成股權結構(gou)多元(yuan)、股東(dong)行為規范、內部(bu)約(yue)束有(you)(you)效(xiao)、運行高效(xiao)靈活的經營機制(zhi)(zhi)(zhi)。允許將部(bu)分國有(you)(you)資(zi)本(ben)轉化為優(you)先股,在少數特定領域探索建立國家特殊管(guan)理股制(zhi)(zhi)(zhi)度。

(十(shi)五)以管(guan)(guan)(guan)資(zi)(zi)本(ben)為主推進(jin)經營(ying)性國有(you)資(zi)(zi)產(chan)(chan)集中(zhong)統一(yi)監管(guan)(guan)(guan)。穩步(bu)將(jiang)黨政(zheng)機關、事業(ye)單位所屬企(qi)業(ye)的(de)國有(you)資(zi)(zi)本(ben)納入經營(ying)性國有(you)資(zi)(zi)產(chan)(chan)集中(zhong)統一(yi)監管(guan)(guan)(guan)體(ti)系,具備條件的(de)進(jin)入國有(you)資(zi)(zi)本(ben)投資(zi)(zi)、運營(ying)公司。加強國有(you)資(zi)(zi)產(chan)(chan)基(ji)礎管(guan)(guan)(guan)理,按照統一(yi)制度規范、統一(yi)工(gong)作體(ti)系的(de)原(yuan)則,抓(zhua)緊(jin)制定企(qi)業(ye)國有(you)資(zi)(zi)產(chan)(chan)基(ji)礎管(guan)(guan)(guan)理條例(li)。建立覆蓋全(quan)部國有(you)企(qi)業(ye)、分(fen)級管(guan)(guan)(guan)理的(de)國有(you)資(zi)(zi)本(ben)經營(ying)預算管(guan)(guan)(guan)理制度,提高國有(you)資(zi)(zi)本(ben)收益上繳公共財政(zheng)比(bi)例(li),2020年(nian)提高到30%,更多用于保(bao)障和改善民生。劃轉部分(fen)國有(you)資(zi)(zi)本(ben)充實社會保(bao)障基(ji)金。
五、發展混合所有制經濟

(十七)引入(ru)非(fei)國有(you)資(zi)(zi)(zi)本(ben)參(can)與國有(you)企業改(gai)革。鼓勵非(fei)國有(you)資(zi)(zi)(zi)本(ben)投(tou)資(zi)(zi)(zi)主體通過(guo)出(chu)資(zi)(zi)(zi)入(ru)股、收購股權(quan)(quan)、認購可轉債、股權(quan)(quan)置換等(deng)多種方式,參(can)與國有(you)企業改(gai)制重組或(huo)國有(you)控股上市公(gong)(gong)司增資(zi)(zi)(zi)擴股以及企業經(jing)營管(guan)理。實行同股同權(quan)(quan),切實維護(hu)各(ge)類股東合(he)法權(quan)(quan)益(yi)。在石油、天(tian)然氣、電(dian)(dian)力、鐵路、電(dian)(dian)信、資(zi)(zi)(zi)源開(kai)發、公(gong)(gong)用(yong)事業等(deng)領域,向非(fei)國有(you)資(zi)(zi)(zi)本(ben)推出(chu)符(fu)合(he)產(chan)業政(zheng)(zheng)策(ce)、有(you)利于轉型升(sheng)級(ji)的項目(mu)。依照外(wai)商投(tou)資(zi)(zi)(zi)產(chan)業指導目(mu)錄和相關(guan)安(an)全(quan)(quan)審查規定,完善外(wai)資(zi)(zi)(zi)安(an)全(quan)(quan)審查工作(zuo)(zuo)機制。開(kai)展(zhan)多類型政(zheng)(zheng)府和社會(hui)資(zi)(zi)(zi)本(ben)合(he)作(zuo)(zuo)試點(dian),逐步(bu)推廣政(zheng)(zheng)府和社會(hui)資(zi)(zi)(zi)本(ben)合(he)作(zuo)(zuo)模式。
(十八)鼓(gu)勵國有資(zi)本以多種(zhong)方(fang)式(shi)(shi)入股(gu)(gu)(gu)非(fei)國有企業。充分發揮國有資(zi)本投(tou)資(zi)、運營公(gong)(gong)司的資(zi)本運作平臺(tai)作用,通(tong)過市(shi)場化方(fang)式(shi)(shi),以公(gong)(gong)共服務、高新技術、生態環保、戰(zhan)略性(xing)產業為重點領域,對發展(zhan)潛力大(da)、成長(chang)性(xing)強的非(fei)國有企業進行(xing)股(gu)(gu)(gu)權(quan)投(tou)資(zi)。鼓(gu)勵國有企業通(tong)過投(tou)資(zi)入股(gu)(gu)(gu)、聯合投(tou)資(zi)、重組等多種(zhong)方(fang)式(shi)(shi),與(yu)非(fei)國有企業進行(xing)股(gu)(gu)(gu)權(quan)融合、戰(zhan)略合作、資(zi)源整合。
(十九)探索(suo)實行(xing)(xing)混(hun)合所(suo)有制企業(ye)員(yuan)(yuan)工(gong)(gong)持(chi)股(gu)(gu)。堅持(chi)試(shi)點先行(xing)(xing),在取得經(jing)(jing)驗基礎上穩妥有序推(tui)進,通過實行(xing)(xing)員(yuan)(yuan)工(gong)(gong)持(chi)股(gu)(gu)建立激勵約束長效機制。優先支(zhi)持(chi)人(ren)才資本(ben)和(he)(he)技(ji)術要(yao)素貢獻(xian)占比較高(gao)的轉制科研院所(suo)、高(gao)新技(ji)術企業(ye)、科技(ji)服務(wu)型企業(ye)開展員(yuan)(yuan)工(gong)(gong)持(chi)股(gu)(gu)試(shi)點,支(zhi)持(chi)對企業(ye)經(jing)(jing)營業(ye)績(ji)和(he)(he)持(chi)續發展有直(zhi)接或較大(da)影(ying)響的科研人(ren)員(yuan)(yuan)、經(jing)(jing)營管理(li)人(ren)員(yuan)(yuan)和(he)(he)業(ye)務(wu)骨干等(deng)(deng)持(chi)股(gu)(gu)。員(yuan)(yuan)工(gong)(gong)持(chi)股(gu)(gu)主要(yao)采取增資擴股(gu)(gu)、出(chu)資新設等(deng)(deng)方(fang)式。完善相關政策,健(jian)全(quan)審(shen)核程(cheng)序,規范操作流(liu)程(cheng),嚴格資產評(ping)估,建立健(jian)全(quan)股(gu)(gu)權流(liu)轉和(he)(he)退出(chu)機制,確保員(yuan)(yuan)工(gong)(gong)持(chi)股(gu)(gu)公開透明,嚴禁(jin)暗箱操作,防止利益輸送。
六、強化監督防止國有資產流失

(二十二)實(shi)施信息(xi)公(gong)(gong)開(kai)(kai)加(jia)強社會監(jian)督(du)(du)。完善(shan)國(guo)有(you)(you)資(zi)(zi)產(chan)和(he)國(guo)有(you)(you)企業(ye)信息(xi)公(gong)(gong)開(kai)(kai)制(zhi)度(du),設立統一的(de)信息(xi)公(gong)(gong)開(kai)(kai)網絡平臺,依(yi)(yi)法依(yi)(yi)規、及(ji)(ji)時(shi)準確披露(lu)國(guo)有(you)(you)資(zi)(zi)本整體運營和(he)監(jian)管(guan)、國(guo)有(you)(you)企業(ye)公(gong)(gong)司治理(li)以及(ji)(ji)管(guan)理(li)架構、經營情況、財務狀(zhuang)況、關聯交(jiao)易、企業(ye)負責人(ren)薪(xin)酬等信息(xi),建設陽光國(guo)企。認真處理(li)人(ren)民群眾關于國(guo)有(you)(you)資(zi)(zi)產(chan)流失等問題的(de)來(lai)信、來(lai)訪和(he)檢舉,及(ji)(ji)時(shi)回應(ying)社會關切。充分發(fa)揮媒體輿論監(jian)督(du)(du)作用,有(you)(you)效保(bao)障(zhang)社會公(gong)(gong)眾對企業(ye)國(guo)有(you)(you)資(zi)(zi)產(chan)運營的(de)知(zhi)情權和(he)監(jian)督(du)(du)權。
(二(er)十三)嚴(yan)格責(ze)任(ren)(ren)追(zhui)(zhui)究(jiu)。建立健(jian)全(quan)(quan)國有(you)企(qi)業(ye)重(zhong)(zhong)大決(jue)策失誤和(he)失職(zhi)、瀆職(zhi)責(ze)任(ren)(ren)追(zhui)(zhui)究(jiu)倒查(cha)機制,建立和(he)完善重(zhong)(zhong)大決(jue)策評估(gu)、決(jue)策事項履職(zhi)記錄(lu)、決(jue)策過(guo)錯(cuo)認定標準等配套制度,嚴(yan)厲查(cha)處(chu)(chu)侵吞、貪污、輸(shu)送、揮霍(huo)國有(you)資產和(he)逃(tao)廢(fei)金融債務的行為。建立健(jian)全(quan)(quan)企(qi)業(ye)國有(you)資產的監督問(wen)責(ze)機制,對(dui)企(qi)業(ye)重(zhong)(zhong)大違法(fa)違紀問(wen)題(ti)敷衍不追(zhui)(zhui)、隱匿(ni)不報、查(cha)處(chu)(chu)不力(li)的,嚴(yan)格追(zhui)(zhui)究(jiu)有(you)關人員失職(zhi)瀆職(zhi)責(ze)任(ren)(ren),視(shi)不同(tong)情形給予紀律處(chu)(chu)分(fen)或(huo)行政處(chu)(chu)分(fen),構成(cheng)犯罪的,由司法(fa)機關依法(fa)追(zhui)(zhui)究(jiu)刑事責(ze)任(ren)(ren)。
七、加強和改進黨對國有企業的領導

(二十六)切(qie)(qie)實(shi)落實(shi)國(guo)(guo)有(you)(you)(you)企業(ye)反(fan)腐(fu)(fu)(fu)倡廉“兩個(ge)責(ze)任(ren)”。國(guo)(guo)有(you)(you)(you)企業(ye)黨組織(zhi)要(yao)切(qie)(qie)實(shi)履(lv)行(xing)好(hao)主體(ti)責(ze)任(ren),紀檢機(ji)構(gou)要(yao)履(lv)行(xing)好(hao)監(jian)(jian)督責(ze)任(ren)。加強(qiang)(qiang)黨性教育、法治(zhi)教育、警示教育,引導(dao)國(guo)(guo)有(you)(you)(you)企業(ye)領(ling)(ling)(ling)(ling)導(dao)人(ren)員(yuan)堅定理(li)想(xiang)(xiang)信(xin)念,自覺(jue)踐(jian)行(xing)“三嚴三實(shi)”要(yao)求(qiu),正確履(lv)職(zhi)行(xing)權。建(jian)立切(qie)(qie)實(shi)可(ke)行(xing)的(de)責(ze)任(ren)追究制度,與企業(ye)考(kao)核等掛鉤,實(shi)行(xing)“一案雙(shuang)查”。推動國(guo)(guo)有(you)(you)(you)企業(ye)紀律檢查工(gong)作雙(shuang)重領(ling)(ling)(ling)(ling)導(dao)體(ti)制具體(ti)化、程序化、制度化,強(qiang)(qiang)化上級(ji)紀委對下級(ji)紀委的(de)領(ling)(ling)(ling)(ling)導(dao)。加強(qiang)(qiang)和(he)改進國(guo)(guo)有(you)(you)(you)企業(ye)巡視工(gong)作,強(qiang)(qiang)化對權力運(yun)行(xing)的(de)監(jian)(jian)督和(he)制約。堅持運(yun)用法治(zhi)思維和(he)法治(zhi)方式反(fan)腐(fu)(fu)(fu)敗,完(wan)善反(fan)腐(fu)(fu)(fu)倡廉制度體(ti)系,嚴格落實(shi)反(fan)“四風(feng)”規(gui)定,努力構(gou)筑企業(ye)領(ling)(ling)(ling)(ling)導(dao)人(ren)員(yuan)不敢腐(fu)(fu)(fu)、不能(neng)腐(fu)(fu)(fu)、不想(xiang)(xiang)腐(fu)(fu)(fu)的(de)有(you)(you)(you)效機(ji)制。
八、為國有企業改革創造良好環境條件
(二十七)完善(shan)相(xiang)關(guan)法律法規(gui)和配套(tao)政策(ce)。加強國有企(qi)業相(xiang)關(guan)法律法規(gui)立(li)(li)改(gai)廢釋工(gong)作,確保(bao)重(zhong)大改(gai)革于法有據。切實轉(zhuan)變政府職能,減少(shao)審批、優(you)化制度(du)、簡化手續、提高效率。完善(shan)公共服務體系(xi)(xi),推進政府購買服務,加快(kuai)建立(li)(li)穩(wen)定(ding)可靠、補(bu)償(chang)合理、公開透明(ming)的(de)(de)企(qi)業公共服務支出補(bu)償(chang)機制。完善(shan)和落實國有企(qi)業重(zhong)組整(zheng)合涉及的(de)(de)資(zi)產(chan)評估(gu)增值、土地變更登(deng)記和國有資(zi)產(chan)無償(chang)劃轉(zhuan)等方面稅收優(you)惠政策(ce)。完善(shan)國有企(qi)業退(tui)出的(de)(de)相(xiang)關(guan)政策(ce),依法妥善(shan)處(chu)理勞(lao)動(dong)關(guan)系(xi)(xi)調整(zheng)、社會(hui)保(bao)險關(guan)系(xi)(xi)接(jie)續等問題。
(二十八)加快(kuai)剝離企(qi)業(ye)(ye)(ye)(ye)辦社(she)(she)會職能(neng)和解(jie)決歷(li)史遺留(liu)問(wen)題。完善(shan)相關(guan)政(zheng)策,建立(li)政(zheng)府(fu)和國(guo)有企(qi)業(ye)(ye)(ye)(ye)合(he)理分擔成(cheng)本的(de)機制(zhi),多渠道籌措(cuo)資(zi)金,采取分離移交(jiao)、重(zhong)組改制(zhi)、關(guan)閉撤銷等方(fang)式,剝離國(guo)有企(qi)業(ye)(ye)(ye)(ye)職工家屬(shu)區“三供一(yi)業(ye)(ye)(ye)(ye)”和所辦醫院、學校(xiao)、社(she)(she)區等公(gong)(gong)共(gong)服務機構,繼續推進廠辦大集體改革,對(dui)國(guo)有企(qi)業(ye)(ye)(ye)(ye)退休人員實施社(she)(she)會化(hua)管理,妥善(shan)解(jie)決國(guo)有企(qi)業(ye)(ye)(ye)(ye)歷(li)史遺留(liu)問(wen)題,為國(guo)有企(qi)業(ye)(ye)(ye)(ye)公(gong)(gong)平(ping)參(can)與(yu)市(shi)場競爭創(chuang)造條件。
