國資委關于做好2014年度《企業年度工作報告》填報工作的通知

各(ge)中央企業:
依照《國(guo)有(you)(you)(you)企(qi)(qi)(qi)業(ye)監(jian)事會暫行條例》(國(guo)務院令第283號(hao)(hao)),《關于加強和改(gai)進(jin)國(guo)有(you)(you)(you)企(qi)(qi)(qi)業(ye)監(jian)事會工(gong)作的若(ruo)干意見》(國(guo)資(zi)發(fa)監(jian)督(du)〔2006〕174號(hao)(hao))和《關于進(jin)一步支持配合監(jian)事會開展(zhan)監(jian)督(du)檢查工(gong)作有(you)(you)(you)關事項的通知》(國(guo)資(zi)發(fa)監(jian)督(du)〔2012〕120號(hao)(hao))的有(you)(you)(you)關規定,各中央(yang)企(qi)(qi)(qi)業(ye)每年向監(jian)事會報(bao)送《企(qi)(qi)(qi)業(ye)年度(du)工(gong)作報(bao)告》(以下簡稱年度(du)報(bao)告)。為做好(hao)2014年度(du)報(bao)告填報(bao)工(gong)作,現(xian)將有(you)(you)(you)關事項通知如下:
一、加強工(gong)作組織,切實提升報告(gao)質量
年度(du)(du)報(bao)(bao)告(gao)是企(qi)(qi)業向(xiang)出資人(ren)報(bao)(bao)送(song)的重要文件。各中央企(qi)(qi)業要高度(du)(du)重視年度(du)(du)報(bao)(bao)告(gao)填(tian)(tian)(tian)(tian)報(bao)(bao)組織(zhi)工(gong)作(zuo),企(qi)(qi)業法定代表人(ren)切(qie)實履(lv)行好填(tian)(tian)(tian)(tian)報(bao)(bao)工(gong)作(zuo)第一責(ze)任人(ren)職(zhi)責(ze),強(qiang)(qiang)化組織(zhi)領導,責(ze)成相(xiang)關領導同志(zhi)總(zong)體負責(ze),明(ming)確(que)具體牽(qian)頭(tou)部(bu)門,構(gou)建(jian)協調(diao)聯動的跨部(bu)門填(tian)(tian)(tian)(tian)報(bao)(bao)組織(zhi)體系。進一步加(jia)強(qiang)(qiang)填(tian)(tian)(tian)(tian)報(bao)(bao)制(zhi)度(du)(du)建(jian)設(she),將(jiang)關鍵環節和質量(liang)要求固化于(yu)制(zhi)度(du)(du)流(liu)程中,完善填(tian)(tian)(tian)(tian)報(bao)(bao)工(gong)作(zuo)長效(xiao)機制(zhi)。積(ji)極培育(yu)穩定的填(tian)(tian)(tian)(tian)報(bao)(bao)隊伍,采取多種方式開展工(gong)作(zuo)交流(liu)和業務培訓,加(jia)大統籌力度(du)(du),形成工(gong)作(zuo)合力。增強(qiang)(qiang)填(tian)(tian)(tian)(tian)報(bao)(bao)工(gong)作(zuo)的統一部(bu)署,層(ceng)層(ceng)落實填(tian)(tian)(tian)(tian)報(bao)(bao)責(ze)任,從(cong)嚴制(zhi)定審核(he)標準(zhun),逐(zhu)級匯總(zong)審核(he)把(ba)關,切(qie)實提升年度(du)(du)報(bao)(bao)告(gao)整(zheng)體質量(liang)。
二、突出填報重點,確保信息真實完整
年度(du)報(bao)(bao)告(gao)是全(quan)面(mian)展現企(qi)(qi)(qi)(qi)業(ye)工(gong)作成(cheng)果(guo)的(de)(de)重(zhong)(zhong)要(yao)載體。各中央企(qi)(qi)(qi)(qi)業(ye)要(yao)充分利用年度(du)報(bao)(bao)告(gao)系統化(hua)框架,綜(zong)合反(fan)映(ying)企(qi)(qi)(qi)(qi)業(ye)一年來經(jing)營(ying)管理和(he)(he)(he)(he)改(gai)革發展成(cheng)效,突(tu)出年度(du)重(zhong)(zhong)點工(gong)作和(he)(he)(he)(he)特(te)色成(cheng)果(guo),客觀揭(jie)示存在的(de)(de)問題和(he)(he)(he)(he)風(feng)險(xian),切實保(bao)證信息的(de)(de)真實完整。要(yao)全(quan)面(mian)報(bao)(bao)告(gao)企(qi)(qi)(qi)(qi)業(ye)貫徹執行有關法(fa)律法(fa)規(gui)和(he)(he)(he)(he)規(gui)章制度(du)情況(kuang)、生產經(jing)營(ying)和(he)(he)(he)(he)財務(wu)效益狀況(kuang);重(zhong)(zhong)點描(miao)述企(qi)(qi)(qi)(qi)業(ye)負責人(ren)履職行為(wei)和(he)(he)(he)(he)效果(guo),企(qi)(qi)(qi)(qi)業(ye)重(zhong)(zhong)大(da)決策(ce)和(he)(he)(he)(he)重(zhong)(zhong)要(yao)經(jing)營(ying)管理活動情況(kuang);詳細(xi)反(fan)映(ying)境(jing)外項(xiang)(xiang)目、金融及其(qi)衍生業(ye)務(wu)、高風(feng)險(xian)業(ye)務(wu)、重(zhong)(zhong)大(da)經(jing)濟合同、節能(neng)減排等(deng)重(zhong)(zhong)點事(shi)(shi)(shi)項(xiang)(xiang);充分揭(jie)示企(qi)(qi)(qi)(qi)業(ye)經(jing)營(ying)風(feng)險(xian)、違法(fa)違紀違規(gui)、法(fa)律訴訟(song)和(he)(he)(he)(he)仲裁、安全(quan)生產責任事(shi)(shi)(shi)故、突(tu)發公(gong)共(gong)事(shi)(shi)(shi)件等(deng)重(zhong)(zhong)大(da)風(feng)險(xian)事(shi)(shi)(shi)項(xiang)(xiang)。支持有關企(qi)(qi)(qi)(qi)業(ye)補報(bao)(bao)或續(xu)報(bao)(bao)期(qi)后重(zhong)(zhong)大(da)事(shi)(shi)(shi)項(xiang)(xiang)。
三、增(zeng)進溝通交流,加大支持配(pei)合力(li)度
年度報(bao)(bao)(bao)(bao)告是企(qi)(qi)(qi)業(ye)支(zhi)持配合(he)監事(shi)會有效履(lv)職的重(zhong)要基礎。各中(zhong)央企(qi)(qi)(qi)業(ye)要將(jiang)年度報(bao)(bao)(bao)(bao)告填(tian)(tian)(tian)(tian)報(bao)(bao)(bao)(bao)工(gong)作納入(ru)支(zhi)持配合(he)監事(shi)會工(gong)作體系,以(yi)填(tian)(tian)(tian)(tian)報(bao)(bao)(bao)(bao)工(gong)作為契(qi)機,進(jin)一(yi)步增進(jin)與(yu)派(pai)駐本(ben)企(qi)(qi)(qi)業(ye)監事(shi)會的溝通配合(he),加(jia)強監事(shi)會對年度報(bao)(bao)(bao)(bao)告填(tian)(tian)(tian)(tian)報(bao)(bao)(bao)(bao)工(gong)作的組織部署和過程指導。認真聽取派(pai)駐本(ben)企(qi)(qi)(qi)業(ye)監事(shi)會意見,共同確定(ding)填(tian)(tian)(tian)(tian)報(bao)(bao)(bao)(bao)范(fan)圍和年度重(zhong)點披(pi)露事(shi)項,抓好重(zhong)點、難點、亮點內容(rong)填(tian)(tian)(tian)(tian)報(bao)(bao)(bao)(bao)。總體填(tian)(tian)(tian)(tian)報(bao)(bao)(bao)(bao)范(fan)圍應當包括(kuo)企(qi)(qi)(qi)業(ye)集(ji)團、境內(外)二(er)級單位(wei)、各級金(jin)融子(zi)企(qi)(qi)(qi)業(ye)以(yi)及所(suo)托管企(qi)(qi)(qi)業(ye);三(san)級(含)以(yi)下(xia)重(zhong)要子(zi)企(qi)(qi)(qi)業(ye)及重(zhong)要非法人實(shi)體等(deng)填(tian)(tian)(tian)(tian)報(bao)(bao)(bao)(bao)范(fan)圍可與(yu)監事(shi)會共同商定(ding);離岸(an)公司、殼(ke)公司等(deng)特殊子(zi)企(qi)(qi)(qi)業(ye)不納入(ru)填(tian)(tian)(tian)(tian)報(bao)(bao)(bao)(bao)范(fan)圍。鼓勵有條(tiao)件的中(zhong)央企(qi)(qi)(qi)業(ye)試行全級次報(bao)(bao)(bao)(bao)送。
四、細化考核評價,推動(dong)報告成果應用
年(nian)度(du)(du)報(bao)(bao)(bao)告(gao)(gao)是(shi)展(zhan)示企業(ye)(ye)精細化管(guan)理狀況的重(zhong)要(yao)(yao)平臺。各中央企業(ye)(ye)要(yao)(yao)加大年(nian)度(du)(du)報(bao)(bao)(bao)告(gao)(gao)審(shen)核(he)力度(du)(du),逐項規(gui)范審(shen)核(he)標準,嚴格執行多層審(shen)核(he)制(zhi)度(du)(du),落實審(shen)核(he)問(wen)題(ti)反饋、整改督辦、補報(bao)(bao)(bao)重(zhong)報(bao)(bao)(bao)等工作(zuo)機制(zhi)。要(yao)(yao)結(jie)合本(ben)企業(ye)(ye)實際,開展(zhan)自我評(ping)(ping)價(jia)和(he)總結(jie),著重(zhong)加強重(zhong)點(dian)子企業(ye)(ye)、基(ji)層子企業(ye)(ye)和(he)關(guan)鍵業(ye)(ye)務(wu)內容的評(ping)(ping)價(jia),建立健全填報(bao)(bao)(bao)質(zhi)量評(ping)(ping)價(jia)體系和(he)通報(bao)(bao)(bao)機制(zhi),確保填報(bao)(bao)(bao)質(zhi)量不斷(duan)提高。年(nian)度(du)(du)報(bao)(bao)(bao)告(gao)(gao)重(zhong)在應(ying)用(yong),在滿足監事(shi)會監督檢查工作(zuo)需要(yao)(yao)的同時,各中央企業(ye)(ye)要(yao)(yao)進一步加強年(nian)度(du)(du)報(bao)(bao)(bao)告(gao)(gao)填報(bao)(bao)(bao)成果的綜合應(ying)用(yong)和(he)信息共享,積極推動解決年(nian)度(du)(du)報(bao)(bao)(bao)告(gao)(gao)披露的重(zhong)大問(wen)題(ti)和(he)風險隱(yin)患(huan),充分(fen)發揮年(nian)度(du)(du)報(bao)(bao)(bao)告(gao)(gao)促進企業(ye)(ye)規(gui)范運(yun)營、提升管(guan)理的重(zhong)要(yao)(yao)作(zuo)用(yong)。
五、落實填(tian)報任務,按時規范備案報送(song)
(一)請各中(zhong)央企業(ye)于2014年12月15日前將與派駐本企業(ye)監(jian)事(shi)會共同(tong)確定的擬報送年度報告有(you)關事(shi)項,以(yi)正式文件(jian)形式(式樣見附件(jian)1)報監(jian)事(shi)會工作局備案。
(二)請各中(zhong)央企業于2015年2月15日前(qian)將(jiang)集團公司與各級子(zi)企業年度報(bao)告一(yi)并(bing)以正式文件(jian)形式(式樣見(jian)附件(jian)2)報(bao)送派駐(zhu)本(ben)企業監事會(紙質(zhi)材(cai)料(liao)1套,光盤(pan)2套),同時(shi)將(jiang)年度報(bao)告(光盤(pan)1套)及正式文件(jian)報(bao)送監事會工作局備案。
(三(san))年(nian)度報(bao)(bao)(bao)告繼續使用(yong)(yong)企業報(bao)(bao)(bao)表(biao)處理(li)(li)軟件填報(bao)(bao)(bao)。《2014年(nian)度〈企業年(nian)度工作報(bao)(bao)(bao)告〉格式文本及編制(zhi)說明》安(an)裝在企業報(bao)(bao)(bao)表(biao)處理(li)(li)軟件中,探索推進信息(xi)化報(bao)(bao)(bao)送和綜合應用(yong)(yong)。需(xu)要紙質材料的企業請與監(jian)事會工作局聯系。
(四)2014年(nian)(nian)(nian)度報(bao)(bao)告填(tian)報(bao)(bao)培訓與2014年(nian)(nian)(nian)度財務(wu)決(jue)算培訓統一安排,屆時請各中央企業務(wu)必(bi)派負(fu)責年(nian)(nian)(nian)度報(bao)(bao)告填(tian)報(bao)(bao)工(gong)作(zuo)的相關人(ren)員參加。
