關于做好2016年度《企業年度工作報告》填報工作的通知

依(yi)照(zhao)《國(guo)有企業(ye)監(jian)(jian)(jian)事(shi)(shi)會暫(zan)行(xing)條(tiao)例》(國(guo)務院令(ling)第283號(hao))、《關于加強和改進(jin)國(guo)有企業(ye)監(jian)(jian)(jian)事(shi)(shi)會工(gong)作(zuo)的若干意見》(國(guo)資發監(jian)(jian)(jian)督(du)〔2006〕174號(hao))和《關于進(jin)一步支持配合監(jian)(jian)(jian)事(shi)(shi)會開展監(jian)(jian)(jian)督(du)檢查(cha)工(gong)作(zuo)有關事(shi)(shi)項的通知(zhi)》(國(guo)資發監(jian)(jian)(jian)督(du)〔2012〕120號(hao))的有關規定,各中央企業(ye)每年(nian)向監(jian)(jian)(jian)事(shi)(shi)會報(bao)送(song)《企業(ye)年(nian)度工(gong)作(zuo)報(bao)告》(以(yi)下(xia)簡稱年(nian)度報(bao)告)。為做好2016年(nian)度報(bao)告填(tian)報(bao)工(gong)作(zuo),現將有關事(shi)(shi)項通知(zhi)如(ru)下(xia):
一、加強組織領導,健(jian)全工(gong)作體系(xi)
各(ge)中央(yang)企業要(yao)(yao)高度(du)(du)(du)重視年(nian)度(du)(du)(du)報(bao)告工(gong)(gong)(gong)作(zuo)(zuo)(zuo),健全(quan)組(zu)(zu)織(zhi)領(ling)(ling)(ling)導機制(zhi),成立年(nian)度(du)(du)(du)報(bao)告工(gong)(gong)(gong)作(zuo)(zuo)(zuo)領(ling)(ling)(ling)導小組(zu)(zu)或聯席會議(yi),統(tong)(tong)(tong)籌(chou)謀(mou)劃、協同推動各(ge)項工(gong)(gong)(gong)作(zuo)(zuo)(zuo)。要(yao)(yao)研究制(zhi)定(ding)年(nian)度(du)(du)(du)報(bao)告工(gong)(gong)(gong)作(zuo)(zuo)(zuo)落實(shi)方案,明確(que)工(gong)(gong)(gong)作(zuo)(zuo)(zuo)目標、具體(ti)措(cuo)施、責(ze)任(ren)(ren)(ren)主體(ti)和進度(du)(du)(du)要(yao)(yao)求,強化(hua)(hua)部(bu)(bu)(bu)門(men)聯動,結合(he)企業實(shi)際編(bian)制(zhi)可(ke)追(zhui)溯、可(ke)量化(hua)(hua)、可(ke)評(ping)價(jia)、可(ke)考核的(de)(de)工(gong)(gong)(gong)作(zuo)(zuo)(zuo)任(ren)(ren)(ren)務(wu)(wu)分(fen)(fen)(fen)解臺賬。企業法定(ding)代表(biao)人(ren)(ren)要(yao)(yao)認(ren)真履(lv)行(xing)好(hao)年(nian)度(du)(du)(du)報(bao)告工(gong)(gong)(gong)作(zuo)(zuo)(zuo)第一(yi)責(ze)任(ren)(ren)(ren)人(ren)(ren)職(zhi)責(ze),強化(hua)(hua)領(ling)(ling)(ling)導、落實(shi)責(ze)任(ren)(ren)(ren),嚴(yan)格把關(guan)、確(que)保質量;分(fen)(fen)(fen)管(guan)領(ling)(ling)(ling)導要(yao)(yao)履(lv)行(xing)好(hao)直接責(ze)任(ren)(ren)(ren)人(ren)(ren)職(zhi)責(ze),深入一(yi)線、靠前指揮(hui),把控(kong)關(guan)鍵、重點督辦;牽頭部(bu)(bu)(bu)門(men)要(yao)(yao)加強組(zu)(zu)織(zhi)協調(diao),及(ji)時分(fen)(fen)(fen)解落實(shi)任(ren)(ren)(ren)務(wu)(wu)、規范工(gong)(gong)(gong)作(zuo)(zuo)(zuo)流(liu)程、細化(hua)(hua)工(gong)(gong)(gong)作(zuo)(zuo)(zuo)要(yao)(yao)求、密切跟蹤(zong)督促、強化(hua)(hua)過程控(kong)制(zhi);協同部(bu)(bu)(bu)門(men)要(yao)(yao)明確(que)任(ren)(ren)(ren)務(wu)(wu)分(fen)(fen)(fen)工(gong)(gong)(gong),主動參與、積極配合(he),細化(hua)(hua)落實(shi)工(gong)(gong)(gong)作(zuo)(zuo)(zuo)責(ze)任(ren)(ren)(ren),形成有效工(gong)(gong)(gong)作(zuo)(zuo)(zuo)合(he)力。中央(yang)企業集團(tuan)總部(bu)(bu)(bu)要(yao)(yao)加強對子(zi)企業年(nian)度(du)(du)(du)報(bao)告工(gong)(gong)(gong)作(zuo)(zuo)(zuo)的(de)(de)統(tong)(tong)(tong)籌(chou)領(ling)(ling)(ling)導,做到(dao)統(tong)(tong)(tong)一(yi)部(bu)(bu)(bu)署(shu)、統(tong)(tong)(tong)一(yi)標準、統(tong)(tong)(tong)一(yi)實(shi)施、統(tong)(tong)(tong)一(yi)審核,建立完(wan)善橫(heng)向(xiang)全(quan)面(mian)覆蓋、縱向(xiang)責(ze)任(ren)(ren)(ren)到(dao)人(ren)(ren)的(de)(de)組(zu)(zu)織(zhi)管(guan)理體(ti)系。
二、圍(wei)繞中心工作,全面梳理排查
各中(zhong)央(yang)企(qi)(qi)(qi)業(ye)(ye)要(yao)(yao)(yao)(yao)以年度(du)報(bao)告工(gong)作(zuo)為抓(zhua)手,緊密圍(wei)繞中(zhong)心工(gong)作(zuo),全面(mian)總結一年來企(qi)(qi)(qi)業(ye)(ye)經(jing)營管(guan)(guan)理(li)(li)和(he)(he)改革(ge)發展情況,深入(ru)排查(cha)重(zhong)(zhong)(zhong)大(da)(da)問(wen)題和(he)(he)風(feng)險隱(yin)患,探索建(jian)立企(qi)(qi)(qi)業(ye)(ye)自查(cha)問(wen)題清(qing)單(dan),認(ren)真(zhen)分(fen)析查(cha)找原(yuan)因(yin),制定(ding)切實(shi)可行(xing)(xing)的整(zheng)(zheng)改措(cuo)施(shi)。要(yao)(yao)(yao)(yao)圍(wei)繞黨中(zhong)央(yang)、國(guo)務(wu)院(yuan)重(zhong)(zhong)(zhong)大(da)(da)決策部署(shu)及國(guo)資(zi)監管(guan)(guan)政策規定(ding)執行(xing)(xing)情況,系統梳理(li)(li)深化(hua)國(guo)企(qi)(qi)(qi)國(guo)資(zi)改革(ge)和(he)(he)推進(jin)供給側結構性改革(ge)、瘦身健(jian)體、提質增效等(deng)重(zhong)(zhong)(zhong)點任務(wu)落實(shi)情況,著(zhu)重(zhong)(zhong)(zhong)分(fen)析化(hua)解過剩產(chan)能(neng)、處置“僵尸企(qi)(qi)(qi)業(ye)(ye)”、特(te)困(kun)企(qi)(qi)(qi)業(ye)(ye)專項(xiang)治(zhi)理(li)(li)、壓(ya)縮管(guan)(guan)理(li)(li)層級(ji)、減(jian)(jian)少法人(ren)數量、加快解決歷(li)史遺留問(wen)題等(deng)重(zhong)(zhong)(zhong)點專項(xiang)工(gong)作(zuo)情況及存(cun)在(zai)的問(wen)題。要(yao)(yao)(yao)(yao)以提高(gao)發展質量和(he)(he)效益為中(zhong)心,全面(mian)梳理(li)(li)、集(ji)中(zhong)排查(cha)企(qi)(qi)(qi)業(ye)(ye)內部控制、財務(wu)管(guan)(guan)理(li)(li)、運(yun)營管(guan)(guan)控、境(jing)外資(zi)產(chan)管(guan)(guan)理(li)(li)、黨建(jian)及公司治(zhi)理(li)(li)等(deng)方面(mian)存(cun)在(zai)的重(zhong)(zhong)(zhong)要(yao)(yao)(yao)(yao)管(guan)(guan)控缺陷(xian),詳(xiang)細(xi)報(bao)告企(qi)(qi)(qi)業(ye)(ye)重(zhong)(zhong)(zhong)大(da)(da)資(zi)產(chan)減(jian)(jian)值、重(zhong)(zhong)(zhong)大(da)(da)資(zi)產(chan)損失、重(zhong)(zhong)(zhong)大(da)(da)經(jing)營風(feng)險、債務(wu)違約風(feng)險等(deng)重(zhong)(zhong)(zhong)要(yao)(yao)(yao)(yao)風(feng)險事項(xiang)。要(yao)(yao)(yao)(yao)建(jian)立健(jian)全年度(du)報(bao)告揭(jie)示問(wen)題整(zheng)(zheng)改落實(shi)機制,形成部門間齊抓(zhua)共管(guan)(guan)、整(zheng)(zheng)改聯動的工(gong)作(zuo)局面(mian),有效發揮年度(du)報(bao)告在(zai)系統診斷和(he)(he)風(feng)險預判方面(mian)的重(zhong)(zhong)(zhong)要(yao)(yao)(yao)(yao)作(zuo)用。
三、加(jia)強溝通配(pei)合,明確(que)范圍(wei)重點(dian)
各(ge)中(zhong)央企(qi)(qi)業(ye)(ye)(ye)要(yao)(yao)(yao)(yao)(yao)深入(ru)(ru)貫徹(che)落實(shi)中(zhong)央企(qi)(qi)業(ye)(ye)(ye)監(jian)(jian)(jian)事(shi)會(hui)(hui)(hui)工(gong)作會(hui)(hui)(hui)議精神,按照“兩(liang)個融(rong)入(ru)(ru)”、“五個必須(xu)”的(de)(de)(de)總體(ti)(ti)要(yao)(yao)(yao)(yao)(yao)求,進一步加(jia)強(qiang)與(yu)派駐本企(qi)(qi)業(ye)(ye)(ye)監(jian)(jian)(jian)事(shi)會(hui)(hui)(hui)的(de)(de)(de)溝通配(pei)合,根據(ju)監(jian)(jian)(jian)事(shi)會(hui)(hui)(hui)監(jian)(jian)(jian)督檢(jian)查(cha)工(gong)作需要(yao)(yao)(yao)(yao)(yao),結(jie)合企(qi)(qi)業(ye)(ye)(ye)經營規(gui)模、組織架構、管控(kong)模式、行業(ye)(ye)(ye)特(te)點、區域分(fen)布(bu)、發(fa)展階段等(deng)(deng)情況(kuang),共同確定企(qi)(qi)業(ye)(ye)(ye)填(tian)(tian)報范(fan)圍(wei)和(he)年度重(zhong)點披露事(shi)項(xiang)。原則(ze)上(shang),年度報告填(tian)(tian)報范(fan)圍(wei)包(bao)括企(qi)(qi)業(ye)(ye)(ye)集(ji)團(tuan)、境(jing)內(nei)(外(wai))二(er)級(ji)單(dan)位、各(ge)級(ji)金融(rong)子企(qi)(qi)業(ye)(ye)(ye)以及(ji)(ji)(ji)所托(tuo)管企(qi)(qi)業(ye)(ye)(ye);整體(ti)(ti)上(shang)市(shi)中(zhong)央企(qi)(qi)業(ye)(ye)(ye)填(tian)(tian)報范(fan)圍(wei)包(bao)括控(kong)股(gu)上(shang)市(shi)公(gong)司(si)所屬境(jing)內(nei)(外(wai))二(er)級(ji)單(dan)位;離岸公(gong)司(si)、殼(ke)公(gong)司(si)等(deng)(deng)特(te)殊子企(qi)(qi)業(ye)(ye)(ye)不納入(ru)(ru)填(tian)(tian)報范(fan)圍(wei),監(jian)(jian)(jian)事(shi)會(hui)(hui)(hui)另有(you)要(yao)(yao)(yao)(yao)(yao)求的(de)(de)(de)除外(wai)。三級(ji)(含)以下重(zhong)要(yao)(yao)(yao)(yao)(yao)子企(qi)(qi)業(ye)(ye)(ye)及(ji)(ji)(ji)重(zhong)要(yao)(yao)(yao)(yao)(yao)非(fei)法人實(shi)體(ti)(ti)等(deng)(deng)填(tian)(tian)報范(fan)圍(wei)與(yu)監(jian)(jian)(jian)事(shi)會(hui)(hui)(hui)共同商(shang)定,根據(ju)監(jian)(jian)(jian)事(shi)會(hui)(hui)(hui)工(gong)作需要(yao)(yao)(yao)(yao)(yao)及(ji)(ji)(ji)年度監(jian)(jian)(jian)督檢(jian)查(cha)計(ji)劃安(an)排,納入(ru)(ru)填(tian)(tian)報范(fan)圍(wei)。鼓勵有(you)條件的(de)(de)(de)中(zhong)央企(qi)(qi)業(ye)(ye)(ye)試行全級(ji)次報送(song)。要(yao)(yao)(yao)(yao)(yao)根據(ju)派駐本企(qi)(qi)業(ye)(ye)(ye)監(jian)(jian)(jian)事(shi)會(hui)(hui)(hui)的(de)(de)(de)要(yao)(yao)(yao)(yao)(yao)求,分(fen)行業(ye)(ye)(ye)、分(fen)業(ye)(ye)(ye)務板塊梳理重(zhong)點關注事(shi)項(xiang)和(he)重(zhong)點填(tian)(tian)報內(nei)容。
四、融入日常管控,完(wan)善(shan)長(chang)效機制
各中央企業(ye)要深入推進(jin)年(nian)(nian)度(du)(du)(du)(du)報(bao)告(gao)(gao)工(gong)(gong)(gong)作(zuo)(zuo)(zuo)(zuo)(zuo)與企業(ye)日常(chang)管控工(gong)(gong)(gong)作(zuo)(zuo)(zuo)(zuo)(zuo)的深度(du)(du)(du)(du)融合,努力實(shi)現(xian)工(gong)(gong)(gong)作(zuo)(zuo)(zuo)(zuo)(zuo)聯動、信(xin)息共(gong)(gong)享(xiang)、資源整合、成(cheng)果(guo)共(gong)(gong)用(yong),著力形(xing)成(cheng)以年(nian)(nian)度(du)(du)(du)(du)報(bao)告(gao)(gao)為(wei)(wei)抓手的企業(ye)自我診斷(duan)、自我完善(shan)的長效(xiao)工(gong)(gong)(gong)作(zuo)(zuo)(zuo)(zuo)(zuo)機(ji)制。要加強年(nian)(nian)度(du)(du)(du)(du)報(bao)告(gao)(gao)制度(du)(du)(du)(du)建(jian)(jian)設(she),建(jian)(jian)立統一(yi)工(gong)(gong)(gong)作(zuo)(zuo)(zuo)(zuo)(zuo)規(gui)范(fan)和標準體系,科學安排(pai)工(gong)(gong)(gong)作(zuo)(zuo)(zuo)(zuo)(zuo)進(jin)度(du)(du)(du)(du),細(xi)化(hua)規(gui)范(fan)工(gong)(gong)(gong)作(zuo)(zuo)(zuo)(zuo)(zuo)標準,嚴格審(shen)核評(ping)價流程,實(shi)現(xian)全程閉環管理。要建(jian)(jian)立內(nei)部協同聯動機(ji)制,充分利(li)用(yong)已有管理系統、內(nei)部成(cheng)果(guo)、工(gong)(gong)(gong)作(zuo)(zuo)(zuo)(zuo)(zuo)報(bao)告(gao)(gao)等信(xin)息載體,避免(mian)重(zhong)復歸集、重(zhong)復報(bao)送(song)。要實(shi)現(xian)年(nian)(nian)度(du)(du)(du)(du)報(bao)告(gao)(gao)與企業(ye)信(xin)息化(hua)工(gong)(gong)(gong)作(zuo)(zuo)(zuo)(zuo)(zuo)有效(xiao)對接,充分利(li)用(yong)信(xin)息化(hua)建(jian)(jian)設(she)基(ji)礎,以大數據為(wei)(wei)核心推進(jin)年(nian)(nian)度(du)(du)(du)(du)報(bao)告(gao)(gao)信(xin)息化(hua)建(jian)(jian)設(she),創新工(gong)(gong)(gong)作(zuo)(zuo)(zuo)(zuo)(zuo)方法,提高工(gong)(gong)(gong)作(zuo)(zuo)(zuo)(zuo)(zuo)效(xiao)率(lv),分享(xiang)信(xin)息資源,深化(hua)成(cheng)果(guo)應用(yong)。要建(jian)(jian)立健全年(nian)(nian)度(du)(du)(du)(du)報(bao)告(gao)(gao)質(zhi)量綜合評(ping)價機(ji)制,研究(jiu)制定(ding)年(nian)(nian)度(du)(du)(du)(du)報(bao)告(gao)(gao)工(gong)(gong)(gong)作(zuo)(zuo)(zuo)(zuo)(zuo)及支持配合監事會(hui)工(gong)(gong)(gong)作(zuo)(zuo)(zuo)(zuo)(zuo)與業(ye)績考核掛(gua)鉤的具體措施,完善(shan)激(ji)勵約束長效(xiao)機(ji)制,推動年(nian)(nian)度(du)(du)(du)(du)報(bao)告(gao)(gao)工(gong)(gong)(gong)作(zuo)(zuo)(zuo)(zuo)(zuo)落到實(shi)處。
五(wu)、落實填(tian)報任務,按時(shi)備案報送
(一)請各中央企業(ye)于2016年(nian)12月15日前將與派駐本企業(ye)監事(shi)(shi)(shi)會(hui)共同(tong)確定的(de)擬報送年(nian)度(du)報告(gao)有關事(shi)(shi)(shi)項(xiang),以(yi)正式文件(jian)形式(式樣見附件(jian)1)報監事(shi)(shi)(shi)會(hui)工作局備案(an)。
(二)請各中央(yang)企(qi)(qi)業(ye)于2017年(nian)2月28日前將集團公司(si)與各級子(zi)企(qi)(qi)業(ye)年(nian)度報(bao)(bao)告(gao)一并以(yi)正式(shi)文件(jian)(jian)形式(shi)(式(shi)樣見(jian)附件(jian)(jian)2)報(bao)(bao)送(song)派(pai)駐本企(qi)(qi)業(ye)監(jian)事會(紙質材(cai)料1套(tao)(tao),光(guang)盤2套(tao)(tao)),同時(shi)將年(nian)度報(bao)(bao)告(gao)(光(guang)盤1套(tao)(tao))及正式(shi)文件(jian)(jian)報(bao)(bao)送(song)監(jian)事會工作(zuo)局備案(an)。
(三(san))年(nian)度(du)(du)報告(gao)繼續(xu)使用軟件(jian)(jian)填(tian)報。《2016年(nian)度(du)(du)企業(ye)年(nian)度(du)(du)工作報告(gao)格式文本(ben)及(ji)編制說明(ming)》安(an)裝(zhuang)在(zai)填(tian)報軟件(jian)(jian)中,繼續(xu)探索推進(jin)信(xin)息化(hua)報送和(he)綜合應(ying)用。需(xu)要填(tian)報軟件(jian)(jian)及(ji)紙質材(cai)料的企業(ye)請與監事會(hui)工作局聯系。
(四)國資委(wei)將組(zu)(zu)織(zhi)召開“2016年度中(zhong)央企(qi)業年度工作報告布(bu)置培(pei)訓視(shi)頻會(hui)議”,屆時請各中(zhong)央企(qi)業按通(tong)知要求組(zu)(zu)織(zhi)相關人員參會(hui)。
