2019年11月(yue),國(guo)(guo)務院國(guo)(guo)資(zi)(zi)委印發(fa)《關(guan)于以(yi)管(guan)(guan)(guan)資(zi)(zi)本為主加(jia)快國(guo)(guo)有(you)資(zi)(zi)產監管(guan)(guan)(guan)職能(neng)轉(zhuan)變(bian)(bian)的(de)(de)實施(shi)意(yi)見》,旨(zhi)在使國(guo)(guo)資(zi)(zi)監管(guan)(guan)(guan)機(ji)構(gou)(gou)加(jia)快從管(guan)(guan)(guan)企業向管(guan)(guan)(guan)資(zi)(zi)本轉(zhuan)變(bian)(bian)。在我看來,管(guan)(guan)(guan)企業還是(shi)(shi)管(guan)(guan)(guan)資(zi)(zi)本,這只是(shi)(shi)國(guo)(guo)資(zi)(zi)監管(guan)(guan)(guan)機(ji)構(gou)(gou)履(lv)行(xing)出資(zi)(zi)人(ren)職責(ze)方式的(de)(de)不同(tong)(tong),而這種不同(tong)(tong)則主要(yao)是(shi)(shi)由履(lv)行(xing)出資(zi)(zi)人(ren)職責(ze)的(de)(de)企業不同(tong)(tong)的(de)(de)制(zhi)度(du)安(an)排決定的(de)(de)。國(guo)(guo)資(zi)(zi)監管(guan)(guan)(guan)機(ji)構(gou)(gou)是(shi)(shi)管(guan)(guan)(guan)企業還管(guan)(guan)(guan)資(zi)(zi)本,并不取決于國(guo)(guo)資(zi)(zi)監管(guan)(guan)(guan)機(ji)構(gou)(gou)的(de)(de)主觀愿望,而是(shi)(shi)取決于其所監管(guan)(guan)(guan)的(de)(de)企業所采取的(de)(de)制(zhi)度(du)安(an)排。
換句話(hua)說,新時代國有企業的變化,決定了監管(guan)(guan)方式必須從管(guan)(guan)資產、管(guan)(guan)企業轉向(xiang)管(guan)(guan)資本。
國資監管機構履行出資人職責的根源是國有企業公司制改革
國(guo)有企(qi)(qi)(qi)業(ye)(ye)是中國(guo)經(jing)濟(ji)中的重(zhong)要行為(wei)主體(ti)(ti)。在計(ji)劃經(jing)濟(ji)下,國(guo)有企(qi)(qi)(qi)業(ye)(ye)是指令性(xing)計(ji)劃的執行者;改革(ge)開放(fang)后,國(guo)有企(qi)(qi)(qi)業(ye)(ye)由(you)指令性(xing)計(ji)劃執行者逐(zhu)步(bu)轉變(bian)為(wei)市場競爭主體(ti)(ti)。在此過程中,國(guo)有企(qi)(qi)(qi)業(ye)(ye)制(zhi)(zhi)度安排在不(bu)斷變(bian)化,經(jing)過擴大企(qi)(qi)(qi)業(ye)(ye)自主權、實行經(jing)濟(ji)責任(ren)制(zhi)(zhi)、兩步(bu)“利改稅”、承包經(jing)營(ying)責任(ren)制(zhi)(zhi)、轉換(huan)企(qi)(qi)(qi)業(ye)(ye)經(jing)營(ying)機(ji)制(zhi)(zhi)等一(yi)系列改革(ge)舉措,最終將國(guo)有企(qi)(qi)(qi)業(ye)(ye)改革(ge)方向確定為(wei)建立現代企(qi)(qi)(qi)業(ye)(ye)制(zhi)(zhi)度,即由(you)《企(qi)(qi)(qi)業(ye)(ye)法》規制(zhi)(zhi)的工廠(chang)制(zhi)(zhi)企(qi)(qi)(qi)業(ye)(ye)改革(ge)為(wei)按(an)《公司法》登記注冊(ce)的公司制(zhi)(zhi)企(qi)(qi)(qi)業(ye)(ye);同(tong)(tong)時,單體(ti)(ti)法人企(qi)(qi)(qi)業(ye)(ye)通(tong)過聯(lian)合重(zhong)組(zu)發展成為(wei)企(qi)(qi)(qi)業(ye)(ye)集團(tuan)(tuan),它是由(you)不(bu)同(tong)(tong)層(ceng)級的眾多(duo)(duo)法人企(qi)(qi)(qi)業(ye)(ye)組(zu)成的法人企(qi)(qi)(qi)業(ye)(ye)聯(lian)合體(ti)(ti),集團(tuan)(tuan)公司為(wei)一(yi)級法人,其下有二級、三級甚至(zhi)更(geng)多(duo)(duo)層(ceng)級的法人企(qi)(qi)(qi)業(ye)(ye)。
公(gong)司(si)(si)制(zhi)企(qi)(qi)業(ye)要(yao)有(you)(you)(you)(you)出(chu)(chu)(chu)(chu)(chu)資(zi)(zi)(zi),即(ji)注冊資(zi)(zi)(zi)本,對(dui)企(qi)(qi)業(ye)來(lai)說,它是(shi)(shi)資(zi)(zi)(zi)本;對(dui)出(chu)(chu)(chu)(chu)(chu)資(zi)(zi)(zi)者來(lai)說,它是(shi)(shi)自己(ji)的(de)(de)股權(quan)(quan),形成(cheng)自己(ji)的(de)(de)資(zi)(zi)(zi)產,因(yin)為(wei)它是(shi)(shi)一種可(ke)(ke)交易的(de)(de)價值。出(chu)(chu)(chu)(chu)(chu)資(zi)(zi)(zi)可(ke)(ke)獨(du)資(zi)(zi)(zi)也可(ke)(ke)多個出(chu)(chu)(chu)(chu)(chu)資(zi)(zi)(zi)者共同出(chu)(chu)(chu)(chu)(chu)資(zi)(zi)(zi),可(ke)(ke)以(yi)是(shi)(shi)國(guo)(guo)有(you)(you)(you)(you)也可(ke)(ke)以(yi)是(shi)(shi)非國(guo)(guo)有(you)(you)(you)(you);若出(chu)(chu)(chu)(chu)(chu)資(zi)(zi)(zi)大于50%則為(wei)絕對(dui)控股,若出(chu)(chu)(chu)(chu)(chu)資(zi)(zi)(zi)不大于50%但(dan)通過相應協議安(an)(an)排(pai)而擁有(you)(you)(you)(you)控制(zhi)權(quan)(quan)則為(wei)相對(dui)控股。因(yin)上述不同的(de)(de)出(chu)(chu)(chu)(chu)(chu)資(zi)(zi)(zi)安(an)(an)排(pai),公(gong)司(si)(si)制(zhi)企(qi)(qi)業(ye)中(zhong)(zhong)有(you)(you)(you)(you)國(guo)(guo)有(you)(you)(you)(you)獨(du)資(zi)(zi)(zi)公(gong)司(si)(si)、國(guo)(guo)有(you)(you)(you)(you)全資(zi)(zi)(zi)公(gong)司(si)(si)、國(guo)(guo)有(you)(you)(you)(you)控股公(gong)司(si)(si)、國(guo)(guo)有(you)(you)(you)(you)參股公(gong)司(si)(si),它們均(jun)稱之(zhi)為(wei)國(guo)(guo)家出(chu)(chu)(chu)(chu)(chu)資(zi)(zi)(zi)企(qi)(qi)業(ye),即(ji)國(guo)(guo)有(you)(you)(you)(you)企(qi)(qi)業(ye)。根據(ju)《公(gong)司(si)(si)法》,公(gong)司(si)(si)制(zhi)企(qi)(qi)業(ye)中(zhong)(zhong)的(de)(de)國(guo)(guo)家出(chu)(chu)(chu)(chu)(chu)資(zi)(zi)(zi)要(yao)有(you)(you)(you)(you)相應的(de)(de)出(chu)(chu)(chu)(chu)(chu)資(zi)(zi)(zi)人及(ji)履行出(chu)(chu)(chu)(chu)(chu)資(zi)(zi)(zi)人職責的(de)(de)主體。
根據(ju)《企(qi)(qi)(qi)業(ye)(ye)國(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)資(zi)(zi)(zi)(zi)(zi)產法》,公司(si)制企(qi)(qi)(qi)業(ye)(ye)中的(de)(de)國(guo)(guo)(guo)(guo)(guo)(guo)家(jia)(jia)出(chu)(chu)資(zi)(zi)(zi)(zi)(zi)形成的(de)(de)國(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)資(zi)(zi)(zi)(zi)(zi)本(ben)(ben),出(chu)(chu)資(zi)(zi)(zi)(zi)(zi)人(ren)(ren)是(shi)(shi)全(quan)(quan)體(ti)人(ren)(ren)民(min),歸全(quan)(quan)體(ti)人(ren)(ren)民(min)所(suo)有(you)(you)(you)(you)(you)。而全(quan)(quan)體(ti)人(ren)(ren)民(min)是(shi)(shi)眾多的(de)(de)個體(ti),共同(tong)行(xing)使所(suo)有(you)(you)(you)(you)(you)權意味著高昂(ang)的(de)(de)成本(ben)(ben)。因此,需要代(dai)(dai)表(biao)全(quan)(quan)體(ti)人(ren)(ren)民(min)的(de)(de)國(guo)(guo)(guo)(guo)(guo)(guo)家(jia)(jia)擁有(you)(you)(you)(you)(you)這一所(suo)有(you)(you)(you)(you)(you)權,具(ju)體(ti)則由國(guo)(guo)(guo)(guo)(guo)(guo)務(wu)(wu)院代(dai)(dai)表(biao)國(guo)(guo)(guo)(guo)(guo)(guo)家(jia)(jia)行(xing)使國(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)資(zi)(zi)(zi)(zi)(zi)本(ben)(ben)所(suo)有(you)(you)(you)(you)(you)權;國(guo)(guo)(guo)(guo)(guo)(guo)務(wu)(wu)院和(he)地方(fang)人(ren)(ren)民(min)政(zheng)(zheng)府依照(zhao)(zhao)法律(lv)、行(xing)政(zheng)(zheng)法規(gui)的(de)(de)規(gui)定,分(fen)別代(dai)(dai)表(biao)國(guo)(guo)(guo)(guo)(guo)(guo)家(jia)(jia)對公司(si)制企(qi)(qi)(qi)業(ye)(ye)中的(de)(de)國(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)資(zi)(zi)(zi)(zi)(zi)本(ben)(ben)履(lv)行(xing)出(chu)(chu)資(zi)(zi)(zi)(zi)(zi)人(ren)(ren)職(zhi)責,享有(you)(you)(you)(you)(you)出(chu)(chu)資(zi)(zi)(zi)(zi)(zi)人(ren)(ren)權益。國(guo)(guo)(guo)(guo)(guo)(guo)務(wu)(wu)院國(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)資(zi)(zi)(zi)(zi)(zi)產監(jian)(jian)督(du)管(guan)(guan)理機構(gou)(gou)和(he)地方(fang)人(ren)(ren)民(min)政(zheng)(zheng)府按照(zhao)(zhao)國(guo)(guo)(guo)(guo)(guo)(guo)務(wu)(wu)院的(de)(de)規(gui)定設立的(de)(de)國(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)資(zi)(zi)(zi)(zi)(zi)產監(jian)(jian)督(du)管(guan)(guan)理機構(gou)(gou),根據(ju)本(ben)(ben)級(ji)人(ren)(ren)民(min)政(zheng)(zheng)府的(de)(de)授權,代(dai)(dai)表(biao)本(ben)(ben)級(ji)人(ren)(ren)民(min)政(zheng)(zheng)府對國(guo)(guo)(guo)(guo)(guo)(guo)家(jia)(jia)出(chu)(chu)資(zi)(zi)(zi)(zi)(zi)企(qi)(qi)(qi)業(ye)(ye)履(lv)行(xing)出(chu)(chu)資(zi)(zi)(zi)(zi)(zi)人(ren)(ren)職(zhi)責。由國(guo)(guo)(guo)(guo)(guo)(guo)資(zi)(zi)(zi)(zi)(zi)監(jian)(jian)管(guan)(guan)機構(gou)(gou)履(lv)行(xing)出(chu)(chu)資(zi)(zi)(zi)(zi)(zi)人(ren)(ren)職(zhi)責的(de)(de)企(qi)(qi)(qi)業(ye)(ye),也稱之為(wei)國(guo)(guo)(guo)(guo)(guo)(guo)資(zi)(zi)(zi)(zi)(zi)監(jian)(jian)管(guan)(guan)機構(gou)(gou)監(jian)(jian)管(guan)(guan)企(qi)(qi)(qi)業(ye)(ye)。國(guo)(guo)(guo)(guo)(guo)(guo)資(zi)(zi)(zi)(zi)(zi)監(jian)(jian)管(guan)(guan)機構(gou)(gou)同(tong)監(jian)(jian)管(guan)(guan)企(qi)(qi)(qi)業(ye)(ye)的(de)(de)關(guan)系是(shi)(shi)出(chu)(chu)資(zi)(zi)(zi)(zi)(zi)者(zhe)與被出(chu)(chu)資(zi)(zi)(zi)(zi)(zi)者(zhe)之間的(de)(de)關(guan)系。
在企業(ye)(ye)(ye)集(ji)團(tuan),國(guo)資(zi)(zi)監(jian)(jian)管機(ji)構(gou)監(jian)(jian)督管理的(de)只是(shi)一(yi)級法(fa)(fa)人(ren)(ren)(ren)(ren)集(ji)團(tuan)公(gong)司(si),而其(qi)他(ta)法(fa)(fa)人(ren)(ren)(ren)(ren)企業(ye)(ye)(ye)則由集(ji)團(tuan)公(gong)司(si)負責監(jian)(jian)督管理。而企業(ye)(ye)(ye)集(ji)團(tuan)各(ge)層級法(fa)(fa)人(ren)(ren)(ren)(ren)企業(ye)(ye)(ye)均為(wei)國(guo)有(you)(you)企業(ye)(ye)(ye),因(yin)此,國(guo)資(zi)(zi)監(jian)(jian)管機(ji)構(gou)履(lv)行出(chu)(chu)資(zi)(zi)人(ren)(ren)(ren)(ren)職責的(de)是(shi)集(ji)團(tuan)所有(you)(you)的(de)法(fa)(fa)人(ren)(ren)(ren)(ren)企業(ye)(ye)(ye),而不只是(shi)所監(jian)(jian)管的(de)集(ji)團(tuan)公(gong)司(si)。正因(yin)為(wei)如此,集(ji)團(tuan)旗下各(ge)法(fa)(fa)人(ren)(ren)(ren)(ren)企業(ye)(ye)(ye)的(de)有(you)(you)關(guan)事項,要報(bao)國(guo)資(zi)(zi)監(jian)(jian)管機(ji)構(gou)審批,這是(shi)國(guo)資(zi)(zi)監(jian)(jian)管機(ji)構(gou)對所有(you)(you)法(fa)(fa)人(ren)(ren)(ren)(ren)企業(ye)(ye)(ye)履(lv)行出(chu)(chu)資(zi)(zi)人(ren)(ren)(ren)(ren)職責的(de)權利決定(ding)的(de)。
我(wo)們(men)設(she)想這里的(de)(de)國資(zi)監管機構是(shi)一個(ge)自然人(ren)(ren)(ren),他同(tong)樣要(yao)對(dui)集(ji)團(tuan)旗下(xia)各法人(ren)(ren)(ren)企(qi)業的(de)(de)有關(guan)事(shi)項(xiang)進行(xing)審批(pi),這是(shi)他作為(wei)出資(zi)人(ren)(ren)(ren)的(de)(de)權利(li)。所以(yi),國資(zi)監管機構對(dui)集(ji)團(tuan)公司及(ji)旗下(xia)法人(ren)(ren)(ren)企(qi)業有關(guan)事(shi)項(xiang)的(de)(de)審批(pi)是(shi)履行(xing)出資(zi)人(ren)(ren)(ren)職責的(de)(de)監督管理行(xing)為(wei),是(shi)在(zai)行(xing)使出資(zi)人(ren)(ren)(ren)權利(li),若將其說成是(shi)管企(qi)業,則是(shi)不準(zhun)確的(de)(de)。
公司制(zhi)企(qi)業的制(zhi)度安排決定(ding)著出資人(ren)履責的方式
國(guo)資監(jian)管(guan)機(ji)構履行出資人職責(ze)源自于公(gong)司制(zhi)(zhi)企(qi)業的制(zhi)(zhi)度安排,但(dan)國(guo)資監(jian)管(guan)機(ji)構監(jian)督(du)管(guan)理的企(qi)業卻有兩種:按(an)《企(qi)業法(fa)》注冊(ce)登記的國(guo)有獨資企(qi)業,按(an)《公(gong)司法(fa)》注冊(ce)登記的公(gong)司制(zhi)(zhi)企(qi)業。
按(an)《企(qi)業(ye)(ye)(ye)法》注冊登(deng)記的(de)(de)國(guo)(guo)有(you)獨資(zi)(zi)企(qi)業(ye)(ye)(ye)是沒有(you)出(chu)資(zi)(zi)人(ren)的(de)(de),雖然企(qi)業(ye)(ye)(ye)也是法人(ren),但它對(dui)企(qi)業(ye)(ye)(ye)的(de)(de)全(quan)部資(zi)(zi)產并沒有(you)法人(ren)財(cai)產權,企(qi)業(ye)(ye)(ye)的(de)(de)全(quan)部資(zi)(zi)產是屬于企(qi)業(ye)(ye)(ye)投資(zi)(zi)創辦者所有(you)。因(yin)此(ci),把國(guo)(guo)資(zi)(zi)監管機(ji)構對(dui)由《企(qi)業(ye)(ye)(ye)法》注冊登(deng)記的(de)(de)國(guo)(guo)有(you)獨資(zi)(zi)企(qi)業(ye)(ye)(ye)所行(xing)使的(de)(de)權利也說成是履行(xing)出(chu)資(zi)(zi)人(ren)職責(ze),是不(bu)正確(que)的(de)(de)。因(yin)為這里并沒有(you)出(chu)資(zi)(zi)人(ren)制度(du),何談履行(xing)出(chu)資(zi)(zi)人(ren)職責(ze)?那么,我們的(de)(de)對(dui)此(ci)解(jie)釋就(jiu)是國(guo)(guo)資(zi)(zi)監管機(ji)構在管企(qi)業(ye)(ye)(ye)。
而且,國(guo)資監(jian)管機構(gou)對(dui)《公司法》注冊登記(ji)的(de)公司制企(qi)業的(de)監(jian)督(du)管理方式同對(dui)《企(qi)業法》注冊登記(ji)的(de)國(guo)有獨(du)資企(qi)業的(de)監(jian)督(du)管理方式都是(shi)相(xiang)同的(de),如果(guo)把后(hou)者說(shuo)成是(shi)管企(qi)業,那么對(dui)前(qian)者來說(shuo)則同樣(yang)是(shi)管企(qi)業。那么,為什么國(guo)資監(jian)管機構(gou)會(hui)對(dui)兩種不(bu)同規制的(de)企(qi)業采(cai)取(qu)同樣(yang)的(de)監(jian)管方式?顯然,這里(li)的(de)問題(ti)不(bu)在(zai)于(yu)后(hou)者,而在(zai)于(yu)前(qian)者。前(qian)者采(cai)取(qu)的(de)是(shi)國(guo)有獨(du)資公司形式,因此,對(dui)其監(jian)管方式很容易(yi)同國(guo)有獨(du)資企(qi)業相(xiang)同。

2004年,國(guo)務院國(guo)資(zi)(zi)委(wei)開始國(guo)有獨資(zi)(zi)企(qi)業(ye)建立(li)規范董事(shi)會試(shi)點(dian),至今已有15年。除個別中央(yang)企(qi)業(ye)外,其他都已建立(li)規范的(de)董事(shi)會,但(dan)這些董事(shi)會仍然是(shi)試(shi)點(dian),原(yuan)因很簡單,這樣的(de)董事(shi)會很難成為法(fa)定意義上的(de)獨立(li)董事(shi)會,它(ta)只是(shi)國(guo)資(zi)(zi)監管機構履行(xing)出(chu)資(zi)(zi)人職(zhi)責而自行(xing)做出(chu)的(de)制度安(an)排。
如果公(gong)司制(zhi)(zhi)企(qi)業不是(shi)國(guo)(guo)有(you)獨(du)資(zi)(zi)(zi)(zi)(zi)(zi)(zi),而是(shi)國(guo)(guo)有(you)資(zi)(zi)(zi)(zi)(zi)(zi)(zi)本(ben)同(tong)(tong)非國(guo)(guo)有(you)資(zi)(zi)(zi)(zi)(zi)(zi)(zi)本(ben)共同(tong)(tong)出資(zi)(zi)(zi)(zi)(zi)(zi)(zi)的(de)(de)混合(he)所(suo)(suo)有(you)制(zhi)(zhi)企(qi)業,那么(me),國(guo)(guo)資(zi)(zi)(zi)(zi)(zi)(zi)(zi)監(jian)(jian)管機構(gou)(gou)只能(neng)對混合(he)所(suo)(suo)有(you)制(zhi)(zhi)企(qi)業的(de)(de)國(guo)(guo)有(you)資(zi)(zi)(zi)(zi)(zi)(zi)(zi)本(ben)履(lv)行出資(zi)(zi)(zi)(zi)(zi)(zi)(zi)人(ren)職(zhi)責,行使(shi)(shi)國(guo)(guo)有(you)資(zi)(zi)(zi)(zi)(zi)(zi)(zi)產所(suo)(suo)有(you)權(quan)(quan)(quan),股東會(hui)權(quan)(quan)(quan)力則由(you)(you)國(guo)(guo)資(zi)(zi)(zi)(zi)(zi)(zi)(zi)監(jian)(jian)管機構(gou)(gou)同(tong)(tong)非國(guo)(guo)有(you)資(zi)(zi)(zi)(zi)(zi)(zi)(zi)本(ben)出資(zi)(zi)(zi)(zi)(zi)(zi)(zi)人(ren)共同(tong)(tong)擁有(you),它不再是(shi)國(guo)(guo)資(zi)(zi)(zi)(zi)(zi)(zi)(zi)監(jian)(jian)管機構(gou)(gou)的(de)(de)權(quan)(quan)(quan)力而是(shi)全(quan)體出資(zi)(zi)(zi)(zi)(zi)(zi)(zi)人(ren)的(de)(de)共同(tong)(tong)權(quan)(quan)(quan)力。股東會(hui)選舉(ju)董(dong)事(shi)建立(li)董(dong)事(shi)會(hui),這時的(de)(de)董(dong)事(shi)會(hui)同(tong)(tong)由(you)(you)國(guo)(guo)資(zi)(zi)(zi)(zi)(zi)(zi)(zi)監(jian)(jian)管機構(gou)(gou)決定董(dong)事(shi)建立(li)的(de)(de)董(dong)事(shi)會(hui)是(shi)不同(tong)(tong)的(de)(de),它的(de)(de)權(quan)(quan)(quan)力不再國(guo)(guo)資(zi)(zi)(zi)(zi)(zi)(zi)(zi)監(jian)(jian)管機構(gou)(gou)授予的(de)(de)而是(shi)由(you)(you)《公(gong)司法》決定的(de)(de),進而可(ke)以獨(du)立(li)行使(shi)(shi)自己(ji)的(de)(de)權(quan)(quan)(quan)力。這時,國(guo)(guo)資(zi)(zi)(zi)(zi)(zi)(zi)(zi)監(jian)(jian)管機構(gou)(gou)只能(neng)是(shi)行使(shi)(shi)股東權(quan)(quan)(quan)利,不再行使(shi)(shi)股東會(hui)、董(dong)事(shi)會(hui)權(quan)(quan)(quan)力,從而國(guo)(guo)資(zi)(zi)(zi)(zi)(zi)(zi)(zi)監(jian)(jian)管機構(gou)(gou)不再“管企(qi)業”,而是(shi)關(guan)心和關(guan)注企(qi)業中(zhong)國(guo)(guo)有(you)資(zi)(zi)(zi)(zi)(zi)(zi)(zi)本(ben)出資(zi)(zi)(zi)(zi)(zi)(zi)(zi),重在履(lv)行好出資(zi)(zi)(zi)(zi)(zi)(zi)(zi)人(ren)職(zhi)責,即我們所(suo)(suo)說的(de)(de)管資(zi)(zi)(zi)(zi)(zi)(zi)(zi)本(ben)。
國資監管機構管資本的制度安排

因此,我們(men)今(jin)天再談國有企業改(gai)(gai)(gai)革(ge),其真正的改(gai)(gai)(gai)革(ge)對(dui)象應(ying)該(gai)是上述所說的集(ji)(ji)(ji)團化(hua)大企業,不(bu)應(ying)該(gai)是其中的子(zi)企業。當然子(zi)企業也(ye)要進行改(gai)(gai)(gai)革(ge),但它(ta)們(men)的改(gai)(gai)(gai)革(ge)是基于集(ji)(ji)(ji)團大企業整體(ti)改(gai)(gai)(gai)革(ge)所做出的改(gai)(gai)(gai)革(ge)選(xuan)擇。集(ji)(ji)(ji)團層(ceng)面(mian)應(ying)推進股權多(duo)元化(hua),中央企業已(yi)經(jing)在這方(fang)面(mian)取得明顯進展。推進集(ji)(ji)(ji)團層(ceng)面(mian)混改(gai)(gai)(gai)應(ying)該(gai)也(ye)是一項選(xuan)擇。
這方面,地方企業(ye)(ye)(ye)已經有(you)實踐(jian)且(qie)效果良(liang)好,如鄭(zheng)(zheng)州煤(mei)礦機(ji)(ji)械集(ji)團(tuan)股(gu)(gu)(gu)(gu)(gu)份有(you)限(xian)公(gong)司(下稱(cheng)鄭(zheng)(zheng)煤(mei)機(ji)(ji))是河(he)南(nan)省(sheng)國(guo)資(zi)(zi)(zi)(zi)委(wei)監(jian)(jian)管(guan)企業(ye)(ye)(ye),它(ta)是一家(jia)整(zheng)體上市公(gong)司,股(gu)(gu)(gu)(gu)(gu)權(quan)結構為(wei)河(he)南(nan)省(sheng)國(guo)資(zi)(zi)(zi)(zi)委(wei)、機(ji)(ji)構投(tou)資(zi)(zi)(zi)(zi)者(zhe)、社會(hui)公(gong)眾股(gu)(gu)(gu)(gu)(gu)、集(ji)團(tuan)高(gao)(gao)管(guan)。集(ji)團(tuan)高(gao)(gao)管(guan)全部持股(gu)(gu)(gu)(gu)(gu),其中(zhong)董(dong)事(shi)長、總經理持股(gu)(gu)(gu)(gu)(gu)相同(tong)且(qie)高(gao)(gao)于其他高(gao)(gao)管(guan)。集(ji)團(tuan)層面股(gu)(gu)(gu)(gu)(gu)權(quan)多元(yuan)化(hua)(hua)或(huo)混改后(hou),就(jiu)可(ke)以建立由多個投(tou)資(zi)(zi)(zi)(zi)者(zhe)成立的(de)(de)股(gu)(gu)(gu)(gu)(gu)東(dong)(dong)(dong)大會(hui)、由股(gu)(gu)(gu)(gu)(gu)東(dong)(dong)(dong)大會(hui)選舉董(dong)事(shi)建立董(dong)事(shi)會(hui)。這時,國(guo)資(zi)(zi)(zi)(zi)監(jian)(jian)管(guan)機(ji)(ji)構只是履行出資(zi)(zi)(zi)(zi)人職(zhi)責,行使股(gu)(gu)(gu)(gu)(gu)東(dong)(dong)(dong)權(quan)利,就(jiu)不再擁有(you)股(gu)(gu)(gu)(gu)(gu)東(dong)(dong)(dong)會(hui)、董(dong)事(shi)會(hui)的(de)(de)權(quan)力(li)(li),甚至監(jian)(jian)事(shi)會(hui)的(de)(de)權(quan)力(li)(li),這樣就(jiu)可(ke)以實現國(guo)資(zi)(zi)(zi)(zi)監(jian)(jian)管(guan)機(ji)(ji)構履行出資(zi)(zi)(zi)(zi)人職(zhi)責企業(ye)(ye)(ye)治理上的(de)(de)轉變,即由國(guo)資(zi)(zi)(zi)(zi)監(jian)(jian)管(guan)機(ji)(ji)構治理或(huo)管(guan)理走向國(guo)資(zi)(zi)(zi)(zi)監(jian)(jian)管(guan)機(ji)(ji)構同(tong)其他出資(zi)(zi)(zi)(zi)者(zhe)共同(tong)治理。這樣的(de)(de)轉變必然帶來國(guo)資(zi)(zi)(zi)(zi)監(jian)(jian)管(guan)機(ji)(ji)構履責方式的(de)(de)變化(hua)(hua),即由管(guan)企業(ye)(ye)(ye)變為(wei)管(guan)資(zi)(zi)(zi)(zi)本。
這里(li)所說(shuo)的(de)管(guan)資本同樣(yang)是一種制度(du)安排,而不能望文生義來(lai)解釋如何管(guan)資本,因為資本就是在公司制企業(ye)中的(de)出(chu)(chu)資,它由企業(ye)經營管(guan)理(li)者(zhe)來(lai)支(zhi)配(pei)和使(shi)用(yong),國資監(jian)管(guan)機構(gou)(gou)已經失去(qu)了(le)對(dui)出(chu)(chu)資的(de)使(shi)用(yong)權(quan)和支(zhi)配(pei)權(quan),但(dan)國資監(jian)管(guan)機構(gou)(gou)履行出(chu)(chu)資人職(zhi)責就對(dui)企業(ye)擁有(you)了(le)權(quan)利,這種權(quan)利要求國資監(jian)管(guan)機構(gou)(gou)與企業(ye)建立(li)一種制度(du)安排,其特征主(zhu)要有(you)三(san)個方面(mian):
一是國資監管機構要在(zai)(zai)多元出(chu)資主體法(fa)人治(zhi)理結構中履責。包括依(yi)法(fa)制(zhi)定或(huo)參與制(zhi)訂公司章程,推動(dong)各(ge)治(zhi)理主體嚴格依(yi)照公司章程行(xing)權(quan)履職,充分發揮公司章程在(zai)(zai)公司治(zhi)理中的基礎作用。委派股東(dong)代(dai)表參加股東(dong)大會,依(yi)據(ju)股權(quan)關(guan)系向履行(xing)出(chu)資人職責的企業(ye)委派董事或(huo)提名董事人選(xuan),規范董事的權(quan)利和責任,做好(hao)董事會建設等(deng)。
二是(shi)按(an)(an)清(qing)(qing)單履責(ze)。依照《中(zhong)華(hua)人民共和(he)國公司法(fa)》《中(zhong)華(hua)人民共和(he)國企業國有(you)資(zi)產法(fa)》等法(fa)律法(fa)規(gui),建立完善權(quan)力和(he)責(ze)任清(qing)(qing)單,明確履職重點,厘清(qing)(qing)職責(ze)邊界。按(an)(an)照權(quan)責(ze)法(fa)定原則,將不該有(you)的(de)權(quan)力攔(lan)在清(qing)(qing)單之外;保證清(qing)(qing)單內的(de)權(quan)力規(gui)范運行。根據職能(neng)轉變進(jin)展(zhan)情(qing)況,對清(qing)(qing)單實施動態(tai)調整,規(gui)范權(quan)責(ze)事項履職內容和(he)方(fang)式。
