加快推進國有(you)資本授權(quan)經(jing)營(ying)體制改(gai)革(ge),是貫徹以管資本為主加強國有(you)資產監管、轉變出(chu)資人代(dai)表(biao)機構(gou)職(zhi)能(neng)和履(lv)職(zhi)方式、打造現代(dai)國有(you)企業的(de)(de)(de)重要(yao)舉措(cuo)。4月28日《改(gai)革(ge)國有(you)資本授權(quan)經(jing)營(ying)體制方案》的(de)(de)(de)正式公(gong)布,標志著這(zhe)一改(gai)革(ge)再次向縱深推進。4月29日,國新(xin)辦召(zhao)開國務院(yuan)政策例行吹(chui)風(feng)會,邀(yao)請國務院(yuan)國資委副主任翁杰明(ming)介(jie)紹改(gai)革(ge)的(de)(de)(de)具體情(qing)況(kuang)。
改革明確了“誰來授權、授權給誰”
“這(zhe)次改革的(de)(de)突出(chu)亮點,就是國資監管(guan)機構即(ji)出(chu)資人代表(biao)機構,在由(you)‘管(guan)企業(ye)’轉向‘管(guan)資本’的(de)(de)過程中(zhong)邁出(chu)了(le)重(zhong)要步伐。”翁杰明認為(wei),此(ci)次改革堅持了(le)“重(zhong)在改革體制、加大(da)授權(quan)放(fang)(fang)權(quan)、強化監督監管(guan)、放(fang)(fang)活與管(guan)好相(xiang)統一”的(de)(de)思路,其重(zhong)點舉措可概括為(wei)五方(fang)面,即(ji)“一個明確(que)”“四個確(que)保”:
一是確(que)定(ding)了(le)(le)(le)權(quan)(quan)(quan)(quan)責邊(bian)界(jie),明確(que)了(le)(le)(le)“誰(shui)來授(shou)(shou)權(quan)(quan)(quan)(quan)、授(shou)(shou)權(quan)(quan)(quan)(quan)給誰(shui)”。明確(que)了(le)(le)(le)國(guo)(guo)資委(wei)(wei)、財政(zheng)部或其他部門(men)機構(gou)根(gen)據國(guo)(guo)務(wu)(wu)院(yuan)委(wei)(wei)托作(zuo)為授(shou)(shou)權(quan)(quan)(quan)(quan)主體(ti),要依法科學界(jie)定(ding)職責定(ding)位(wei),依據股權(quan)(quan)(quan)(quan)關系對(dui)國(guo)(guo)家(jia)出(chu)資企(qi)業(ye)(ye)(ye)(ye)開(kai)展授(shou)(shou)權(quan)(quan)(quan)(quan)放(fang)權(quan)(quan)(quan)(quan)。將(jiang)依法應(ying)由企(qi)業(ye)(ye)(ye)(ye)自主經營(ying)決(jue)策(ce)的事項(xiang)歸位(wei)于企(qi)業(ye)(ye)(ye)(ye),將(jiang)延(yan)伸到子企(qi)業(ye)(ye)(ye)(ye)的管(guan)(guan)理(li)(li)事項(xiang)原則(ze)上(shang)(shang)歸位(wei)于一級企(qi)業(ye)(ye)(ye)(ye)。二是分(fen)(fen)類開(kai)展授(shou)(shou)權(quan)(quan)(quan)(quan)放(fang)權(quan)(quan)(quan)(quan),確(que)保(bao)(bao)(bao)“授(shou)(shou)得準”。對(dui)國(guo)(guo)有資本(ben)投(tou)資運營(ying)公(gong)司,在(zai)戰略規劃和(he)主業(ye)(ye)(ye)(ye)管(guan)(guan)理(li)(li)、選人用人和(he)股權(quan)(quan)(quan)(quan)激勵、工資總額和(he)重(zhong)大(da)財務(wu)(wu)事項(xiang)等方(fang)面,一企(qi)一策(ce)有側(ce)重(zhong)、分(fen)(fen)先(xian)后(hou)地向符合(he)條(tiao)件的企(qi)業(ye)(ye)(ye)(ye)賦予更多自主權(quan)(quan)(quan)(quan)。三是加(jia)強企(qi)業(ye)(ye)(ye)(ye)行(xing)權(quan)(quan)(quan)(quan)能(neng)力建設,確(que)保(bao)(bao)(bao)“接得住”。四(si)是完(wan)善監(jian)督監(jian)管(guan)(guan)體(ti)系,確(que)保(bao)(bao)(bao)“管(guan)(guan)得好”。健全并嚴格執行(xing)國(guo)(guo)有企(qi)業(ye)(ye)(ye)(ye)違規經營(ying)投(tou)資責任(ren)追究制(zhi)度(du),“如果企(qi)業(ye)(ye)(ye)(ye)在(zai)重(zhong)大(da)投(tou)資項(xiang)目上(shang)(shang),由于程序不完(wan)整、盡調不深入等造成了(le)(le)(le)失誤(wu),那(nei)決(jue)策(ce)者就要承(cheng)擔(dan)相應(ying)責任(ren)。”五是堅持和(he)加(jia)強黨的全面領(ling)導,確(que)保(bao)(bao)(bao)“黨建強”。
翁杰明表示,具體授權工作將秉承嚴(yan)謹(jin)務實的原(yuan)則,不搞“一刀切”,不簡單地(di)設時間表,而是(shi)成熟(shu)一家、授權一家。
出資人代表機構將更多實行清單管理
翁杰明(ming)表示(shi),今(jin)后出資(zi)人代表機構的行(xing)權方式(shi),將更多體(ti)現以(yi)管資(zi)本為主加強國(guo)有資(zi)產(chan)監管的要求,呈現出幾個新的特點——
更(geng)多(duo)實行清(qing)(qing)單(dan)(dan)管理(li)。“出(chu)(chu)資(zi)(zi)(zi)人(ren)代(dai)表機(ji)構(gou)代(dai)表國(guo)(guo)(guo)家,事(shi)先制定(ding)各種清(qing)(qing)單(dan)(dan)、列出(chu)(chu)各種規范。在清(qing)(qing)單(dan)(dan)之(zhi)外,出(chu)(chu)資(zi)(zi)(zi)人(ren)代(dai)表機(ji)構(gou)不做干預;清(qing)(qing)單(dan)(dan)之(zhi)內,也要盡(jin)可(ke)能減(jian)少事(shi)前(qian)審批(pi)、事(shi)前(qian)備案,切實給(gei)企業減(jian)負。”翁杰明(ming)說,國(guo)(guo)(guo)務(wu)院(yuan)國(guo)(guo)(guo)資(zi)(zi)(zi)委(wei)(wei)已(yi)經明(ming)確(que),除在干部人(ren)事(shi)管理(li)方面要求事(shi)前(qian)備案之(zhi)外,其(qi)他方面不應(ying)提出(chu)(chu)“事(shi)前(qian)備案”“事(shi)前(qian)溝通一致”“備案同意后實施”等要求,“要放(fang)權(quan)(quan)(quan)就是真(zhen)放(fang)權(quan)(quan)(quan),讓企業按照市(shi)場(chang)化(hua)、法治化(hua)的要求,實現良好健(jian)康運行。”他還表示,目前(qian)國(guo)(guo)(guo)資(zi)(zi)(zi)委(wei)(wei)已(yi)經草擬了《國(guo)(guo)(guo)資(zi)(zi)(zi)委(wei)(wei)授(shou)(shou)權(quan)(quan)(quan)放(fang)權(quan)(quan)(quan)清(qing)(qing)單(dan)(dan)(2019版(ban))》,將推出(chu)(chu)不下于30項(xiang)措(cuo)施,“隨著授(shou)(shou)權(quan)(quan)(quan)放(fang)權(quan)(quan)(quan)清(qing)(qing)單(dan)(dan)的推出(chu)(chu),出(chu)(chu)資(zi)(zi)(zi)人(ren)權(quan)(quan)(quan)責清(qing)(qing)單(dan)(dan)也會(hui)進一步完善。”
強化(hua)(hua)章程(cheng)約(yue)束,充(chong)分發揮公(gong)司(si)(si)章程(cheng)在(zai)公(gong)司(si)(si)治理(li)中(zhong)的基(ji)礎作用。發揮董(dong)(dong)事(shi)(shi)(shi)作用,主要通(tong)過董(dong)(dong)事(shi)(shi)(shi)體現出(chu)資(zi)人意志(zhi)。依(yi)據股權(quan)(quan)關系向國家(jia)出(chu)資(zi)企業(ye)委派董(dong)(dong)事(shi)(shi)(shi)或提名董(dong)(dong)事(shi)(shi)(shi)人選,建立出(chu)資(zi)人代表機構與董(dong)(dong)事(shi)(shi)(shi)的溝(gou)通(tong)對接平臺,規(gui)范董(dong)(dong)事(shi)(shi)(shi)的權(quan)(quan)利(li)和責任。創新監(jian)管(guan)(guan)方式。出(chu)資(zi)人代表機構將以企業(ye)功能分類為基(ji)礎來進行監(jian)管(guan)(guan),分類管(guan)(guan)理(li)、分類授權(quan)(quan)放權(quan)(quan),切實(shi)轉(zhuan)變(bian)行政化(hua)(hua)的履職方式,強化(hua)(hua)事(shi)(shi)(shi)中(zhong)事(shi)(shi)(shi)后監(jian)管(guan)(guan),實(shi)現放活和管(guan)(guan)好的統一(yi)。(記者(zhe) 劉志(zhi)強)
