浙江印發“兩項意見” 推進省屬企業規范治理工作

日(ri)前,經浙(zhe)(zhe)江(jiang)(jiang)省(sheng)(sheng)政府(fu)同意,浙(zhe)(zhe)江(jiang)(jiang)省(sheng)(sheng)政府(fu)辦公(gong)廳印發了《關(guan)于完善浙(zhe)(zhe)江(jiang)(jiang)省(sheng)(sheng)屬(shu)國有獨資公(gong)司法人治理結構的實(shi)施意見》和《關(guan)于加強(qiang)浙(zhe)(zhe)江(jiang)(jiang)省(sheng)(sheng)屬(shu)國有獨資公(gong)司董事會建設的指導意見》,這標志(zhi)著浙(zhe)(zhe)江(jiang)(jiang)推進新一輪省(sheng)(sheng)屬(shu)企業規范治理工(gong)作進入新的階段。
去年(nian)9月(yue),為(wei)進一(yi)步(bu)理順省(sheng)(sheng)屬(shu)企業管(guan)(guan)理體(ti)制,浙(zhe)江省(sheng)(sheng)委(wei)(wei)對省(sheng)(sheng)屬(shu)企業董(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)管(guan)(guan)理體(ti)制進行調(diao)整,明確22家省(sheng)(sheng)屬(shu)企業董(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)建(jian)設(she)由浙(zhe)江省(sheng)(sheng)國(guo)資委(wei)(wei)黨委(wei)(wei)統一(yi)負(fu)責。管(guan)(guan)理體(ti)制調(diao)整后,浙(zhe)江省(sheng)(sheng)國(guo)資委(wei)(wei)會(hui)(hui)(hui)同(tong)相關(guan)部門積(ji)極(ji)探索加強省(sheng)(sheng)屬(shu)企業公司治理結構和董(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)建(jian)設(she)工作,提出(chu)以(yi)建(jian)立完(wan)善具(ju)有(you)中國(guo)特色、符合浙(zhe)江實(shi)際的現(xian)代國(guo)有(you)企業治理體(ti)系為(wei)目標,區分國(guo)有(you)獨資和多元股(gu)權(quan)兩種形態分別推進法(fa)人治理結構和董(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)建(jian)設(she)工作。
此次(ci)出臺(tai)的兩項(xiang)《意(yi)見(jian)》,以國(guo)有獨資公司(si)為規范對象,著眼于(yu)推(tui)進(jin)國(guo)有企業(ye)治理(li)體系和(he)(he)(he)治理(li)能力現代(dai)化(hua),將中(zhong)央(yang)和(he)(he)(he)浙江(jiang)對法人治理(li)及董事會建設的基(ji)本精神(shen)、核心要(yao)求在省屬國(guo)有獨資公司(si)進(jin)行集(ji)中(zhong)強調和(he)(he)(he)落實,明(ming)確下一步推(tui)進(jin)法人治理(li)和(he)(he)(he)董事會建設的總體思路和(he)(he)(he)主要(yao)任務,并結合(he)浙江(jiang)省屬企業(ye)實際(ji),對相關重要(yao)事項(xiang)予以細化(hua)和(he)(he)(he)規范。
《關(guan)于(yu)完善浙(zhe)(zhe)江(jiang)省(sheng)屬國(guo)(guo)有(you)(you)獨資公(gong)(gong)司(si)(si)法(fa)人(ren)(ren)治(zhi)理(li)(li)(li)結(jie)(jie)構(gou)的(de)(de)(de)(de)實(shi)施意(yi)見》主要對(dui)浙(zhe)(zhe)江(jiang)省(sheng)屬國(guo)(guo)有(you)(you)獨資公(gong)(gong)司(si)(si)法(fa)人(ren)(ren)治(zhi)理(li)(li)(li)結(jie)(jie)構(gou)的(de)(de)(de)(de)總(zong)體要求(qiu),各參與(yu)主體的(de)(de)(de)(de)權(quan)(quan)(quan)(quan)(quan)責定位和(he)履職(zhi)原則,以(yi)(yi)及(ji)法(fa)人(ren)(ren)治(zhi)理(li)(li)(li)結(jie)(jie)構(gou)建設的(de)(de)(de)(de)組(zu)織實(shi)施進行(xing)(xing)(xing)規(gui)(gui)定。這個(ge)《意(yi)見》總(zong)的(de)(de)(de)(de)要求(qiu),就是(shi)認真落(luo)實(shi)黨(dang)(dang)(dang)(dang)中央、國(guo)(guo)務院關(guan)于(yu)推(tui)進國(guo)(guo)資國(guo)(guo)企改革的(de)(de)(de)(de)決策(ce)部(bu)(bu)署,堅持以(yi)(yi)規(gui)(gui)范權(quan)(quan)(quan)(quan)(quan)責為(wei)關(guan)鍵(jian)、以(yi)(yi)完善公(gong)(gong)司(si)(si)章(zhang)程為(wei)基礎、以(yi)(yi)優化(hua)治(zhi)理(li)(li)(li)結(jie)(jie)構(gou)為(wei)動力、以(yi)(yi)黨(dang)(dang)(dang)(dang)的(de)(de)(de)(de)領(ling)導為(wei)保證,推(tui)進建立產權(quan)(quan)(quan)(quan)(quan)清晰、權(quan)(quan)(quan)(quan)(quan)責明(ming)(ming)確(que)(que)、政企分(fen)開、管(guan)理(li)(li)(li)科(ke)學的(de)(de)(de)(de)現(xian)代企業(ye)制度(du),不(bu)斷完善各司(si)(si)其職(zhi)、各負其責、協調(diao)運轉、有(you)(you)效制衡的(de)(de)(de)(de)法(fa)人(ren)(ren)治(zhi)理(li)(li)(li)結(jie)(jie)構(gou)。具體內容上,主要體現(xian)了“五(wu)個(ge)明(ming)(ming)確(que)(que)”:一是(shi)明(ming)(ming)確(que)(que)浙(zhe)(zhe)江(jiang)省(sheng)國(guo)(guo)資委(wei)行(xing)(xing)(xing)使出資人(ren)(ren)和(he)權(quan)(quan)(quan)(quan)(quan)力機構(gou)權(quan)(quan)(quan)(quan)(quan)責,強調(diao)浙(zhe)(zhe)江(jiang)省(sheng)國(guo)(guo)資委(wei)不(bu)僅履行(xing)(xing)(xing)出資人(ren)(ren)職(zhi)能(neng)還同時履行(xing)(xing)(xing)股東會(hui)職(zhi)能(neng),是(shi)國(guo)(guo)有(you)(you)獨資公(gong)(gong)司(si)(si)法(fa)人(ren)(ren)治(zhi)理(li)(li)(li)的(de)(de)(de)(de)權(quan)(quan)(quan)(quan)(quan)力機關(guan)。二是(shi)明(ming)(ming)確(que)(que)董事會(hui)行(xing)(xing)(xing)使決策(ce)機構(gou)權(quan)(quan)(quan)(quan)(quan)責,規(gui)(gui)范董事會(hui)組(zu)成人(ren)(ren)數及(ji)內部(bu)(bu)結(jie)(jie)構(gou),逐步實(shi)現(xian)外(wai)部(bu)(bu)董事占(zhan)多數。三是(shi)明(ming)(ming)確(que)(que)經理(li)(li)(li)層行(xing)(xing)(xing)使執行(xing)(xing)(xing)機構(gou)權(quan)(quan)(quan)(quan)(quan)責,對(dui)經理(li)(li)(li)層的(de)(de)(de)(de)職(zhi)能(neng)定位、人(ren)(ren)員設置(zhi)(zhi)等進行(xing)(xing)(xing)規(gui)(gui)范,強調(diao)經理(li)(li)(li)層市場化(hua)選聘方向,推(tui)進職(zhi)業(ye)經理(li)(li)(li)人(ren)(ren)制度(du)探索(suo),按照(zhao)任期制聘用(yong)、契約化(hua)管(guan)理(li)(li)(li)、針(zhen)對(dui)性(xing)(xing)考核、差異化(hua)薪酬的(de)(de)(de)(de)原則推(tui)進經理(li)(li)(li)層管(guan)理(li)(li)(li)。四(si)是(shi)明(ming)(ming)確(que)(que)監(jian)(jian)事會(hui)行(xing)(xing)(xing)使監(jian)(jian)督機構(gou)權(quan)(quan)(quan)(quan)(quan)責,框定國(guo)(guo)有(you)(you)獨資公(gong)(gong)司(si)(si)監(jian)(jian)事會(hui)人(ren)(ren)員配備(bei)模式,對(dui)加(jia)強監(jian)(jian)事會(hui)作用(yong)發揮提出原則性(xing)(xing)意(yi)見。五(wu)是(shi)明(ming)(ming)確(que)(que)企業(ye)黨(dang)(dang)(dang)(dang)委(wei)發揮領(ling)導作用(yong),從清晰核心定位、納入(ru)(ru)公(gong)(gong)司(si)(si)章(zhang)程、強化(hua)雙向進入(ru)(ru)、固化(hua)前置(zhi)(zhi)程序、配備(bei)相應(ying)機構(gou)、保證人(ren)(ren)員力量及(ji)黨(dang)(dang)(dang)(dang)建帶群團、紀委(wei)作用(yong)發揮等方面,分(fen)別提出原則性(xing)(xing)規(gui)(gui)定。
《關(guan)于加強(qiang)浙(zhe)(zhe)(zhe)江省屬國有(you)(you)獨(du)(du)(du)(du)資公(gong)司董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)(shi)(shi)(shi)(shi)(shi)會(hui)(hui)(hui)(hui)(hui)建(jian)設的(de)指導意(yi)見(jian)》以董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)(shi)(shi)(shi)(shi)(shi)會(hui)(hui)(hui)(hui)(hui)制(zhi)度相關(guan)主(zhu)體(ti)為規范對(dui)象,從董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)(shi)(shi)(shi)(shi)(shi)會(hui)(hui)(hui)(hui)(hui)、董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)(shi)(shi)(shi)(shi)(shi)、董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)(shi)(shi)(shi)(shi)(shi)長、董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)(shi)(shi)(shi)(shi)(shi)會(hui)(hui)(hui)(hui)(hui)專(zhuan)門(men)委(wei)員(yuan)會(hui)(hui)(hui)(hui)(hui)、董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)(shi)(shi)(shi)(shi)(shi)會(hui)(hui)(hui)(hui)(hui)辦公(gong)室和(he)(he)(he)董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)(shi)(shi)(shi)(shi)(shi)會(hui)(hui)(hui)(hui)(hui)秘書(shu)入手,逐一進(jin)行(xing)規范,分別明(ming)確各(ge)主(zhu)體(ti)在董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)(shi)(shi)(shi)(shi)(shi)會(hui)(hui)(hui)(hui)(hui)運行(xing)機制(zhi)中的(de)權利義(yi)務和(he)(he)(he)職(zhi)(zhi)(zhi)能(neng)職(zhi)(zhi)(zhi)責,同時對(dui)董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)(shi)(shi)(shi)(shi)(shi)會(hui)(hui)(hui)(hui)(hui)運行(xing)和(he)(he)(he)董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)(shi)(shi)(shi)(shi)(shi)會(hui)(hui)(hui)(hui)(hui)建(jian)設組織實施進(jin)行(xing)規定。《意(yi)見(jian)》還就董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)(shi)(shi)(shi)(shi)(shi)會(hui)(hui)(hui)(hui)(hui)建(jian)設中的(de)一些(xie)重要(yao)(yao)事(shi)(shi)(shi)(shi)(shi)(shi)(shi)(shi)(shi)項,結合浙(zhe)(zhe)(zhe)江實際予以了細(xi)化(hua),如對(dui)浙(zhe)(zhe)(zhe)江省屬國有(you)(you)獨(du)(du)(du)(du)資公(gong)司董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)(shi)(shi)(shi)(shi)(shi)會(hui)(hui)(hui)(hui)(hui)的(de)構(gou)成(cheng),明(ming)確由內(nei)部(bu)董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)(shi)(shi)(shi)(shi)(shi)和(he)(he)(he)外部(bu)董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)(shi)(shi)(shi)(shi)(shi)構(gou)成(cheng),其(qi)中內(nei)部(bu)董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)(shi)(shi)(shi)(shi)(shi)包括(kuo)出資人委(wei)派(pai)的(de)執(zhi)行(xing)董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)(shi)(shi)(shi)(shi)(shi)和(he)(he)(he)職(zhi)(zhi)(zhi)工民主(zhu)選舉產生的(de)職(zhi)(zhi)(zhi)工董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)(shi)(shi)(shi)(shi)(shi),外部(bu)董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)(shi)(shi)(shi)(shi)(shi)包括(kuo)兼(jian)職(zhi)(zhi)(zhi)外部(bu)董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)(shi)(shi)(shi)(shi)(shi)和(he)(he)(he)專(zhuan)職(zhi)(zhi)(zhi)外部(bu)董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)(shi)(shi)(shi)(shi)(shi);對(dui)浙(zhe)(zhe)(zhe)江省屬國有(you)(you)獨(du)(du)(du)(du)資公(gong)司董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)(shi)(shi)(shi)(shi)(shi)會(hui)(hui)(hui)(hui)(hui)職(zhi)(zhi)(zhi)能(neng),按照“前瞻(zhan)、聚(ju)力(li)、規范”的(de)原則,主(zhu)要(yao)(yao)梳理歸并為基礎(chu)類(lei)、管理類(lei)、運行(xing)類(lei)等3大(da)類(lei)13項職(zhi)(zhi)(zhi)能(neng);對(dui)浙(zhe)(zhe)(zhe)江省屬國有(you)(you)獨(du)(du)(du)(du)資公(gong)司董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)(shi)(shi)(shi)(shi)(shi)會(hui)(hui)(hui)(hui)(hui)的(de)支持力(li)量(liang),明(ming)確董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)(shi)(shi)(shi)(shi)(shi)會(hui)(hui)(hui)(hui)(hui)專(zhuan)門(men)委(wei)員(yuan)會(hui)(hui)(hui)(hui)(hui)、董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)(shi)(shi)(shi)(shi)(shi)會(hui)(hui)(hui)(hui)(hui)辦公(gong)室、董(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)(shi)(shi)(shi)(shi)(shi)會(hui)(hui)(hui)(hui)(hui)秘書(shu)的(de)設置和(he)(he)(he)履職(zhi)(zhi)(zhi)要(yao)(yao)求。
下(xia)一步,浙江國資國企(qi)系統(tong)將(jiang)認真貫徹(che)落實兩項《意見》精神,在浙江省(sheng)屬(shu)企(qi)業扎(zha)實開展“三年行動計劃”,圍繞“職責到(dao)(dao)位(wei)、人員到(dao)(dao)位(wei)、運行到(dao)(dao)位(wei)、保障到(dao)(dao)位(wei)、成效到(dao)(dao)位(wei)”五方面(mian)內容,每(mei)年分解落實具體工作重點,一步一腳印推進工作任務(wu)完成,力爭到(dao)(dao)2020年浙江省(sheng)屬(shu)企(qi)業法人治理結構和(he)董(dong)事會建(jian)設取得決定性成效。
