積極穩妥地推進(jin)混合(he)(he)所(suo)有(you)(you)制(zhi)(zhi)是深化國企改革的(de)(de)一項重點工作。國有(you)(you)資本(ben)、集體資本(ben)、非公有(you)(you)資本(ben)等交叉持(chi)股、相(xiang)互(hu)融合(he)(he)的(de)(de)混合(he)(he)所(suo)有(you)(you)制(zhi)(zhi)經(jing)(jing)(jing)濟(ji),是基(ji)本(ben)經(jing)(jing)(jing)濟(ji)制(zhi)(zhi)度的(de)(de)重要(yao)實(shi)(shi)現(xian)(xian)形式,有(you)(you)利于國有(you)(you)資本(ben)放大功能、保值增(zeng)值、提(ti)高競爭(zheng)力,有(you)(you)利于各種所(suo)有(you)(you)制(zhi)(zhi)資本(ben)取長補短、相(xiang)互(hu)促進(jin)、共同(tong)發展(zhan)。混合(he)(he)所(suo)有(you)(you)制(zhi)(zhi)是與我國社會主義初級(ji)階段的(de)(de)生產(chan)(chan)力相(xiang)適應,能夠(gou)有(you)(you)力推動(dong)社會主義市場經(jing)(jing)(jing)濟(ji)的(de)(de)進(jin)一步發展(zhan)。然而,在實(shi)(shi)踐中,往往會出現(xian)(xian)國有(you)(you)資產(chan)(chan)嚴重流失問(wen)題。為了充(chong)分(fen)發揮混合(he)(he)所(suo)有(you)(you)制(zhi)(zhi)的(de)(de)制(zhi)(zhi)度作用,實(shi)(shi)現(xian)(xian)國有(you)(you)資產(chan)(chan)的(de)(de)保值增(zeng)值,在實(shi)(shi)際推進(jin)過(guo)程中,我們要(yao)做好(hao)以下(xia)幾個方面。
堅持混合(he)所有制改革方案的合(he)理性(xing)
在(zai)與(yu)非(fei)公有(you)(you)資(zi)本共同設立一(yi)家混(hun)(hun)合(he)(he)(he)(he)(he)所(suo)有(you)(you)制(zhi)企(qi)業(ye)時,國企(qi)必須(xu)研(yan)究其(qi)合(he)(he)(he)(he)(he)理性(xing)(xing)或充分(fen)必要性(xing)(xing)。就(jiu)國際上(shang)成功的企(qi)業(ye)而言(yan),既(ji)有(you)(you)獨(du)資(zi),也有(you)(you)股份有(you)(you)限或合(he)(he)(he)(he)(he)伙(huo)等多種所(suo)有(you)(you)制(zhi)形式,并非(fei)每個(ge)國企(qi)都(dou)要爭取實行混(hun)(hun)合(he)(he)(he)(he)(he)所(suo)有(you)(you)制(zhi)。例如,一(yi)個(ge)大型航空集團有(you)(you)無必要與(yu)民企(qi)各出資(zi)幾百(bai)萬并設立航空食品(pin)企(qi)業(ye),這個(ge)問題(ti)就(jiu)值得研(yan)究。是(shi)否(fou)(fou)實行混(hun)(hun)合(he)(he)(he)(he)(he)所(suo)有(you)(you)制(zhi)關鍵在(zai)于是(shi)否(fou)(fou)符(fu)合(he)(he)(he)(he)(he)經(jing)濟(ji)合(he)(he)(he)(he)(he)理原則(ze)。從范圍經(jing)濟(ji)角(jiao)度看(kan),如果國企(qi)自身辦(ban)得好,可(ke)以自辦(ban);如果實行混(hun)(hun)合(he)(he)(he)(he)(he)所(suo)有(you)(you)制(zhi)后(hou)效(xiao)率更高,則(ze)應采用合(he)(he)(he)(he)(he)理方案(an)實行改革(ge)。
因此,混合所(suo)有(you)制(zhi)推進中,國有(you)出資人(ren)要(yao)重視方案的(de)審(shen)(shen)查。要(yao)審(shen)(shen)查是否(fou)是優勢互補的(de)需(xu)要(yao),是否(fou)是引(yin)入資本降低負(fu)債的(de)需(xu)要(yao),是否(fou)是經營(ying)管(guan)理機制(zhi)轉變(bian)的(de)需(xu)要(yao),是否(fou)是監(jian)管(guan)補充(chong)的(de)需(xu)要(yao),是否(fou)符合范(fan)圍經濟原則,等(deng)等(deng)。在實行混合所(suo)有(you)制(zhi)具有(you)合理性(xing)時,出資人(ren)才(cai)能同意。只有(you)這樣才(cai)能堵塞監(jian)管(guan)漏洞(dong),減少利益輸送,防(fang)止國有(you)資產(chan)流失(shi)。
保證混合所有制(zhi)改革(ge)方案操作過程中(zhong)的規范性
能否(fou)制(zhi)度(du)(du)化、規(gui)范地操(cao)作(zuo)推進混(hun)合所有(you)制(zhi)改(gai)革,是(shi)防(fang)止國(guo)有(you)資產流失、確保混(hun)合所有(you)制(zhi)健康發(fa)展(zhan)的(de)關鍵。一方面(mian),堅持自國(guo)資委(wei)成立十多年(nian)來形成的(de)行之有(you)效的(de)制(zhi)度(du)(du);另一方面(mian),積極(ji)推進完善監管中發(fa)現(xian)的(de)漏洞和空(kong)白,持續提高(gao)監管水平。
保證財務審(shen)計(ji)與評估精確性。在(zai)過去實踐(jian)中(zhong),很多國(guo)企(qi)對(dui)資(zi)產審(shen)計(ji)評估不(bu)充分、方法不(bu)合理,導致大量國(guo)有(you)資(zi)產流失。同時,雖然中(zhong)介機構的(de)審(shen)計(ji)評估報告(gao)存在(zai)大量專業漏(lou)洞(dong),但都在(zai)報告(gao)提交的(de)聲明和(he)意見中(zhong)作(zuo)了大量的(de)保護措施。出資(zi)人如果(guo)未作(zuo)標準陳述(shu)要求(qiu),往(wang)(wang)往(wang)(wang)大量問(wen)題被掩蓋,甚至發(fa)現(xian)問(wen)題也難(nan)以(yi)追究,中(zhong)介則可以(yi)逃避責任追究。這十分不(bu)利于國(guo)企(qi)混合所有(you)制改革的(de)推進(jin)。
對(dui)混(hun)合所有制改(gai)革(ge)方案必(bi)要(yao)性及出(chu)資(zi)人(ren)的(de)價(jia)值(zhi)最大(da)化進(jin)行充(chong)分(fen)論(lun)證(zheng)。比如(ru)在股權(quan)出(chu)售中(zhong),如(ru)果(guo)控(kong)股股權(quan)被不(bu)合理分(fen)拆出(chu)售導致其價(jia)值(zhi)大(da)大(da)降(jiang)低(di):70%控(kong)股權(quan)可(ke)以出(chu)售10億(yi),分(fen)兩次出(chu)售可(ke)能不(bu)到5億(yi)就出(chu)售了;又或公司新設時(shi)不(bu)合理設置(zhi)股權(quan),國(guo)有股權(quan)價(jia)值(zhi)低(di)于(yu)其應有價(jia)值(zhi)。這(zhe)些都是造成國(guo)有資(zi)產流失,影響(xiang)混(hun)合所有制效率的(de)因(yin)素。因(yin)此(ci),應對(dui)混(hun)合所有制改(gai)革(ge)方案必(bi)要(yao)性及出(chu)資(zi)人(ren)的(de)價(jia)值(zhi)最大(da)化進(jin)行充(chong)分(fen)論(lun)證(zheng),保(bao)證(zheng)國(guo)有資(zi)產的(de)保(bao)值(zhi)增值(zhi)。
堅持(chi)貫徹公(gong)平效率原(yuan)則(ze)。國(guo)(guo)有資(zi)(zi)(zi)產在混(hun)合所有制推進中的(de)(de)保(bao)值(zhi)(zhi)增值(zhi)(zhi)及價(jia)值(zhi)(zhi)最大化問(wen)題,是(shi)公(gong)共(gong)(gong)資(zi)(zi)(zi)產管理和公(gong)共(gong)(gong)選(xuan)擇(ze)的(de)(de)一個重要(yao)內容,是(shi)貫徹公(gong)平與效率是(shi)一個重要(yao)原(yuan)則(ze)。例(li)如,某省國(guo)(guo)企一塊土地(di)(di)評估價(jia)值(zhi)(zhi)12億(yi),非公(gong)企業(ye)提出和國(guo)(guo)企按此價(jia)值(zhi)(zhi)合作,民營企業(ye)出資(zi)(zi)(zi)12億(yi),各占50%,并不違(wei)規。但出資(zi)(zi)(zi)人如果選(xuan)擇(ze)拍賣,此地(di)(di)掛牌拍賣可售43.8億(yi)。出現評估價(jia)值(zhi)(zhi)與市(shi)場交易(yi)價(jia)值(zhi)(zhi)不同的(de)(de)情形。此時,應(ying)當堅持(chi)公(gong)平、效率原(yuan)則(ze),追求國(guo)(guo)有資(zi)(zi)(zi)產價(jia)值(zhi)(zhi)最大化。
實現混合所(suo)有(you)(you)制的持續有(you)(you)效性
在(zai)論(lun)證研究(jiu)混(hun)合(he)(he)(he)所有(you)(you)(you)(you)(you)(you)(you)(you)制(zhi)(zhi)方案時(shi),必(bi)須(xu)重(zhong)視持續有(you)(you)(you)(you)(you)(you)(you)(you)效(xiao)運轉(zhuan)、保護國有(you)(you)(you)(you)(you)(you)(you)(you)資(zi)(zi)(zi)本權(quan)益(yi)的(de)(de)(de)問(wen)(wen)題,即(ji)有(you)(you)(you)(you)(you)(you)(you)(you)效(xiao)性問(wen)(wen)題。在(zai)混(hun)合(he)(he)(he)所有(you)(you)(you)(you)(you)(you)(you)(you)制(zhi)(zhi)改革中(zhong),國企(qi)與非(fei)公(gong)(gong)有(you)(you)(you)(you)(you)(you)(you)(you)資(zi)(zi)(zi)本的(de)(de)(de)合(he)(he)(he)作不(bu)是(shi)簡單的(de)(de)(de)一(yi)次交(jiao)易行為。因(yin)此(ci),必(bi)須(xu)高度重(zhong)視國有(you)(you)(you)(you)(you)(you)(you)(you)資(zi)(zi)(zi)產持續保值(zhi)增(zeng)值(zhi)問(wen)(wen)題。必(bi)須(xu)堅(jian)持審查(cha)至少(shao)三個關鍵點:合(he)(he)(he)作的(de)(de)(de)章(zhang)(zhang)程、治(zhi)理(li)結(jie)構和非(fei)控股(gu)(gu)(gu)股(gu)(gu)(gu)權(quan)的(de)(de)(de)權(quan)利(li)維(wei)護。在(zai)章(zhang)(zhang)程審查(cha)中(zhong),如果不(bu)重(zhong)視合(he)(he)(he)理(li)安排(pai)(pai),往(wang)(wang)(wang)(wang)往(wang)(wang)(wang)(wang)會出(chu)現兩個極端:國有(you)(you)(you)(you)(you)(you)(you)(you)出(chu)資(zi)(zi)(zi)為大(da)(da)股(gu)(gu)(gu)東時(shi),往(wang)(wang)(wang)(wang)往(wang)(wang)(wang)(wang)機(ji)制(zhi)(zhi)轉(zhuan)換不(bu)夠;國有(you)(you)(you)(you)(you)(you)(you)(you)出(chu)資(zi)(zi)(zi)為小股(gu)(gu)(gu)東時(shi),往(wang)(wang)(wang)(wang)往(wang)(wang)(wang)(wang)權(quan)益(yi)保護不(bu)夠。同時(shi),也存在(zai)國有(you)(you)(you)(you)(you)(you)(you)(you)股(gu)(gu)(gu)的(de)(de)(de)權(quan)益(yi)維(wei)護問(wen)(wen)題。在(zai)治(zhi)理(li)結(jie)構安排(pai)(pai)中(zhong),要重(zhong)視審查(cha)董事(shi)與股(gu)(gu)(gu)權(quan)匹配(pei)問(wen)(wen)題。現實中(zhong),有(you)(you)(you)(you)(you)(you)(you)(you)的(de)(de)(de)國企(qi)在(zai)混(hun)合(he)(he)(he)所有(you)(you)(you)(you)(you)(you)(you)(you)制(zhi)(zhi)企(qi)業中(zhong)的(de)(de)(de)股(gu)(gu)(gu)權(quan)超過50%,董事(shi)卻(que)不(bu)到(dao)一(yi)半。尤其是(shi)在(zai)擁有(you)(you)(you)(you)(you)(you)(you)(you)低(di)(di)于(yu)(yu)50%股(gu)(gu)(gu)份(fen)時(shi),表面上(shang)市國有(you)(you)(you)(you)(you)(you)(you)(you)股(gu)(gu)(gu)東為第一(yi)大(da)(da)股(gu)(gu)(gu)東,但實際由幾家(jia)關聯(lian)企(qi)業聯(lian)合(he)(he)(he)控制(zhi)(zhi)。特(te)別是(shi)在(zai)擁有(you)(you)(you)(you)(you)(you)(you)(you)低(di)(di)于(yu)(yu)總股(gu)(gu)(gu)份(fen)的(de)(de)(de)1/3時(shi),國有(you)(you)(you)(you)(you)(you)(you)(you)股(gu)(gu)(gu)權(quan)權(quan)益(yi)的(de)(de)(de)保護往(wang)(wang)(wang)(wang)往(wang)(wang)(wang)(wang)做得(de)不(bu)夠。因(yin)此(ci),國有(you)(you)(you)(you)(you)(you)(you)(you)出(chu)資(zi)(zi)(zi)人(ren)必(bi)須(xu)要求有(you)(you)(you)(you)(you)(you)(you)(you)相(xiang)應的(de)(de)(de)保護條款(kuan)才行。另外,雖然混(hun)合(he)(he)(he)所有(you)(you)(you)(you)(you)(you)(you)(you)制(zhi)(zhi)不(bu)設底限,但低(di)(di)于(yu)(yu)1/3時(shi),審批應極為慎(shen)重(zhong),必(bi)須(xu)要有(you)(you)(you)(you)(you)(you)(you)(you)保護條款(kuan)。實踐有(you)(you)(you)(you)(you)(you)(you)(you)大(da)(da)量例子(zi)表明(ming),除上(shang)市公(gong)(gong)司外,有(you)(you)(you)(you)(you)(you)(you)(you)限責(ze)任公(gong)(gong)司股(gu)(gu)(gu)份(fen)如在(zai)1/3以下時(shi),國有(you)(you)(you)(you)(you)(you)(you)(you)出(chu)資(zi)(zi)(zi)人(ren)往(wang)(wang)(wang)(wang)往(wang)(wang)(wang)(wang)處(chu)于(yu)(yu)被動狀(zhuang)況(kuang):持有(you)(you)(you)(you)(you)(you)(you)(you)時(shi)并不(bu)能取得(de)相(xiang)應收益(yi)或保持應有(you)(you)(you)(you)(you)(you)(you)(you)權(quan)益(yi),掛牌處(chu)置時(shi)價(jia)值(zhi)又(you)遠遠低(di)(di)于(yu)(yu)其實際價(jia)值(zhi)。因(yin)此(ci),應高度關注有(you)(you)(you)(you)(you)(you)(you)(you)效(xiao)性問(wen)(wen)題,重(zhong)點審查(cha)合(he)(he)(he)作的(de)(de)(de)章(zhang)(zhang)程、治(zhi)理(li)結(jie)構和非(fei)控股(gu)(gu)(gu)股(gu)(gu)(gu)權(quan)的(de)(de)(de)權(quan)利(li)維(wei)護這三方面內容,保障國有(you)(you)(you)(you)(you)(you)(you)(you)資(zi)(zi)(zi)產的(de)(de)(de)持續保值(zhi)增(zeng)值(zhi)。
落實對(dui)混合所有制的監(jian)管專業(ye)化
在(zai)混(hun)合(he)所(suo)有(you)(you)(you)(you)(you)(you)(you)制(zhi)(zhi)的(de)(de)(de)推(tui)進(jin)(jin)中,對(dui)國(guo)有(you)(you)(you)(you)(you)(you)(you)資(zi)(zi)(zi)產(chan)(chan)的(de)(de)(de)監(jian)(jian)(jian)(jian)(jian)管(guan)(guan)(guan)(guan)質(zhi)量是保(bao)障混(hun)合(he)所(suo)有(you)(you)(you)(you)(you)(you)(you)制(zhi)(zhi)有(you)(you)(you)(you)(you)(you)(you)效運行,實現(xian)國(guo)有(you)(you)(you)(you)(you)(you)(you)資(zi)(zi)(zi)產(chan)(chan)保(bao)值(zhi)增值(zhi)的(de)(de)(de)關鍵。一(yi)是明(ming)確(que)出(chu)(chu)(chu)(chu)資(zi)(zi)(zi)人(ren)(ren)監(jian)(jian)(jian)(jian)(jian)管(guan)(guan)(guan)(guan)責(ze)任。從對(dui)國(guo)企(qi)監(jian)(jian)(jian)(jian)(jian)管(guan)(guan)(guan)(guan)所(suo)屬(shu)領域(yu)看,國(guo)資(zi)(zi)(zi)委履行出(chu)(chu)(chu)(chu)資(zi)(zi)(zi)人(ren)(ren)監(jian)(jian)(jian)(jian)(jian)管(guan)(guan)(guan)(guan)一(yi)部(bu)(bu)分,財(cai)政部(bu)(bu)履行出(chu)(chu)(chu)(chu)資(zi)(zi)(zi)人(ren)(ren)監(jian)(jian)(jian)(jian)(jian)管(guan)(guan)(guan)(guan)一(yi)部(bu)(bu)分,其(qi)他部(bu)(bu)門履行出(chu)(chu)(chu)(chu)資(zi)(zi)(zi)人(ren)(ren)監(jian)(jian)(jian)(jian)(jian)管(guan)(guan)(guan)(guan)一(yi)部(bu)(bu)分。多(duo)頭監(jian)(jian)(jian)(jian)(jian)管(guan)(guan)(guan)(guan)容易(yi)導(dao)致(zhi)(zhi)各監(jian)(jian)(jian)(jian)(jian)管(guan)(guan)(guan)(guan)人(ren)(ren)之(zhi)間(jian)的(de)(de)(de)責(ze)任分配不(bu)清晰,進(jin)(jin)而導(dao)致(zhi)(zhi)各監(jian)(jian)(jian)(jian)(jian)管(guan)(guan)(guan)(guan)人(ren)(ren)之(zhi)間(jian)的(de)(de)(de)監(jian)(jian)(jian)(jian)(jian)管(guan)(guan)(guan)(guan)空白(bai)。因(yin)此(ci),要對(dui)明(ming)確(que)出(chu)(chu)(chu)(chu)資(zi)(zi)(zi)人(ren)(ren)的(de)(de)(de)監(jian)(jian)(jian)(jian)(jian)管(guan)(guan)(guan)(guan)責(ze)任,對(dui)各出(chu)(chu)(chu)(chu)資(zi)(zi)(zi)人(ren)(ren)的(de)(de)(de)監(jian)(jian)(jian)(jian)(jian)管(guan)(guan)(guan)(guan)責(ze)任進(jin)(jin)行細分,填補監(jian)(jian)(jian)(jian)(jian)管(guan)(guan)(guan)(guan)空白(bai)。二是完善監(jian)(jian)(jian)(jian)(jian)管(guan)(guan)(guan)(guan)制(zhi)(zhi)度。在(zai)混(hun)合(he)所(suo)有(you)(you)(you)(you)(you)(you)(you)制(zhi)(zhi)改(gai)革(ge)的(de)(de)(de)推(tui)進(jin)(jin)過(guo)程(cheng)中,管(guan)(guan)(guan)(guan)理(li)制(zhi)(zhi)度不(bu)斷(duan)得到(dao)強化,但還(huan)(huan)有(you)(you)(you)(you)(you)(you)(you)很(hen)(hen)多(duo)不(bu)完善的(de)(de)(de)地(di)方(fang)。如在(zai)國(guo)有(you)(you)(you)(you)(you)(you)(you)持(chi)股51%的(de)(de)(de)公司(si)增資(zi)(zi)(zi)擴股時,國(guo)有(you)(you)(you)(you)(you)(you)(you)資(zi)(zi)(zi)本簡單放棄增資(zi)(zi)(zi),導(dao)致(zhi)(zhi)國(guo)有(you)(you)(you)(you)(you)(you)(you)控股公司(si)變為參股公司(si),由于缺乏出(chu)(chu)(chu)(chu)資(zi)(zi)(zi)人(ren)(ren)的(de)(de)(de)審批(pi)約束(shu)要求,漏洞很(hen)(hen)多(duo),責(ze)任難以追究。因(yin)此(ci),需不(bu)斷(duan)完善國(guo)有(you)(you)(you)(you)(you)(you)(you)資(zi)(zi)(zi)產(chan)(chan)的(de)(de)(de)監(jian)(jian)(jian)(jian)(jian)督管(guan)(guan)(guan)(guan)理(li)制(zhi)(zhi)度。三是提(ti)高監(jian)(jian)(jian)(jian)(jian)管(guan)(guan)(guan)(guan)隊伍的(de)(de)(de)素質(zhi)。資(zi)(zi)(zi)產(chan)(chan)管(guan)(guan)(guan)(guan)理(li)是專(zhuan)業性(xing)很(hen)(hen)強的(de)(de)(de)工作,而國(guo)企(qi)的(de)(de)(de)監(jian)(jian)(jian)(jian)(jian)管(guan)(guan)(guan)(guan)隊伍還(huan)(huan)十分薄弱,缺乏一(yi)大批(pi)資(zi)(zi)(zi)產(chan)(chan)管(guan)(guan)(guan)(guan)理(li)的(de)(de)(de)專(zhuan)業人(ren)(ren)才(cai),導(dao)致(zhi)(zhi)出(chu)(chu)(chu)(chu)資(zi)(zi)(zi)人(ren)(ren)的(de)(de)(de)職責(ze)履行還(huan)(huan)很(hen)(hen)不(bu)到(dao)位。因(yin)此(ci),在(zai)混(hun)合(he)所(suo)有(you)(you)(you)(you)(you)(you)(you)制(zhi)(zhi)的(de)(de)(de)推(tui)進(jin)(jin)過(guo)程(cheng)中,必須(xu)引進(jin)(jin)專(zhuan)業管(guan)(guan)(guan)(guan)理(li)人(ren)(ren)才(cai),優化國(guo)資(zi)(zi)(zi)監(jian)(jian)(jian)(jian)(jian)管(guan)(guan)(guan)(guan)機(ji)構(gou)的(de)(de)(de)人(ren)(ren)才(cai)結構(gou),不(bu)斷(duan)提(ti)升其(qi)管(guan)(guan)(guan)(guan)理(li)水(shui)平。
