山西(xi)省(sheng)印發《山西(xi)省(sheng)人民政府關于深化國資(zi)國企改革的實(shi)施意(yi)見》,全文如下:
為(wei)貫徹落實黨(dang)的十八(ba)大、十八(ba)屆三中(zhong)全(quan)會(hui)精(jing)神(shen),進一步深化國資(zi)國企改革,根據省(sheng)委《關于深入(ru)貫徹黨(dang)的十八(ba)屆三中(zhong)全(quan)會(hui)精(jing)神(shen)加(jia)快推進轉型綜改試驗區建(jian)設的若干意見(jian)》(晉發〔2014〕3號(hao)),提出以下實施意見(jian)。
一、指導思(si)想和總(zong)體(ti)要求(qiu)
(一)指導思(si)想。
堅持以(yi)鄧小(xiao)平理論(lun)、“三個代表”重要思(si)想(xiang)和科學發(fa)(fa)展(zhan)觀為(wei)指(zhi)導(dao),深入貫徹落實黨的十八大(da)、十八屆三中全會精神,堅持基本經(jing)(jing)(jing)濟(ji)制(zhi)度,堅持市場化(hua)改(gai)革方向,堅持政企分開(kai)、政資(zi)分開(kai)、所有(you)權(quan)(quan)與經(jing)(jing)(jing)營權(quan)(quan)相分離原則,解放思(si)想(xiang),擴(kuo)大(da)開(kai)放,完善(shan)國(guo)有(you)資(zi)產管理體(ti)制(zhi),推動國(guo)有(you)企業完善(shan)現代企業制(zhi)度,進一(yi)步做強做大(da)國(guo)有(you)企業,增強國(guo)有(you)經(jing)(jing)(jing)濟(ji)活力(li)、控制(zhi)力(li)和影響力(li),積極(ji)發(fa)(fa)展(zhan)混合所有(you)制(zhi)經(jing)(jing)(jing)濟(ji),促(cu)進國(guo)有(you)經(jing)(jing)(jing)濟(ji)與其(qi)他所有(you)制(zhi)經(jing)(jing)(jing)濟(ji)共(gong)同發(fa)(fa)展(zhan),為(wei)推動轉型綜改(gai)試驗(yan)區建設、實現山西全面建成(cheng)小(xiao)康(kang)社會目(mu)標作出積極(ji)貢獻(xian)。
(二)總(zong)體要求。
公有(you)制(zhi)(zhi)實現(xian)形式進一步豐富(fu)。全面完(wan)成國有(you)企業公司制(zhi)(zhi)改(gai)革(ge),深化(hua)股份制(zhi)(zhi)改(gai)革(ge),具備條(tiao)件的國有(you)企業實現(xian)整(zheng)體(ti)上市(shi)(shi)或核心業務資產上市(shi)(shi),提(ti)高國有(you)資本證券(quan)化(hua)水平。積(ji)極發展混(hun)合所有(you)制(zhi)(zhi)經(jing)濟(ji),引入非公有(you)制(zhi)(zhi)經(jing)濟(ji)參(can)與國有(you)企業改(gai)制(zhi)(zhi)重組(zu),實現(xian)投(tou)資主(zhu)體(ti)多元化(hua)。
現代企(qi)業制(zhi)(zhi)(zhi)度(du)進(jin)一步完(wan)(wan)善(shan)。加強(qiang)產(chan)權(quan)代表管理,健(jian)全協調運轉、有(you)效制(zhi)(zhi)(zhi)衡的公司法人治理結構。探索建立(li)職業經理人制(zhi)(zhi)(zhi)度(du)。建立(li)更加適應市(shi)場經濟(ji)的企(qi)業人事(shi)、勞動(dong)和分配制(zhi)(zhi)(zhi)度(du),完(wan)(wan)善(shan)激(ji)勵和約束機制(zhi)(zhi)(zhi)。建立(li)完(wan)(wan)善(shan)國有(you)企(qi)業信息公開制(zhi)(zhi)(zhi)度(du)。積極履行社會(hui)責任,樹立(li)良好(hao)的企(qi)業形象。
國(guo)有(you)資(zi)產(chan)管(guan)(guan)理體制進一(yi)步健全。以管(guan)(guan)資(zi)本為(wei)主加強國(guo)有(you)資(zi)產(chan)監(jian)(jian)管(guan)(guan)。推(tui)進經營(ying)性國(guo)有(you)資(zi)產(chan)集中統(tong)一(yi)監(jian)(jian)管(guan)(guan)。建(jian)立(li)分類加強監(jian)(jian)管(guan)(guan)、分類調整結構、分類實施考核的制度(du)體系并逐(zhu)步組織(zhi)實施。將優化國(guo)有(you)資(zi)本配置和(he)創新(xin)監(jian)(jian)管(guan)(guan)方式(shi)、完善監(jian)(jian)管(guan)(guan)體系相結合,提高監(jian)(jian)管(guan)(guan)的科學性和(he)有(you)效(xiao)性。
二(er)、主要內(nei)容和重點(dian)任務
(三(san))深化(hua)產(chan)權改革(ge),激發(fa)體制(zhi)機制(zhi)活力。進(jin)一步鞏固完(wan)善國(guo)有企(qi)業(ye)股(gu)權多元(yuan)化(hua)改革(ge)工作,按(an)照總體設計、適時(shi)啟動(dong)、試(shi)點先行的工作原則,推(tui)進(jin)國(guo)有企(qi)業(ye)股(gu)權多元(yuan)化(hua)改革(ge),優化(hua)國(guo)有企(qi)業(ye)股(gu)權結構。積(ji)極創(chuang)造條件推(tui)動(dong)國(guo)有企(qi)業(ye)特別是(shi)競爭性領(ling)域企(qi)業(ye)整體上(shang)市(shi)或核心(xin)業(ye)務資產(chan)上(shang)市(shi)。
(四)吸收(shou)多(duo)種資(zi)(zi)(zi)本,發(fa)(fa)展混合(he)(he)所有(you)(you)(you)制企(qi)(qi)業(ye)。鼓(gu)勵各類投(tou)資(zi)(zi)(zi)主體通過(guo)多(duo)種形(xing)式(shi)參(can)與國(guo)(guo)(guo)有(you)(you)(you)企(qi)(qi)業(ye)改制重組或國(guo)(guo)(guo)有(you)(you)(you)控(kong)股(gu)(gu)(gu)上市公司增發(fa)(fa)股(gu)(gu)(gu)票。除國(guo)(guo)(guo)家規定的領域外,國(guo)(guo)(guo)有(you)(you)(you)企(qi)(qi)業(ye)資(zi)(zi)(zi)本投(tou)資(zi)(zi)(zi)項目可吸收(shou)一定比例(li)非國(guo)(guo)(guo)有(you)(you)(you)股(gu)(gu)(gu)份,國(guo)(guo)(guo)有(you)(you)(you)企(qi)(qi)業(ye)在(zai)競爭性領域新(xin)上項目允許非國(guo)(guo)(guo)有(you)(you)(you)資(zi)(zi)(zi)本控(kong)股(gu)(gu)(gu)。積極引(yin)入股(gu)(gu)(gu)權投(tou)資(zi)(zi)(zi)基金(jin)參(can)與國(guo)(guo)(guo)有(you)(you)(you)企(qi)(qi)業(ye)改制上市、重組整合(he)(he),構建開放(fang)型經濟體系。探(tan)索混合(he)(he)所有(you)(you)(you)制企(qi)(qi)業(ye)員工持股(gu)(gu)(gu)。
(五)完善法(fa)人(ren)治理(li)(li)(li)結構,實(shi)現權(quan)(quan)力(li)有(you)(you)(you)效制(zhi)衡。建立健全(quan)股東(大(da))會(hui)(hui)(hui)、董(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)、監(jian)事(shi)(shi)會(hui)(hui)(hui)、經理(li)(li)(li)層相(xiang)互獨立、各(ge)司(si)其職(zhi)的(de)(de)責(ze)任(ren)制(zhi)體系,形成(cheng)協(xie)調運(yun)(yun)轉、有(you)(you)(you)效制(zhi)衡的(de)(de)決策、執(zhi)行、監(jian)督機(ji)(ji)制(zhi)。全(quan)面(mian)加(jia)強出資(zi)人(ren)對產(chan)權(quan)(quan)代表的(de)(de)委派(pai)與(yu)管(guan)理(li)(li)(li)。積極推進國(guo)有(you)(you)(you)獨資(zi)公司(si)、國(guo)有(you)(you)(you)控股公司(si)規范董(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)建設,探索建立外部(bu)董(dong)(dong)事(shi)(shi)制(zhi)度(du),董(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)成(cheng)員(yuan)主(zhu)要以股東董(dong)(dong)事(shi)(shi)、外部(bu)董(dong)(dong)事(shi)(shi)和職(zhi)工董(dong)(dong)事(shi)(shi)構成(cheng)。加(jia)強董(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)和董(dong)(dong)事(shi)(shi)的(de)(de)任(ren)期考核評價工作(zuo)。對董(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)運(yun)(yun)作(zuo)規范、制(zhi)度(du)健全(quan)、權(quan)(quan)責(ze)明確(que)等(deng)條件具(ju)備的(de)(de)企(qi)(qi)業(ye)(ye),逐步(bu)將經理(li)(li)(li)層選(xuan)聘、考核評價、薪酬(chou)管(guan)理(li)(li)(li)等(deng)權(quan)(quan)力(li)交由(you)董(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)負責(ze)管(guan)理(li)(li)(li)。深(shen)化(hua)(hua)(hua)對經理(li)(li)(li)層選(xuan)任(ren)及(ji)(ji)管(guan)理(li)(li)(li)機(ji)(ji)制(zhi)改革,合理(li)(li)(li)增加(jia)市場化(hua)(hua)(hua)選(xuan)聘比例,形成(cheng)經理(li)(li)(li)層產(chan)生以市場化(hua)(hua)(hua)選(xuan)聘為主(zhu)導和任(ren)期制(zhi)契約化(hua)(hua)(hua)管(guan)理(li)(li)(li)的(de)(de)運(yun)(yun)行機(ji)(ji)制(zhi),逐步(bu)推行職(zhi)業(ye)(ye)經理(li)(li)(li)人(ren)制(zhi)度(du)。根據企(qi)(qi)業(ye)(ye)規模大(da)小、行業(ye)(ye)類別和實(shi)際(ji)情況,合理(li)(li)(li)確(que)定并從嚴掌握企(qi)(qi)業(ye)(ye)領導班子職(zhi)數(shu)。健全(quan)對董(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)、經理(li)(li)(li)層等(deng)機(ji)(ji)構及(ji)(ji)相(xiang)關人(ren)員(yuan)的(de)(de)責(ze)任(ren)追究機(ji)(ji)制(zhi)。充分發揮監(jian)事(shi)(shi)會(hui)(hui)(hui)的(de)(de)監(jian)督作(zuo)用。
(六(liu))深化企業(ye)(ye)(ye)內(nei)部改革(ge),完(wan)善激勵約束機(ji)制。進(jin)一(yi)步(bu)深化國有企業(ye)(ye)(ye)內(nei)部管(guan)理(li)人(ren)員能(neng)(neng)(neng)(neng)上能(neng)(neng)(neng)(neng)下、員工(gong)(gong)能(neng)(neng)(neng)(neng)進(jin)能(neng)(neng)(neng)(neng)出、收入能(neng)(neng)(neng)(neng)增能(neng)(neng)(neng)(neng)減的制度改革(ge)。切實簡(jian)政放權(quan),優(you)化政務(wu)環境,落(luo)實企業(ye)(ye)(ye)自(zi)定(ding)編制、自(zi)主用工(gong)(gong)、自(zi)主分配(pei)等(deng)權(quan)利。合理(li)確定(ding)并嚴格(ge)規范管(guan)理(li)人(ren)員薪(xin)酬(chou)(chou)(chou)水平、職務(wu)待遇、職務(wu)消(xiao)費、業(ye)(ye)(ye)務(wu)消(xiao)費。根據國有企業(ye)(ye)(ye)功能(neng)(neng)(neng)(neng)定(ding)位、法人(ren)治理(li)結構(gou)完(wan)善程度以及(ji)領導人(ren)員選任(ren)(ren)方(fang)式等(deng),進(jin)一(yi)步(bu)改革(ge)完(wan)善國有企業(ye)(ye)(ye)領導人(ren)員薪(xin)酬(chou)(chou)(chou)分配(pei)制度,探索授權(quan)董事會通(tong)過市場化機(ji)制確定(ding)經理(li)層(ceng)薪(xin)酬(chou)(chou)(chou),使企業(ye)(ye)(ye)經營(ying)管(guan)理(li)人(ren)員薪(xin)酬(chou)(chou)(chou)與(yu)經營(ying)管(guan)理(li)績效、風險和責(ze)任(ren)(ren)緊密(mi)結合,與(yu)分類(lei)管(guan)理(li)相(xiang)適應(ying),與(yu)選任(ren)(ren)方(fang)式相(xiang)匹配(pei),體現管(guan)理(li)要素參與(yu)收益分配(pei)。積極(ji)推進(jin)企業(ye)(ye)(ye)管(guan)理(li)人(ren)員任(ren)(ren)期(qi)及(ji)中(zhong)長期(qi)激勵。進(jin)一(yi)步(bu)完(wan)善企業(ye)(ye)(ye)職工(gong)(gong)工(gong)(gong)資集(ji)體協商機(ji)制。
(七)加強管(guan)理(li)(li)創新,提(ti)高經(jing)濟運行(xing)(xing)質量。利(li)用市場倒逼機制(zhi),深化對標管(guan)理(li)(li),借鑒世(shi)界一流(liu)企業(ye)的(de)管(guan)理(li)(li)經(jing)驗,完善安全生產、科研開發(fa)、項目(mu)建設(she)等方面的(de)基礎管(guan)理(li)(li)制(zhi)度,構建適應(ying)市場經(jing)濟發(fa)展要求的(de)管(guan)理(li)(li)創新動力(li)機制(zhi)、運行(xing)(xing)機制(zhi)、考核評價機制(zhi)和成果轉化機制(zhi),提(ti)升企業(ye)規范化、集約化、精細化管(guan)理(li)(li)水平(ping)。創新商業(ye)模(mo)式,發(fa)揮(hui)信(xin)息化在管(guan)理(li)(li)模(mo)式創新和業(ye)態轉型中的(de)重要作(zuo)用,提(ti)高資(zi)源配置能力(li),推進產業(ye)升級,轉變發(fa)展方式,增強企業(ye)核心競(jing)爭力(li)和抗(kang)風險能力(li)。
(八)推行信(xin)息(xi)(xi)公(gong)開(kai)(kai)(kai),提升(sheng)國企透明程度(du)(du)(du)(du)。建(jian)立更(geng)加公(gong)開(kai)(kai)(kai)透明的國有(you)企業(ye)(ye)信(xin)息(xi)(xi)公(gong)開(kai)(kai)(kai)制度(du)(du)(du)(du),借鑒上市公(gong)司管理模式,建(jian)立企業(ye)(ye)真實(shi)、準確、及時披露(lu)相關信(xin)息(xi)(xi)的制度(du)(du)(du)(du)體(ti)系。各國有(you)企業(ye)(ye)是信(xin)息(xi)(xi)公(gong)開(kai)(kai)(kai)的主(zhu)(zhu)體(ti),公(gong)開(kai)(kai)(kai)的主(zhu)(zhu)要(yao)內容是企業(ye)(ye)財務(wu)狀況(kuang)、經營成果、重大(da)投資、人員招聘、薪酬水平、職務(wu)消費、業(ye)(ye)務(wu)消費等重大(da)事項,在(zai)同級主(zhu)(zhu)要(yao)新聞(wen)媒體(ti)按(an)季度(du)(du)(du)(du)、半年度(du)(du)(du)(du)和(he)年度(du)(du)(du)(du)公(gong)開(kai)(kai)(kai),主(zhu)(zhu)動接受社會(hui)公(gong)眾監(jian)督(du)。
(九)加強(qiang)黨(dang)的(de)(de)(de)領導,發揮(hui)(hui)政(zheng)(zheng)治(zhi)核(he)心作(zuo)(zuo)用(yong)(yong)。發揮(hui)(hui)黨(dang)組(zu)(zu)織(zhi)(zhi)(zhi)在深化(hua)(hua)企(qi)(qi)業(ye)(ye)改(gai)革(ge)(ge)中(zhong)(zhong)的(de)(de)(de)把(ba)關定向、動員群眾(zhong)、服(fu)務群眾(zhong)、促進和諧等(deng)方面的(de)(de)(de)作(zuo)(zuo)用(yong)(yong),確保各(ge)項改(gai)革(ge)(ge)措施的(de)(de)(de)平穩推(tui)進。按照參與決策、帶頭(tou)執行、有效監督的(de)(de)(de)要求,建立健(jian)全(quan)企(qi)(qi)業(ye)(ye)黨(dang)組(zu)(zu)織(zhi)(zhi)(zhi)在現代(dai)企(qi)(qi)業(ye)(ye)制(zhi)度下充(chong)分(fen)發揮(hui)(hui)政(zheng)(zheng)治(zhi)核(he)心作(zuo)(zuo)用(yong)(yong)的(de)(de)(de)體制(zhi)機(ji)制(zhi)。堅(jian)持(chi)把(ba)黨(dang)管(guan)干部原則(ze)與董(dong)事會(hui)依法選擇經(jing)營管(guan)理者(zhe)以及(ji)經(jing)營管(guan)理者(zhe)依法行使用(yong)(yong)人(ren)(ren)權(quan)相(xiang)結合(he),探索黨(dang)組(zu)(zu)織(zhi)(zhi)(zhi)在企(qi)(qi)業(ye)(ye)選人(ren)(ren)用(yong)(yong)人(ren)(ren)中(zhong)(zhong)發揮(hui)(hui)作(zuo)(zuo)用(yong)(yong)的(de)(de)(de)有效途徑(jing)。充(chong)分(fen)發揮(hui)(hui)工(gong)會(hui)、共青團等(deng)群團組(zu)(zu)織(zhi)(zhi)(zhi)的(de)(de)(de)作(zuo)(zuo)用(yong)(yong),完善職工(gong)代(dai)表大會(hui)等(deng)職工(gong)民(min)主管(guan)理制(zhi)度。落實黨(dang)風廉政(zheng)(zheng)建設責任制(zhi),加強(qiang)國有企(qi)(qi)業(ye)(ye)反腐(fu)敗(bai)體制(zhi)機(ji)制(zhi)創(chuang)新,健(jian)全(quan)反腐(fu)倡廉和改(gai)進作(zuo)(zuo)風常(chang)態化(hua)(hua)制(zhi)度,完善懲治(zhi)和預防腐(fu)敗(bai)體系,形成與企(qi)(qi)業(ye)(ye)制(zhi)度相(xiang)適應(ying)的(de)(de)(de)權(quan)力運行制(zhi)約和監督體系。
(十)研究界定功能,探索國(guo)企分類(lei)監管。突出企業市(shi)場屬性,兼顧股權結構、產(chan)業特征、發展階段(duan)不同,探索國(guo)有企業根據不同功能定位,實行分類(lei)監管,推動國(guo)有企業實現(xian)經濟效(xiao)益(yi)和社(she)會效(xiao)益(yi)的有機統(tong)一、均衡發展。
(十一)成立投資(zi)(zi)(運(yun)營)公(gong)(gong)(gong)司(si),提(ti)升資(zi)(zi)本運(yun)營效率(lv)。以管(guan)資(zi)(zi)本為(wei)主(zhu)加強(qiang)國(guo)(guo)有(you)(you)(you)(you)資(zi)(zi)產監管(guan),形成具(ju)有(you)(you)(you)(you)不同功(gong)(gong)能的(de)國(guo)(guo)有(you)(you)(you)(you)資(zi)(zi)本投資(zi)(zi)運(yun)營主(zhu)體。選(xuan)擇主(zhu)業(ye)明確、治理結構較為(wei)完善、科技(ji)創新能力(li)和核心競(jing)(jing)爭(zheng)力(li)較強(qiang)、風險管(guan)控(kong)機制(zhi)健全的(de)企業(ye)有(you)(you)(you)(you)序改組為(wei)國(guo)(guo)有(you)(you)(you)(you)資(zi)(zi)本投資(zi)(zi)公(gong)(gong)(gong)司(si),強(qiang)化產業(ye)聚集(ji)和資(zi)(zi)源(yuan)整合。以經營國(guo)(guo)有(you)(you)(you)(you)資(zi)(zi)本為(wei)主(zhu)要功(gong)(gong)能,有(you)(you)(you)(you)序組建國(guo)(guo)有(you)(you)(you)(you)資(zi)(zi)本運(yun)營公(gong)(gong)(gong)司(si)。推進國(guo)(guo)有(you)(you)(you)(you)資(zi)(zi)本在(zai)一般競(jing)(jing)爭(zheng)性領域的(de)合理流動與有(you)(you)(you)(you)序進退,提(ti)高國(guo)(guo)有(you)(you)(you)(you)資(zi)(zi)本配置效率(lv)。
(十(shi)二)優化國(guo)(guo)資監管方(fang)式,健全(quan)國(guo)(guo)資監督(du)體(ti)系。將國(guo)(guo)資監管要(yao)求具體(ti)體(ti)現在公司章(zhang)程中,使(shi)公司章(zhang)程真正(zheng)成為(wei)在法(fa)律(lv)法(fa)規規范(fan)下行(xing)使(shi)出資人權利的重要(yao)手段(duan)和(he)基本依據。完善(shan)經營業績考(kao)核體(ti)系,探索不同類別、不同行(xing)業、不同性(xing)質企(qi)業的考(kao)核模(mo)式,提(ti)高考(kao)核工作的導向性(xing)和(he)針對(dui)性(xing)。加強財(cai)會、審計(ji)、紀(ji)檢監察、監事(shi)會監督(du)的有效協(xie)同,形成監督(du)合力。
(十(shi)三(san))推(tui)動統(tong)一監(jian)(jian)管(guan)(guan)(guan),實現監(jian)(jian)管(guan)(guan)(guan)全(quan)面(mian)覆蓋。適(shi)時(shi)推(tui)進山西省(sheng)企(qi)業(ye)國有(you)資(zi)(zi)產(chan)監(jian)(jian)督管(guan)(guan)(guan)理(li)條例的(de)制訂出(chu)臺,健全(quan)國有(you)資(zi)(zi)產(chan)監(jian)(jian)管(guan)(guan)(guan)法規(gui)體系,完善國有(you)資(zi)(zi)產(chan)基礎管(guan)(guan)(guan)理(li)制度。充分發揮各(ge)級國資(zi)(zi)委的(de)專業(ye)化監(jian)(jian)管(guan)(guan)(guan)優(you)勢,推(tui)動經營(ying)性國有(you)資(zi)(zi)產(chan)集中統(tong)一監(jian)(jian)管(guan)(guan)(guan),繼續深(shen)化脫(tuo)鉤(gou)改革工作,建立我省(sheng)經營(ying)性國有(you)資(zi)(zi)產(chan)監(jian)(jian)管(guan)(guan)(guan)全(quan)覆蓋體系。政(zheng)企(qi)脫(tuo)鉤(gou)后的(de)企(qi)業(ye)、事業(ye)單位(wei)改革轉制形成的(de)企(qi)業(ye)、以(yi)及新組建的(de)國有(you)企(qi)業(ye)要逐步納入國資(zi)(zi)監(jian)(jian)管(guan)(guan)(guan)體系。
(十四)加強指(zhi)導(dao)監督,完善國(guo)(guo)資(zi)(zi)委機(ji)構(gou)(gou)和職能(neng)。按照《中華人(ren)(ren)民(min)共和國(guo)(guo)企業(ye)(ye)國(guo)(guo)有(you)(you)資(zi)(zi)產法》、《企業(ye)(ye)國(guo)(guo)有(you)(you)資(zi)(zi)產監督管理暫行條例》的(de)規定(ding),健全(quan)完善省(sheng)、市國(guo)(guo)有(you)(you)資(zi)(zi)產監管機(ji)構(gou)(gou),依法明確(que)其作(zuo)為(wei)本級政府國(guo)(guo)有(you)(you)資(zi)(zi)產出(chu)資(zi)(zi)人(ren)(ren)代表的(de)定(ding)位和直屬(shu)特設機(ji)構(gou)(gou)的(de)性質。明確(que)市、縣(xian)級國(guo)(guo)有(you)(you)資(zi)(zi)產監管責任(ren)主體(ti)。指(zhi)導(dao)各市、縣(xian)準(zhun)確(que)把(ba)握國(guo)(guo)資(zi)(zi)國(guo)(guo)企改革(ge)的(de)部署要求,進一步(bu)突出(chu)機(ji)構(gou)(gou)的(de)專(zhuan)業(ye)(ye)性和獨立(li)性。改革(ge)完善國(guo)(guo)有(you)(you)資(zi)(zi)本授權(quan)經營體(ti)制。
(十五)加(jia)強資(zi)(zi)(zi)(zi)(zi)(zi)本(ben)(ben)(ben)預算(suan)管理(li),探索收益(yi)(yi)(yi)共享機制。完(wan)善(shan)國(guo)(guo)有(you)資(zi)(zi)(zi)(zi)(zi)(zi)本(ben)(ben)(ben)經營預算(suan)制度,逐步(bu)(bu)提高國(guo)(guo)有(you)資(zi)(zi)(zi)(zi)(zi)(zi)本(ben)(ben)(ben)收益(yi)(yi)(yi)上繳比例,合理(li)分配和(he)使(shi)用國(guo)(guo)有(you)資(zi)(zi)(zi)(zi)(zi)(zi)本(ben)(ben)(ben)收益(yi)(yi)(yi),統籌考慮國(guo)(guo)有(you)資(zi)(zi)(zi)(zi)(zi)(zi)本(ben)(ben)(ben)收益(yi)(yi)(yi)再(zai)投(tou)資(zi)(zi)(zi)(zi)(zi)(zi)和(he)民(min)生關(guan)系。進(jin)一步(bu)(bu)發(fa)揮國(guo)(guo)有(you)資(zi)(zi)(zi)(zi)(zi)(zi)本(ben)(ben)(ben)經營預算(suan)在推進(jin)改革發(fa)展、布(bu)局結(jie)構調整、科技進(jin)步(bu)(bu)和(he)轉型升級中的引領作用。建立和(he)完(wan)善(shan)國(guo)(guo)有(you)資(zi)(zi)(zi)(zi)(zi)(zi)本(ben)(ben)(ben)收益(yi)(yi)(yi)的共享機制,在國(guo)(guo)有(you)資(zi)(zi)(zi)(zi)(zi)(zi)本(ben)(ben)(ben)收益(yi)(yi)(yi)中確定(ding)一定(ding)比例直接用于民(min)生支出。
(十六)持(chi)續深化改革,完善國資(zi)(zi)(zi)(zi)監管體(ti)系。推動國有重(zhong)要骨干企業(ye)進(jin)行股份(fen)制改造(zao),發展混合(he)所有制經濟,推行資(zi)(zi)(zi)(zi)源資(zi)(zi)(zi)(zi)產(chan)化、資(zi)(zi)(zi)(zi)產(chan)資(zi)(zi)(zi)(zi)本化、資(zi)(zi)(zi)(zi)本證券化改革工(gong)作(zuo)。到2020年,建立(li)完善科學的現代企業(ye)制度,培育真正(zheng)的市場競爭主體(ti)。形成覆蓋全面、監管到位、權責明確、科學發展的國有資(zi)(zi)(zi)(zi)產(chan)監管格局。
三、保障(zhang)措施
(十(shi)七)成立工(gong)作機構,加強(qiang)組(zu)(zu)織(zhi)領(ling)導(dao)。成立山西省(sheng)(sheng)(sheng)(sheng)(sheng)(sheng)深化省(sheng)(sheng)(sheng)(sheng)(sheng)(sheng)屬國(guo)(guo)(guo)(guo)(guo)有(you)企(qi)(qi)(qi)業(ye)(ye)改(gai)(gai)革(ge)(ge)(ge)工(gong)作領(ling)導(dao)小組(zu)(zu)(以下簡稱領(ling)導(dao)小組(zu)(zu)),組(zu)(zu)長(chang)(chang)由省(sheng)(sheng)(sheng)(sheng)(sheng)(sheng)長(chang)(chang)擔任(ren),副(fu)(fu)組(zu)(zu)長(chang)(chang)由常(chang)務副(fu)(fu)省(sheng)(sheng)(sheng)(sheng)(sheng)(sheng)長(chang)(chang)、分管工(gong)業(ye)(ye)的(de)副(fu)(fu)省(sheng)(sheng)(sheng)(sheng)(sheng)(sheng)長(chang)(chang)擔任(ren),領(ling)導(dao)小組(zu)(zu)成員(yuan)由省(sheng)(sheng)(sheng)(sheng)(sheng)(sheng)政府辦(ban)(ban)(ban)公廳、省(sheng)(sheng)(sheng)(sheng)(sheng)(sheng)委(wei)(wei)(wei)組(zu)(zu)織(zhi)部、省(sheng)(sheng)(sheng)(sheng)(sheng)(sheng)編辦(ban)(ban)(ban)、省(sheng)(sheng)(sheng)(sheng)(sheng)(sheng)發展改(gai)(gai)革(ge)(ge)(ge)委(wei)(wei)(wei)、省(sheng)(sheng)(sheng)(sheng)(sheng)(sheng)經信委(wei)(wei)(wei)、省(sheng)(sheng)(sheng)(sheng)(sheng)(sheng)財政廳、省(sheng)(sheng)(sheng)(sheng)(sheng)(sheng)人(ren)力資(zi)源社會保障廳、省(sheng)(sheng)(sheng)(sheng)(sheng)(sheng)國(guo)(guo)(guo)(guo)(guo)土資(zi)源廳、省(sheng)(sheng)(sheng)(sheng)(sheng)(sheng)國(guo)(guo)(guo)(guo)(guo)資(zi)委(wei)(wei)(wei)、省(sheng)(sheng)(sheng)(sheng)(sheng)(sheng)國(guo)(guo)(guo)(guo)(guo)稅局、省(sheng)(sheng)(sheng)(sheng)(sheng)(sheng)地稅局、省(sheng)(sheng)(sheng)(sheng)(sheng)(sheng)工(gong)商局、省(sheng)(sheng)(sheng)(sheng)(sheng)(sheng)總(zong)工(gong)會等相關(guan)部門(men)主要(yao)負責(ze)(ze)人(ren)組(zu)(zu)成。領(ling)導(dao)小組(zu)(zu)辦(ban)(ban)(ban)公室設在(zai)省(sheng)(sheng)(sheng)(sheng)(sheng)(sheng)國(guo)(guo)(guo)(guo)(guo)資(zi)委(wei)(wei)(wei),省(sheng)(sheng)(sheng)(sheng)(sheng)(sheng)國(guo)(guo)(guo)(guo)(guo)資(zi)委(wei)(wei)(wei)主任(ren)兼任(ren)辦(ban)(ban)(ban)公室主任(ren)。領(ling)導(dao)小組(zu)(zu)統一組(zu)(zu)織(zhi)領(ling)導(dao)省(sheng)(sheng)(sheng)(sheng)(sheng)(sheng)屬國(guo)(guo)(guo)(guo)(guo)有(you)企(qi)(qi)(qi)業(ye)(ye)改(gai)(gai)革(ge)(ge)(ge)工(gong)作,負責(ze)(ze)協調解決省(sheng)(sheng)(sheng)(sheng)(sheng)(sheng)屬國(guo)(guo)(guo)(guo)(guo)有(you)企(qi)(qi)(qi)業(ye)(ye)改(gai)(gai)革(ge)(ge)(ge)中的(de)重大問題,制(zhi)定(ding)政策(ce)措施(shi)。領(ling)導(dao)小組(zu)(zu)辦(ban)(ban)(ban)公室負責(ze)(ze)省(sheng)(sheng)(sheng)(sheng)(sheng)(sheng)屬國(guo)(guo)(guo)(guo)(guo)有(you)企(qi)(qi)(qi)業(ye)(ye)改(gai)(gai)革(ge)(ge)(ge)的(de)日常(chang)工(gong)作,及時研究(jiu)改(gai)(gai)革(ge)(ge)(ge)中存在(zai)的(de)問題,指導(dao)、審定(ding)和批復省(sheng)(sheng)(sheng)(sheng)(sheng)(sheng)屬國(guo)(guo)(guo)(guo)(guo)有(you)企(qi)(qi)(qi)業(ye)(ye)改(gai)(gai)革(ge)(ge)(ge)方案,協調相關(guan)部門(men)落實改(gai)(gai)革(ge)(ge)(ge)措施(shi)。各成員(yuan)單(dan)位要(yao)高度重視,加強(qiang)配(pei)合,密切協作,把支持深化國(guo)(guo)(guo)(guo)(guo)有(you)企(qi)(qi)(qi)業(ye)(ye)改(gai)(gai)革(ge)(ge)(ge)列(lie)入(ru)重要(yao)議事日程,切實推動省(sheng)(sheng)(sheng)(sheng)(sheng)(sheng)屬國(guo)(guo)(guo)(guo)(guo)有(you)企(qi)(qi)(qi)業(ye)(ye)的(de)改(gai)(gai)革(ge)(ge)(ge)。
(十八)優(you)(you)化政(zheng)(zheng)(zheng)(zheng)策(ce)環(huan)境(jing),形成(cheng)國企(qi)改革合力。切實轉(zhuan)變(bian)政(zheng)(zheng)(zheng)(zheng)府(fu)職能,最(zui)大限度減少(shao)行(xing)政(zheng)(zheng)(zheng)(zheng)審批,優(you)(you)化制度、簡(jian)化手(shou)續、提高效率。梳理(li)完善國有企(qi)業改革涉(she)及的(de)(de)工商登記、財稅(shui)管(guan)(guan)理(li)、土地變(bian)更、勞動保障(zhang)、國資(zi)監管(guan)(guan)、證券監管(guan)(guan)等方面(mian)的(de)(de)政(zheng)(zheng)(zheng)(zheng)策(ce)規定(ding),優(you)(you)化政(zheng)(zheng)(zheng)(zheng)策(ce)環(huan)境(jing)。各(ge)級政(zheng)(zheng)(zheng)(zheng)府(fu)及有關部門要加(jia)快政(zheng)(zheng)(zheng)(zheng)府(fu)職能轉(zhuan)變(bian),建設(she)服務型政(zheng)(zheng)(zheng)(zheng)府(fu),以(yi)綜改試驗的(de)(de)理(li)念,提供優(you)(you)惠政(zheng)(zheng)(zheng)(zheng)策(ce),解決企(qi)業實際(ji)困難,以(yi)政(zheng)(zheng)(zheng)(zheng)策(ce)動力激發發展(zhan)活力,為國有企(qi)業改革發展(zhan)創造良好環(huan)境(jing)。
(十九)制定政策措施,盡快解決遺留問題。依法合規、用好用活國有企業改革專項資金,研究制定有關政策措施,多渠道籌措資金,加大國有資本經營預算用于解決國有企業歷史遺留問題的力度。注重政策銜接,研究解決職工關心的實際問題,妥善安置轉崗職工,做好職工技能培訓和再就業工作,確保企業和社會穩定。
