【區域性國資國企綜合改革試驗】上海經驗:構建“1+3+N”國有資本監管架構 推動經營性國資融合發展

3月30日,國(guo)(guo)務院國(guo)(guo)有企業(ye)改(gai)(gai)革(ge)領導小組辦公(gong)室舉行媒(mei)體通(tong)氣(qi)會(hui),通(tong)報區域性國(guo)(guo)資(zi)國(guo)(guo)企綜(zong)(zong)合改(gai)(gai)革(ge)試(shi)驗進展(zhan)成效。上(shang)(shang)海、浙江、青(qing)島、深(shen)圳(zhen)等4個地方國(guo)(guo)資(zi)委負責同(tong)志在通(tong)氣(qi)會(hui)上(shang)(shang)分別(bie)介紹相關(guan)情(qing)況(kuang)并回答了記者提問(wen)。上(shang)(shang)海作為(wei)第一批綜(zong)(zong)改(gai)(gai)試(shi)驗區,在會(hui)上(shang)(shang)介紹了改(gai)(gai)革(ge)經驗。
改革思路與成效
一(yi)是加強集中統一(yi)監管(guan)(guan)(guan)(guan),推動(dong)經(jing)(jing)營性(xing)(xing)(xing)國(guo)(guo)資(zi)(zi)(zi)(zi)監管(guan)(guan)(guan)(guan)全覆蓋。根(gen)據市(shi)政府授權,市(shi)國(guo)(guo)資(zi)(zi)(zi)(zi)委(wei)對市(shi)屬(shu)經(jing)(jing)營性(xing)(xing)(xing)國(guo)(guo)資(zi)(zi)(zi)(zi)履行出資(zi)(zi)(zi)(zi)人職責,將實體(ti)(ti)、金(jin)融、體(ti)(ti)育等經(jing)(jing)營性(xing)(xing)(xing)領(ling)域國(guo)(guo)資(zi)(zi)(zi)(zi)由市(shi)國(guo)(guo)資(zi)(zi)(zi)(zi)委(wei)直接監管(guan)(guan)(guan)(guan)。目前,直接監管(guan)(guan)(guan)(guan)企(qi)業的資(zi)(zi)(zi)(zi)產、營收、利潤占市(shi)屬(shu)經(jing)(jing)營性(xing)(xing)(xing)國(guo)(guo)資(zi)(zi)(zi)(zi)國(guo)(guo)企(qi)總(zong)量均超過90%。打造上(shang)海國(guo)(guo)際、上(shang)海國(guo)(guo)盛、上(shang)海國(guo)(guo)投(tou)三(san)個國(guo)(guo)有(you)資(zi)(zi)(zi)(zi)本投(tou)資(zi)(zi)(zi)(zi)、運營公(gong)司,完善“金(jin)融+運營+投(tou)資(zi)(zi)(zi)(zi)”國(guo)(guo)有(you)資(zi)(zi)(zi)(zi)本管(guan)(guan)(guan)(guan)理體(ti)(ti)系(xi),構建“1+3+N”國(guo)(guo)有(you)資(zi)(zi)(zi)(zi)本監管(guan)(guan)(guan)(guan)架構,推動(dong)實體(ti)(ti)、金(jin)融等經(jing)(jing)營性(xing)(xing)(xing)國(guo)(guo)資(zi)(zi)(zi)(zi)融合(he)發展(zhan)。
二是堅持公(gong)眾公(gong)司導向,深化混(hun)合所(suo)(suo)有制經(jing)濟(ji)改(gai)(gai)革。以(yi)公(gong)眾公(gong)司為發展混(hun)合所(suo)(suo)有制的(de)主要實現(xian)形式,積極推動國(guo)(guo)有企業(ye)上(shang)(shang)市發展。經(jing)過多年的(de)努力(li),企業(ye)集團整體上(shang)(shang)市或核心業(ye)務(wu)資(zi)產上(shang)(shang)市已占到市場競爭(zheng)類(lei)、金融(rong)服(fu)務(wu)類(lei)企業(ye)總(zong)量(liang)的(de)2/3,上(shang)(shang)海地方國(guo)(guo)有控股上(shang)(shang)市公(gong)司達到86家,成為上(shang)(shang)海國(guo)(guo)資(zi)國(guo)(guo)企改(gai)(gai)革的(de)突(tu)擊隊、上(shang)(shang)海國(guo)(guo)資(zi)優化布局完善治理的(de)重要承載、上(shang)(shang)海國(guo)(guo)企健全市場化經(jing)營機(ji)制的(de)主要引領(ling)。
三是(shi)強調激(ji)勵(li)約(yue)束并重(zhong),激(ji)發(fa)國有企業內(nei)生動(dong)力活力。在市管(guan)國有企業任(ren)期制(zhi)契(qi)約(yue)化管(guan)理全覆蓋(gai)的(de)基礎(chu)上,按(an)照“成熟一家推(tui)進一家”原則,在17家企業集團開展(zhan)職業經理人改革試點,實現(xian)金融服務類全面推(tui)進、市場競(jing)爭類有條件覆蓋(gai)、功能保障類與改革配(pei)套的(de)工作(zuo)目(mu)標。聚焦價值增長與高質量(liang)發(fa)展(zhan),兩年里推(tui)進10家上市公(gong)司實施股權激(ji)勵(li),3家非上市公(gong)司實施上海地方《張(zhang)江辦(ban)法》激(ji)勵(li)措施。通過激(ji)勵(li)與約(yue)束并舉,激(ji)發(fa)改革發(fa)展(zhan)動(dong)力和創新(xin)創業活力。
下一步深化改革方向
一方面,將更加注重服務國家和上海戰略。服從服務國家和上海戰略發展,聚焦自貿新片區、科創板、長三角一體化等戰略任務,以及集成電路、生物醫藥、人工智能等先導產業,進一步優化資源配置,進一步引導國資增量,夯實產業基礎,打造產業高地,在服務上海發展中做強做優做大國有資本和國有企業。
另一方面(mian)(mian),將更(geng)加注重健(jian)全(quan)市場化經營機制(zhi)。在各級國有企業(ye)全(quan)面(mian)(mian)推進任期(qi)制(zhi)契約化管理(li),全(quan)面(mian)(mian)建立(li)董事會(hui)向經理(li)層授(shou)權的管理(li)制(zhi)度;對國有相對控股的混(hun)合(he)所(suo)有制(zhi)企業(ye)探索(suo)差異(yi)化監管,做(zuo)足(zu)混(hun)合(he)所(suo)有制(zhi)改(gai)革(ge)的“改(gai)”字文章(zhang);加快完(wan)善以公司章(zhang)程為基礎的企業(ye)內(nei)部制(zhi)度體系,加強(qiang)黨的領導和完(wan)善公司治理(li)相統一,進一步完(wan)善決策、監督、執行的協同(tong)高效運作機制(zhi)。
【答記者問】
問:截至2020年(nian)底,上(shang)海(hai)(hai)(hai)地方國(guo)(guo)有企業資(zi)產總(zong)額(e)24.03萬億元,全年(nian)實現營業收(shou)入3.71萬億元、利潤(run)總(zong)額(e)3208.06億元,從全國(guo)(guo)來看上(shang)海(hai)(hai)(hai)地方國(guo)(guo)資(zi)處于(yu)“領頭(tou)羊”位置,上(shang)海(hai)(hai)(hai)綜改試(shi)驗中有哪(na)些工(gong)作也(ye)走在了全國(guo)(guo)的前列?
答:綜合(he)起來(lai)大概(gai)是三個方面:
一(yi)是實(shi)施國(guo)(guo)資(zi)(zi)三(san)種監(jian)(jian)(jian)(jian)管(guan)方(fang)式,構建(jian)國(guo)(guo)資(zi)(zi)監(jian)(jian)(jian)(jian)管(guan)“一(yi)盤棋”大格(ge)局。上(shang)海(hai)地(di)方(fang)國(guo)(guo)資(zi)(zi)采取直接監(jian)(jian)(jian)(jian)管(guan)、委(wei)(wei)(wei)(wei)托(tuo)監(jian)(jian)(jian)(jian)管(guan)、指(zhi)導監(jian)(jian)(jian)(jian)管(guan)三(san)種監(jian)(jian)(jian)(jian)管(guan)方(fang)式,市(shi)國(guo)(guo)資(zi)(zi)委(wei)(wei)(wei)(wei)對(dui)履行出(chu)資(zi)(zi)人職責的國(guo)(guo)資(zi)(zi)采取“直接監(jian)(jian)(jian)(jian)管(guan)為主、委(wei)(wei)(wei)(wei)托(tuo)監(jian)(jian)(jian)(jian)管(guan)為輔”的方(fang)式,42家直接監(jian)(jian)(jian)(jian)管(guan)企(qi)業按照市(shi)場(chang)競爭、金融服務、功能保障三(san)類企(qi)業實(shi)施分類監(jian)(jian)(jian)(jian)管(guan)。對(dui)科技(ji)教育、文化衛(wei)生、司法公安等特定(ding)領域國(guo)(guo)資(zi)(zi),由市(shi)國(guo)(guo)資(zi)(zi)委(wei)(wei)(wei)(wei)委(wei)(wei)(wei)(wei)托(tuo)相(xiang)關委(wei)(wei)(wei)(wei)辦(ban)局實(shi)行委(wei)(wei)(wei)(wei)托(tuo)監(jian)(jian)(jian)(jian)管(guan),但(dan)制(zhi)度規則統(tong)一(yi)執行、運營績(ji)效統(tong)一(yi)評價(jia)(jia)、改革重組(zu)統(tong)一(yi)謀劃。區屬國(guo)(guo)資(zi)(zi)國(guo)(guo)企(qi)注重加強市(shi)區兩級聯(lian)(lian)動(dong),實(shi)行指(zhi)導監(jian)(jian)(jian)(jian)管(guan),實(shi)現監(jian)(jian)(jian)(jian)管(guan)統(tong)一(yi)規則、經營統(tong)一(yi)評價(jia)(jia)、資(zi)(zi)源有效聯(lian)(lian)動(dong)、功能優勢互補(bu),形(xing)成國(guo)(guo)資(zi)(zi)發展合力。
二是(shi)借力資(zi)(zi)本市(shi)(shi)(shi)(shi)(shi)(shi)(shi)場(chang)(chang)加快(kuai)推(tui)(tui)(tui)進改革,提高(gao)國有(you)資(zi)(zi)本證券化(hua)水(shui)平。充分(fen)利用多地(di)(di)(di)(di)域(yu)多層次資(zi)(zi)本市(shi)(shi)(shi)(shi)(shi)(shi)(shi)場(chang)(chang),加快(kuai)推(tui)(tui)(tui)進企業(ye)集(ji)團整(zheng)體(ti)(ti)上市(shi)(shi)(shi)(shi)(shi)(shi)(shi)或核(he)(he)心業(ye)務資(zi)(zi)產上市(shi)(shi)(shi)(shi)(shi)(shi)(shi),實(shi)現投資(zi)(zi)主體(ti)(ti)多元(yuan)(yuan)化(hua)、經營機制市(shi)(shi)(shi)(shi)(shi)(shi)(shi)場(chang)(chang)化(hua)。目前,上海地(di)(di)(di)(di)方國有(you)控股上市(shi)(shi)(shi)(shi)(shi)(shi)(shi)公司(si)86家,總市(shi)(shi)(shi)(shi)(shi)(shi)(shi)值(zhi)2.7萬億元(yuan)(yuan),國有(you)股市(shi)(shi)(shi)(shi)(shi)(shi)(shi)值(zhi)超過1萬億元(yuan)(yuan),市(shi)(shi)(shi)(shi)(shi)(shi)(shi)場(chang)(chang)競(jing)爭類、金融服務類企業(ye)集(ji)團中整(zheng)體(ti)(ti)上市(shi)(shi)(shi)(shi)(shi)(shi)(shi)或核(he)(he)心業(ye)務資(zi)(zi)產上市(shi)(shi)(shi)(shi)(shi)(shi)(shi)占到2/3,上海國資(zi)(zi)委仍將持續推(tui)(tui)(tui)進,目標是(shi)到2022年基本實(shi)現整(zheng)體(ti)(ti)上市(shi)(shi)(shi)(shi)(shi)(shi)(shi)或核(he)(he)心業(ye)務資(zi)(zi)產上市(shi)(shi)(shi)(shi)(shi)(shi)(shi),上海地(di)(di)(di)(di)方國有(you)控股上市(shi)(shi)(shi)(shi)(shi)(shi)(shi)公司(si)達到近(jin)100家,成為上海地(di)(di)(di)(di)方國有(you)企業(ye)中最(zui)(zui)有(you)活力、最(zui)(zui)有(you)實(shi)力、最(zui)(zui)有(you)發(fa)展潛力的部分(fen)。
三(san)是(shi)堅持(chi)加強黨(dang)(dang)(dang)的(de)(de)領(ling)導與(yu)完善公(gong)司治理相統一,健全中(zhong)國特色現代企(qi)業(ye)(ye)(ye)制度。注重政治引(yin)領(ling)功能(neng)、重大任務落實(shi)(shi)(shi)和(he)典型示范,實(shi)(shi)(shi)施國企(qi)黨(dang)(dang)(dang)建(jian)“百千萬”特色工程,構(gou)建(jian)高質(zhi)(zhi)量黨(dang)(dang)(dang)建(jian)引(yin)領(ling)高質(zhi)(zhi)量發展(zhan)格局。落實(shi)(shi)(shi)黨(dang)(dang)(dang)組(zu)織(zhi)在(zai)公(gong)司法人(ren)治理結(jie)構(gou)中(zhong)的(de)(de)法定地位(wei),明確黨(dang)(dang)(dang)組(zu)織(zhi)在(zai)決(jue)策、執行、監(jian)督各環節的(de)(de)權責和(he)工作方式,推(tui)進黨(dang)(dang)(dang)建(jian)工作與(yu)生產(chan)經營深度融合。目(mu)(mu)前,黨(dang)(dang)(dang)建(jian)入(ru)章、黨(dang)(dang)(dang)委前置研究討論、黨(dang)(dang)(dang)委書記董事(shi)長(chang)“一肩挑”等工作,在(zai)全部監(jian)管(guan)企(qi)業(ye)(ye)(ye)和(he)90%以上二級企(qi)業(ye)(ye)(ye)已實(shi)(shi)(shi)施完成。黨(dang)(dang)(dang)員(yuan)“空(kong)白班(ban)組(zu)”“空(kong)白網點”全部消除(chu),改(gai)(gai)革(ge)推(tui)進落實(shi)(shi)(shi)情況和(he)工作評價效(xiao)果(guo),已納(na)入(ru)企(qi)業(ye)(ye)(ye)綜合考(kao)核評估體系(xi)。設立“容錯機制”,在(zai)“依(yi)法決(jue)策實(shi)(shi)(shi)施”“勤勉(mian)盡(jin)責、未(wei)牟取私利(li)”的(de)(de)前提下,允許在(zai)改(gai)(gai)革(ge)目(mu)(mu)標與(yu)效(xiao)果(guo)之(zhi)間保(bao)留一定的(de)(de)空(kong)間。
