全國政(zheng)協十三屆一(yi)次會(hui)議第二次全體會(hui)議3月8日(ri)9時在人民大會(hui)堂舉行,多(duo)名政(zheng)協委員就(jiu)有(you)關議題作大會(hui)發(fa)言。

[全(quan)國(guo)(guo)政協委員、大唐(tang)集團(tuan)公司(si)董事(shi)長(chang)、黨組書記(ji) 陳進行]完(wan)善現代(dai)(dai)企(qi)(qi)業制(zhi)度,健(jian)全(quan)公司(si)法人治理結構,是(shi)國(guo)(guo)有(you)企(qi)(qi)業改革的重要任務。中(zhong)共十八(ba)大以來,在習近平新(xin)時代(dai)(dai)中(zhong)國(guo)(guo)特色社會主義思想指引下,國(guo)(guo)有(you)企(qi)(qi)業改革取得了重大進展(zhan),多數國(guo)(guo)有(you)企(qi)(qi)業已初步建(jian)(jian)立現代(dai)(dai)企(qi)(qi)業制(zhi)度。但從現實情況看(kan),國(guo)(guo)有(you)企(qi)(qi)業現代(dai)(dai)企(qi)(qi)業制(zhi)度仍需要進一步完(wan)善,部分企(qi)(qi)業的法人治理結構還需要加(jia)快健(jian)全(quan)。為此建(jian)(jian)議:
一、要牢牢守住黨(dang)對(dui)國(guo)(guo)(guo)有(you)企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)的(de)(de)(de)(de)絕對(dui)領導這一生命線。習近平總書記指出,堅持黨(dang)對(dui)國(guo)(guo)(guo)有(you)企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)的(de)(de)(de)(de)領導是重大政治原則,必須(xu)一以(yi)貫(guan)之;建(jian)立現代企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)制度是國(guo)(guo)(guo)有(you)企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)改革(ge)的(de)(de)(de)(de)方向,也必須(xu)一以(yi)貫(guan)之。堅持黨(dang)的(de)(de)(de)(de)領導、加強(qiang)黨(dang)的(de)(de)(de)(de)建(jian)設(she),是國(guo)(guo)(guo)有(you)企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)的(de)(de)(de)(de)“根(gen)”和(he)“魂(hun)”,是我(wo)國(guo)(guo)(guo)國(guo)(guo)(guo)有(you)企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)的(de)(de)(de)(de)獨(du)特優勢。要全面貫(guan)徹落(luo)實中央的(de)(de)(de)(de)決策部署,明確(que)黨(dang)組織(zhi)在國(guo)(guo)(guo)有(you)企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)法人治理結構(gou)中的(de)(de)(de)(de)法定地位,明確(que)黨(dang)組織(zhi)在企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)決策、執(zhi)行、監督(du)各(ge)環節的(de)(de)(de)(de)權責和(he)工作方式,使黨(dang)組織(zhi)成為(wei)企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)法人治理結構(gou)的(de)(de)(de)(de)有(you)機組成部分。建(jian)議對(dui)《中華(hua)人民共和(he)國(guo)(guo)(guo)公司法》《中華(hua)人民共和(he)國(guo)(guo)(guo)企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)國(guo)(guo)(guo)有(you)資產法》等(deng)法律法規進行相應的(de)(de)(de)(de)修改,從法律上保(bao)障(zhang)發揮國(guo)(guo)(guo)有(you)企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)黨(dang)組織(zhi)的(de)(de)(de)(de)領導核(he)心作用(yong)和(he)政治核(he)心作用(yong)。
二、要以混(hun)(hun)(hun)(hun)合(he)(he)所有(you)(you)(you)制(zhi)改(gai)(gai)革(ge)為(wei)突破口。十(shi)九大(da)報告強(qiang)調,深化國(guo)有(you)(you)(you)企(qi)(qi)業改(gai)(gai)革(ge),發展混(hun)(hun)(hun)(hun)合(he)(he)所有(you)(you)(you)制(zhi)經濟,培(pei)育具(ju)有(you)(you)(you)全(quan)球競爭力的世(shi)界一(yi)流企(qi)(qi)業。發展混(hun)(hun)(hun)(hun)合(he)(he)所有(you)(you)(you)制(zhi)有(you)(you)(you)利于促進(jin)國(guo)有(you)(you)(you)企(qi)(qi)業轉換經營(ying)機(ji)制(zhi),放(fang)大(da)國(guo)有(you)(you)(you)資(zi)本(ben)(ben)功能,提高(gao)國(guo)有(you)(you)(you)資(zi)本(ben)(ben)配(pei)置和運行(xing)效率,實現各種所有(you)(you)(you)制(zhi)資(zi)本(ben)(ben)取長補短、相互(hu)促進(jin)、共同(tong)發展。建(jian)議適時對近年開(kai)展的混(hun)(hun)(hun)(hun)合(he)(he)所有(you)(you)(you)制(zhi)改(gai)(gai)革(ge)試點情況(kuang),包括操作程序、國(guo)資(zi)定價、股權激(ji)勵(li)等(deng)方(fang)面(mian)進(jin)行(xing)總結,形成制(zhi)度并(bing)加(jia)快復制(zhi)推(tui)廣。針(zhen)對改(gai)(gai)革(ge)中反映出(chu)來的一(yi)些問題,建(jian)議適當提高(gao)民營(ying)企(qi)(qi)業持股比例,增強(qiang)民營(ying)資(zi)本(ben)(ben)參與混(hun)(hun)(hun)(hun)合(he)(he)所有(you)(you)(you)制(zhi)改(gai)(gai)革(ge)的積(ji)極(ji)性(xing);健全(quan)激(ji)勵(li)機(ji)制(zhi),進(jin)一(yi)步(bu)增強(qiang)基(ji)層員工(gong)的改(gai)(gai)革(ge)獲得感;打通(tong)改(gai)(gai)革(ge)容錯機(ji)制(zhi)、創新包容機(ji)制(zhi)政(zheng)策落地的“最后一(yi)公里”,讓企(qi)(qi)業家(jia)放(fang)開(kai)手腳、甩開(kai)膀子(zi)干事。
三、要堅持以完善公司(si)(si)法人(ren)(ren)(ren)治(zhi)理(li)(li)結(jie)構為(wei)(wei)中(zhong)心任務。以董(dong)(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)(hui)(hui)建(jian)(jian)(jian)設(she)為(wei)(wei)重(zhong)點,加(jia)(jia)(jia)快健(jian)(jian)全各(ge)司(si)(si)其職、各(ge)負其責、協調運(yun)轉(zhuan)、有效制(zhi)(zhi)衡(heng)的公司(si)(si)治(zhi)理(li)(li)機制(zhi)(zhi)。針(zhen)對一些董(dong)(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)(hui)(hui)形(xing)同虛(xu)設(she)、未能發(fa)揮應(ying)有作(zuo)用的問題,建(jian)(jian)(jian)議加(jia)(jia)(jia)快簡政放權(quan),進(jin)一步落實(shi)和(he)(he)(he)維(wei)護董(dong)(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)(hui)(hui)依法行(xing)使重(zhong)大(da)決策(ce)、選人(ren)(ren)(ren)用人(ren)(ren)(ren)、薪(xin)酬分配等(deng)權(quan)利(li),充(chong)分發(fa)揮董(dong)(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)(hui)(hui)的決策(ce)作(zuo)用,可以考慮擴(kuo)大(da)中(zhong)央企業董(dong)(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)(hui)(hui)授(shou)權(quan)試點范圍;加(jia)(jia)(jia)強(qiang)董(dong)(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)(hui)(hui)和(he)(he)(he)董(dong)(dong)(dong)事(shi)(shi)(shi)隊伍建(jian)(jian)(jian)設(she),成立外(wai)部董(dong)(dong)(dong)事(shi)(shi)(shi)占多(duo)數的規范董(dong)(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)(hui)(hui),健(jian)(jian)全董(dong)(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)(hui)(hui)內(nei)設(she)機構,完善運(yun)行(xing)機制(zhi)(zhi),確保權(quan)利(li)放得下、接得住(zhu)、運(yun)行(xing)好。建(jian)(jian)(jian)立規范的經(jing)(jing)(jing)理(li)(li)層(ceng)授(shou)權(quan)管理(li)(li)制(zhi)(zhi)度,維(wei)護經(jing)(jing)(jing)理(li)(li)層(ceng)經(jing)(jing)(jing)營(ying)自(zi)主權(quan),強(qiang)化(hua)激(ji)(ji)勵約束,有效激(ji)(ji)發(fa)經(jing)(jing)(jing)理(li)(li)層(ceng)活力(li)(li)。以內(nei)部培養和(he)(he)(he)外(wai)部引(yin)進(jin)相(xiang)結(jie)合,推行(xing)職業經(jing)(jing)(jing)理(li)(li)人(ren)(ren)(ren)制(zhi)(zhi)度,一方面(mian)(mian)暢通現有經(jing)(jing)(jing)營(ying)管理(li)(li)者與(yu)職業經(jing)(jing)(jing)理(li)(li)人(ren)(ren)(ren)身份(fen)轉(zhuan)換(huan)通道,另一方面(mian)(mian)合理(li)(li)增加(jia)(jia)(jia)市場(chang)化(hua)選聘(pin)比例。加(jia)(jia)(jia)快多(duo)層(ceng)次人(ren)(ren)(ren)力(li)(li)資源市場(chang)建(jian)(jian)(jian)設(she),打造企業家、專職董(dong)(dong)(dong)事(shi)(shi)(shi)與(yu)監事(shi)(shi)(shi)隊伍。實(shi)行(xing)企業領導人(ren)(ren)(ren)員(yuan)差異化(hua)薪(xin)酬分配辦法,建(jian)(jian)(jian)立健(jian)(jian)全與(yu)勞(lao)動力(li)(li)市場(chang)基本適(shi)應(ying)、與(yu)企業經(jing)(jing)(jing)濟效益和(he)(he)(he)勞(lao)動生產(chan)率掛鉤(gou)的工資決定和(he)(he)(he)正常增長機制(zhi)(zhi)。
四(si)、要持續健全高(gao)(gao)效協同的監(jian)(jian)(jian)督(du)(du)(du)(du)(du)體系(xi)(xi)(xi)。完善企業內部監(jian)(jian)(jian)督(du)(du)(du)(du)(du)體系(xi)(xi)(xi),明確監(jian)(jian)(jian)事(shi)會(hui)(hui)、審計、紀(ji)檢監(jian)(jian)(jian)察(cha)、巡視與(yu)法律、財務等部門(men)的監(jian)(jian)(jian)督(du)(du)(du)(du)(du)職責。發揮(hui)監(jian)(jian)(jian)事(shi)會(hui)(hui)專門(men)監(jian)(jian)(jian)督(du)(du)(du)(du)(du)功能,加強和改進監(jian)(jian)(jian)事(shi)會(hui)(hui)監(jian)(jian)(jian)督(du)(du)(du)(du)(du),完善監(jian)(jian)(jian)督(du)(du)(du)(du)(du)工(gong)作(zuo)體制(zhi)(zhi)機制(zhi)(zhi),突出監(jian)(jian)(jian)督(du)(du)(du)(du)(du)重點,提升監(jian)(jian)(jian)事(shi)會(hui)(hui)監(jian)(jian)(jian)督(du)(du)(du)(du)(du)有效性。整合力量(liang),健全高(gao)(gao)效協同的外部監(jian)(jian)(jian)督(du)(du)(du)(du)(du)機制(zhi)(zhi),強化出資人監(jian)(jian)(jian)督(du)(du)(du)(du)(du),健全國有資本審計監(jian)(jian)(jian)督(du)(du)(du)(du)(du)體系(xi)(xi)(xi)和制(zhi)(zhi)度,實施信息公(gong)開,加強社會(hui)(hui)監(jian)(jian)(jian)督(du)(du)(du)(du)(du)。
