各省、自治區、直轄市人民(min)政(zheng)府,國務院各部(bu)委(wei)、各直屬(shu)機(ji)構:
完善(shan)國(guo)(guo)(guo)(guo)有(you)(you)企(qi)(qi)業(ye)(ye)法(fa)(fa)人治(zhi)理(li)(li)(li)(li)結構是全面推進(jin)依(yi)法(fa)(fa)治(zhi)企(qi)(qi)、推進(jin)國(guo)(guo)(guo)(guo)家治(zhi)理(li)(li)(li)(li)體系和治(zhi)理(li)(li)(li)(li)能力現(xian)代化(hua)的(de)內在要求,是新一輪國(guo)(guo)(guo)(guo)有(you)(you)企(qi)(qi)業(ye)(ye)改革的(de)重要任務(wu)。當(dang)前,多(duo)數國(guo)(guo)(guo)(guo)有(you)(you)企(qi)(qi)業(ye)(ye)已初(chu)步建立現(xian)代企(qi)(qi)業(ye)(ye)制(zhi)度(du),但從實踐情況看,現(xian)代企(qi)(qi)業(ye)(ye)制(zhi)度(du)仍不完善(shan),部分企(qi)(qi)業(ye)(ye)尚未形成有(you)(you)效(xiao)的(de)法(fa)(fa)人治(zhi)理(li)(li)(li)(li)結構,權責(ze)不清(qing)、約束不夠、缺乏制(zhi)衡(heng)等(deng)(deng)問題較為(wei)突出(chu),一些董事會形同虛設(she),未能發揮(hui)應有(you)(you)作用(yong)。根據《中共(gong)中央 國(guo)(guo)(guo)(guo)務(wu)院(yuan)關(guan)于深化(hua)國(guo)(guo)(guo)(guo)有(you)(you)企(qi)(qi)業(ye)(ye)改革的(de)指導意(yi)見》等(deng)(deng)文件精神,為(wei)改進(jin)國(guo)(guo)(guo)(guo)有(you)(you)企(qi)(qi)業(ye)(ye)法(fa)(fa)人治(zhi)理(li)(li)(li)(li)結構,完善(shan)國(guo)(guo)(guo)(guo)有(you)(you)企(qi)(qi)業(ye)(ye)現(xian)代企(qi)(qi)業(ye)(ye)制(zhi)度(du),經國(guo)(guo)(guo)(guo)務(wu)院(yuan)同意(yi),現(xian)提出(chu)以下意(yi)見:
一、總體要求
(一)指導思想。
全面貫(guan)徹(che)黨(dang)(dang)的(de)十八(ba)大和十八(ba)屆(jie)三中(zhong)、四中(zhong)、五中(zhong)、六(liu)中(zhong)全會精神,深入(ru)貫(guan)徹(che)習近平總(zong)書記系(xi)列(lie)重要講話精神和治國(guo)理政新(xin)理念(nian)新(xin)思想新(xin)戰略,認真落實黨(dang)(dang)中(zhong)央、國(guo)務院決策(ce)部署,統籌推進“五位一體(ti)”總(zong)體(ti)布局(ju)和協調推進“四個(ge)全面”戰略布局(ju),牢(lao)固樹(shu)立(li)和貫(guan)徹(che)落實創新(xin)、協調、綠(lv)色、開放、共享的(de)發展理念(nian),從國(guo)有企(qi)業(ye)實際情(qing)況出發,以建(jian)立(li)健全產權(quan)清晰、權(quan)責(ze)明確、政企(qi)分開、管理科學的(de)現(xian)代企(qi)業(ye)制(zhi)度為(wei)方向,積極(ji)適應國(guo)有企(qi)業(ye)改革的(de)新(xin)形勢(shi)新(xin)要求,堅持黨(dang)(dang)的(de)領(ling)導(dao)、加強黨(dang)(dang)的(de)建(jian)設,完(wan)善體(ti)制(zhi)機制(zhi),依法規(gui)范權(quan)責(ze),根(gen)據功能(neng)分類(lei),把握重點,進一步健全各(ge)(ge)司(si)其職、各(ge)(ge)負(fu)其責(ze)、協調運轉(zhuan)、有效(xiao)制(zhi)衡的(de)國(guo)有企(qi)業(ye)法人治理結構(gou)。
(二)基(ji)本原則。
1.堅持深化(hua)改革。尊(zun)重(zhong)企(qi)業(ye)(ye)(ye)市場主體地位,遵循市場經濟規律(lv)和(he)企(qi)業(ye)(ye)(ye)發展規律(lv),以規范(fan)決策機(ji)制(zhi)和(he)完善制(zhi)衡機(ji)制(zhi)為重(zhong)點,堅持激勵(li)機(ji)制(zhi)與(yu)約束機(ji)制(zhi)相結合,體現(xian)(xian)效率(lv)原則(ze)與(yu)公平(ping)原則(ze),充分(fen)調動企(qi)業(ye)(ye)(ye)家積(ji)極性,提(ti)升企(qi)業(ye)(ye)(ye)的市場化(hua)、現(xian)(xian)代化(hua)經營水平(ping)。
2.堅持黨的領導。落實全面從嚴治(zhi)黨(dang)(dang)戰(zhan)略(lve)部署(shu),把加強黨(dang)(dang)的領(ling)導和完(wan)善公(gong)司治(zhi)理(li)(li)統一起來,明確國有企業黨(dang)(dang)組織(zhi)在法(fa)人治(zhi)理(li)(li)結構中(zhong)的法(fa)定地位,發揮國有企業黨(dang)(dang)組織(zhi)的領(ling)導核心和政(zheng)治(zhi)核心作用,保證黨(dang)(dang)組織(zhi)把方(fang)向(xiang)、管(guan)大(da)局、保落實。堅(jian)持(chi)黨(dang)(dang)管(guan)干部原則與董事會依(yi)法(fa)選(xuan)擇(ze)經(jing)營管(guan)理(li)(li)者(zhe)、經(jing)營管(guan)理(li)(li)者(zhe)依(yi)法(fa)行(xing)使用人權相結合(he),積極(ji)探索有效實現形(xing)式,完(wan)善反(fan)腐倡廉(lian)制度體系。
3.堅持(chi)依法治企。依(yi)據《中華人民(min)共(gong)和(he)國(guo)公(gong)(gong)司(si)法(fa)(fa)》、《中華人民(min)共(gong)和(he)國(guo)企(qi)(qi)業國(guo)有資(zi)產(chan)法(fa)(fa)》等法(fa)(fa)律法(fa)(fa)規,以公(gong)(gong)司(si)章程為(wei)行為(wei)準(zhun)則,規范權(quan)(quan)責定(ding)位和(he)行權(quan)(quan)方式;法(fa)(fa)無授權(quan)(quan),任何政府部門和(he)機構不得(de)干預企(qi)(qi)業正常生產(chan)經營活動,實現(xian)深化改革與依(yi)法(fa)(fa)治企(qi)(qi)的有機統(tong)一。
4.堅持權責對等。堅持權(quan)(quan)利義務責(ze)任(ren)相統一,規范權(quan)(quan)力運行、強化權(quan)(quan)利責(ze)任(ren)對等(deng),改革(ge)國(guo)有資(zi)本(ben)授權(quan)(quan)經營體制,深化權(quan)(quan)力運行和監(jian)督機制改革(ge),構(gou)建符合國(guo)情的(de)監(jian)管體系,完善履職評價和責(ze)任(ren)追究(jiu)機制,對失職、瀆(du)職行為嚴(yan)格追責(ze),建立決策、執行和監(jian)督環節的(de)終(zhong)身責(ze)任(ren)追究(jiu)制度。
(三)主要目(mu)標。
2017年(nian)年(nian)底前,國(guo)有(you)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)公司(si)制(zhi)改革基本完(wan)成(cheng)(cheng)(cheng)。到(dao)2020年(nian),黨組織在國(guo)有(you)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)法人治(zhi)理結構中的(de)法定地位(wei)更加牢固(gu),充(chong)(chong)(chong)分發(fa)揮(hui)公司(si)章程在企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)治(zhi)理中的(de)基礎作用,國(guo)有(you)獨資、全資公司(si)全面(mian)建立外部(bu)董(dong)(dong)(dong)事(shi)(shi)(shi)占多(duo)數的(de)董(dong)(dong)(dong)事(shi)(shi)(shi)會,國(guo)有(you)控股企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)實(shi)行外部(bu)董(dong)(dong)(dong)事(shi)(shi)(shi)派(pai)出制(zhi)度,完(wan)成(cheng)(cheng)(cheng)外派(pai)監事(shi)(shi)(shi)會改革;充(chong)(chong)(chong)分發(fa)揮(hui)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)家作用,造就(jiu)一大批(pi)政治(zhi)堅定、善于(yu)經(jing)營、充(chong)(chong)(chong)滿活力的(de)董(dong)(dong)(dong)事(shi)(shi)(shi)長和(he)職業(ye)(ye)(ye)(ye)經(jing)理人,培育一支德才兼備、業(ye)(ye)(ye)(ye)務精通、勇于(yu)擔當(dang)的(de)董(dong)(dong)(dong)事(shi)(shi)(shi)、監事(shi)(shi)(shi)隊伍;黨風廉政建設主(zhu)體(ti)責任(ren)和(he)監督(du)責任(ren)全面(mian)落實(shi),企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)民(min)主(zhu)監督(du)和(he)管理明顯改善;遵循市(shi)場經(jing)濟規(gui)律和(he)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)發(fa)展規(gui)律,使國(guo)有(you)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)成(cheng)(cheng)(cheng)為依法自主(zhu)經(jing)營、自負盈(ying)虧(kui)、自擔風險、自我約束(shu)、自我發(fa)展的(de)市(shi)場主(zhu)體(ti)。
二、規范主體權責
健(jian)全以(yi)公司章程(cheng)為(wei)核(he)心的企業(ye)制度(du)體系,充(chong)分發(fa)揮公司章程(cheng)在企業(ye)治理(li)中(zhong)的基礎作用,依照(zhao)法(fa)(fa)律(lv)法(fa)(fa)規(gui)和公司章程(cheng),嚴格規(gui)范履(lv)行出(chu)資人職(zhi)責的機構(gou)(以(yi)下(xia)(xia)簡稱出(chu)資人機構(gou))、股(gu)(gu)東(dong)會(hui)(包括(kuo)股(gu)(gu)東(dong)大(da)會(hui),下(xia)(xia)同)、董事會(hui)、經理(li)層、監(jian)事會(hui)、黨組織和職(zhi)工代表大(da)會(hui)的權(quan)責,強化權(quan)利(li)責任對等,保(bao)障有效(xiao)履(lv)職(zhi),完善(shan)符合市場經濟規(gui)律(lv)和我國(guo)(guo)國(guo)(guo)情的國(guo)(guo)有企業(ye)法(fa)(fa)人治理(li)結構(gou),進一(yi)步提升國(guo)(guo)有企業(ye)運行效(xiao)率。
(一)理順(shun)出資人職責,轉變監管方式(shi)。
1.股(gu)東(dong)會(hui)是公(gong)(gong)司(si)的權(quan)力機(ji)構(gou)。股(gu)東(dong)會(hui)主要依據(ju)法律法規和公(gong)(gong)司(si)章程,通(tong)過委派或更換董事、監事(不含職工(gong)代表),審核批準董事會(hui)、監事會(hui)年度工(gong)作報告,批準公(gong)(gong)司(si)財務預決算(suan)、利潤(run)分配方(fang)案等方(fang)式,對董事會(hui)、監事會(hui)以(yi)及董事、監事的履職情(qing)況(kuang)進(jin)行評(ping)價和監督。出(chu)資人機(ji)構(gou)根據(ju)本級人民政府授權(quan)對國家出(chu)資企業依法享(xiang)有股(gu)東(dong)權(quan)利。
2.國(guo)有(you)獨(du)資(zi)(zi)(zi)公(gong)司(si)(si)不設(she)股(gu)東(dong)會,由(you)出(chu)(chu)資(zi)(zi)(zi)人(ren)機構(gou)依(yi)法行使股(gu)東(dong)會職(zhi)權。以管資(zi)(zi)(zi)本(ben)(ben)為主改革國(guo)有(you)資(zi)(zi)(zi)本(ben)(ben)授(shou)權經(jing)營體(ti)制,對直接出(chu)(chu)資(zi)(zi)(zi)的國(guo)有(you)獨(du)資(zi)(zi)(zi)公(gong)司(si)(si),出(chu)(chu)資(zi)(zi)(zi)人(ren)機構(gou)重點管好(hao)國(guo)有(you)資(zi)(zi)(zi)本(ben)(ben)布局、規范資(zi)(zi)(zi)本(ben)(ben)運(yun)作、強化資(zi)(zi)(zi)本(ben)(ben)約束、提高資(zi)(zi)(zi)本(ben)(ben)回報(bao)、維(wei)護(hu)資(zi)(zi)(zi)本(ben)(ben)安全(quan)。對國(guo)有(you)全(quan)資(zi)(zi)(zi)公(gong)司(si)(si)、國(guo)有(you)控股(gu)企(qi)業,出(chu)(chu)資(zi)(zi)(zi)人(ren)機構(gou)主要依(yi)據股(gu)權份額通過參加股(gu)東(dong)會議、審核(he)需由(you)股(gu)東(dong)決(jue)定(ding)的事項、與其他股(gu)東(dong)協(xie)商作出(chu)(chu)決(jue)議等(deng)方(fang)式履(lv)行職(zhi)責(ze),除法律法規或公(gong)司(si)(si)章程另有(you)規定(ding)外,不得干預(yu)企(qi)業自主經(jing)營活動(dong)。
3.出(chu)資人機構依據法(fa)律法(fa)規(gui)(gui)(gui)(gui)和(he)公司章(zhang)程(cheng)規(gui)(gui)(gui)(gui)定行使(shi)股(gu)東權利、履行股(gu)東義務(wu),有(you)關監管(guan)(guan)內容應(ying)依法(fa)納入公司章(zhang)程(cheng)。按照以管(guan)(guan)資本為(wei)主(zhu)的(de)要(yao)求,出(chu)資人機構要(yao)轉變工作職能、改進工作方式(shi),加強公司章(zhang)程(cheng)管(guan)(guan)理,清理有(you)關規(gui)(gui)(gui)(gui)章(zhang)、規(gui)(gui)(gui)(gui)范性(xing)文件,研究提出(chu)出(chu)資人機構審批(pi)事(shi)項清單(dan),建(jian)立對董事(shi)會重大決策的(de)合規(gui)(gui)(gui)(gui)性(xing)審查機制,制定監事(shi)會建(jian)設、責任追究等具體(ti)措施(shi),適時制定國(guo)有(you)資本優先股(gu)和(he)國(guo)家特(te)殊管(guan)(guan)理股(gu)管(guan)(guan)理辦(ban)法(fa)。
(二(er))加強董事會建設,落(luo)實董事會職權。
1.董事(shi)會(hui)(hui)(hui)(hui)(hui)(hui)是公(gong)司(si)(si)(si)的決(jue)(jue)策機(ji)構,要對股東(dong)會(hui)(hui)(hui)(hui)(hui)(hui)負責,執(zhi)行(xing)股東(dong)會(hui)(hui)(hui)(hui)(hui)(hui)決(jue)(jue)定(ding),依照法(fa)定(ding)程序和公(gong)司(si)(si)(si)章程授權決(jue)(jue)定(ding)公(gong)司(si)(si)(si)重(zhong)大事(shi)項,接受股東(dong)會(hui)(hui)(hui)(hui)(hui)(hui)、監(jian)(jian)事(shi)會(hui)(hui)(hui)(hui)(hui)(hui)監(jian)(jian)督(du),認真履行(xing)決(jue)(jue)策把關、內部管理(li)(li)、防范(fan)風險、深化改革等職責。國有(you)獨資(zi)公(gong)司(si)(si)(si)要依法(fa)落實和維護董事(shi)會(hui)(hui)(hui)(hui)(hui)(hui)行(xing)使重(zhong)大決(jue)(jue)策、選(xuan)人用人、薪酬分(fen)配(pei)等權利,增強董事(shi)會(hui)(hui)(hui)(hui)(hui)(hui)的獨立性和權威性,落實董事(shi)會(hui)(hui)(hui)(hui)(hui)(hui)年度(du)工(gong)作報(bao)告制度(du);董事(shi)會(hui)(hui)(hui)(hui)(hui)(hui)應與黨組織充(chong)分(fen)溝通(tong),有(you)序開(kai)展國有(you)獨資(zi)公(gong)司(si)(si)(si)董事(shi)會(hui)(hui)(hui)(hui)(hui)(hui)選(xuan)聘經理(li)(li)層試點,加強對經理(li)(li)層的管理(li)(li)和監(jian)(jian)督(du)。
2.優化董(dong)(dong)(dong)事(shi)(shi)會(hui)組成結(jie)構(gou)。國有(you)(you)(you)獨資(zi)(zi)(zi)(zi)、全資(zi)(zi)(zi)(zi)公(gong)(gong)(gong)司的(de)董(dong)(dong)(dong)事(shi)(shi)長、總經理原則上分設,應(ying)均為內部(bu)(bu)執(zhi)行董(dong)(dong)(dong)事(shi)(shi),定(ding)期向董(dong)(dong)(dong)事(shi)(shi)會(hui)報(bao)告工作。國有(you)(you)(you)獨資(zi)(zi)(zi)(zi)公(gong)(gong)(gong)司的(de)董(dong)(dong)(dong)事(shi)(shi)長作為企業法定(ding)代(dai)表人(ren)(ren)(ren),對(dui)企業改革發展(zhan)負首要責(ze)任,要及時向董(dong)(dong)(dong)事(shi)(shi)會(hui)和(he)(he)國有(you)(you)(you)股(gu)(gu)(gu)(gu)東(dong)(dong)報(bao)告重大經營問題(ti)和(he)(he)經營風險。國有(you)(you)(you)獨資(zi)(zi)(zi)(zi)公(gong)(gong)(gong)司的(de)董(dong)(dong)(dong)事(shi)(shi)對(dui)出(chu)(chu)資(zi)(zi)(zi)(zi)人(ren)(ren)(ren)機構(gou)負責(ze),接(jie)受出(chu)(chu)資(zi)(zi)(zi)(zi)人(ren)(ren)(ren)機構(gou)指導(dao),其中外(wai)部(bu)(bu)董(dong)(dong)(dong)事(shi)(shi)人(ren)(ren)(ren)選(xuan)由(you)出(chu)(chu)資(zi)(zi)(zi)(zi)人(ren)(ren)(ren)機構(gou)商(shang)有(you)(you)(you)關(guan)(guan)部(bu)(bu)門提名,并按(an)照法定(ding)程序任命。國有(you)(you)(you)全資(zi)(zi)(zi)(zi)公(gong)(gong)(gong)司、國有(you)(you)(you)控(kong)股(gu)(gu)(gu)(gu)企業的(de)董(dong)(dong)(dong)事(shi)(shi)由(you)相關(guan)(guan)股(gu)(gu)(gu)(gu)東(dong)(dong)依據(ju)股(gu)(gu)(gu)(gu)權份額推薦(jian)派出(chu)(chu),由(you)股(gu)(gu)(gu)(gu)東(dong)(dong)會(hui)選(xuan)舉或(huo)更(geng)換(huan)(huan),國有(you)(you)(you)股(gu)(gu)(gu)(gu)東(dong)(dong)派出(chu)(chu)的(de)董(dong)(dong)(dong)事(shi)(shi)要積極維護(hu)國有(you)(you)(you)資(zi)(zi)(zi)(zi)本權益;國有(you)(you)(you)全資(zi)(zi)(zi)(zi)公(gong)(gong)(gong)司的(de)外(wai)部(bu)(bu)董(dong)(dong)(dong)事(shi)(shi)人(ren)(ren)(ren)選(xuan)由(you)控(kong)股(gu)(gu)(gu)(gu)股(gu)(gu)(gu)(gu)東(dong)(dong)商(shang)其他股(gu)(gu)(gu)(gu)東(dong)(dong)推薦(jian),由(you)股(gu)(gu)(gu)(gu)東(dong)(dong)會(hui)選(xuan)舉或(huo)更(geng)換(huan)(huan);國有(you)(you)(you)控(kong)股(gu)(gu)(gu)(gu)企業應(ying)有(you)(you)(you)一定(ding)比例的(de)外(wai)部(bu)(bu)董(dong)(dong)(dong)事(shi)(shi),由(you)股(gu)(gu)(gu)(gu)東(dong)(dong)會(hui)選(xuan)舉或(huo)更(geng)換(huan)(huan)。
3.規范董(dong)事(shi)(shi)會(hui)(hui)(hui)議(yi)事(shi)(shi)規則。董(dong)事(shi)(shi)會(hui)(hui)(hui)要嚴格實行集體(ti)審(shen)議(yi)、獨立表決、個人負責的決策(ce)制度,平等充分發表意見(jian),一(yi)人一(yi)票(piao)表決,建立規范透明的重大(da)事(shi)(shi)項信息公(gong)開和(he)對外披露制度,保障董(dong)事(shi)(shi)會(hui)(hui)(hui)會(hui)(hui)(hui)議(yi)記錄和(he)提(ti)案資(zi)料(liao)的完(wan)整性,建立董(dong)事(shi)(shi)會(hui)(hui)(hui)決議(yi)跟蹤(zong)落(luo)實以及后(hou)評(ping)(ping)(ping)估制度,做好與(yu)其他治(zhi)理主體(ti)的聯系(xi)溝通(tong)。董(dong)事(shi)(shi)會(hui)(hui)(hui)應(ying)當設立提(ti)名委(wei)員(yuan)會(hui)(hui)(hui)、薪(xin)酬與(yu)考(kao)(kao)核(he)(he)委(wei)員(yuan)會(hui)(hui)(hui)、審(shen)計委(wei)員(yuan)會(hui)(hui)(hui)等專門(men)委(wei)員(yuan)會(hui)(hui)(hui),為董(dong)事(shi)(shi)會(hui)(hui)(hui)決策(ce)提(ti)供咨詢,其中薪(xin)酬與(yu)考(kao)(kao)核(he)(he)委(wei)員(yuan)會(hui)(hui)(hui)、審(shen)計委(wei)員(yuan)會(hui)(hui)(hui)應(ying)由外部董(dong)事(shi)(shi)組成(cheng)。改進董(dong)事(shi)(shi)會(hui)(hui)(hui)和(he)董(dong)事(shi)(shi)評(ping)(ping)(ping)價(jia)辦法,完(wan)善年度和(he)任期考(kao)(kao)核(he)(he)制度,逐步形成(cheng)符合(he)企業特點(dian)的考(kao)(kao)核(he)(he)評(ping)(ping)(ping)價(jia)體(ti)系(xi)及激(ji)勵機制。
4.加強董(dong)(dong)(dong)事(shi)隊伍(wu)建設。開(kai)展(zhan)董(dong)(dong)(dong)事(shi)任(ren)(ren)前(qian)和(he)(he)任(ren)(ren)期(qi)(qi)培訓,做好(hao)董(dong)(dong)(dong)事(shi)派出和(he)(he)任(ren)(ren)期(qi)(qi)管(guan)理工作。建立完善外(wai)(wai)(wai)部(bu)(bu)(bu)(bu)董(dong)(dong)(dong)事(shi)選聘(pin)和(he)(he)管(guan)理制度,嚴格(ge)資(zi)(zi)格(ge)認定(ding)和(he)(he)考試考察程序,拓(tuo)寬外(wai)(wai)(wai)部(bu)(bu)(bu)(bu)董(dong)(dong)(dong)事(shi)來源渠道,擴大(da)專(zhuan)(zhuan)職外(wai)(wai)(wai)部(bu)(bu)(bu)(bu)董(dong)(dong)(dong)事(shi)隊伍(wu),選聘(pin)一批現職國有(you)企業負(fu)責人轉任(ren)(ren)專(zhuan)(zhuan)職外(wai)(wai)(wai)部(bu)(bu)(bu)(bu)董(dong)(dong)(dong)事(shi),定(ding)期(qi)(qi)報告外(wai)(wai)(wai)部(bu)(bu)(bu)(bu)董(dong)(dong)(dong)事(shi)履職情況(kuang)。國有(you)獨資(zi)(zi)公司(si)要健全外(wai)(wai)(wai)部(bu)(bu)(bu)(bu)董(dong)(dong)(dong)事(shi)召集人制度,召集人由外(wai)(wai)(wai)部(bu)(bu)(bu)(bu)董(dong)(dong)(dong)事(shi)定(ding)期(qi)(qi)推選產生。外(wai)(wai)(wai)部(bu)(bu)(bu)(bu)董(dong)(dong)(dong)事(shi)要與出資(zi)(zi)人機(ji)構加強溝(gou)通。
(三)維護經(jing)營自主權,激發經(jing)理層(ceng)活力。
1.經(jing)理(li)層是公司(si)的(de)執行機構,依法(fa)由董事(shi)(shi)會(hui)聘任或解聘,接受董事(shi)(shi)會(hui)管理(li)和(he)監事(shi)(shi)會(hui)監督。總經(jing)理(li)對董事(shi)(shi)會(hui)負(fu)責,依法(fa)行使管理(li)生產經(jing)營、組織實施董事(shi)(shi)會(hui)決議等職(zhi)權,向(xiang)(xiang)董事(shi)(shi)會(hui)報(bao)告工作,董事(shi)(shi)會(hui)閉(bi)會(hui)期間向(xiang)(xiang)董事(shi)(shi)長報(bao)告工作。
2.建立規范的經(jing)理層(ceng)(ceng)(ceng)授權管(guan)理制(zhi)(zhi)度(du)(du)(du)(du),對(dui)經(jing)理層(ceng)(ceng)(ceng)成員實行(xing)與(yu)(yu)選任方式(shi)相(xiang)(xiang)匹配、與(yu)(yu)企(qi)業(ye)(ye)(ye)功(gong)能性質(zhi)相(xiang)(xiang)適(shi)應、與(yu)(yu)經(jing)營業(ye)(ye)(ye)績相(xiang)(xiang)掛(gua)鉤的差異化薪酬(chou)分配制(zhi)(zhi)度(du)(du)(du)(du),國(guo)有(you)獨資公(gong)司(si)(si)經(jing)理層(ceng)(ceng)(ceng)逐步實行(xing)任期制(zhi)(zhi)和(he)契約化管(guan)理。根據(ju)企(qi)業(ye)(ye)(ye)產權結構、市場化程(cheng)度(du)(du)(du)(du)等不同情況,有(you)序(xu)推進職(zhi)(zhi)業(ye)(ye)(ye)經(jing)理人(ren)(ren)制(zhi)(zhi)度(du)(du)(du)(du)建設,逐步擴大(da)職(zhi)(zhi)業(ye)(ye)(ye)經(jing)理人(ren)(ren)隊(dui)伍,有(you)序(xu)實行(xing)市場化薪酬(chou),探索完(wan)善中長期激勵機制(zhi)(zhi),研究出臺相(xiang)(xiang)關指導意見。國(guo)有(you)獨資公(gong)司(si)(si)要積極探索推行(xing)職(zhi)(zhi)業(ye)(ye)(ye)經(jing)理人(ren)(ren)制(zhi)(zhi)度(du)(du)(du)(du),實行(xing)內部培養(yang)和(he)外部引進相(xiang)(xiang)結合,暢通企(qi)業(ye)(ye)(ye)經(jing)理層(ceng)(ceng)(ceng)成員與(yu)(yu)職(zhi)(zhi)業(ye)(ye)(ye)經(jing)理人(ren)(ren)的身(shen)份轉(zhuan)換通道。開展(zhan)出資人(ren)(ren)機構委派國(guo)有(you)獨資公(gong)司(si)(si)總會計師(shi)試點。
(四)發揮(hui)監督作用,完善問(wen)責機制。
1.監(jian)(jian)(jian)(jian)(jian)事(shi)會(hui)(hui)是公司(si)的(de)監(jian)(jian)(jian)(jian)(jian)督機構,依(yi)照有關(guan)法律法規和(he)公司(si)章程設立(li),對(dui)董事(shi)會(hui)(hui)、經(jing)理層成員的(de)職(zhi)務(wu)行為進(jin)行監(jian)(jian)(jian)(jian)(jian)督。要提高專職(zhi)監(jian)(jian)(jian)(jian)(jian)事(shi)比例,增強監(jian)(jian)(jian)(jian)(jian)事(shi)會(hui)(hui)的(de)獨立(li)性(xing)和(he)權威性(xing)。對(dui)國有資產監(jian)(jian)(jian)(jian)(jian)管機構所出(chu)資企(qi)業(ye)依(yi)法實行外(wai)派監(jian)(jian)(jian)(jian)(jian)事(shi)會(hui)(hui)制度(du)。外(wai)派監(jian)(jian)(jian)(jian)(jian)事(shi)會(hui)(hui)由政(zheng)府派出(chu),負責檢查企(qi)業(ye)財務(wu),監(jian)(jian)(jian)(jian)(jian)督企(qi)業(ye)重大(da)決策和(he)關(guan)鍵環節以及董事(shi)會(hui)(hui)、經(jing)理層履職(zhi)情(qing)況,不(bu)參與、不(bu)干(gan)預企(qi)業(ye)經(jing)營管理活動。
2.健(jian)全以(yi)職(zhi)(zhi)(zhi)工(gong)(gong)(gong)代(dai)表(biao)大會(hui)(hui)為基本形(xing)式的(de)企業(ye)民主管理制(zhi)度,支持(chi)和保證職(zhi)(zhi)(zhi)工(gong)(gong)(gong)代(dai)表(biao)大會(hui)(hui)依(yi)法行使職(zhi)(zhi)(zhi)權(quan),加強職(zhi)(zhi)(zhi)工(gong)(gong)(gong)民主管理與監督,維(wei)護職(zhi)(zhi)(zhi)工(gong)(gong)(gong)合法權(quan)益(yi)。國(guo)有獨資、全資公司(si)的(de)董事(shi)會(hui)(hui)、監事(shi)會(hui)(hui)中(zhong)須(xu)有職(zhi)(zhi)(zhi)工(gong)(gong)(gong)董事(shi)和職(zhi)(zhi)(zhi)工(gong)(gong)(gong)監事(shi)。建立國(guo)有企業(ye)重大事(shi)項信息公開和對外(wai)披露制(zhi)度。
3.強化責(ze)(ze)任(ren)(ren)意識,明確權責(ze)(ze)邊界,建立與治理主體履職相適應(ying)的責(ze)(ze)任(ren)(ren)追(zhui)究制度。董(dong)事(shi)(shi)(shi)、監事(shi)(shi)(shi)、經(jing)理層成(cheng)(cheng)員(yuan)(yuan)應(ying)當遵守法(fa)(fa)律法(fa)(fa)規(gui)(gui)和公(gong)司(si)章(zhang)(zhang)程(cheng)(cheng),對公(gong)司(si)負有忠實義務(wu)和勤勉義務(wu);要(yao)將其信用記錄納入全國(guo)信用信息共享平臺,違(wei)約失(shi)(shi)信的按規(gui)(gui)定在“信用中國(guo)”網站公(gong)開。董(dong)事(shi)(shi)(shi)應(ying)當出席董(dong)事(shi)(shi)(shi)會會議(yi)(yi),對董(dong)事(shi)(shi)(shi)會決(jue)議(yi)(yi)承擔責(ze)(ze)任(ren)(ren);董(dong)事(shi)(shi)(shi)會決(jue)議(yi)(yi)違(wei)反法(fa)(fa)律法(fa)(fa)規(gui)(gui)或(huo)(huo)公(gong)司(si)章(zhang)(zhang)程(cheng)(cheng)、股東(dong)會決(jue)議(yi)(yi),致(zhi)使(shi)公(gong)司(si)遭受(shou)嚴重損失(shi)(shi)的,應(ying)依(yi)(yi)法(fa)(fa)追(zhui)究有關董(dong)事(shi)(shi)(shi)責(ze)(ze)任(ren)(ren)。經(jing)理層成(cheng)(cheng)員(yuan)(yuan)違(wei)反法(fa)(fa)律法(fa)(fa)規(gui)(gui)或(huo)(huo)公(gong)司(si)章(zhang)(zhang)程(cheng)(cheng),致(zhi)使(shi)公(gong)司(si)遭受(shou)損失(shi)(shi)的,應(ying)依(yi)(yi)法(fa)(fa)追(zhui)究有關經(jing)理層成(cheng)(cheng)員(yuan)(yuan)責(ze)(ze)任(ren)(ren)。執行(xing)董(dong)事(shi)(shi)(shi)和經(jing)理層成(cheng)(cheng)員(yuan)(yuan)未(wei)及時向董(dong)事(shi)(shi)(shi)會或(huo)(huo)國(guo)有股東(dong)報告重大經(jing)營(ying)問題和經(jing)營(ying)風險的,應(ying)依(yi)(yi)法(fa)(fa)追(zhui)究相關人員(yuan)(yuan)責(ze)(ze)任(ren)(ren)。企(qi)業(ye)(ye)黨(dang)組織成(cheng)(cheng)員(yuan)(yuan)履職過(guo)程(cheng)(cheng)中有重大失(shi)(shi)誤(wu)和失(shi)(shi)職、瀆職行(xing)為的,應(ying)按照黨(dang)組織有關規(gui)(gui)定嚴格追(zhui)究責(ze)(ze)任(ren)(ren)。按照“三個區分開來(lai)”的要(yao)求,建立必要(yao)的改革容(rong)錯糾錯機制,激(ji)勵企(qi)業(ye)(ye)領導人員(yuan)(yuan)干事(shi)(shi)(shi)創業(ye)(ye)。
(五)堅持黨(dang)的(de)領(ling)導(dao),發揮政治優勢。
1.堅(jian)持黨(dang)的(de)領導、加強黨(dang)的(de)建設(she)是(shi)國(guo)(guo)(guo)有企(qi)業的(de)獨特優勢。要(yao)明確黨(dang)組(zu)織(zhi)在國(guo)(guo)(guo)有企(qi)業法人(ren)治(zhi)理(li)結(jie)構中(zhong)的(de)法定地位,將(jiang)黨(dang)建工作(zuo)總(zong)體要(yao)求納入國(guo)(guo)(guo)有企(qi)業章程,明確黨(dang)組(zu)織(zhi)在企(qi)業決策(ce)、執行(xing)、監督各環(huan)節的(de)權責(ze)和工作(zuo)方(fang)式,使黨(dang)組(zu)織(zhi)成為(wei)企(qi)業法人(ren)治(zhi)理(li)結(jie)構的(de)有機組(zu)成部(bu)分。要(yao)充分發(fa)揮黨(dang)組(zu)織(zhi)的(de)領導核(he)心和政治(zhi)核(he)心作(zuo)用,領導企(qi)業思想政治(zhi)工作(zuo),支持董事會、監事會、經理(li)層依(yi)法履行(xing)職責(ze),保(bao)證黨(dang)和國(guo)(guo)(guo)家方(fang)針(zhen)政策(ce)的(de)貫徹(che)執行(xing)。

3.積極(ji)探索黨(dang)(dang)管干部原則與董(dong)(dong)事(shi)(shi)(shi)會(hui)選聘經(jing)(jing)(jing)營管理人(ren)(ren)員(yuan)(yuan)有(you)機(ji)結合的途(tu)徑和(he)方(fang)(fang)法。堅持(chi)和(he)完善(shan)雙(shuang)向進(jin)(jin)入、交叉任職(zhi)的領導體制(zhi),符合條件的國(guo)有(you)企(qi)業(ye)(ye)黨(dang)(dang)組(zu)(zu)(黨(dang)(dang)委)領導班子成(cheng)員(yuan)(yuan)可(ke)(ke)以通過法定(ding)程序進(jin)(jin)入董(dong)(dong)事(shi)(shi)(shi)會(hui)、監事(shi)(shi)(shi)會(hui)、經(jing)(jing)(jing)理層(ceng),董(dong)(dong)事(shi)(shi)(shi)會(hui)、監事(shi)(shi)(shi)會(hui)、經(jing)(jing)(jing)理層(ceng)成(cheng)員(yuan)(yuan)中(zhong)符合條件的黨(dang)(dang)員(yuan)(yuan)可(ke)(ke)以依(yi)照有(you)關規定(ding)和(he)程序進(jin)(jin)入黨(dang)(dang)組(zu)(zu)(黨(dang)(dang)委);黨(dang)(dang)組(zu)(zu)(黨(dang)(dang)委)書(shu)記、董(dong)(dong)事(shi)(shi)(shi)長一般由(you)一人(ren)(ren)擔(dan)任,推進(jin)(jin)中(zhong)央企(qi)業(ye)(ye)黨(dang)(dang)組(zu)(zu)(黨(dang)(dang)委)專(zhuan)職(zhi)副書(shu)記進(jin)(jin)入董(dong)(dong)事(shi)(shi)(shi)會(hui)。在董(dong)(dong)事(shi)(shi)(shi)會(hui)選聘經(jing)(jing)(jing)理層(ceng)成(cheng)員(yuan)(yuan)工作中(zhong),上(shang)級黨(dang)(dang)組(zu)(zu)織及其組(zu)(zu)織部門、國(guo)有(you)資產(chan)監管機(ji)構黨(dang)(dang)委應當發(fa)揮確(que)定(ding)標準、規范程序、參與考察、推薦人(ren)(ren)選等作用。積極(ji)探索董(dong)(dong)事(shi)(shi)(shi)會(hui)通過差額方(fang)(fang)式選聘經(jing)(jing)(jing)理層(ceng)成(cheng)員(yuan)(yuan)。
三(san)、做(zuo)好(hao)組織實施
(一)及時總結經(jing)驗,分(fen)層(ceng)有序(xu)實施。在國(guo)(guo)有(you)(you)企(qi)業(ye)(ye)(ye)(ye)建(jian)設(she)規范董事會試點基礎上,總結經驗、完(wan)善制(zhi)度,國(guo)(guo)務院國(guo)(guo)資(zi)(zi)委(wei)監管的中央企(qi)業(ye)(ye)(ye)(ye)要依(yi)法改制(zhi)為(wei)國(guo)(guo)有(you)(you)獨資(zi)(zi)公(gong)司或國(guo)(guo)有(you)(you)控股公(gong)司,全面建(jian)立規范的董事會。國(guo)(guo)有(you)(you)資(zi)(zi)本投資(zi)(zi)、運(yun)營(ying)公(gong)司法人(ren)治理結構要“一企(qi)一策”地在公(gong)司章(zhang)程(cheng)中予(yu)以細化。其他(ta)中央企(qi)業(ye)(ye)(ye)(ye)和地方國(guo)(guo)有(you)(you)企(qi)業(ye)(ye)(ye)(ye)要根據自(zi)身實際,由(you)出資(zi)(zi)人(ren)機構負責完(wan)善國(guo)(guo)有(you)(you)企(qi)業(ye)(ye)(ye)(ye)法人(ren)治理結構。
(二)精心規范運作(zuo),做好(hao)相互銜接。國(guo)有(you)(you)企業要按照完善法人治(zhi)理結構的要求,全面推進依法治(zhi)企,完善公司(si)章(zhang)程(cheng)(cheng),明確內部組(zu)織機構的權(quan)利(li)、義務、責任,實現各負其責、規(gui)范運作、相互銜接、有(you)(you)效制衡。國(guo)務院國(guo)資委要會(hui)同有(you)(you)關部門和(he)單位抓緊(jin)制定國(guo)有(you)(you)企業公司(si)章(zhang)程(cheng)(cheng)審核(he)和(he)批準(zhun)管(guan)理辦(ban)法。
金(jin)融、文化等國有企業的改革,中央另(ling)有規(gui)定的依其(qi)規(gui)定執行。
