2006年及過去三年中央企業改革發展情況

  2006年,中央(yang)企業(ye)以(yi)科學發展(zhan)(zhan)觀為指導,認(ren)真(zhen)貫徹落(luo)實黨中央(yang)、國務院關于加強和改善宏觀調控的各項(xiang)政策(ce)措施(shi),繼續(xu)深(shen)化改革,加快結(jie)構調整,推進技術進步(bu),強化資源節約,加強企業(ye)管理,生產經營(ying)保持了持續(xu)快速(su)健康發展(zhan)(zhan)。

  一(yi)是經濟效益繼續保持較快增(zeng)(zeng)(zeng)長(chang)(chang)。1-11月(yue),中央企業(ye)(ye)(ye)(ye)實現主營業(ye)(ye)(ye)(ye)務收入72984億(yi)元(yuan)(yuan),同(tong)(tong)比(bi)(bi)增(zeng)(zeng)(zeng)長(chang)(chang)21.8%;實現利(li)潤6887.7億(yi)元(yuan)(yuan),同(tong)(tong)比(bi)(bi)增(zeng)(zeng)(zeng)長(chang)(chang)18.9%;上繳稅(shui)金6146.5億(yi)元(yuan)(yuan),同(tong)(tong)比(bi)(bi)增(zeng)(zeng)(zeng)長(chang)(chang)23.5%。絕大多數中央企業(ye)(ye)(ye)(ye)實現了主營業(ye)(ye)(ye)(ye)務收入與利(li)潤的(de)同(tong)(tong)步增(zeng)(zeng)(zeng)長(chang)(chang),累計實現主營業(ye)(ye)(ye)(ye)務收入同(tong)(tong)比(bi)(bi)增(zeng)(zeng)(zeng)長(chang)(chang)的(de)有(you)(you)145家,占90.1%;實現利(li)潤同(tong)(tong)比(bi)(bi)增(zeng)(zeng)(zeng)長(chang)(chang)的(de)有(you)(you)129家,占80.1%。預(yu)計全年主營業(ye)(ye)(ye)(ye)務收入可(ke)達(da)8萬(wan)億(yi)元(yuan)(yuan),實現利(li)潤可(ke)達(da)7200億(yi)元(yuan)(yuan),上繳稅(shui)金可(ke)達(da)7000億(yi)元(yuan)(yuan)。到(dao)2006年底,中央企業(ye)(ye)(ye)(ye)資(zi)產總額可(ke)達(da)12.2萬(wan)億(yi)元(yuan)(yuan),比(bi)(bi)上年增(zeng)(zeng)(zeng)長(chang)(chang)15%左右。

  二是(shi)運(yun)(yun)行質量進一步提(ti)高(gao)(gao)。中(zhong)央(yang)企(qi)業(ye)(ye)(ye)(ye)盈利(li)能力普遍增強,資(zi)產(chan)運(yun)(yun)營效率普遍提(ti)高(gao)(gao),總(zong)(zong)體(ti)負債水(shui)平(ping)(ping)穩中(zhong)有(you)(you)(you)降(jiang)。1-11月,中(zhong)央(yang)企(qi)業(ye)(ye)(ye)(ye)凈資(zi)產(chan)收益率平(ping)(ping)均(jun)(jun)為(wei)9.6%,同(tong)比(bi)(bi)(bi)(bi)提(ti)高(gao)(gao)0.4個百(bai)分(fen)點(dian),同(tong)比(bi)(bi)(bi)(bi)提(ti)高(gao)(gao)的(de)(de)企(qi)業(ye)(ye)(ye)(ye)有(you)(you)(you)91家(jia);總(zong)(zong)資(zi)產(chan)報酬率平(ping)(ping)均(jun)(jun)為(wei)6.9%,同(tong)比(bi)(bi)(bi)(bi)提(ti)高(gao)(gao)0.2個百(bai)分(fen)點(dian),同(tong)比(bi)(bi)(bi)(bi)提(ti)高(gao)(gao)的(de)(de)企(qi)業(ye)(ye)(ye)(ye)有(you)(you)(you)103家(jia)。總(zong)(zong)資(zi)產(chan)周轉(zhuan)率平(ping)(ping)均(jun)(jun)為(wei)0.64次(ci),同(tong)比(bi)(bi)(bi)(bi)提(ti)高(gao)(gao)0.04次(ci),同(tong)比(bi)(bi)(bi)(bi)提(ti)高(gao)(gao)的(de)(de)企(qi)業(ye)(ye)(ye)(ye)有(you)(you)(you)113家(jia);應收賬款(kuan)周轉(zhuan)率11.8次(ci),同(tong)比(bi)(bi)(bi)(bi)提(ti)高(gao)(gao)0.5次(ci),同(tong)比(bi)(bi)(bi)(bi)提(ti)高(gao)(gao)的(de)(de)企(qi)業(ye)(ye)(ye)(ye)有(you)(you)(you)100家(jia)。平(ping)(ping)均(jun)(jun)資(zi)產(chan)負債率為(wei)56.8%,多數企(qi)業(ye)(ye)(ye)(ye)資(zi)產(chan)負債率同(tong)比(bi)(bi)(bi)(bi)都有(you)(you)(you)所(suo)降(jiang)低。

  三是(shi)投(tou)(tou)(tou)(tou)資(zi)(zi)(zi)(zi)結構(gou)進一(yi)(yi)步優(you)化(hua)。1-11月,中(zhong)央(yang)企(qi)業(ye)完(wan)(wan)成(cheng)固定資(zi)(zi)(zi)(zi)產(chan)投(tou)(tou)(tou)(tou)資(zi)(zi)(zi)(zi)10553.9億元,同比增長29.5%。主(zhu)(zhu)要(yao)有以(yi)(yi)下幾個特(te)點:一(yi)(yi)是(shi)投(tou)(tou)(tou)(tou)資(zi)(zi)(zi)(zi)主(zhu)(zhu)要(yao)集中(zhong)在石油石化(hua)、電力(li)(li)、電信等重(zhong)點行(xing)(xing)業(ye),這(zhe)三個行(xing)(xing)業(ye)的企(qi)業(ye)完(wan)(wan)成(cheng)投(tou)(tou)(tou)(tou)資(zi)(zi)(zi)(zi)約占(zhan)中(zhong)央(yang)企(qi)業(ye)全部投(tou)(tou)(tou)(tou)資(zi)(zi)(zi)(zi)的85%。二是(shi)主(zhu)(zhu)業(ye)投(tou)(tou)(tou)(tou)資(zi)(zi)(zi)(zi)比重(zhong)提高,電力(li)(li)、石油石化(hua)、電信、冶金(jin)、汽(qi)車(che)五大行(xing)(xing)業(ye)97%以(yi)(yi)上的投(tou)(tou)(tou)(tou)資(zi)(zi)(zi)(zi)額(e)投(tou)(tou)(tou)(tou)向了主(zhu)(zhu)業(ye)。三是(shi)投(tou)(tou)(tou)(tou)資(zi)(zi)(zi)(zi)的重(zhong)點主(zhu)(zhu)要(yao)是(shi)解決能源資(zi)(zi)(zi)(zi)源“瓶頸”制約、調(diao)整產(chan)品(pin)結構(gou)、提高生產(chan)技術水平(ping)。石油石化(hua)企(qi)業(ye)投(tou)(tou)(tou)(tou)資(zi)(zi)(zi)(zi)主(zhu)(zhu)要(yao)用于(yu)油田勘(kan)探開發,鋼鐵企(qi)業(ye)投(tou)(tou)(tou)(tou)資(zi)(zi)(zi)(zi)主(zhu)(zhu)要(yao)用于(yu)調(diao)整鋼材品(pin)種結構(gou),重(zhong)大裝(zhuang)備制造企(qi)業(ye)投(tou)(tou)(tou)(tou)資(zi)(zi)(zi)(zi)主(zhu)(zhu)要(yao)用于(yu)提升技術裝(zhuang)備水平(ping)。四是(shi)投(tou)(tou)(tou)(tou)資(zi)(zi)(zi)(zi)中(zhong)自有資(zi)(zi)(zi)(zi)金(jin)比例平(ping)均達到61.7%,比2005年(nian)提高1.1個百分點,電信、汽(qi)車(che)、石油石化(hua)、冶金(jin)企(qi)業(ye)投(tou)(tou)(tou)(tou)資(zi)(zi)(zi)(zi)中(zhong)自有資(zi)(zi)(zi)(zi)金(jin)比例均在70%以(yi)(yi)上。

  四是節能(neng)(neng)(neng)降(jiang)(jiang)(jiang)耗(hao)(hao)(hao)取(qu)得新的成效。中央企(qi)(qi)業(ye)認(ren)真貫徹(che)落實《國務院關于加強(qiang)節能(neng)(neng)(neng)工作的決定》精神,積(ji)極開展創(chuang)建資源節約型企(qi)(qi)業(ye)活動,以節能(neng)(neng)(neng)降(jiang)(jiang)(jiang)耗(hao)(hao)(hao)為抓手,帶動企(qi)(qi)業(ye)改革、結(jie)構調整、技術創(chuang)新和加強(qiang)管理(li)。通過優(you)(you)化生產系統(tong)組織管理(li)、加強(qiang)目標(biao)(biao)(biao)(biao)考核等一(yi)系列措施,節能(neng)(neng)(neng)降(jiang)(jiang)(jiang)耗(hao)(hao)(hao)指(zhi)標(biao)(biao)(biao)(biao)進一(yi)步優(you)(you)化。冶金企(qi)(qi)業(ye)主(zhu)要能(neng)(neng)(neng)耗(hao)(hao)(hao)指(zhi)標(biao)(biao)(biao)(biao)均有不同程度下降(jiang)(jiang)(jiang),其中,寶鋼噸鋼耗(hao)(hao)(hao)新水(shui)比上年下降(jiang)(jiang)(jiang)14.6%;武鋼噸鋼綜合(he)能(neng)(neng)(neng)耗(hao)(hao)(hao)同比下降(jiang)(jiang)(jiang)22.58千(qian)克標(biao)(biao)(biao)(biao)煤,預計(ji)全(quan)年余熱余能(neng)(neng)(neng)發電將超過10億千(qian)瓦時;鞍鋼噸鋼綜合(he)能(neng)(neng)(neng)耗(hao)(hao)(hao)同比下降(jiang)(jiang)(jiang)61千(qian)克標(biao)(biao)(biao)(biao)煤;中國鋁業(ye)鋁材(cai)生產綜合(he)能(neng)(neng)(neng)耗(hao)(hao)(hao)同比下降(jiang)(jiang)(jiang)31%,全(quan)年節能(neng)(neng)(neng)有望超100萬(wan)噸標(biao)(biao)(biao)(biao)煤。三大(da)石油石化公司預計(ji)全(quan)年節約能(neng)(neng)(neng)耗(hao)(hao)(hao)350萬(wan)噸標(biao)(biao)(biao)(biao)煤,節水(shui)1億立方米。

  在(zai)生產經(jing)營快速增長的(de)同(tong)時,中(zhong)央(yang)(yang)企業(ye)(ye)(ye)對經(jing)濟(ji)社(she)會(hui)發(fa)展(zhan)的(de)貢獻(xian)進(jin)一步顯現。石油石化(hua)企業(ye)(ye)(ye)在(zai)國(guo)內(nei)(nei)成(cheng)品(pin)(pin)油與進(jin)口(kou)成(cheng)品(pin)(pin)油價(jia)格倒掛較為嚴重的(de)情況下,通(tong)過(guo)提負荷、增資源、調(diao)結構、壓出口(kou)、保(bao)(bao)重點等(deng)綜合措(cuo)施,確保(bao)(bao)了國(guo)內(nei)(nei)成(cheng)品(pin)(pin)油市(shi)場(chang)(chang)的(de)穩(wen)定供應(ying)。電(dian)力企業(ye)(ye)(ye)加強電(dian)網改造(zao),加快發(fa)展(zhan)農電(dian)事業(ye)(ye)(ye),全(quan)面推進(jin)“戶戶通(tong)電(dian)”工程,保(bao)(bao)障(zhang)了電(dian)力供應(ying)。電(dian)信(xin)企業(ye)(ye)(ye)在(zai)經(jing)濟(ji)社(she)會(hui)信(xin)息(xi)化(hua)建(jian)(jian)設中(zhong)發(fa)揮了重要作(zuo)用(yong)。軍(jun)工企業(ye)(ye)(ye)深化(hua)改革,加快技術創新,按時保(bao)(bao)質保(bao)(bao)量完(wan)成(cheng)軍(jun)品(pin)(pin)科研和生產任務,為國(guo)防現代化(hua)建(jian)(jian)設做出了重要貢獻(xian)。建(jian)(jian)筑(zhu)、建(jian)(jian)材、商貿等(deng)行業(ye)(ye)(ye)的(de)中(zhong)央(yang)(yang)企業(ye)(ye)(ye)在(zai)承擔(dan)國(guo)家重點建(jian)(jian)設工程、穩(wen)定市(shi)場(chang)(chang)等(deng)方面,都做出了重要貢獻(xian)。

  2004-2006年(nian)是中(zhong)央(yang)企(qi)業(ye)負責人第一個業(ye)績考核(he)任期。三(san)年(nian)來,中(zhong)央(yang)企(qi)業(ye)發生(sheng)了可喜變化。初(chu)步測算(suan),2004-2006年(nian),中(zhong)央(yang)企(qi)業(ye)主營業(ye)務收入增(zeng)(zeng)(zeng)長78.8%,年(nian)均遞增(zeng)(zeng)(zeng)21.4%;實現利潤增(zeng)(zeng)(zeng)長140%,年(nian)均遞增(zeng)(zeng)(zeng)33.8%;上繳(jiao)稅金增(zeng)(zeng)(zeng)長96.5%,年(nian)均遞增(zeng)(zeng)(zeng)25.2%;凈資產(chan)(chan)收益率達到10%,提(ti)高了5個百分點;國有資產(chan)(chan)保(bao)值增(zeng)(zeng)(zeng)值率達到144.4%。有13家中(zhong)央(yang)企(qi)業(ye)進(jin)入2006年(nian)公布的(de)世界500強,比2004年(nian)增(zeng)(zeng)(zeng)加5家。這是中(zhong)央(yang)企(qi)業(ye)1000萬干(gan)部職(zhi)工抓(zhua)住機(ji)遇(yu)、頑(wan)強拼搏、扎實工作的(de)結果(guo),成績來之(zhi)不易(yi)。在(zai)此,我代(dai)表國資委(wei)(wei)和國資委(wei)(wei)黨委(wei)(wei)向(xiang)你(ni)們(men),并通(tong)過你(ni)們(men)向(xiang)辛勤工作和做出貢(gong)獻的(de)全體(ti)干(gan)部職(zhi)工表示衷心的(de)感謝!

  三年(nian)來(lai),中(zhong)央企(qi)業(ye)認真(zhen)貫徹黨(dang)的(de)十六大(da)和(he)歷次(ci)全會精神,落實(shi)黨(dang)中(zhong)央、國務院關于國有(you)(you)資(zi)產(chan)管理體(ti)制改(gai)革和(he)國有(you)(you)企(qi)業(ye)改(gai)革的(de)一系列重大(da)部署,抓住改(gai)革、調(diao)整、創新、管理等關鍵(jian)環節,做了(le)大(da)量扎實(shi)有(you)(you)效的(de)工作,積累了(le)寶(bao)貴的(de)經驗。

  (一)深化(hua)改革為企業發展(zhan)提供(gong)強大的(de)動力。

  中(zhong)央企業把深化改革(ge)放在各項工作的突出(chu)位置,圍繞企業發展,大力推進股份制改革(ge),完善公司法人治理(li)結構,深化三項制度改革(ge),推動體(ti)制機制創新,為企業發展提供了強(qiang)大的動力。

  股份(fen)(fen)制改(gai)革和境內(nei)外上(shang)市(shi)(shi)推進了企(qi)(qi)業(ye)(ye)經營(ying)機制轉(zhuan)換。2003年(nian)以來,共有(you)33家中(zhong)央(yang)企(qi)(qi)業(ye)(ye)首次在境內(nei)外公開發行股票并上(shang)市(shi)(shi)。其中(zhong),中(zhong)國(guo)交(jiao)通股份(fen)(fen)、中(zhong)煤能源、招商能源運輸(shu)、大(da)唐(tang)國(guo)際發電、中(zhong)國(guo)通信服務、中(zhong)海石油化學、南車株(zhu)洲電氣、保利房地產、中(zhong)國(guo)建材等企(qi)(qi)業(ye)(ye)去年(nian)上(shang)市(shi)(shi),共募(mu)集資金575億元。到(dao)目前為止,中(zhong)央(yang)企(qi)(qi)業(ye)(ye)控股的194家上(shang)市(shi)(shi)公司中(zhong),已(yi)有(you)191家完成或正在啟(qi)動股權分(fen)置改(gai)革,占總數的98.45%。中(zhong)央(yang)企(qi)(qi)業(ye)(ye)及下屬(shu)子企(qi)(qi)業(ye)(ye)的公司制股份(fen)(fen)制企(qi)(qi)業(ye)(ye)戶數比重(zhong)已(yi)由2002年(nian)的30.4%提(ti)高到(dao)2006年(nian)的64.2%。

  中(zhong)央企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)董(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)試點(dian)推進了(le)公(gong)司法(fa)人治理(li)結構的(de)(de)完(wan)善。寶鋼、神(shen)華等19家企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)開(kai)展(zhan)了(le)董(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)試點(dian),共選派(pai)了(le)65名外(wai)部(bu)董(dong)(dong)事(shi)(shi),有14家試點(dian)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)的(de)(de)外(wai)部(bu)董(dong)(dong)事(shi)(shi)達到或(huo)超過了(le)董(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)成(cheng)員的(de)(de)半數(shu),實現了(le)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)決策(ce)層與(yu)執行(xing)層分(fen)開(kai),董(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)運作(zuo)基(ji)本(ben)制度逐步建立(li),各專(zhuan)門(men)委員會(hui)(hui)(hui)開(kai)始運行(xing),企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)管理(li)層的(de)(de)責任感和(he)使(shi)命感進一步增強(qiang)。未被列入(ru)試點(dian)的(de)(de)中(zhong)央企(qi)(qi)(qi)業(ye)(ye)(ye)(ye),也(ye)積(ji)極推進規范的(de)(de)董(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)建設。中(zhong)船集團(tuan)上(shang)海外(wai)高橋(qiao)公(gong)司通過建立(li)規范的(de)(de)國有股份公(gong)司董(dong)(dong)事(shi)(shi)會(hui)(hui)(hui),充分(fen)發(fa)(fa)揮董(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)在企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)經(jing)營決策(ce)中(zhong)的(de)(de)核心(xin)作(zuo)用(yong),促進了(le)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)發(fa)(fa)展(zhan)。兵器裝備對子企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)派(pai)出董(dong)(dong)事(shi)(shi)、監事(shi)(shi)和(he)委派(pai)總會(hui)(hui)(hui)計師,并選派(pai)了(le)專(zhuan)職出資人代(dai)表,目前集團(tuan)子企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)中(zhong)的(de)(de)38戶工業(ye)(ye)(ye)(ye)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)全部(bu)建立(li)了(le)比較規范的(de)(de)董(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)。

  三項制度(du)改(gai)革進(jin)(jin)一(yi)步(bu)增(zeng)強了(le)企(qi)業(ye)(ye)的(de)(de)活力(li)。三年來,國(guo)資(zi)委大(da)力(li)推進(jin)(jin)用(yong)人(ren)制度(du)改(gai)革,先后組織78家(次)企(qi)業(ye)(ye)面(mian)向社會(hui)(hui)公開招聘81名高級經營(ying)(ying)管理者,在10家企(qi)業(ye)(ye)通(tong)過(guo)競(jing)爭(zheng)上崗(gang)方式選拔了(le)20名高級經營(ying)(ying)管理者。通(tong)過(guo)開展(zhan)公開招聘和競(jing)爭(zheng)上崗(gang),初步(bu)營(ying)(ying)造了(le)人(ren)才(cai)脫穎而出(chu)的(de)(de)良好環境,擴(kuo)充了(le)中(zhong)央(yang)企(qi)業(ye)(ye)人(ren)才(cai)儲(chu)備,已有(you)1400多名社會(hui)(hui)各類人(ren)才(cai)進(jin)(jin)入中(zhong)央(yang)企(qi)業(ye)(ye)人(ren)才(cai)庫。許多企(qi)業(ye)(ye)把黨(dang)管干部的(de)(de)原則和市場(chang)化選人(ren)用(yong)人(ren)相(xiang)結(jie)合,進(jin)(jin)行了(le)積極的(de)(de)探索,目前中(zhong)央(yang)企(qi)業(ye)(ye)通(tong)過(guo)市場(chang)化方式選用(yong)的(de)(de)各級經營(ying)(ying)管理人(ren)才(cai),約(yue)占總數(shu)的(de)(de)30%。一(yi)批企(qi)業(ye)(ye)建立了(le)比較完善有(you)效的(de)(de)面(mian)向社會(hui)(hui)公開招聘和全體員工競(jing)爭(zheng)上崗(gang)、量化考核(he)、末位淘汰、收入分配與業(ye)(ye)績掛鉤的(de)(de)機(ji)制。

  國(guo)有(you)資(zi)產(chan)管(guan)理體制(zhi)改(gai)(gai)革不斷深化,推(tui)動了(le)中(zhong)央企業(ye)(ye)(ye)的(de)(de)改(gai)(gai)革發展。國(guo)資(zi)委成(cheng)立以來(lai),我們注重牢(lao)牢(lao)把(ba)握出(chu)(chu)資(zi)人(ren)(ren)定(ding)位(wei),依法履(lv)行職責(ze),切實(shi)落實(shi)國(guo)有(you)資(zi)產(chan)保值(zhi)增值(zhi)責(ze)任。在清產(chan)核資(zi)的(de)(de)基(ji)礎上(shang),對(dui)中(zhong)央企業(ye)(ye)(ye)負責(ze)人(ren)(ren)進行了(le)年(nian)度和任期經(jing)營業(ye)(ye)(ye)績考(kao)核,并將業(ye)(ye)(ye)績考(kao)核和收入(ru)分配掛鉤。同時,加強(qiang)了(le)企業(ye)(ye)(ye)財務監(jian)督(du)(du)和監(jian)事會監(jian)督(du)(du)。監(jian)事會主席認真(zhen)履(lv)行監(jian)督(du)(du)職責(ze),客觀報告(gao)企業(ye)(ye)(ye)情況,做(zuo)了(le)大量卓(zhuo)有(you)成(cheng)效的(de)(de)工作(zuo)。中(zhong)央企業(ye)(ye)(ye)負責(ze)人(ren)(ren)以搞好(hao)(hao)企業(ye)(ye)(ye)、發展壯大國(guo)有(you)經(jing)濟(ji)為己任,表(biao)現出(chu)(chu)很強(qiang)的(de)(de)責(ze)任感和良好(hao)(hao)的(de)(de)精神狀態,帶領廣大干部(bu)職工奮力拼搏,扎實(shi)工作(zuo),創造出(chu)(chu)良好(hao)(hao)的(de)(de)經(jing)營業(ye)(ye)(ye)績。在新的(de)(de)國(guo)有(you)資(zi)產(chan)管(guan)理體制(zhi)下,我們共同探索了(le)一(yi)條遵(zun)循(xun)企業(ye)(ye)(ye)發展規律搞好(hao)(hao)國(guo)有(you)企業(ye)(ye)(ye)的(de)(de)路子,這是推(tui)動中(zhong)央企業(ye)(ye)(ye)實(shi)現持續快速健康發展的(de)(de)一(yi)個重要因素。

  (二)調整結構為企(qi)業發展增添新的活力。

  三(san)年來,我(wo)們始(shi)終把(ba)加快中(zhong)(zhong)央(yang)企業(ye)布局結構調(diao)整(zheng)(zheng)作為促進企業(ye)持續(xu)發展(zhan)的一項重要措施,強調(diao)突(tu)出主業(ye),先(xian)后分五批(pi)核定公(gong)布了137家中(zhong)(zhong)央(yang)企業(ye)的主業(ye)。中(zhong)(zhong)央(yang)企業(ye)圍繞做強做大(da)主業(ye),積(ji)極開展(zhan)調(diao)整(zheng)(zheng)重組,縮短管理(li)鏈條(tiao),推(tui)進自(zi)主創新,拓展(zhan)海外(wai)市場,企業(ye)發展(zhan)呈現了新的活力。

  壓縮管(guan)理(li)層(ceng)級(ji)(ji),優化(hua)了(le)(le)企(qi)(qi)(qi)業(ye)(ye)(ye)組(zu)(zu)織結(jie)構。目前,大部(bu)(bu)(bu)分(fen)中(zhong)央(yang)企(qi)(qi)(qi)業(ye)(ye)(ye)已將管(guan)理(li)層(ceng)級(ji)(ji)初步壓縮到三(san)級(ji)(ji)以(yi)內。廣核電取消了(le)(le)三(san)級(ji)(ji)以(yi)下的全部(bu)(bu)(bu)企(qi)(qi)(qi)業(ye)(ye)(ye)。中(zhong)石化(hua)下屬(shu)煉化(hua)企(qi)(qi)(qi)業(ye)(ye)(ye)基本完成了(le)(le)扁平(ping)化(hua)改革,由三(san)級(ji)(ji)管(guan)理(li)變(bian)成了(le)(le)兩級(ji)(ji)管(guan)理(li)。中(zhong)電投實(shi)行“小業(ye)(ye)(ye)主(zhu)(zhu)、委托制(zhi)”的運(yun)營模(mo)式,在(zai)所有發電企(qi)(qi)(qi)業(ye)(ye)(ye)實(shi)施了(le)(le)主(zhu)(zhu)輔分(fen)離(li)(li)(li)(li)、運(yun)檢分(fen)離(li)(li)(li)(li)、運(yun)管(guan)分(fen)離(li)(li)(li)(li)。中(zhong)材科(ke)工(gong)(gong)和新時(shi)代集團重組(zu)(zu)內部(bu)(bu)(bu)松(song)散業(ye)(ye)(ye)務板塊,有效(xiao)整合(he)產業(ye)(ye)(ye)鏈,優化(hua)了(le)(le)集團內部(bu)(bu)(bu)資源配置。與此同(tong)時(shi),中(zhong)央(yang)企(qi)(qi)(qi)業(ye)(ye)(ye)積極推(tui)進(jin)主(zhu)(zhu)輔分(fen)離(li)(li)(li)(li)輔業(ye)(ye)(ye)改制(zhi)和分(fen)離(li)(li)(li)(li)企(qi)(qi)(qi)業(ye)(ye)(ye)辦社會(hui)職(zhi)能工(gong)(gong)作。截(jie)至(zhi)2006年9月(yue)底(di),76家中(zhong)央(yang)企(qi)(qi)(qi)業(ye)(ye)(ye)主(zhu)(zhu)輔分(fen)離(li)(li)(li)(li)輔業(ye)(ye)(ye)改制(zhi)的方案已經得(de)到批復(fu),共涉及改制(zhi)單位4879個,分(fen)流安置富(fu)余人(ren)員77.7萬人(ren)。目前,中(zhong)央(yang)企(qi)(qi)(qi)業(ye)(ye)(ye)共分(fen)離(li)(li)(li)(li)企(qi)(qi)(qi)業(ye)(ye)(ye)辦普通中(zhong)小學1849所、公檢法機(ji)構345個,移交在(zai)職(zhi)職(zhi)工(gong)(gong)14.8萬人(ren),離(li)(li)(li)(li)退休(xiu)教師6.93萬人(ren)。

  推進(jin)自(zi)(zi)主(zhu)創新(xin)(xin)優化(hua)(hua)了(le)產品(pin)(pin)結構。圍繞行業(ye)發(fa)(fa)(fa)(fa)(fa)展和(he)市(shi)場(chang)需(xu)求,中央企(qi)業(ye)積極(ji)推進(jin)自(zi)(zi)主(zhu)創新(xin)(xin),進(jin)一(yi)(yi)步(bu)加(jia)大(da)科(ke)(ke)(ke)(ke)技(ji)(ji)(ji)(ji)研(yan)發(fa)(fa)(fa)(fa)(fa)投入(ru),開發(fa)(fa)(fa)(fa)(fa)了(le)一(yi)(yi)批具有國際、國內領先(xian)水(shui)(shui)平的(de)新(xin)(xin)技(ji)(ji)(ji)(ji)術(shu)、新(xin)(xin)產品(pin)(pin),為(wei)結構調整(zheng)和(he)產業(ye)升級提供了(le)有力的(de)技(ji)(ji)(ji)(ji)術(shu)支撐。科(ke)(ke)(ke)(ke)研(yan)設(she)計(ji)企(qi)業(ye)努力承擔行業(ye)共性、關(guan)(guan)鍵技(ji)(ji)(ji)(ji)術(shu)的(de)研(yan)發(fa)(fa)(fa)(fa)(fa)、設(she)計(ji)任務(wu),積極(ji)探索技(ji)(ji)(ji)(ji)術(shu)擴散(san)機(ji)(ji)制和(he)途徑(jing),為(wei)各行業(ye)的(de)技(ji)(ji)(ji)(ji)術(shu)提升做(zuo)出了(le)積極(ji)貢獻。軍工(gong)企(qi)業(ye)在國防關(guan)(guan)鍵技(ji)(ji)(ji)(ji)術(shu)領域大(da)力推行科(ke)(ke)(ke)(ke)技(ji)(ji)(ji)(ji)創新(xin)(xin),取得(de)了(le)一(yi)(yi)批重(zhong)大(da)技(ji)(ji)(ji)(ji)術(shu)成(cheng)(cheng)(cheng)果,“神舟(zhou)”系列載人航天成(cheng)(cheng)(cheng)為(wei)我(wo)國集成(cheng)(cheng)(cheng)創新(xin)(xin)的(de)典(dian)范;依靠(kao)(kao)自(zi)(zi)主(zhu)創新(xin)(xin)、自(zi)(zi)主(zhu)設(she)計(ji)建(jian)設(she)的(de)秦山二期60萬千(qian)瓦商用核電站,走出了(le)一(yi)(yi)條核電自(zi)(zi)主(zhu)發(fa)(fa)(fa)(fa)(fa)展的(de)路子(zi)。電信科(ke)(ke)(ke)(ke)研(yan)院提出的(de)3G國際主(zhu)流標準TD-SCDMA產業(ye)化(hua)(hua)取得(de)突(tu)破(po),并已(yi)具備商用水(shui)(shui)平。中國聯通(tong)(tong)在全(quan)球率(lv)先(xian)開發(fa)(fa)(fa)(fa)(fa)了(le)CDMA/GSM雙模雙待機(ji)(ji)終端技(ji)(ji)(ji)(ji)術(shu),獲(huo)得(de)中國通(tong)(tong)信學(xue)會科(ke)(ke)(ke)(ke)技(ji)(ji)(ji)(ji)進(jin)步(bu)一(yi)(yi)等(deng)(deng)獎第一(yi)(yi)名。鞍(an)鋼依靠(kao)(kao)自(zi)(zi)主(zhu)創新(xin)(xin)建(jian)立了(le)擁有自(zi)(zi)主(zhu)知識(shi)產權的(de)熱連軋(ya)(ya)、冷連軋(ya)(ya)和(he)冷軋(ya)(ya)硅鋼等(deng)(deng)現代化(hua)(hua)生產線。南車(che)、北車(che)集團適應我(wo)國鐵(tie)路跨越式大(da)發(fa)(fa)(fa)(fa)(fa)展的(de)需(xu)要,在引進(jin)國外機(ji)(ji)車(che)車(che)輛先(xian)進(jin)技(ji)(ji)(ji)(ji)術(shu)的(de)基礎上(shang),加(jia)大(da)消化(hua)(hua)吸收和(he)再(zai)創新(xin)(xin)的(de)力度(du),在形(xing)成(cheng)(cheng)(cheng)具有自(zi)(zi)主(zhu)知識(shi)產權高(gao)速(su)客車(che)和(he)大(da)功率(lv)機(ji)(ji)車(che)方面取得(de)重(zhong)大(da)進(jin)展。一(yi)(yi)汽加(jia)大(da)自(zi)(zi)主(zhu)品(pin)(pin)牌(pai)產品(pin)(pin)的(de)開發(fa)(fa)(fa)(fa)(fa)力度(du),已(yi)開發(fa)(fa)(fa)(fa)(fa)車(che)型(xing)471種,完(wan)成(cheng)(cheng)(cheng)科(ke)(ke)(ke)(ke)研(yan)成(cheng)(cheng)(cheng)果810項。中船重(zhong)工(gong)為(wei)伊朗建(jian)造的(de)30萬噸(dun)超大(da)型(xing)油(you)輪的(de)順利交工(gong),打破(po)了(le)日本、韓(han)國壟斷的(de)格局(ju),提高(gao)了(le)我(wo)國船舶工(gong)業(ye)整(zheng)體實力和(he)國際競爭力。

  實(shi)施“走出去”戰(zhan)略(lve)開(kai)拓了海(hai)外市場(chang),優化了市場(chang)結構。三大石(shi)油石(shi)化公司(si)(si)積(ji)極(ji)開(kai)發(fa)利用(yong)(yong)海(hai)外油氣(qi)資源(yuan),在(zai)(zai)自身實(shi)力(li)不斷增強的(de)同(tong)時,為(wei)維護國(guo)(guo)家能源(yuan)安全(quan)(quan)做(zuo)出了貢獻。五礦、中(zhong)國(guo)(guo)鋁業、有色集團等(deng)企(qi)業積(ji)極(ji)推進礦產資源(yuan)全(quan)(quan)球戰(zhan)略(lve),拓展營銷網(wang)絡,控制關鍵資源(yuan),取得(de)了積(ji)極(ji)成(cheng)(cheng)效。中(zhong)建、中(zhong)鐵(tie)工(gong)(gong)、中(zhong)鐵(tie)建等(deng)企(qi)業積(ji)極(ji)承建國(guo)(guo)外高難度工(gong)(gong)程項目,一批項目已成(cheng)(cheng)為(wei)所(suo)在(zai)(zai)國(guo)(guo)的(de)標(biao)志性(xing)工(gong)(gong)程。南方電(dian)(dian)網(wang)在(zai)(zai)次(ci)區域國(guo)(guo)家電(dian)(dian)網(wang)互聯、電(dian)(dian)力(li)交易和合作(zuo)開(kai)發(fa)電(dian)(dian)源(yuan)等(deng)方面發(fa)揮(hui)了積(ji)極(ji)作(zuo)用(yong)(yong),成(cheng)(cheng)功實(shi)現或啟動了向越(yue)南、泰國(guo)(guo)、老撾送(song)電(dian)(dian)。中(zhong)國(guo)(guo)網(wang)通完成(cheng)(cheng)了中(zhong)俄、中(zhong)蒙、中(zhong)越(yue)光纜及傳輸系(xi)統建設,實(shi)施了國(guo)(guo)際出口帶寬(kuan)擴(kuo)容和安全(quan)(quan)配套工(gong)(gong)程。中(zhong)央(yang)企(qi)業在(zai)(zai)“走出去”過程中(zhong),注重融入(ru)當(dang)地社會,為(wei)所(suo)在(zai)(zai)國(guo)(guo)創造就業崗位,促進了當(dang)地經(jing)濟發(fa)展。中(zhong)遠為(wei)美國(guo)(guo)波士頓港口提供了9000個(ge)就業崗位,成(cheng)(cheng)為(wei)當(dang)地最受歡迎的(de)外國(guo)(guo)公司(si)(si)。五礦德(de)國(guo)(guo)公司(si)(si)贊助支持(chi)德(de)國(guo)(guo)杜賽爾(er)多夫地區政府(fu)舉辦(ban)第一屆(jie)中(zhong)德(de)企(qi)業論壇,樹立了中(zhong)國(guo)(guo)企(qi)業的(de)良(liang)好形象。

  (三)加(jia)強管理(li)為企(qi)業發展奠定堅實的基礎。

  三年來,中(zhong)央企業積極推(tui)進管(guan)理(li)(li)創新,加強(qiang)產權(quan)管(guan)理(li)(li)、財務資金成本(ben)管(guan)理(li)(li)和戰略規(gui)劃管(guan)理(li)(li),增強(qiang)集團控制力和抗御(yu)風險能力,亂(luan)投資、亂(luan)擔保、亂(luan)貸款(kuan)的現(xian)象基本(ben)得(de)到遏(e)制,企業管(guan)理(li)(li)逐(zhu)步從粗放(fang)型向集約化(hua)、精(jing)細化(hua)轉變,管(guan)理(li)(li)水平有了(le)很大提高。

  強化產(chan)權(quan)(quan)管理,理順產(chan)權(quan)(quan)關系,為企(qi)(qi)業(ye)(ye)改(gai)革(ge)(ge)發展(zhan)奠(dian)定了基(ji)礎(chu)。大多數企(qi)(qi)業(ye)(ye)通過完善(shan)產(chan)權(quan)(quan)管理制度(du),加強產(chan)權(quan)(quan)基(ji)礎(chu)管理,有力地(di)推動了企(qi)(qi)業(ye)(ye)改(gai)制上市、重組整合、主輔分(fen)離等改(gai)革(ge)(ge)的進(jin)(jin)行(xing)(xing)。核工業(ye)(ye)集(ji)團將(jiang)產(chan)權(quan)(quan)管理制度(du)細化,設計了產(chan)權(quan)(quan)管理工作(zuo)(zuo)流程(cheng)圖,有效(xiao)(xiao)(xiao)地(di)規范(fan)了集(ji)團所(suo)屬企(qi)(qi)業(ye)(ye)的改(gai)革(ge)(ge)行(xing)(xing)為。中航(hang)集(ji)團結合產(chan)權(quan)(quan)換(huan)證(zheng)及登記工作(zuo)(zuo)對(dui)各級(ji)子(zi)企(qi)(qi)業(ye)(ye)進(jin)(jin)行(xing)(xing)了全(quan)面(mian)清理,為集(ji)團資(zi)(zi)源整合和改(gai)革(ge)(ge)提供(gong)了重要依(yi)據。兵器裝備(bei)、華能等企(qi)(qi)業(ye)(ye)統一(yi)招標(biao)評估(gu)(gu)機構,并進(jin)(jin)行(xing)(xing)動態管理,劣出優進(jin)(jin),從資(zi)(zi)產(chan)評估(gu)(gu)源頭著手提高評估(gu)(gu)報告質量。中央企(qi)(qi)業(ye)(ye)規范(fan)國有產(chan)權(quan)(quan)交易、促進(jin)(jin)國有產(chan)權(quan)(quan)有序流轉工作(zuo)(zuo)初見成效(xiao)(xiao)(xiao),進(jin)(jin)一(yi)步發揮了市場配置(zhi)資(zi)(zi)源的效(xiao)(xiao)(xiao)用,促進(jin)(jin)了資(zi)(zi)源配置(zhi)方式的轉變。

  強(qiang)化財務(wu)資(zi)(zi)金管(guan)(guan)理(li)(li)(li)(li),加(jia)(jia)強(qiang)成(cheng)本控制(zhi),促進(jin)了經濟(ji)效(xiao)益(yi)(yi)的(de)(de)提高。一批(pi)企(qi)業結合自身特點,積極(ji)推廣(guang)精(jing)細化管(guan)(guan)理(li)(li)(li)(li)、全面預算管(guan)(guan)理(li)(li)(li)(li)等先進(jin)管(guan)(guan)理(li)(li)(li)(li)理(li)(li)(li)(li)念和方(fang)法,取(qu)得明顯成(cheng)效(xiao)。中(zhong)石(shi)油采取(qu)貸款封閉運行(xing)(xing)(xing)、收(shou)支兩(liang)條(tiao)線及債務(wu)集(ji)中(zhong)管(guan)(guan)理(li)(li)(li)(li)等措施,撤并8000多個銀(yin)(yin)行(xing)(xing)(xing)賬(zhang)(zhang)戶,債務(wu)規(gui)模縮減了1000多億(yi)(yi)(yi)元(yuan)。國家電網(wang)清(qing)理(li)(li)(li)(li)撤并銀(yin)(yin)行(xing)(xing)(xing)賬(zhang)(zhang)戶9480個,網(wang)省公司(si)歸(gui)集(ji)資(zi)(zi)金占(zhan)貨幣資(zi)(zi)金存量的(de)(de)87.4%。寶鋼三年來實施精(jing)細化項目260項,共創造(zao)財務(wu)收(shou)益(yi)(yi)12億(yi)(yi)(yi)元(yuan)。中(zhong)國移動、中(zhong)國電信等企(qi)業建(jian)立集(ji)中(zhong)采購(gou)制(zhi)度(du)(du),加(jia)(jia)大(da)集(ji)中(zhong)招標(biao)采購(gou)力(li)度(du)(du),有效(xiao)降低了設(she)備采購(gou)成(cheng)本。國開投通過比價管(guan)(guan)理(li)(li)(li)(li)選擇融(rong)資(zi)(zi)機構(gou),節約(yue)融(rong)資(zi)(zi)成(cheng)本約(yue)20億(yi)(yi)(yi)元(yuan)。中(zhong)船重工實行(xing)(xing)(xing)擔保(bao)集(ji)中(zhong)審(shen)批(pi)管(guan)(guan)理(li)(li)(li)(li),加(jia)(jia)大(da)對外擔保(bao)的(de)(de)清(qing)理(li)(li)(li)(li)力(li)度(du)(du),使對外擔保(bao)余(yu)額從(cong)年初的(de)(de)32.9億(yi)(yi)(yi)元(yuan)減少(shao)到1.8億(yi)(yi)(yi)元(yuan),大(da)大(da)降低了對外擔保(bao)風(feng)險。

  強化戰(zhan)(zhan)略規劃管理(li),為企業發(fa)(fa)展(zhan)明確了(le)方向(xiang)。中糧充(chong)分(fen)發(fa)(fa)揮戰(zhan)(zhan)略規劃的(de)主導(dao)和引(yin)領作用(yong),通過(guo)制(zhi)定發(fa)(fa)展(zhan)戰(zhan)(zhan)略,調整(zheng)和重(zhong)組業務(wu)單元,推進(jin)資源優化配(pei)置。中遠按照集(ji)團(tuan)發(fa)(fa)展(zhan)戰(zhan)(zhan)略,實行(xing)了(le)以流程優化、資源重(zhong)組、質量制(zhi)勝(sheng)、內(nei)涵發(fa)(fa)展(zhan)為特征(zheng)的(de)一系列改(gai)革舉措,加快了(le)國際化進(jin)程。中化集(ji)團(tuan)經(jing)(jing)過(guo)多年探(tan)索,已經(jing)(jing)形(xing)成了(le)發(fa)(fa)展(zhan)戰(zhan)(zhan)略導(dao)向(xiang)下的(de)三年滾動規劃編制(zhi)和年度預(yu)算考核緊(jin)密結合的(de)管理(li)機制(zhi),促進(jin)了(le)經(jing)(jing)濟效益的(de)穩(wen)步提高(gao)。

  加強投(tou)(tou)資(zi)活動全過程管理,提(ti)高了(le)投(tou)(tou)入產出效益。中石(shi)油(you)、中石(shi)化(hua)(hua)、中國電(dian)信、華能、國電(dian)、國開投(tou)(tou)等(deng)企業建(jian)立健(jian)全了(le)投(tou)(tou)資(zi)項(xiang)目后(hou)評(ping)價(jia)(jia)制度,后(hou)評(ping)價(jia)(jia)工作(zuo)(zuo)逐步走向制度化(hua)(hua)、規范(fan)化(hua)(hua)和(he)程序化(hua)(hua)。中石(shi)油(you)后(hou)評(ping)價(jia)(jia)工作(zuo)(zuo)涵蓋了(le)公(gong)司(si)六大業務領域,占公(gong)司(si)總(zong)投(tou)(tou)資(zi)額的90%以上。中石(shi)化(hua)(hua)把前(qian)一(yi)輪后(hou)評(ping)價(jia)(jia)結(jie)論作(zuo)(zuo)為后(hou)一(yi)輪改造(zao)的依據,新上乙烯項(xiang)目科學選(xuan)用國產化(hua)(hua)設(she)備,相同設(she)備節省投(tou)(tou)資(zi)50%。華能通過能耗及(ji)污染(ran)物排(pai)放后(hou)評(ping)價(jia)(jia),挖掘(jue)節能潛力,為建(jian)設(she)資(zi)源節約型電(dian)廠提(ti)供了(le)重要依據。

  加(jia)強(qiang)風險管理與控制(zhi),增(zeng)強(qiang)了(le)抗御風險能(neng)力。大多數(shu)企業(ye)都建立健全了(le)風險管理的規(gui)章制(zhi)度(du),一批企業(ye)的境外上市公司建立了(le)比較完善的內部控制(zhi)體(ti)系(xi),并將內控體(ti)系(xi)擴展到存續企業(ye)。中(zhong)央企業(ye)還加(jia)快(kuai)了(le)法律顧(gu)問(wen)制(zhi)度(du)建設,已有(you)119家企業(ye)設立企業(ye)法律事務機構,33家實行了(le)總法律顧(gu)問(wen)制(zhi)度(du),依法決策、依法經(jing)營管理、依法維護權益的能(neng)力和水(shui)平有(you)了(le)明顯提高。

  (四)加強(qiang)和改進企(qi)業黨建(jian)為(wei)企(qi)業發(fa)展提供(gong)堅強(qiang)的保(bao)證。

  在看到成績和進步的同時,我們也要十分清醒地看到,我們的工作還存在很多差距和不足,中央企業的改革發展仍然存在一些不容忽視的問題。一是企業改革相對滯后。目前,中央企業股份制改革的面還不夠寬,集團一級不少企業還是按《企業法》注冊的國有獨資企業。規范的董事會建設才剛起步,完善公司法人治理結構的任務十分繁重。企業內部改革還不到位,經營者能上能下、人員能進能出、收入能增能減的機制在不少企業還沒有真正建立。二是布局結構不盡合理。目前,中央企業分布仍然過寬,在國民經濟的95個大類行業中,中央企業三級以上企業涉足86個行業,行業分布面為90.5%。國有資本集中度仍然處于較低水平,中小型企業數量仍過多,相當一部分企業主業不清晰;大型企業在企業規模、創新能力、品牌建設、經營效率等方面與優秀的國際大公司相比,差距還相當大。歷史遺留的大量不良資產、無效資產和非主業資產還沒有得到徹底解決。三是經濟運行中仍然存在許多問題。有的企業資產運行質量不高,凈資產收益率和銷售利潤率甚至低于1%;有的企業債務風險較大,盲目擴大規模,過度負債經營,過度擔保;有的企業集團管控能力不強,管理相對滯后,對資金籌集、管理和利用等重大財務事項缺乏有效的內控監督,對所屬子企業缺乏有效控制。這些問題嚴重制約著中央企業的改革與發展,必須高度重視,抓住當前的有利時機,下決心、下功夫加快解決。
