關于做好2016年度《企業年度工作報告》填報工作的通知

各中央企業:
依(yi)照《國(guo)有企(qi)業(ye)監事會(hui)(hui)(hui)暫行條例》(國(guo)務院令第283號)、《關于(yu)加(jia)強和(he)改進國(guo)有企(qi)業(ye)監事會(hui)(hui)(hui)工(gong)(gong)作(zuo)的(de)若干意見》(國(guo)資發監督〔2006〕174號)和(he)《關于(yu)進一步支持配合(he)監事會(hui)(hui)(hui)開展監督檢查工(gong)(gong)作(zuo)有關事項的(de)通知(zhi)(zhi)》(國(guo)資發監督〔2012〕120號)的(de)有關規定(ding),各中(zhong)央企(qi)業(ye)每年(nian)向監事會(hui)(hui)(hui)報(bao)(bao)送(song)《企(qi)業(ye)年(nian)度工(gong)(gong)作(zuo)報(bao)(bao)告(gao)》(以下(xia)簡(jian)稱年(nian)度報(bao)(bao)告(gao))。為做好2016年(nian)度報(bao)(bao)告(gao)填報(bao)(bao)工(gong)(gong)作(zuo),現將有關事項通知(zhi)(zhi)如(ru)下(xia):
一、加強組織領導(dao),健全工作體系(xi)
各中央企(qi)業(ye)要(yao)(yao)高度(du)(du)(du)(du)(du)重視年度(du)(du)(du)(du)(du)報(bao)告(gao)(gao)工(gong)(gong)(gong)作(zuo)(zuo)(zuo),健全組(zu)織(zhi)領(ling)(ling)導(dao)機制(zhi),成(cheng)立年度(du)(du)(du)(du)(du)報(bao)告(gao)(gao)工(gong)(gong)(gong)作(zuo)(zuo)(zuo)領(ling)(ling)導(dao)小組(zu)或聯(lian)(lian)席會議,統籌(chou)(chou)謀劃(hua)、協同推動各項工(gong)(gong)(gong)作(zuo)(zuo)(zuo)。要(yao)(yao)研究(jiu)制(zhi)定年度(du)(du)(du)(du)(du)報(bao)告(gao)(gao)工(gong)(gong)(gong)作(zuo)(zuo)(zuo)落(luo)實方(fang)案,明(ming)確工(gong)(gong)(gong)作(zuo)(zuo)(zuo)目標、具體(ti)措施、責(ze)(ze)(ze)任(ren)(ren)主體(ti)和進度(du)(du)(du)(du)(du)要(yao)(yao)求(qiu)(qiu),強(qiang)化(hua)部(bu)門(men)聯(lian)(lian)動,結合企(qi)業(ye)實際編制(zhi)可追溯、可量(liang)化(hua)、可評價、可考核(he)的(de)工(gong)(gong)(gong)作(zuo)(zuo)(zuo)任(ren)(ren)務分(fen)解臺賬(zhang)。企(qi)業(ye)法定代表人(ren)要(yao)(yao)認真(zhen)履行好年度(du)(du)(du)(du)(du)報(bao)告(gao)(gao)工(gong)(gong)(gong)作(zuo)(zuo)(zuo)第一(yi)責(ze)(ze)(ze)任(ren)(ren)人(ren)職(zhi)責(ze)(ze)(ze),強(qiang)化(hua)領(ling)(ling)導(dao)、落(luo)實責(ze)(ze)(ze)任(ren)(ren),嚴格把關(guan)、確保質(zhi)量(liang);分(fen)管(guan)領(ling)(ling)導(dao)要(yao)(yao)履行好直(zhi)接(jie)責(ze)(ze)(ze)任(ren)(ren)人(ren)職(zhi)責(ze)(ze)(ze),深入一(yi)線(xian)、靠前指揮,把控關(guan)鍵、重點督辦;牽頭部(bu)門(men)要(yao)(yao)加強(qiang)組(zu)織(zhi)協調,及時分(fen)解落(luo)實任(ren)(ren)務、規范工(gong)(gong)(gong)作(zuo)(zuo)(zuo)流程、細化(hua)工(gong)(gong)(gong)作(zuo)(zuo)(zuo)要(yao)(yao)求(qiu)(qiu)、密切跟蹤督促、強(qiang)化(hua)過程控制(zhi);協同部(bu)門(men)要(yao)(yao)明(ming)確任(ren)(ren)務分(fen)工(gong)(gong)(gong),主動參與、積極(ji)配合,細化(hua)落(luo)實工(gong)(gong)(gong)作(zuo)(zuo)(zuo)責(ze)(ze)(ze)任(ren)(ren),形成(cheng)有效工(gong)(gong)(gong)作(zuo)(zuo)(zuo)合力。中央企(qi)業(ye)集(ji)團總(zong)部(bu)要(yao)(yao)加強(qiang)對子(zi)企(qi)業(ye)年度(du)(du)(du)(du)(du)報(bao)告(gao)(gao)工(gong)(gong)(gong)作(zuo)(zuo)(zuo)的(de)統籌(chou)(chou)領(ling)(ling)導(dao),做(zuo)到(dao)統一(yi)部(bu)署、統一(yi)標準、統一(yi)實施、統一(yi)審核(he),建立完善橫(heng)向全面覆(fu)蓋、縱向責(ze)(ze)(ze)任(ren)(ren)到(dao)人(ren)的(de)組(zu)織(zhi)管(guan)理體(ti)系。
二、圍繞中心工作,全面(mian)梳理排查
各(ge)中(zhong)央(yang)企(qi)業(ye)要(yao)以年(nian)度報告(gao)工(gong)(gong)作為抓(zhua)(zhua)手,緊(jin)密圍繞中(zhong)心工(gong)(gong)作,全(quan)面(mian)(mian)(mian)總結(jie)一年(nian)來企(qi)業(ye)經營(ying)管(guan)(guan)(guan)理(li)和(he)改(gai)(gai)革發展情況,深入排查(cha)重(zhong)(zhong)(zhong)大(da)問(wen)題(ti)和(he)風(feng)(feng)險(xian)隱患,探(tan)索建立企(qi)業(ye)自查(cha)問(wen)題(ti)清單,認真(zhen)分析查(cha)找(zhao)原因,制(zhi)(zhi)定切實可行的(de)整改(gai)(gai)措施(shi)。要(yao)圍繞黨中(zhong)央(yang)、國(guo)(guo)務(wu)院重(zhong)(zhong)(zhong)大(da)決策部(bu)署(shu)及國(guo)(guo)資(zi)(zi)(zi)監管(guan)(guan)(guan)政策規定執行情況,系統(tong)梳(shu)理(li)深化國(guo)(guo)企(qi)國(guo)(guo)資(zi)(zi)(zi)改(gai)(gai)革和(he)推(tui)進供(gong)給(gei)側(ce)結(jie)構性改(gai)(gai)革、瘦身健體、提(ti)質(zhi)(zhi)增效等重(zhong)(zhong)(zhong)點任務(wu)落實情況,著重(zhong)(zhong)(zhong)分析化解過剩產能(neng)、處置“僵尸(shi)企(qi)業(ye)”、特困企(qi)業(ye)專項(xiang)治理(li)、壓縮管(guan)(guan)(guan)理(li)層(ceng)級、減少法人數量、加快解決歷史遺留問(wen)題(ti)等重(zhong)(zhong)(zhong)點專項(xiang)工(gong)(gong)作情況及存在(zai)的(de)問(wen)題(ti)。要(yao)以提(ti)高發展質(zhi)(zhi)量和(he)效益為中(zhong)心,全(quan)面(mian)(mian)(mian)梳(shu)理(li)、集中(zhong)排查(cha)企(qi)業(ye)內部(bu)控(kong)制(zhi)(zhi)、財(cai)務(wu)管(guan)(guan)(guan)理(li)、運(yun)營(ying)管(guan)(guan)(guan)控(kong)、境外資(zi)(zi)(zi)產管(guan)(guan)(guan)理(li)、黨建及公司(si)治理(li)等方(fang)面(mian)(mian)(mian)存在(zai)的(de)重(zhong)(zhong)(zhong)要(yao)管(guan)(guan)(guan)控(kong)缺陷,詳(xiang)細(xi)報告(gao)企(qi)業(ye)重(zhong)(zhong)(zhong)大(da)資(zi)(zi)(zi)產減值(zhi)、重(zhong)(zhong)(zhong)大(da)資(zi)(zi)(zi)產損失、重(zhong)(zhong)(zhong)大(da)經營(ying)風(feng)(feng)險(xian)、債務(wu)違約風(feng)(feng)險(xian)等重(zhong)(zhong)(zhong)要(yao)風(feng)(feng)險(xian)事(shi)項(xiang)。要(yao)建立健全(quan)年(nian)度報告(gao)揭示(shi)問(wen)題(ti)整改(gai)(gai)落實機制(zhi)(zhi),形成(cheng)部(bu)門間齊(qi)抓(zhua)(zhua)共管(guan)(guan)(guan)、整改(gai)(gai)聯動(dong)的(de)工(gong)(gong)作局面(mian)(mian)(mian),有效發揮年(nian)度報告(gao)在(zai)系統(tong)診斷和(he)風(feng)(feng)險(xian)預判方(fang)面(mian)(mian)(mian)的(de)重(zhong)(zhong)(zhong)要(yao)作用。
三、加強溝通配合,明確范圍(wei)重點
各(ge)(ge)中(zhong)(zhong)央(yang)(yang)(yang)企(qi)(qi)業(ye)(ye)要(yao)深入(ru)貫徹落實(shi)中(zhong)(zhong)央(yang)(yang)(yang)企(qi)(qi)業(ye)(ye)監(jian)事(shi)(shi)會(hui)(hui)工(gong)作(zuo)會(hui)(hui)議精神(shen),按照“兩個融(rong)入(ru)”、“五個必須”的(de)總(zong)體要(yao)求,進一步(bu)加強與派(pai)駐(zhu)本(ben)企(qi)(qi)業(ye)(ye)監(jian)事(shi)(shi)會(hui)(hui)的(de)溝(gou)通配合,根據(ju)監(jian)事(shi)(shi)會(hui)(hui)監(jian)督檢查工(gong)作(zuo)需要(yao),結合企(qi)(qi)業(ye)(ye)經(jing)營規(gui)模、組織架構(gou)、管控模式、行(xing)業(ye)(ye)特點(dian)、區域分布、發展階段(duan)等(deng)情況(kuang),共同確定企(qi)(qi)業(ye)(ye)填(tian)報范(fan)圍(wei)(wei)和年度重(zhong)點(dian)披露(lu)事(shi)(shi)項。原則上,年度報告填(tian)報范(fan)圍(wei)(wei)包括企(qi)(qi)業(ye)(ye)集團、境內(nei)(nei)(外)二級(ji)單(dan)位(wei)、各(ge)(ge)級(ji)金融(rong)子企(qi)(qi)業(ye)(ye)以及(ji)所托(tuo)管企(qi)(qi)業(ye)(ye);整體上市中(zhong)(zhong)央(yang)(yang)(yang)企(qi)(qi)業(ye)(ye)填(tian)報范(fan)圍(wei)(wei)包括控股上市公(gong)司所屬境內(nei)(nei)(外)二級(ji)單(dan)位(wei);離岸公(gong)司、殼公(gong)司等(deng)特殊(shu)子企(qi)(qi)業(ye)(ye)不納(na)入(ru)填(tian)報范(fan)圍(wei)(wei),監(jian)事(shi)(shi)會(hui)(hui)另有要(yao)求的(de)除(chu)外。三級(ji)(含)以下重(zhong)要(yao)子企(qi)(qi)業(ye)(ye)及(ji)重(zhong)要(yao)非法人(ren)實(shi)體等(deng)填(tian)報范(fan)圍(wei)(wei)與監(jian)事(shi)(shi)會(hui)(hui)共同商定,根據(ju)監(jian)事(shi)(shi)會(hui)(hui)工(gong)作(zuo)需要(yao)及(ji)年度監(jian)督檢查計劃(hua)安(an)排,納(na)入(ru)填(tian)報范(fan)圍(wei)(wei)。鼓勵有條件的(de)中(zhong)(zhong)央(yang)(yang)(yang)企(qi)(qi)業(ye)(ye)試行(xing)全(quan)級(ji)次(ci)報送。要(yao)根據(ju)派(pai)駐(zhu)本(ben)企(qi)(qi)業(ye)(ye)監(jian)事(shi)(shi)會(hui)(hui)的(de)要(yao)求,分行(xing)業(ye)(ye)、分業(ye)(ye)務板塊梳理重(zhong)點(dian)關(guan)注事(shi)(shi)項和重(zhong)點(dian)填(tian)報內(nei)(nei)容。
四(si)、融入日常(chang)管(guan)控,完善長效(xiao)機(ji)制(zhi)
各(ge)中央企業(ye)要(yao)深入推進年(nian)度(du)(du)(du)報(bao)(bao)告(gao)工(gong)作(zuo)(zuo)與企業(ye)日常管(guan)控工(gong)作(zuo)(zuo)的深度(du)(du)(du)融合,努力實現(xian)工(gong)作(zuo)(zuo)聯(lian)動(dong)(dong)、信(xin)息(xi)(xi)共(gong)享(xiang)、資源整合、成果(guo)(guo)共(gong)用(yong)(yong),著力形(xing)成以年(nian)度(du)(du)(du)報(bao)(bao)告(gao)為抓(zhua)手的企業(ye)自(zi)我診斷(duan)、自(zi)我完善(shan)的長效(xiao)(xiao)工(gong)作(zuo)(zuo)機(ji)(ji)制(zhi)。要(yao)加(jia)強年(nian)度(du)(du)(du)報(bao)(bao)告(gao)制(zhi)度(du)(du)(du)建(jian)(jian)設(she),建(jian)(jian)立(li)(li)統一工(gong)作(zuo)(zuo)規范(fan)和標準體(ti)系(xi),科(ke)學安排(pai)工(gong)作(zuo)(zuo)進度(du)(du)(du),細化(hua)(hua)規范(fan)工(gong)作(zuo)(zuo)標準,嚴(yan)格(ge)審核(he)評價流程,實現(xian)全程閉(bi)環管(guan)理(li)。要(yao)建(jian)(jian)立(li)(li)內部(bu)協同(tong)聯(lian)動(dong)(dong)機(ji)(ji)制(zhi),充分(fen)利用(yong)(yong)已有(you)管(guan)理(li)系(xi)統、內部(bu)成果(guo)(guo)、工(gong)作(zuo)(zuo)報(bao)(bao)告(gao)等信(xin)息(xi)(xi)載體(ti),避免(mian)重復(fu)歸集、重復(fu)報(bao)(bao)送(song)。要(yao)實現(xian)年(nian)度(du)(du)(du)報(bao)(bao)告(gao)與企業(ye)信(xin)息(xi)(xi)化(hua)(hua)工(gong)作(zuo)(zuo)有(you)效(xiao)(xiao)對接,充分(fen)利用(yong)(yong)信(xin)息(xi)(xi)化(hua)(hua)建(jian)(jian)設(she)基(ji)礎,以大(da)數據為核(he)心推進年(nian)度(du)(du)(du)報(bao)(bao)告(gao)信(xin)息(xi)(xi)化(hua)(hua)建(jian)(jian)設(she),創新工(gong)作(zuo)(zuo)方法,提高工(gong)作(zuo)(zuo)效(xiao)(xiao)率,分(fen)享(xiang)信(xin)息(xi)(xi)資源,深化(hua)(hua)成果(guo)(guo)應(ying)用(yong)(yong)。要(yao)建(jian)(jian)立(li)(li)健全年(nian)度(du)(du)(du)報(bao)(bao)告(gao)質量(liang)綜合評價機(ji)(ji)制(zhi),研究制(zhi)定年(nian)度(du)(du)(du)報(bao)(bao)告(gao)工(gong)作(zuo)(zuo)及支持配合監(jian)事會工(gong)作(zuo)(zuo)與業(ye)績考核(he)掛鉤的具體(ti)措(cuo)施,完善(shan)激勵(li)約束(shu)長效(xiao)(xiao)機(ji)(ji)制(zhi),推動(dong)(dong)年(nian)度(du)(du)(du)報(bao)(bao)告(gao)工(gong)作(zuo)(zuo)落到(dao)實處。
五、落實填報(bao)任務,按時備案報(bao)送
(一)請(qing)各中央企(qi)業于2016年(nian)(nian)12月15日前將與派(pai)駐本(ben)企(qi)業監事(shi)會共同確(que)定(ding)的擬(ni)報(bao)送年(nian)(nian)度報(bao)告(gao)有關事(shi)項,以正式文件形式(式樣見(jian)附件1)報(bao)監事(shi)會工作局備案。
(二)請各中央企業(ye)于2017年(nian)2月28日前將集(ji)團公(gong)司與(yu)各級子企業(ye)年(nian)度(du)報告一并(bing)以正(zheng)式(shi)文件(jian)(jian)形式(shi)(式(shi)樣見附件(jian)(jian)2)報送(song)派駐本(ben)企業(ye)監(jian)(jian)事會(紙質材料1套(tao),光盤(pan)2套(tao)),同(tong)時將年(nian)度(du)報告(光盤(pan)1套(tao))及正(zheng)式(shi)文件(jian)(jian)報送(song)監(jian)(jian)事會工(gong)作局備案。
(三)年度報(bao)(bao)告繼續(xu)使用軟(ruan)(ruan)件(jian)填(tian)(tian)報(bao)(bao)。《2016年度企業(ye)年度工(gong)作報(bao)(bao)告格(ge)式文本及編制(zhi)說明》安裝在填(tian)(tian)報(bao)(bao)軟(ruan)(ruan)件(jian)中,繼續(xu)探索推進(jin)信息化報(bao)(bao)送和綜合應用。需要填(tian)(tian)報(bao)(bao)軟(ruan)(ruan)件(jian)及紙質(zhi)材料的企業(ye)請與(yu)監事(shi)會工(gong)作局聯系。
(四)國(guo)資委(wei)將組(zu)織(zhi)召開(kai)“2016年(nian)度中央企(qi)業年(nian)度工(gong)作報告布置培訓視頻會議”,屆(jie)時(shi)請(qing)各中央企(qi)業按通(tong)知要求(qiu)組(zu)織(zhi)相關人(ren)員參會。
各中央企業在(zai)填報過程中遇到的問題,請(qing)及(ji)時(shi)與派駐本(ben)企業監事會或(huo)監事會工作局聯系。
