國務院總理溫家寶6月30日(ri)主持召開國務院常務會議(yi)(yi),研究(jiu)部署促進企業兼(jian)并(bing)重組,聽取對(dui)中央(yang)企業監督檢查和國有(you)企業監事會工(gong)作情況匯報,審(shen)議(yi)(yi)并(bing)原則通過《自然(ran)災害救助條例(草案)》。
會議指出,近(jin)年來,各行業、各領域通(tong)過(guo)企(qi)業合(he)并和股權、資產(chan)收購(gou)等多(duo)種形式積極進行整合(he),企(qi)業兼并重(zhong)(zhong)組(zu)(zu)步伐加快,產(chan)業組(zu)(zu)織(zhi)結構不(bu)斷優化(hua)。但一些(xie)行業產(chan)業集中度低、自(zi)主創(chuang)新能(neng)力(li)不(bu)強、市場競(jing)(jing)爭力(li)較弱等問題仍然(ran)突(tu)出。在資源(yuan)環境約束日益(yi)嚴重(zhong)(zhong)、國際(ji)產(chan)業競(jing)(jing)爭更(geng)加激烈(lie)的新形勢下,必須(xu)切實(shi)推(tui)進企(qi)業兼并重(zhong)(zhong)組(zu)(zu),深化(hua)企(qi)業改革(ge),促(cu)進產(chan)業結構優化(hua)升(sheng)級(ji),加快經(jing)濟發(fa)展方式轉(zhuan)變(bian),提高發(fa)展質量和效益(yi),增強抵御國際(ji)市場風險能(neng)力(li),實(shi)現可持續發(fa)展。
會議(yi)(yi)強調,促進企(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)兼(jian)(jian)(jian)(jian)(jian)(jian)并(bing)(bing)(bing)(bing)(bing)重(zhong)(zhong)(zhong)(zhong)組(zu)(zu),必須堅(jian)(jian)(jian)持(chi)(chi)發揮企(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)的(de)(de)(de)主體(ti)作(zuo)(zuo)用,充分(fen)(fen)尊(zun)重(zhong)(zhong)(zhong)(zhong)企(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)意愿;堅(jian)(jian)(jian)持(chi)(chi)市場(chang)(chang)化運作(zuo)(zuo),促進市場(chang)(chang)公平競爭(zheng),優勝劣汰(tai);依法(fa)妥善(shan)解決資產(chan)債(zhai)務處(chu)置和(he)職(zhi)工(gong)安置問題,維護(hu)企(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)、社(she)會的(de)(de)(de)和(he)諧穩定。一(yi)要消除企(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)兼(jian)(jian)(jian)(jian)(jian)(jian)并(bing)(bing)(bing)(bing)(bing)重(zhong)(zhong)(zhong)(zhong)組(zu)(zu)的(de)(de)(de)制度(du)障礙(ai)。清理(li)(li)廢(fei)止各種不利(li)于(yu)企(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)兼(jian)(jian)(jian)(jian)(jian)(jian)并(bing)(bing)(bing)(bing)(bing)重(zhong)(zhong)(zhong)(zhong)組(zu)(zu)和(he)妨礙(ai)公平競爭(zheng)的(de)(de)(de)規(gui)定,堅(jian)(jian)(jian)決取消地(di)方(fang)自(zi)(zi)行(xing)出臺的(de)(de)(de)限制外地(di)企(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)對本地(di)企(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)實(shi)施兼(jian)(jian)(jian)(jian)(jian)(jian)并(bing)(bing)(bing)(bing)(bing)重(zhong)(zhong)(zhong)(zhong)組(zu)(zu)的(de)(de)(de)規(gui)定。地(di)區(qu)間可簽訂(ding)財稅(shui)利(li)益(yi)(yi)分(fen)(fen)成(cheng)協議(yi)(yi),實(shi)現企(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)兼(jian)(jian)(jian)(jian)(jian)(jian)并(bing)(bing)(bing)(bing)(bing)重(zhong)(zhong)(zhong)(zhong)組(zu)(zu)成(cheng)果共享。切(qie)實(shi)向民(min)營(ying)資本開(kai)放法(fa)律(lv)法(fa)規(gui)未禁止進入(ru)的(de)(de)(de)行(xing)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)和(he)領(ling)域(yu),加(jia)(jia)(jia)快壟斷行(xing)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)改革(ge),鼓勵民(min)營(ying)資本通(tong)過兼(jian)(jian)(jian)(jian)(jian)(jian)并(bing)(bing)(bing)(bing)(bing)重(zhong)(zhong)(zhong)(zhong)組(zu)(zu)等方(fang)式進入(ru)壟斷行(xing)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)的(de)(de)(de)競爭(zheng)性(xing)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)務領(ling)域(yu)。二(er)要加(jia)(jia)(jia)強對企(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)兼(jian)(jian)(jian)(jian)(jian)(jian)并(bing)(bing)(bing)(bing)(bing)重(zhong)(zhong)(zhong)(zhong)組(zu)(zu)的(de)(de)(de)引(yin)導和(he)政(zheng)策扶持(chi)(chi)。通(tong)過兼(jian)(jian)(jian)(jian)(jian)(jian)并(bing)(bing)(bing)(bing)(bing)重(zhong)(zhong)(zhong)(zhong)組(zu)(zu),堅(jian)(jian)(jian)決淘汰(tai)落(luo)后產(chan)能。中央(yang)設立專項資金,支持(chi)(chi)中央(yang)企(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)兼(jian)(jian)(jian)(jian)(jian)(jian)并(bing)(bing)(bing)(bing)(bing)重(zhong)(zhong)(zhong)(zhong)組(zu)(zu)。支持(chi)(chi)兼(jian)(jian)(jian)(jian)(jian)(jian)并(bing)(bing)(bing)(bing)(bing)重(zhong)(zhong)(zhong)(zhong)組(zu)(zu)企(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)技術改造和(he)產(chan)品結構(gou)調整。充分(fen)(fen)發揮資本市場(chang)(chang)推(tui)動企(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)重(zhong)(zhong)(zhong)(zhong)組(zu)(zu)的(de)(de)(de)作(zuo)(zuo)用,落(luo)實(shi)稅(shui)收優惠,加(jia)(jia)(jia)大金融支持(chi)(chi)力度(du),完善(shan)土(tu)地(di)管(guan)理(li)(li)政(zheng)策。三(san)要改進對兼(jian)(jian)(jian)(jian)(jian)(jian)并(bing)(bing)(bing)(bing)(bing)重(zhong)(zhong)(zhong)(zhong)組(zu)(zu)的(de)(de)(de)管(guan)理(li)(li)和(he)服(fu)務。堅(jian)(jian)(jian)持(chi)(chi)政(zheng)企(qi)(qi)(qi)(qi)(qi)(qi)分(fen)(fen)開(kai),規(gui)范和(he)改進企(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)兼(jian)(jian)(jian)(jian)(jian)(jian)并(bing)(bing)(bing)(bing)(bing)重(zhong)(zhong)(zhong)(zhong)組(zu)(zu)行(xing)政(zheng)審批。加(jia)(jia)(jia)強風險監控和(he)信息(xi)披露,有效防(fang)范和(he)打擊內幕交易(yi)和(he)市場(chang)(chang)操縱行(xing)為,保護(hu)企(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)利(li)益(yi)(yi),防(fang)止國有資產(chan)流(liu)失。做好(hao)(hao)信息(xi)咨(zi)詢服(fu)務,拓(tuo)寬企(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)兼(jian)(jian)(jian)(jian)(jian)(jian)并(bing)(bing)(bing)(bing)(bing)重(zhong)(zhong)(zhong)(zhong)組(zu)(zu)供(gong)求信息(xi)的(de)(de)(de)交流(liu)渠道。四要推(tui)進企(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)體(ti)制改革(ge),通(tong)過企(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)兼(jian)(jian)(jian)(jian)(jian)(jian)并(bing)(bing)(bing)(bing)(bing)重(zhong)(zhong)(zhong)(zhong)組(zu)(zu),進一(yi)步加(jia)(jia)(jia)強和(he)改善(shan)經營(ying)管(guan)理(li)(li),促進自(zi)(zi)主創(chuang)新,提高企(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)市場(chang)(chang)競爭(zheng)力。會議(yi)(yi)要求各地(di)區(qu)、各有關部(bu)門加(jia)(jia)(jia)強組(zu)(zu)織領(ling)導和(he)指導協調,細化配套政(zheng)策措(cuo)施,認真抓(zhua)好(hao)(hao)工(gong)作(zuo)(zuo)落(luo)實(shi)。
會(hui)(hui)議(yi)聽取了(le)對(dui)中(zhong)央(yang)(yang)(yang)企(qi)業(ye)(ye)(ye)(ye)(ye)監(jian)(jian)(jian)督(du)檢查和(he)國(guo)(guo)有企(qi)業(ye)(ye)(ye)(ye)(ye)監(jian)(jian)(jian)事會(hui)(hui)工作情況(kuang)的(de)匯報(bao)。會(hui)(hui)議(yi)指出(chu),2009年,中(zhong)央(yang)(yang)(yang)企(qi)業(ye)(ye)(ye)(ye)(ye)認真貫徹黨中(zhong)央(yang)(yang)(yang)、國(guo)(guo)務(wu)院決策部署,積極應(ying)對(dui)國(guo)(guo)際金(jin)融危機(ji),全面落實重點(dian)產(chan)業(ye)(ye)(ye)(ye)(ye)調(diao)整和(he)振興(xing)規劃(hua),深化(hua)企(qi)業(ye)(ye)(ye)(ye)(ye)改革(ge),著(zhu)力增(zeng)強(qiang)經(jing)營(ying)活力和(he)創(chuang)新能力,切實履行社(she)會(hui)(hui)責任,保持(chi)了(le)生(sheng)產(chan)經(jing)營(ying)總(zong)體平穩(wen)運(yun)行,發(fa)(fa)揮了(le)國(guo)(guo)有經(jing)濟主導作用。同時,也(ye)存(cun)在(zai)一些影響(xiang)企(qi)業(ye)(ye)(ye)(ye)(ye)持(chi)續發(fa)(fa)展和(he)涉及國(guo)(guo)有資(zi)(zi)產(chan)安全的(de)問題(ti),主要是:部分企(qi)業(ye)(ye)(ye)(ye)(ye)歷史欠帳多(duo);盲目(mu)擴張,財務(wu)風險大;效益回升基礎不穩(wen)固;發(fa)(fa)展主業(ye)(ye)(ye)(ye)(ye)不專(zhuan)注,布局結構不合理;企(qi)業(ye)(ye)(ye)(ye)(ye)集(ji)團管控力度不足;境(jing)外(wai)項目(mu)缺乏控制;違(wei)法違(wei)紀違(wei)規問題(ti)時有發(fa)(fa)生(sheng)。下一步,要繼續加(jia)大監(jian)(jian)(jian)事會(hui)(hui)監(jian)(jian)(jian)督(du)力度,完善外(wai)部監(jian)(jian)(jian)督(du)機(ji)制,促(cu)進中(zhong)央(yang)(yang)(yang)企(qi)業(ye)(ye)(ye)(ye)(ye)深化(hua)改革(ge),規范管理,確(que)保國(guo)(guo)有資(zi)(zi)產(chan)保值增(zeng)值。
會(hui)議(yi)(yi)(yi)審議(yi)(yi)(yi)并原則(ze)(ze)通過《自(zi)(zi)(zi)(zi)然(ran)(ran)(ran)災害(hai)(hai)(hai)救(jiu)(jiu)(jiu)助(zhu)條(tiao)(tiao)(tiao)例(li)(草案(an))》。會(hui)議(yi)(yi)(yi)指出,我國自(zi)(zi)(zi)(zi)然(ran)(ran)(ran)災害(hai)(hai)(hai)多(duo)發頻發,是世界上(shang)受(shou)(shou)自(zi)(zi)(zi)(zi)然(ran)(ran)(ran)災害(hai)(hai)(hai)影響(xiang)最嚴(yan)重的國家(jia)之一。黨(dang)中央、國務院歷來高(gao)度(du)重視自(zi)(zi)(zi)(zi)然(ran)(ran)(ran)災害(hai)(hai)(hai)救(jiu)(jiu)(jiu)助(zhu)工作(zuo),經過多(duo)年(nian)(nian)努(nu)力,初步建立了(le)自(zi)(zi)(zi)(zi)然(ran)(ran)(ran)災害(hai)(hai)(hai)救(jiu)(jiu)(jiu)助(zhu)應(ying)急體系(xi)。近5年(nian)(nian)來,平均每年(nian)(nian)救(jiu)(jiu)(jiu)助(zhu)受(shou)(shou)災群眾6000萬至8000萬人次。為進一步規(gui)范自(zi)(zi)(zi)(zi)然(ran)(ran)(ran)災害(hai)(hai)(hai)救(jiu)(jiu)(jiu)助(zhu)工作(zuo),保障受(shou)(shou)災人員(yuan)基(ji)本生活,有必要(yao)在總結實(shi)踐經驗的基(ji)礎(chu)上(shang)制(zhi)定《自(zi)(zi)(zi)(zi)然(ran)(ran)(ran)災害(hai)(hai)(hai)救(jiu)(jiu)(jiu)助(zhu)條(tiao)(tiao)(tiao)例(li)》。條(tiao)(tiao)(tiao)例(li)草案(an)規(gui)定,自(zi)(zi)(zi)(zi)然(ran)(ran)(ran)災害(hai)(hai)(hai)救(jiu)(jiu)(jiu)助(zhu)工作(zuo)遵循以人為本、政府主導、分級管理、社會(hui)互助(zhu)與受(shou)(shou)災人員(yuan)自(zi)(zi)(zi)(zi)救(jiu)(jiu)(jiu)相結合的原則(ze)(ze),實(shi)行(xing)各級人民政府行(xing)政領導負責制(zhi)。草案(an)明確(que)了(le)自(zi)(zi)(zi)(zi)然(ran)(ran)(ran)災害(hai)(hai)(hai)救(jiu)(jiu)(jiu)助(zhu)準備措施(shi),確(que)立了(le)預警響(xiang)應(ying)、應(ying)急響(xiang)應(ying)機制(zhi)和受(shou)(shou)災人員(yuan)災后(hou)生活救(jiu)(jiu)(jiu)助(zhu)制(zhi)度(du),強化了(le)對救(jiu)(jiu)(jiu)助(zhu)款物的監管。
