依照《國有(you)企業監(jian)事會(hui)暫行條例》(國務(wu)院令第283號(hao))、《關于加強和(he)改進國有(you)企業監(jian)事會(hui)工作(zuo)(zuo)的若干意見》(國資發監(jian)督〔2006〕174號(hao))和(he)《關于進一(yi)步支持配合監(jian)事會(hui)開展監(jian)督檢查工作(zuo)(zuo)有(you)關事項的通知(zhi)》(國資發監(jian)督〔2012〕120號(hao))的有(you)關規定,各中(zhong)央(yang)企業每年向監(jian)事會(hui)報送《企業年度工作(zuo)(zuo)報告》(以下(xia)簡(jian)稱年度報告)。為(wei)做好2016年度報告填報工作(zuo)(zuo),現(xian)將有(you)關事項通知(zhi)如(ru)下(xia):
一(yi)、加強組織(zhi)領導,健(jian)全工作體系
各中央企(qi)(qi)業(ye)(ye)要(yao)高度(du)重(zhong)視年(nian)度(du)報告工(gong)(gong)(gong)(gong)作(zuo)(zuo),健(jian)全組(zu)織領導機制,成(cheng)立(li)(li)年(nian)度(du)報告工(gong)(gong)(gong)(gong)作(zuo)(zuo)領導小組(zu)或(huo)聯(lian)席會(hui)議,統籌(chou)謀劃(hua)、協同(tong)推動各項工(gong)(gong)(gong)(gong)作(zuo)(zuo)。要(yao)研(yan)究制定年(nian)度(du)報告工(gong)(gong)(gong)(gong)作(zuo)(zuo)落(luo)(luo)實方案,明確工(gong)(gong)(gong)(gong)作(zuo)(zuo)目標、具體措施(shi)、責(ze)(ze)任(ren)(ren)主體和進度(du)要(yao)求,強(qiang)(qiang)(qiang)化(hua)部門聯(lian)動,結(jie)合企(qi)(qi)業(ye)(ye)實際編制可(ke)追溯(su)、可(ke)量化(hua)、可(ke)評價、可(ke)考核的(de)工(gong)(gong)(gong)(gong)作(zuo)(zuo)任(ren)(ren)務分解臺賬。企(qi)(qi)業(ye)(ye)法定代表人要(yao)認真履行(xing)好(hao)年(nian)度(du)報告工(gong)(gong)(gong)(gong)作(zuo)(zuo)第一(yi)責(ze)(ze)任(ren)(ren)人職責(ze)(ze),強(qiang)(qiang)(qiang)化(hua)領導、落(luo)(luo)實責(ze)(ze)任(ren)(ren),嚴格把(ba)關、確保質量;分管領導要(yao)履行(xing)好(hao)直接責(ze)(ze)任(ren)(ren)人職責(ze)(ze),深入一(yi)線(xian)、靠前指揮,把(ba)控關鍵(jian)、重(zhong)點督辦;牽頭部門要(yao)加強(qiang)(qiang)(qiang)組(zu)織協調,及時分解落(luo)(luo)實任(ren)(ren)務、規范工(gong)(gong)(gong)(gong)作(zuo)(zuo)流程、細化(hua)工(gong)(gong)(gong)(gong)作(zuo)(zuo)要(yao)求、密切跟蹤督促(cu)、強(qiang)(qiang)(qiang)化(hua)過程控制;協同(tong)部門要(yao)明確任(ren)(ren)務分工(gong)(gong)(gong)(gong),主動參與、積極配(pei)合,細化(hua)落(luo)(luo)實工(gong)(gong)(gong)(gong)作(zuo)(zuo)責(ze)(ze)任(ren)(ren),形(xing)成(cheng)有效工(gong)(gong)(gong)(gong)作(zuo)(zuo)合力(li)。中央企(qi)(qi)業(ye)(ye)集團總部要(yao)加強(qiang)(qiang)(qiang)對子(zi)企(qi)(qi)業(ye)(ye)年(nian)度(du)報告工(gong)(gong)(gong)(gong)作(zuo)(zuo)的(de)統籌(chou)領導,做到統一(yi)部署、統一(yi)標準(zhun)、統一(yi)實施(shi)、統一(yi)審核,建立(li)(li)完善橫向全面覆蓋、縱向責(ze)(ze)任(ren)(ren)到人的(de)組(zu)織管理體系。
二、圍繞中心工作,全面梳(shu)理排(pai)查(cha)
各中(zhong)(zhong)央企(qi)業要(yao)(yao)以年度報告(gao)工作(zuo)(zuo)為抓手,緊密圍繞(rao)中(zhong)(zhong)心(xin)工作(zuo)(zuo),全面總結一年來企(qi)業經營管(guan)(guan)理(li)(li)(li)和改(gai)革發(fa)展(zhan)情況,深(shen)入排(pai)查重(zhong)大(da)問(wen)題(ti)和風(feng)險隱患(huan),探索建(jian)立企(qi)業自查問(wen)題(ti)清單,認真分(fen)析查找原因,制定切(qie)實可行(xing)的整(zheng)改(gai)措施。要(yao)(yao)圍繞(rao)黨(dang)中(zhong)(zhong)央、國務院重(zhong)大(da)決(jue)策部(bu)(bu)署及國資監管(guan)(guan)政策規定執行(xing)情況,系統(tong)梳(shu)理(li)(li)(li)深(shen)化(hua)國企(qi)國資改(gai)革和推進供給側結構(gou)性(xing)改(gai)革、瘦身健(jian)體(ti)、提質增效(xiao)等(deng)重(zhong)點任(ren)務落實情況,著重(zhong)分(fen)析化(hua)解過剩產(chan)能(neng)、處置“僵尸企(qi)業”、特困企(qi)業專(zhuan)項(xiang)治理(li)(li)(li)、壓(ya)縮管(guan)(guan)理(li)(li)(li)層級、減少法人數量、加快解決(jue)歷史(shi)遺留(liu)問(wen)題(ti)等(deng)重(zhong)點專(zhuan)項(xiang)工作(zuo)(zuo)情況及存在的問(wen)題(ti)。要(yao)(yao)以提高發(fa)展(zhan)質量和效(xiao)益為中(zhong)(zhong)心(xin),全面梳(shu)理(li)(li)(li)、集中(zhong)(zhong)排(pai)查企(qi)業內部(bu)(bu)控(kong)(kong)制、財(cai)務管(guan)(guan)理(li)(li)(li)、運營管(guan)(guan)控(kong)(kong)、境(jing)外資產(chan)管(guan)(guan)理(li)(li)(li)、黨(dang)建(jian)及公司治理(li)(li)(li)等(deng)方面存在的重(zhong)要(yao)(yao)管(guan)(guan)控(kong)(kong)缺陷,詳細報告(gao)企(qi)業重(zhong)大(da)資產(chan)減值(zhi)、重(zhong)大(da)資產(chan)損失、重(zhong)大(da)經營風(feng)險、債務違約風(feng)險等(deng)重(zhong)要(yao)(yao)風(feng)險事項(xiang)。要(yao)(yao)建(jian)立健(jian)全年度報告(gao)揭示問(wen)題(ti)整(zheng)改(gai)落實機制,形成部(bu)(bu)門間齊抓共管(guan)(guan)、整(zheng)改(gai)聯動(dong)的工作(zuo)(zuo)局(ju)面,有效(xiao)發(fa)揮(hui)年度報告(gao)在系統(tong)診斷和風(feng)險預(yu)判方面的重(zhong)要(yao)(yao)作(zuo)(zuo)用。
三、加強(qiang)溝通配合(he),明確(que)范圍重點(dian)
各(ge)中(zhong)央企(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)要(yao)(yao)(yao)深(shen)入貫徹落實(shi)中(zhong)央企(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)監(jian)事(shi)會(hui)(hui)工作(zuo)會(hui)(hui)議精神(shen),按照(zhao)“兩個融(rong)入”、“五(wu)個必須(xu)”的總體要(yao)(yao)(yao)求,進一步加強(qiang)與(yu)派駐本企(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)監(jian)事(shi)會(hui)(hui)的溝通配合(he),根(gen)據(ju)監(jian)事(shi)會(hui)(hui)監(jian)督檢查工作(zuo)需(xu)要(yao)(yao)(yao),結合(he)企(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)經營規(gui)模(mo)(mo)、組織(zhi)架構(gou)、管控(kong)模(mo)(mo)式、行業(ye)(ye)(ye)(ye)(ye)(ye)特點(dian)、區域分(fen)布(bu)、發展階(jie)段等(deng)(deng)情況,共同確定企(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)填(tian)報范(fan)圍和(he)年度重點(dian)披露(lu)事(shi)項。原則上,年度報告填(tian)報范(fan)圍包括(kuo)企(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)集團、境內(外(wai))二級(ji)單(dan)位(wei)、各(ge)級(ji)金融(rong)子企(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)以(yi)及(ji)所托管企(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye);整體上市中(zhong)央企(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)填(tian)報范(fan)圍包括(kuo)控(kong)股上市公司(si)所屬境內(外(wai))二級(ji)單(dan)位(wei);離岸公司(si)、殼公司(si)等(deng)(deng)特殊子企(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)不納入填(tian)報范(fan)圍,監(jian)事(shi)會(hui)(hui)另有要(yao)(yao)(yao)求的除外(wai)。三級(ji)(含)以(yi)下(xia)重要(yao)(yao)(yao)子企(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)及(ji)重要(yao)(yao)(yao)非法人實(shi)體等(deng)(deng)填(tian)報范(fan)圍與(yu)監(jian)事(shi)會(hui)(hui)共同商定,根(gen)據(ju)監(jian)事(shi)會(hui)(hui)工作(zuo)需(xu)要(yao)(yao)(yao)及(ji)年度監(jian)督檢查計劃安排(pai),納入填(tian)報范(fan)圍。鼓(gu)勵有條件的中(zhong)央企(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)試行全級(ji)次報送。要(yao)(yao)(yao)根(gen)據(ju)派駐本企(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)監(jian)事(shi)會(hui)(hui)的要(yao)(yao)(yao)求,分(fen)行業(ye)(ye)(ye)(ye)(ye)(ye)、分(fen)業(ye)(ye)(ye)(ye)(ye)(ye)務板塊梳理重點(dian)關注(zhu)事(shi)項和(he)重點(dian)填(tian)報內容。
四、融入日(ri)常管(guan)控,完善長效(xiao)機(ji)制
各中(zhong)央企(qi)業(ye)要深入推(tui)進(jin)年度(du)(du)報(bao)(bao)(bao)(bao)(bao)告(gao)(gao)工(gong)(gong)(gong)作(zuo)(zuo)與(yu)企(qi)業(ye)日常(chang)管控工(gong)(gong)(gong)作(zuo)(zuo)的深度(du)(du)融(rong)合,努力(li)實(shi)(shi)現(xian)工(gong)(gong)(gong)作(zuo)(zuo)聯動(dong)、信(xin)(xin)息(xi)共(gong)享、資源整(zheng)合、成(cheng)果共(gong)用(yong),著力(li)形成(cheng)以年度(du)(du)報(bao)(bao)(bao)(bao)(bao)告(gao)(gao)為抓(zhua)手的企(qi)業(ye)自我(wo)診斷、自我(wo)完善的長效工(gong)(gong)(gong)作(zuo)(zuo)機制(zhi)。要加強年度(du)(du)報(bao)(bao)(bao)(bao)(bao)告(gao)(gao)制(zhi)度(du)(du)建(jian)設,建(jian)立統一工(gong)(gong)(gong)作(zuo)(zuo)規范(fan)和標準(zhun)體系,科學安排工(gong)(gong)(gong)作(zuo)(zuo)進(jin)度(du)(du),細化規范(fan)工(gong)(gong)(gong)作(zuo)(zuo)標準(zhun),嚴(yan)格(ge)審核評價流程(cheng),實(shi)(shi)現(xian)全程(cheng)閉(bi)環管理。要建(jian)立內部協同聯動(dong)機制(zhi),充分利用(yong)已有(you)管理系統、內部成(cheng)果、工(gong)(gong)(gong)作(zuo)(zuo)報(bao)(bao)(bao)(bao)(bao)告(gao)(gao)等信(xin)(xin)息(xi)載體,避(bi)免重(zhong)復(fu)歸集(ji)、重(zhong)復(fu)報(bao)(bao)(bao)(bao)(bao)送。要實(shi)(shi)現(xian)年度(du)(du)報(bao)(bao)(bao)(bao)(bao)告(gao)(gao)與(yu)企(qi)業(ye)信(xin)(xin)息(xi)化工(gong)(gong)(gong)作(zuo)(zuo)有(you)效對接,充分利用(yong)信(xin)(xin)息(xi)化建(jian)設基礎,以大數(shu)據為核心推(tui)進(jin)年度(du)(du)報(bao)(bao)(bao)(bao)(bao)告(gao)(gao)信(xin)(xin)息(xi)化建(jian)設,創新(xin)工(gong)(gong)(gong)作(zuo)(zuo)方法,提(ti)高工(gong)(gong)(gong)作(zuo)(zuo)效率,分享信(xin)(xin)息(xi)資源,深化成(cheng)果應(ying)用(yong)。要建(jian)立健全年度(du)(du)報(bao)(bao)(bao)(bao)(bao)告(gao)(gao)質(zhi)量綜合評價機制(zhi),研究制(zhi)定(ding)年度(du)(du)報(bao)(bao)(bao)(bao)(bao)告(gao)(gao)工(gong)(gong)(gong)作(zuo)(zuo)及支持(chi)配合監事(shi)會工(gong)(gong)(gong)作(zuo)(zuo)與(yu)業(ye)績考核掛鉤的具體措施,完善激勵約束(shu)長效機制(zhi),推(tui)動(dong)年度(du)(du)報(bao)(bao)(bao)(bao)(bao)告(gao)(gao)工(gong)(gong)(gong)作(zuo)(zuo)落到實(shi)(shi)處(chu)。
五(wu)、落(luo)實(shi)填報任務(wu),按(an)時備案報送
(一(yi))請(qing)各(ge)中央企業(ye)于2016年12月15日前(qian)將與派駐(zhu)本企業(ye)監(jian)事會(hui)共同確定的擬報(bao)(bao)送年度報(bao)(bao)告有關事項,以正式文(wen)件(jian)形式(式樣(yang)見(jian)附件(jian)1)報(bao)(bao)監(jian)事會(hui)工(gong)作局備案(an)。
(二)請各中央企業(ye)于2017年(nian)2月28日(ri)前將(jiang)集(ji)團公司與各級(ji)子企業(ye)年(nian)度報告(gao)一并(bing)以正式(shi)文(wen)件(jian)形式(shi)(式(shi)樣見附件(jian)2)報送(song)派駐本企業(ye)監事(shi)(shi)會(hui)(紙質材料(liao)1套(tao),光(guang)盤2套(tao)),同時將(jiang)年(nian)度報告(gao)(光(guang)盤1套(tao))及(ji)正式(shi)文(wen)件(jian)報送(song)監事(shi)(shi)會(hui)工作(zuo)局備案。
(三(san))年(nian)度(du)報告繼續使用(yong)軟(ruan)件(jian)填報。《2016年(nian)度(du)企(qi)業(ye)年(nian)度(du)工作報告格式文本及編(bian)制說明》安裝在填報軟(ruan)件(jian)中,繼續探索推進信息化報送和(he)綜合應用(yong)。需(xu)要填報軟(ruan)件(jian)及紙質材料(liao)的企(qi)業(ye)請與監事會工作局聯系。
(四)國資委將組織召開(kai)“2016年度中央企業年度工作報告布置培訓視(shi)頻會議”,屆時請各中央企業按通(tong)知(zhi)要(yao)求組織相關人員參會。
各(ge)中(zhong)央企(qi)業在填報過程(cheng)中(zhong)遇到的問(wen)題,請及時與派(pai)駐本企(qi)業監事會或(huo)監事會工(gong)作局聯系(xi)。
