充分發揮監事會作用的重要舉措

10月26日(ri),國資(zi)(zi)委(wei)召開媒體通氣(qi)會(hui),國資(zi)(zi)委(wei)副主任、黨委(wei)委(wei)員王(wang)文斌,國資(zi)(zi)委(wei)黨委(wei)委(wei)員、秘書長閻曉峰(feng)出席(xi)會(hui)議,通報了國資(zi)(zi)委(wei)關于改革(ge)監督(du)體制機(ji)制充分(fen)發(fa)揮(hui)監事會(hui)作用的一系列重要舉措,并與到會(hui)記者就有(you)關情況進行了交流。委(wei)內有(you)關廳局列席(xi)會(hui)議。
為(wei)(wei)深入(ru)貫徹落(luo)實習近平總書記在全國(guo)國(guo)有(you)(you)企業黨的(de)(de)(de)建(jian)(jian)設(she)工(gong)(gong)(gong)(gong)作(zuo)會(hui)議上的(de)(de)(de)重(zhong)要(yao)指示(shi)精神,張(zhang)毅書記、肖亞慶(qing)主(zhu)(zhu)(zhu)任(ren)(ren)第(di)(di)一(yi)時間對改革監(jian)(jian)(jian)(jian)(jian)(jian)(jian)督(du)體制機制充分(fen)發揮監(jian)(jian)(jian)(jian)(jian)(jian)(jian)事(shi)(shi)(shi)(shi)會(hui)作(zuo)用進行全面(mian)部(bu)署。結合(he)機構(gou)調整和(he)職能轉變,國(guo)資(zi)(zi)委(wei)(wei)(wei)提(ti)出(chu)了加強監(jian)(jian)(jian)(jian)(jian)(jian)(jian)事(shi)(shi)(shi)(shi)會(hui)監(jian)(jian)(jian)(jian)(jian)(jian)(jian)督(du)的(de)(de)(de)重(zhong)要(yao)舉(ju)措。一(yi)是強化工(gong)(gong)(gong)(gong)作(zuo)領(ling)導(dao)(dao)。調整領(ling)導(dao)(dao)班(ban)子(zi)分(fen)工(gong)(gong)(gong)(gong),除(chu)原有(you)(you)一(yi)名國(guo)資(zi)(zi)委(wei)(wei)(wei)副(fu)主(zhu)(zhu)(zhu)任(ren)(ren)分(fen)管監(jian)(jian)(jian)(jian)(jian)(jian)(jian)事(shi)(shi)(shi)(shi)會(hui)工(gong)(gong)(gong)(gong)作(zuo)外,增(zeng)加一(yi)位委(wei)(wei)(wei)領(ling)導(dao)(dao),專(zhuan)門協助分(fen)管監(jian)(jian)(jian)(jian)(jian)(jian)(jian)事(shi)(shi)(shi)(shi)會(hui)工(gong)(gong)(gong)(gong)作(zuo),進一(yi)步加強對國(guo)有(you)(you)資(zi)(zi)產監(jian)(jian)(jian)(jian)(jian)(jian)(jian)督(du)工(gong)(gong)(gong)(gong)作(zuo)的(de)(de)(de)領(ling)導(dao)(dao)。二是強化機構(gou)支持。整合(he)委(wei)(wei)(wei)內監(jian)(jian)(jian)(jian)(jian)(jian)(jian)管資(zi)(zi)源,設(she)立監(jian)(jian)(jian)(jian)(jian)(jian)(jian)督(du)一(yi)局(ju)、監(jian)(jian)(jian)(jian)(jian)(jian)(jian)督(du)二局(ju)、監(jian)(jian)(jian)(jian)(jian)(jian)(jian)督(du)三局(ju),與監(jian)(jian)(jian)(jian)(jian)(jian)(jian)事(shi)(shi)(shi)(shi)會(hui)形(xing)成(cheng)(cheng)“一(yi)前一(yi)后”互相配合(he)的(de)(de)(de)關系,負責監(jian)(jian)(jian)(jian)(jian)(jian)(jian)事(shi)(shi)(shi)(shi)會(hui)反(fan)映(ying)問(wen)題(ti)的(de)(de)(de)深入(ru)核查、分(fen)類(lei)處(chu)置、整改督(du)辦(ban)工(gong)(gong)(gong)(gong)作(zuo),組(zu)織開展國(guo)有(you)(you)資(zi)(zi)產重(zhong)大損失調查,提(ti)出(chu)相關責任(ren)(ren)追究的(de)(de)(de)意(yi)見建(jian)(jian)議,形(xing)成(cheng)(cheng)監(jian)(jian)(jian)(jian)(jian)(jian)(jian)督(du)工(gong)(gong)(gong)(gong)作(zuo)完整閉(bi)環。三是強化運(yun)行機制。分(fen)別以(yi)委(wei)(wei)(wei)黨委(wei)(wei)(wei)會(hui)和(he)主(zhu)(zhu)(zhu)任(ren)(ren)辦(ban)公會(hui)、分(fen)管委(wei)(wei)(wei)領(ling)導(dao)(dao)、監(jian)(jian)(jian)(jian)(jian)(jian)(jian)事(shi)(shi)(shi)(shi)會(hui)主(zhu)(zhu)(zhu)席(xi)(xi)為(wei)(wei)主(zhu)(zhu)(zhu)體,形(xing)成(cheng)(cheng)領(ling)導(dao)(dao)決策、協調處(chu)置、監(jian)(jian)(jian)(jian)(jian)(jian)(jian)督(du)報告(gao)(gao)(gao)等“三個(ge)(ge)平臺(tai)(tai)”,推(tui)動監(jian)(jian)(jian)(jian)(jian)(jian)(jian)督(du)成(cheng)(cheng)果綜合(he)運(yun)用。第(di)(di)一(yi)平臺(tai)(tai)為(wei)(wei)監(jian)(jian)(jian)(jian)(jian)(jian)(jian)督(du)報告(gao)(gao)(gao)平臺(tai)(tai),由(you)(you)監(jian)(jian)(jian)(jian)(jian)(jian)(jian)事(shi)(shi)(shi)(shi)會(hui)主(zhu)(zhu)(zhu)席(xi)(xi)負責,監(jian)(jian)(jian)(jian)(jian)(jian)(jian)事(shi)(shi)(shi)(shi)會(hui)承擔具(ju)體工(gong)(gong)(gong)(gong)作(zuo),主(zhu)(zhu)(zhu)要(yao)任(ren)(ren)務(wu)是發現(xian)和(he)報告(gao)(gao)(gao)問(wen)題(ti),督(du)促(cu)落(luo)實應由(you)(you)企業自行整改的(de)(de)(de)事(shi)(shi)(shi)(shi)項;第(di)(di)二平臺(tai)(tai)為(wei)(wei)協調處(chu)置平臺(tai)(tai),由(you)(you)分(fen)管委(wei)(wei)(wei)領(ling)導(dao)(dao)負責,三個(ge)(ge)監(jian)(jian)(jian)(jian)(jian)(jian)(jian)督(du)局(ju)承擔具(ju)體工(gong)(gong)(gong)(gong)作(zuo),主(zhu)(zhu)(zhu)要(yao)任(ren)(ren)務(wu)是推(tui)動監(jian)(jian)(jian)(jian)(jian)(jian)(jian)事(shi)(shi)(shi)(shi)會(hui)監(jian)(jian)(jian)(jian)(jian)(jian)(jian)督(du)檢(jian)查成(cheng)(cheng)果的(de)(de)(de)綜合(he)運(yun)用;第(di)(di)三平臺(tai)(tai)為(wei)(wei)領(ling)導(dao)(dao)決策平臺(tai)(tai),以(yi)國(guo)資(zi)(zi)委(wei)(wei)(wei)黨委(wei)(wei)(wei)會(hui)和(he)主(zhu)(zhu)(zhu)任(ren)(ren)辦(ban)公會(hui)為(wei)(wei)主(zhu)(zhu)(zhu)體,研究監(jian)(jian)(jian)(jian)(jian)(jian)(jian)事(shi)(shi)(shi)(shi)會(hui)工(gong)(gong)(gong)(gong)作(zuo)中的(de)(de)(de)重(zhong)大事(shi)(shi)(shi)(shi)項,聽取(qu)監(jian)(jian)(jian)(jian)(jian)(jian)(jian)事(shi)(shi)(shi)(shi)會(hui)主(zhu)(zhu)(zhu)席(xi)(xi)對有(you)(you)關企業監(jian)(jian)(jian)(jian)(jian)(jian)(jian)督(du)檢(jian)查重(zhong)大情況的(de)(de)(de)報告(gao)(gao)(gao)以(yi)及監(jian)(jian)(jian)(jian)(jian)(jian)(jian)督(du)局(ju)專(zhuan)項工(gong)(gong)(gong)(gong)作(zuo)匯報,實現(xian)出(chu)資(zi)(zi)人管理(li)和(he)監(jian)(jian)(jian)(jian)(jian)(jian)(jian)督(du)的(de)(de)(de)有(you)(you)機統一(yi)。
監(jian)(jian)(jian)事(shi)(shi)(shi)會(hui)(hui)作(zuo)(zuo)為出(chu)資(zi)(zi)(zi)人監(jian)(jian)(jian)督(du)(du)(du)(du)的(de)(de)(de)(de)專門力(li)量(liang),適應(ying)(ying)新形勢、新任務(wu)、新要(yao)(yao)求(qiu),按(an)照(zhao)國資(zi)(zi)(zi)委統(tong)一(yi)部(bu)署,將采取多種有(you)(you)效(xiao)措施,著力(li)增強(qiang)監(jian)(jian)(jian)督(du)(du)(du)(du)的(de)(de)(de)(de)針對(dui)性和(he)(he)(he)有(you)(you)效(xiao)性,強(qiang)化(hua)和(he)(he)(he)落(luo)實(shi)(shi)監(jian)(jian)(jian)督(du)(du)(du)(du)責(ze)任。一(yi)是進(jin)一(yi)步(bu)突出(chu)工(gong)作(zuo)(zuo)重(zhong)點。堅持問(wen)題和(he)(he)(he)風險(xian)(xian)導向,根(gen)據(ju)企(qi)(qi)(qi)(qi)業(ye)功(gong)能分(fen)(fen)類、所處行(xing)業(ye)、發(fa)(fa)展(zhan)(zhan)階段(duan)、布局結(jie)構、內控(kong)建設等情(qing)(qing)(qing)況(kuang)(kuang)以(yi)(yi)及(ji)(ji)國有(you)(you)資(zi)(zi)(zi)產(chan)(chan)監(jian)(jian)(jian)管(guan)工(gong)作(zuo)(zuo)需要(yao)(yao),一(yi)企(qi)(qi)(qi)(qi)一(yi)策(ce)突出(chu)監(jian)(jian)(jian)督(du)(du)(du)(du)重(zhong)點。加(jia)強(qiang)對(dui)企(qi)(qi)(qi)(qi)業(ye)財務(wu)、內部(bu)控(kong)制(zhi)、企(qi)(qi)(qi)(qi)業(ye)重(zhong)大(da)決(jue)策(ce)、運營(ying)過程(cheng)中(zhong)可能涉及(ji)(ji)國有(you)(you)資(zi)(zi)(zi)產(chan)(chan)流失(shi)的(de)(de)(de)(de)事(shi)(shi)(shi)項和(he)(he)(he)關(guan)鍵(jian)環節(jie)、董事(shi)(shi)(shi)會(hui)(hui)和(he)(he)(he)經理層依(yi)法依(yi)規履(lv)職(zhi)(zhi)(zhi)情(qing)(qing)(qing)況(kuang)(kuang)等的(de)(de)(de)(de)監(jian)(jian)(jian)督(du)(du)(du)(du)檢(jian)查(cha)。二是進(jin)一(yi)步(bu)完善監(jian)(jian)(jian)督(du)(du)(du)(du)機制(zhi)。以(yi)(yi)財務(wu)監(jian)(jian)(jian)督(du)(du)(du)(du)為核心(xin),綜合運用列(lie)席(xi)會(hui)(hui)議、聽(ting)取匯(hui)報(bao)、訪談(tan)(tan)座談(tan)(tan)、受理舉報(bao)等多種方(fang)式(shi),及(ji)(ji)時掌握(wo)企(qi)(qi)(qi)(qi)業(ye)重(zhong)大(da)決(jue)策(ce)和(he)(he)(he)運營(ying)情(qing)(qing)(qing)況(kuang)(kuang),發(fa)(fa)揮預防(fang)預警功(gong)能。聚焦重(zhong)點企(qi)(qi)(qi)(qi)業(ye)、重(zhong)要(yao)(yao)業(ye)務(wu)、關(guan)鍵(jian)環節(jie)以(yi)(yi)及(ji)(ji)可能存在的(de)(de)(de)(de)問(wen)題線索和(he)(he)(he)風險(xian)(xian)源點,合理配置監(jian)(jian)(jian)督(du)(du)(du)(du)資(zi)(zi)(zi)源,集中(zhong)力(li)量(liang)開展(zhan)(zhan)針對(dui)性檢(jian)查(cha),努(nu)力(li)查(cha)深、查(cha)實(shi)(shi)、查(cha)透。不斷優(you)化(hua)監(jian)(jian)(jian)督(du)(du)(du)(du)組織模式(shi),探索實(shi)(shi)行(xing)分(fen)(fen)類監(jian)(jian)(jian)督(du)(du)(du)(du),突出(chu)重(zhong)點企(qi)(qi)(qi)(qi)業(ye),開展(zhan)(zhan)差異化(hua)檢(jian)查(cha),建立(li)監(jian)(jian)(jian)管(guan)同行(xing)業(ye)企(qi)(qi)(qi)(qi)業(ye)監(jian)(jian)(jian)事(shi)(shi)(shi)會(hui)(hui)定期溝(gou)通機制(zhi),圍(wei)繞(rao)共性問(wen)題和(he)(he)(he)風險(xian)(xian),適時開展(zhan)(zhan)專項檢(jian)查(cha)。根(gen)據(ju)需要(yao)(yao),聘請社會(hui)(hui)中(zhong)介機構,對(dui)企(qi)(qi)(qi)(qi)業(ye)進(jin)行(xing)集中(zhong)重(zhong)點檢(jian)查(cha)和(he)(he)(he)境外國有(you)(you)資(zi)(zi)(zi)產(chan)(chan)檢(jian)查(cha)。三是進(jin)一(yi)步(bu)加(jia)強(qiang)成果運用。監(jian)(jian)(jian)事(shi)(shi)(shi)會(hui)(hui)檢(jian)查(cha)發(fa)(fa)現的(de)(de)(de)(de)企(qi)(qi)(qi)(qi)業(ye)重(zhong)大(da)決(jue)策(ce)不合規、生產(chan)(chan)經營(ying)中(zhong)的(de)(de)(de)(de)重(zhong)大(da)風險(xian)(xian)、重(zhong)大(da)國有(you)(you)資(zi)(zi)(zi)產(chan)(chan)流失(shi)問(wen)題、企(qi)(qi)(qi)(qi)業(ye)領導人員違(wei)法違(wei)紀違(wei)規線索以(yi)(yi)及(ji)(ji)監(jian)(jian)(jian)事(shi)(shi)(shi)會(hui)(hui)主(zhu)席(xi)認為應(ying)(ying)當立(li)即報(bao)告的(de)(de)(de)(de)其他(ta)情(qing)(qing)(qing)況(kuang)(kuang),要(yao)(yao)一(yi)事(shi)(shi)(shi)一(yi)報(bao)告。加(jia)大(da)企(qi)(qi)(qi)(qi)業(ye)對(dui)監(jian)(jian)(jian)事(shi)(shi)(shi)會(hui)(hui)發(fa)(fa)現問(wen)題的(de)(de)(de)(de)整改(gai)(gai)落(luo)實(shi)(shi)力(li)度,健全(quan)(quan)對(dui)企(qi)(qi)(qi)(qi)業(ye)整改(gai)(gai)落(luo)實(shi)(shi)監(jian)(jian)(jian)事(shi)(shi)(shi)會(hui)(hui)反(fan)映問(wen)題的(de)(de)(de)(de)檢(jian)查(cha)評價制(zhi)度,確保(bao)中(zhong)央企(qi)(qi)(qi)(qi)業(ye)實(shi)(shi)實(shi)(shi)在在受益于監(jian)(jian)(jian)事(shi)(shi)(shi)會(hui)(hui)監(jian)(jian)(jian)督(du)(du)(du)(du)。對(dui)拒絕整改(gai)(gai)或整改(gai)(gai)落(luo)實(shi)(shi)不到(dao)位的(de)(de)(de)(de),約(yue)談(tan)(tan)企(qi)(qi)(qi)(qi)業(ye)領導人員。對(dui)整改(gai)(gai)不力(li)、屢查(cha)屢犯的(de)(de)(de)(de),要(yao)(yao)嚴(yan)肅追(zhui)究企(qi)(qi)(qi)(qi)業(ye)領導人員責(ze)任。四是進(jin)一(yi)步(bu)落(luo)實(shi)(shi)監(jian)(jian)(jian)督(du)(du)(du)(du)責(ze)任。建立(li)可追(zhui)溯、可量(liang)化(hua)、可考核、可問(wen)責(ze)的(de)(de)(de)(de)履(lv)職(zhi)(zhi)(zhi)記(ji)錄制(zhi)度,全(quan)(quan)面、如實(shi)(shi)記(ji)錄監(jian)(jian)(jian)督(du)(du)(du)(du)檢(jian)查(cha)工(gong)作(zuo)(zuo)軌跡,確保(bao)全(quan)(quan)程(cheng)留痕,有(you)(you)據(ju)可查(cha),作(zuo)(zuo)為考核評價和(he)(he)(he)責(ze)任追(zhui)究的(de)(de)(de)(de)重(zhong)要(yao)(yao)依(yi)據(ju)。建立(li)以(yi)(yi)報(bao)告制(zhi)度和(he)(he)(he)履(lv)職(zhi)(zhi)(zhi)記(ji)錄制(zhi)度為核心(xin)的(de)(de)(de)(de)監(jian)(jian)(jian)督(du)(du)(du)(du)工(gong)作(zuo)(zuo)責(ze)任倒查(cha)機制(zhi),對(dui)企(qi)(qi)(qi)(qi)業(ye)重(zhong)大(da)國有(you)(you)資(zi)(zi)(zi)產(chan)(chan)流失(shi)問(wen)題和(he)(he)(he)風險(xian)(xian)應(ying)(ying)當發(fa)(fa)現而(er)未發(fa)(fa)現或隱匿(ni)不報(bao)、查(cha)處不力(li)的(de)(de)(de)(de),嚴(yan)格追(zhui)究有(you)(you)關(guan)人員失(shi)職(zhi)(zhi)(zhi)瀆職(zhi)(zhi)(zhi)責(ze)任;對(dui)消極監(jian)(jian)(jian)督(du)(du)(du)(du)、不作(zuo)(zuo)為的(de)(de)(de)(de),按(an)照(zhao)干部(bu)管(guan)理權限,進(jin)行(xing)誡(jie)勉談(tan)(tan)話或調整工(gong)作(zuo)(zuo)崗(gang)位,造(zao)成嚴(yan)重(zhong)后果的(de)(de)(de)(de),給予降職(zhi)(zhi)(zhi)或免職(zhi)(zhi)(zhi)處理。
王文(wen)斌指(zhi)出,通過(guo)“三(san)(san)個(ge)強化(hua)”、“三(san)(san)個(ge)平臺”、設立“三(san)(san)個(ge)監(jian)督(du)局(ju)”以及(ji)“四個(ge)進一步(bu)”,進行體制(zhi)(zhi)機制(zhi)(zhi)調整,將更(geng)(geng)加(jia)強化(hua)對企業國(guo)有資產(chan)的(de)監(jian)督(du),更(geng)(geng)加(jia)有效發揮監(jian)事會(hui)的(de)制(zhi)(zhi)度優勢,更(geng)(geng)加(jia)充分(fen)發揮監(jian)事會(hui)在(zai)防止(zhi)國(guo)有資產(chan)流失方面(mian)的(de)重要(yao)作(zuo)用(yong),努力打造(zao)法治(zhi)央企、陽(yang)光央企。
會議(yi)還通報了黨的十八大以來監事會第五任(ren)期(qi)履職(zhi)成(cheng)效和第六任(ren)期(qi)主要(yao)工(gong)作。
