深(shen)圳(zhen)市國(guo)資(zi)委(wei)堅(jian)持以習近平新時代中國(guo)特色社會(hui)主(zhu)義(yi)思(si)想為(wei)指導,牢(lao)牢(lao)把握先行示(shi)范區(qu)、粵(yue)港澳大灣(wan)區(qu)“雙區(qu)驅動”和區(qu)域性國(guo)資(zi)國(guo)企綜(zong)合(he)改革試驗“三重戰略機(ji)(ji)遇”,立足“國(guo)企出(chu)資(zi)人(ren)、國(guo)資(zi)監管人(ren)、黨建負責人(ren)”定(ding)位,積(ji)極轉(zhuan)變(bian)(bian)機(ji)(ji)構職(zhi)能(neng)和履職(zhi)方式,初(chu)步探索出(chu)一(yi)條“以黨建為(wei)引領,優化(hua)出(chu)資(zi)人(ren)監管和完善(shan)現代國(guo)有(you)企業制度雙向發力的職(zhi)能(neng)轉(zhuan)變(bian)(bian)路徑”。
一、堅持市場化、法治化、專業化監管路徑,把準職能轉變總方向
深化國資監管法治機構建設,強化“六位一體”綜合監管。深圳國資(zi)委(wei)(wei)堅持制(zhi)(zhi)度(du)先行、規(gui)則(ze)引領(ling)(ling),加(jia)(jia)快完善國資(zi)改革重點(dian)領(ling)(ling)域和依(yi)法監(jian)(jian)(jian)管關鍵環節的(de)(de)頂(ding)層設計(ji),出(chu)臺《關于(yu)進一步加(jia)(jia)強國資(zi)監(jian)(jian)(jian)管法治機構(gou)建(jian)設的(de)(de)實(shi)(shi)施方案》,聚(ju)焦依(yi)法履職(zhi)(zhi)(zhi)、制(zhi)(zhi)度(du)體(ti)(ti)系、決策(ce)程序、權力監(jian)(jian)(jian)督(du)、矛(mao)盾化(hua)解、文化(hua)建(jian)設和保障措施等多(duo)方位(wei)多(duo)領(ling)(ling)域,落(luo)細落(luo)小落(luo)實(shi)(shi)責任分工,實(shi)(shi)現依(yi)法履行職(zhi)(zhi)(zhi)責、依(yi)法建(jian)章立制(zhi)(zhi)、依(yi)法規(gui)范決策(ce)協(xie)同(tong)并進,推(tui)動建(jian)成(cheng)(cheng)權責法定、職(zhi)(zhi)(zhi)能科(ke)學、履職(zhi)(zhi)(zhi)規(gui)范、透明高效(xiao)的(de)(de)國資(zi)監(jian)(jian)(jian)管法治機構(gou)。國資(zi)監(jian)(jian)(jian)管制(zhi)(zhi)度(du)體(ti)(ti)系的(de)(de)“四梁八柱”初步成(cheng)(cheng)型(xing),有效(xiao)護航改革發展行穩致遠。扎實(shi)(shi)推(tui)進紀(ji)檢監(jian)(jian)(jian)察(cha)體(ti)(ti)制(zhi)(zhi)改革,為全(quan)國破(po)解國企(qi)(qi)(qi)同(tong)級監(jian)(jian)(jian)督(du)難題提(ti)供深圳經(jing)驗。整(zheng)合(he)黨(dang)(dang)的(de)(de)監(jian)(jian)(jian)督(du)、出(chu)資(zi)人監(jian)(jian)(jian)督(du)、企(qi)(qi)(qi)業內部監(jian)(jian)(jian)督(du)三方資(zi)源,構(gou)建(jian)企(qi)(qi)(qi)業黨(dang)(dang)委(wei)(wei)領(ling)(ling)導(dao)、紀(ji)委(wei)(wei)統籌,紀(ji)檢監(jian)(jian)(jian)察(cha)、監(jian)(jian)(jian)事會、財務總監(jian)(jian)(jian)、內審(shen)、內控(kong)、風控(kong)協(xie)同(tong)聯動的(de)(de)“六位(wei)一體(ti)(ti)”大監(jian)(jian)(jian)督(du)體(ti)(ti)系,形成(cheng)(cheng)“職(zhi)(zhi)(zhi)責統一行使、資(zi)源集中調度(du)、內容全(quan)面覆蓋、成(cheng)(cheng)果開放共享(xiang)”的(de)(de)監(jian)(jian)(jian)督(du)閉環。
持續完善國資監管體系,提升“兩類公司”功能。深(shen)圳國(guo)(guo)(guo)資(zi)(zi)(zi)(zi)委重點通過“一(yi)(yi)張清單、一(yi)(yi)個基金(jin)、三類平(ping)臺(tai)”,構建(jian)(jian)深(shen)圳特色國(guo)(guo)(guo)資(zi)(zi)(zi)(zi)監(jian)管(guan)(guan)運(yun)營(ying)體(ti)制(zhi)。“一(yi)(yi)張清單”,即(ji)制(zhi)定(ding)國(guo)(guo)(guo)資(zi)(zi)(zi)(zi)監(jian)管(guan)(guan)權(quan)責清單,并(bing)根據形勢發展和實(shi)際需求適時動態(tai)調整。“一(yi)(yi)個基金(jin)”,即(ji)構建(jian)(jian)以國(guo)(guo)(guo)資(zi)(zi)(zi)(zi)改革與戰略發展基金(jin)為牽引的(de)國(guo)(guo)(guo)資(zi)(zi)(zi)(zi)基金(jin)群,目前(qian)基金(jin)群規模超(chao)4900億(yi)元(yuan)(yuan),為管(guan)(guan)好資(zi)(zi)(zi)(zi)本(ben)(ben)、推進企(qi)(qi)(qi)(qi)業改革發展提(ti)(ti)供(gong)了有效(xiao)(xiao)的(de)工具手(shou)段。“三類平(ping)臺(tai)”,即(ji)針(zhen)對(dui)國(guo)(guo)(guo)有資(zi)(zi)(zi)(zi)本(ben)(ben)商業屬(shu)(shu)性、公(gong)(gong)(gong)共服(fu)務(wu)屬(shu)(shu)性和政府延(yan)伸功(gong)能(neng)屬(shu)(shu)性,打造(zao)國(guo)(guo)(guo)有資(zi)(zi)(zi)(zi)本(ben)(ben)投(tou)(tou)(tou)(tou)(tou)資(zi)(zi)(zi)(zi)、運(yun)營(ying)公(gong)(gong)(gong)司和公(gong)(gong)(gong)益類、功(gong)能(neng)類平(ping)臺(tai),為從管(guan)(guan)企(qi)(qi)(qi)(qi)業為主(zhu)(zhu)向管(guan)(guan)資(zi)(zi)(zi)(zi)本(ben)(ben)為主(zhu)(zhu)轉變提(ti)(ti)供(gong)更加有效(xiao)(xiao)的(de)市(shi)場化手(shou)段和運(yun)作(zuo)機(ji)制(zhi)。2004年組建(jian)(jian)投(tou)(tou)(tou)(tou)(tou)控(kong)公(gong)(gong)(gong)司,2007年成立遠(yuan)致公(gong)(gong)(gong)司,分別開(kai)展國(guo)(guo)(guo)有資(zi)(zi)(zi)(zi)本(ben)(ben)投(tou)(tou)(tou)(tou)(tou)資(zi)(zi)(zi)(zi)、運(yun)營(ying)公(gong)(gong)(gong)司試點,作(zuo)為國(guo)(guo)(guo)資(zi)(zi)(zi)(zi)委解決(jue)(jue)歷史遺留問題(ti)和資(zi)(zi)(zi)(zi)本(ben)(ben)運(yun)作(zuo)的(de)輔(fu)助平(ping)臺(tai)。2018年,深(shen)圳市(shi)政府批(pi)準投(tou)(tou)(tou)(tou)(tou)控(kong)公(gong)(gong)(gong)司對(dui)標淡馬(ma)錫打造(zao)國(guo)(guo)(guo)際一(yi)(yi)流國(guo)(guo)(guo)有資(zi)(zi)(zi)(zi)本(ben)(ben)投(tou)(tou)(tou)(tou)(tou)資(zi)(zi)(zi)(zi)公(gong)(gong)(gong)司實(shi)施方(fang)案,加快打造(zao)深(shen)圳國(guo)(guo)(guo)企(qi)(qi)(qi)(qi)首家世界(jie)500強。重點強化投(tou)(tou)(tou)(tou)(tou)控(kong)公(gong)(gong)(gong)司的(de)投(tou)(tou)(tou)(tou)(tou)資(zi)(zi)(zi)(zi)功(gong)能(neng),將境內(nei)主(zhu)(zhu)業不超(chao)過凈資(zi)(zi)(zi)(zi)產20%、約(yue)400億(yi)元(yuan)(yuan)的(de)投(tou)(tou)(tou)(tou)(tou)資(zi)(zi)(zi)(zi)決(jue)(jue)策權(quan)授予企(qi)(qi)(qi)(qi)業。著力提(ti)(ti)升(sheng)遠(yuan)致公(gong)(gong)(gong)司的(de)國(guo)(guo)(guo)有資(zi)(zi)(zi)(zi)本(ben)(ben)運(yun)作(zuo)能(neng)力,將華潤深(shen)國(guo)(guo)(guo)投(tou)(tou)(tou)(tou)(tou)、中國(guo)(guo)(guo)科技開(kai)發院等優質股權(quan)整合(he)至遠(yuan)致公(gong)(gong)(gong)司,并(bing)將其單筆(bi)股權(quan)投(tou)(tou)(tou)(tou)(tou)資(zi)(zi)(zi)(zi)決(jue)(jue)策權(quan)限提(ti)(ti)升(sheng)至凈資(zi)(zi)(zi)(zi)產的(de)5%、約(yue)10億(yi)元(yuan)(yuan)。
突出“一類一策”,借力智慧管控平臺監管。完(wan)成(cheng)全(quan)系(xi)統(tong)各(ge)級企業(ye)(ye)(ye)的分(fen)類(lei)(lei)工作,按照行業(ye)(ye)(ye)規則和市(shi)場規律,變(bian)“一企一策(ce)”討價還價,為“一類(lei)(lei)一策(ce)”標(biao)準(zhun)度量,突(tu)出監(jian)管的法治(zhi)化(hua)(hua)、規則化(hua)(hua)和剛(gang)性約(yue)束。商(shang)業(ye)(ye)(ye)類(lei)(lei)企業(ye)(ye)(ye)實(shi)(shi)行商(shang)業(ye)(ye)(ye)化(hua)(hua)運作,實(shi)(shi)現優勝劣汰、有序(xu)進退;公益類(lei)(lei)、功能類(lei)(lei)企業(ye)(ye)(ye)堅持以社會效(xiao)益為本,兼(jian)顧經濟效(xiao)益。優先選擇(ze)上市(shi)公司(si)作為突(tu)破口,出臺專門治(zhi)理(li)辦法,建(jian)立以章程為準(zhun)則、董(dong)事監(jian)事履職為抓手、重大事項(xiang)溝通為必備程序(xu)、緊急(ji)情形干預(yu)為重要(yao)保障(zhang)的“3+1”治(zhi)理(li)體系(xi),充分(fen)保障(zhang)上市(shi)公司(si)經營自主(zhu)權。全(quan)面實(shi)(shi)施智(zhi)慧(hui)國(guo)資(zi)(zi)(zi)國(guo)企信(xin)(xin)息(xi)(xi)化(hua)(hua)三年規劃(hua),組建(jian)智(zhi)慧(hui)城(cheng)市(shi)科技集團,打破信(xin)(xin)息(xi)(xi)壁壘,打通信(xin)(xin)息(xi)(xi)孤島(dao),實(shi)(shi)現數據資(zi)(zi)(zi)源共享、業(ye)(ye)(ye)務高度協(xie)同和實(shi)(shi)時(shi)智(zhi)能監(jian)測。加快建(jian)立信(xin)(xin)息(xi)(xi)集成(cheng)、實(shi)(shi)時(shi)在(zai)線、公開透明、協(xie)同高效(xiao)的要(yao)素交(jiao)易(yi)(yi)綜合監(jian)管體系(xi),包括陽光(guang)采購、資(zi)(zi)(zi)金融通、資(zi)(zi)(zi)源性資(zi)(zi)(zi)產租賃(lin)、國(guo)有資(zi)(zi)(zi)產交(jiao)易(yi)(yi)、重大資(zi)(zi)(zi)源開發五個(ge)平(ping)臺。近半年來(lai),陽光(guang)采購平(ping)臺完(wan)成(cheng)市(shi)屬企業(ye)(ye)(ye)委托項(xiang)目1488個(ge),節約(yue)資(zi)(zi)(zi)金16億元;資(zi)(zi)(zi)金融通平(ping)臺成(cheng)交(jiao)金額(e)700億元,資(zi)(zi)(zi)金融通成(cheng)本較同期(qi)基準(zhun)利率下降44個(ge)基點。
加快簡政放權步伐。2015年以來(lai)深圳(zhen)國資(zi)(zi)委率先下放(取消)22項事權,抓緊對(dui)標《國務院國資(zi)(zi)委授(shou)權放權清單(dan)(2019年版)》和《國務院國資(zi)(zi)委以管(guan)資(zi)(zi)本為主推進職能轉變方案》研究(jiu)擴大授(shou)權放權的紅利新空間(jian),推動實現(xian)(xian)國資(zi)(zi)委機關自(zi)我革命,層(ceng)層(ceng)“松(song)綁(bang)”激(ji)發企業(ye)自(zi)我發展活力。在投控對(dui)標淡馬錫(xi)總體(ti)藍圖(tu)下配(pei)套形成(cheng)7個對(dui)標專題,努力在監(jian)管(guan)體(ti)制(zhi)、經營(ying)機制(zhi)、風險管(guan)控、投資(zi)(zi)管(guan)理等方面實現(xian)(xian)系(xi)統性突破,確保國資(zi)(zi)監(jian)管(guan)放權縱向到底、責任層(ceng)層(ceng)落(luo)實、動力持續釋放。
二、加快完善現代國有企業制度,打通職能轉變“最后一公里”
以法治國企建設為抓手,助力培育具有全球競爭力的一流企業。以(yi)出臺(tai)《關于進一步加強市屬國有企(qi)(qi)業法治(zhi)(zhi)國企(qi)(qi)建設(she)的實(shi)施意見》為(wei)有利(li)契機(ji),助推(tui)企(qi)(qi)業法治(zhi)(zhi)工作向(xiang)更高(gao)層次邁進。圍繞治(zhi)(zhi)理、經營、管(guan)(guan)理“三(san)個(ge)維度(du)”,以(yi)健(jian)全企(qi)(qi)業法律(lv)管(guan)(guan)理組織體系為(wei)基礎,以(yi)有效化解風險、依法合規(gui)經營為(wei)目標,以(yi)提高(gao)企(qi)(qi)業法律(lv)管(guan)(guan)理能力為(wei)手(shou)段,實(shi)現依法治(zhi)(zhi)理、依法經營、依法管(guan)(guan)理共同推(tui)進,實(shi)現改革創新、高(gao)質量發(fa)展與(yu)依法治(zhi)(zhi)理的有機(ji)統一,為(wei)深圳打造(zao)國企(qi)(qi)改革發(fa)展高(gao)地提供(gong)堅實(shi)法治(zhi)(zhi)保障。
以資本運作為引擎,強調“實質性混改”,助推市屬國資國企做強做優做大。按照管資(zi)(zi)(zi)(zi)本(ben)(ben)要(yao)求(qiu),淡化(hua)資(zi)(zi)(zi)(zi)本(ben)(ben)的區域、層(ceng)級和(he)所(suo)(suo)有制(zhi)屬性(xing),強化(hua)資(zi)(zi)(zi)(zi)本(ben)(ben)的逐利(li)性(xing)、擴張性(xing)、流動(dong)(dong)性(xing),推動(dong)(dong)“資(zi)(zi)(zi)(zi)源資(zi)(zi)(zi)(zi)產(chan)化(hua)、資(zi)(zi)(zi)(zi)產(chan)資(zi)(zi)(zi)(zi)本(ben)(ben)化(hua)、資(zi)(zi)(zi)(zi)本(ben)(ben)證券(quan)化(hua)”,發揮資(zi)(zi)(zi)(zi)本(ben)(ben)運作乘數效(xiao)應,為產(chan)業(ye)集團(tuan)發展(zhan)插上(shang)“騰飛翅膀”。實施“上(shang)市(shi)(shi)公(gong)司(si)(si)(si)+”戰略,完成糧食與深深寶資(zi)(zi)(zi)(zi)產(chan)重組,加快推動(dong)(dong)特發服務(wu)(wu)等(deng)3家(jia)企業(ye)IPO。深圳(zhen)市(shi)(shi)屬控股(gu)上(shang)市(shi)(shi)公(gong)司(si)(si)(si)增(zeng)至26家(jia),資(zi)(zi)(zi)(zi)產(chan)證券(quan)化(hua)率達58.5%,比(bi)年初增(zeng)加2.5個百分點。實施基(ji)金(jin)群戰略,構建以國(guo)資(zi)(zi)(zi)(zi)改(gai)(gai)(gai)革(ge)與戰略發展(zhan)基(ji)金(jin)為牽引(yin),涵蓋天使基(ji)金(jin)、創投基(ji)金(jin)、產(chan)業(ye)基(ji)金(jin)、并(bing)購基(ji)金(jin)的國(guo)資(zi)(zi)(zi)(zi)基(ji)金(jin)群,為管好(hao)資(zi)(zi)(zi)(zi)本(ben)(ben)、強化(hua)資(zi)(zi)(zi)(zi)本(ben)(ben)運作提(ti)供市(shi)(shi)場化(hua)工具手段。按照“混(hun)是(shi)手段、改(gai)(gai)(gai)是(shi)目的”和(he)“成熟一家(jia)推動(dong)(dong)一家(jia)”的原則,實施混(hun)合所(suo)(suo)有制(zhi)改(gai)(gai)(gai)革(ge)三年行動(dong)(dong)方案,以混(hun)合所(suo)(suo)有制(zhi)改(gai)(gai)(gai)革(ge)帶動(dong)(dong)公(gong)司(si)(si)(si)治理(li)、選(xuan)人(ren)用人(ren)、激(ji)勵約(yue)束等(deng)內部機(ji)制(zhi)改(gai)(gai)(gai)革(ge)。重點推進已立(li)項企業(ye)開展(zhan)“實質(zhi)性(xing)混(hun)改(gai)(gai)(gai)”,市(shi)(shi)屬企業(ye)混(hun)合所(suo)(suo)有制(zhi)比(bi)例超過(guo)80%。注重“因企施策”,開展(zhan)管理(li)層(ceng)和(he)核(he)心骨干(gan)持(chi)股(gu)工作。建立(li)混(hun)改(gai)(gai)(gai)后(hou)評價機(ji)制(zhi),及(ji)時(shi)總結混(hun)改(gai)(gai)(gai)成效(xiao)。深圳(zhen)交通中心、特發服務(wu)(wu)通過(guo)員工持(chi)股(gu),3年間利(li)潤同比(bi)增(zeng)長455%和(he)475%。
推進董事會建設,提升公司治理水平。董(dong)(dong)(dong)(dong)(dong)事(shi)(shi)會(hui)上承(cheng)股(gu)東會(hui)、國資監(jian)管(guan)部門,下接經理層選聘(pin)、考核評價(jia),是實現以(yi)管(guan)資本為主和企業(ye)市場化(hua)運營的(de)關鍵層級。深(shen)圳國資委將卓越董(dong)(dong)(dong)(dong)(dong)事(shi)(shi)會(hui)建設(she)作為公(gong)司治理的(de)核心內(nei)(nei)容,聘(pin)請馬蔚華(hua)、任克(ke)雷等優(you)(you)秀企業(ye)家擔任董(dong)(dong)(dong)(dong)(dong)事(shi)(shi),組建外部董(dong)(dong)(dong)(dong)(dong)事(shi)(shi)占多(duo)數,內(nei)(nei)部董(dong)(dong)(dong)(dong)(dong)事(shi)(shi)、專職(zhi)(zhi)外部董(dong)(dong)(dong)(dong)(dong)事(shi)(shi)和兼職(zhi)(zhi)外部董(dong)(dong)(dong)(dong)(dong)事(shi)(shi)合理搭配、規模適中、專業(ye)互補(bu)的(de)董(dong)(dong)(dong)(dong)(dong)事(shi)(shi)會(hui),持續(xu)優(you)(you)化(hua)董(dong)(dong)(dong)(dong)(dong)事(shi)(shi)會(hui)結構,提升董(dong)(dong)(dong)(dong)(dong)事(shi)(shi)會(hui)決策效能。依法落實董(dong)(dong)(dong)(dong)(dong)事(shi)(shi)會(hui)職(zhi)(zhi)權,同步加強(qiang)董(dong)(dong)(dong)(dong)(dong)事(shi)(shi)會(hui)向經理層授權,強(qiang)化(hua)監(jian)事(shi)(shi)會(hui)監(jian)督效能,編(bian)制公(gong)司治理評價(jia)報告。
